Texto completoOpposable to the bankruptcy of the vendee since the law on the 12 th may 1980, the simple property reserve clauses stipulated by the vendors of tangible personal estate can influence the conditions of concession for a banking credit for the industrial and commercial firms. In the monist structure of french law sale contract, by suspending the vendor's main obligation of giving, the property reserve clause suspends in consequence his other obligations, of delivery and guarantee; it impedes the usual way of sale and incites the vendee - especially if he may profit by a prompt payment discount - to pay cash by having recourse to a credit-system for the vendee. The bank financing their clients' purchases instead of their sales, by treasury credit, or "dailly", will see, in spite of the personalized charac- teristic of the granted credit, their financial risk dull. The property reserve clause benefit, useless to the cash-paid vendor, can - as the credit-lessor property right - guarantee it efficaciously, because the special movable secu- rities traditional exercice is today compromised in right and in fact while on the contrary the reserved property right titular disposes as for him of an absolute "preference right". The reserved property right, accessory real right of the guaranteed debt, appears, on account of the synallagmatic character of the payment convention, as a necessary accessory of the debt right, the transfer of which to the bank will enter in the contract cession scheme

Texto completoA finance lease arrangement is a financing technique whereby the financial lessor acquires ownership of a property for the purpose of leasing it to the lessee who has a call option at the end of the irrevocable rental period. In the event that a collective procedure is opened against the lessee, the financial lessor is necessarily affected. The firms in financial distress rights offers the competent body the possibility of requiring the financial lease arrangement’s continuation, with no consideration other than the contract’s execution under its initial conditions. It is also possible for the court to require the financial lessor to transfer its contract when a disposal plan is considered. The financial lessor must also ensure the preservation of its interests by reporting, like any other creditor, its accounts payable arising prior to the opening judgment, while a second declaration of claims may be necessary where appropriate, when the contract is continued beyond the opening judgment. As the owner of the property, subject of the credit agreement, the financial lessor nevertheless has a real opportunity of being disinterested of part of its receivables. However, its owner status must be opposable to the insolvency proceedings. Property as well as the lease are, in this context, diverted from their natural roles. The financial lessor’s ownership is then limited to the transaction’s guarantee, which leads to establish a parallel between the title retention clause and the trust by way of security

Texto completoProperty-security (title for security purposes) was enshrined in the OHADA law during the reform of the Uniform Act on the organization of security rights on December 15, 2010. This thesis then aims at pointing out the similarities and the differences between the OHADA’s property-security law and the French law. It also challenges the accuracy of recognizing to the owner of the title for security purposes a right in rem in connection with the property concerned, as property-security cannot, as to the law, be assimilated to an ordinary property. By contrast, this study shows that property-security has to be seen as other traditional real guarantees. Therefore, both the OHADA and the French legislators are called to shape the legal regime of the property-security in accordance with that of the traditional real guarantees

Texto completoProperty reservation is a highly appreciated guarantee mechanism used for the sale of tangible assets. This mechanism is extremely effective in the case of bankruptcy as it combines all the advantages of a real security without its disadvantages. Considering the importance of intangible assets in today's society and given the fact that this importance will continue to grow as intellectual properties are at the heart of business transactions, the risk that the transferor of intellectual property may be faced with a defaulter must be underlined. This is why the transferor must plan sufficient payment guarantees. Although the property reservation clause is not yet automatic as is the case for tangible assets, contracts dealing with the transfer of intellectual property rights with this type of clause are becoming more and more frequent. The freedom of contracting ensures the validity of the principles of this clause ; however, one can wonder how pertinent this practice actually is. For intangible assets, is property reservation an appropriate mechanism and does it truly guarantee effective payment ? This study has lead to an affirmative response to these questions. Not only did this study show the absence of technical obstacles concerning such a guarantee, but it also found that this mechanism offers effective guarantee powers, as long as the notions of claim and restitution of tangible elements are clarified

Texto completoThe Retention of Title mechanism, recognized by the law as a security over assets since the Order of 23 March 2006, uses the property right for guarantee purposes. Actually, the retention of title suspends the transfer of property or good(s) until full payment of the price by the debtor. This legal technique affords an effective protection to the creditor who is faced with the initiation of collective insolvency proceedings against his contractual partner. This technique allows the creditor to be considered by the legal entities involved in the proceedings not only as the holder of a security right but also as the owner of the good. Thanks to this double-hatting approach, the position of the creditor is enviable compared with others creditors because providing, in particular, the opportunity to proceed to an action in restitution. However, this privileged position can otherwise conflict with the recovering of the company in difficulty and the principle of equality of creditors. The aim of this thesis is in the light of the legal and jurisprudential evolutions, to discuss the nature of this security interest and to challenge its effectiveness as regard from the one of the collective insolvency proceedings of the buyer

The political function’s purpose is to establish a political order by strengthening the political and economic objectives and ensuring the continuity of the city. Safeguarding property in the family, originally then dissipation of assets, today this function tends to disappear in favor of individual freedom of the deceased.The second function is a social function of promoting a family model and providing a subsitance pattern. The reserved share suits to our family model confining itself to the nuclear family. It also requires leaving a subistance after our death, to our forced heir. In positive law, the subsistence function takes the ascendancy on the promoting a family model fonction. The nature of the reserved share tends to resemble to a claim. Texto completoThere is currently no international legal instrument establishing principles for the transfer of ownership in international sales concerning tangible movables. A comparative study of various domestic laws reveals that legal systems on this matter can be divided into two groups : to the first group belong legal systems in which the passing of property is carried out through the agreement of the parties involved. The prototype of the second group is Roman law which required a physical act of delivery as a rule for the passing of property. In private international law, the transfer of movables is governed, in the vast majority of systems, by the law of the place where the movable is situated (lex situs) at the time of the said transfer. The application of this rule appears in many ways to be unsuited to the specific problems raised by the transfer of movables. Firstly, a conflict may arise between the provisions of the proper law of the contract and those of the lex situs. Secondly, the rule creates much uncertainty, since movables are easily moved from one country to another. The possibility for the parties to expressly agree in the contract of sale that the transfer will be governed by a chosen law appears to provide a much flexible solution. The interests of third parties are taken into account if such a choice is limted and if third parties acting in good faith can plead their forgivable ignorance of the foreign law in question

Texto completoThe 1985 statute relative to examinership and liquidation of companies states as its objective, in its first article, the survival of the company and the continuing of its activity. However, the survival of the latter requires the perpetuation of its contractual environment. The debtor in an examinership is therefore authorized to demand the continuing of incomplete contracts, in spite of the non-performance of its previous obligations. The contract is thus considered as a good which should be retained in the same fashion as any other asset. However, the 1994 reform, with a view to improving the fate of the creditors and contractual partners of the company allows for two observations. On the one hand, the appreciable amelioration of the rights of contractual partners seems to question the primary objective of examinership. On the other hand, this very amelioration leads one to consider the contractual relationship in terms, not any longer of antagonism, but rather of partnership. Thus, the 1994 act, while not overthrowing the basis of collective procedures legislation, lessens the ideological rigor of the 1985 statute, since it involves the contractual partner in the examinership

To understand the social impact of the university licensing strategies, we examine the link between the degree of exclusivity of licenses and the various characteristics of the licensed inventions. The theoretical and empirical findings of our research suggest that the practices of university technology transfer offices (TTOs) may not always be optimal, underlying the fact that there may still be room for the improvement. We also suggest that, when the innovations are sequential, universities might introduce alternative open source licensing (OSL) strategies. Furthermore, we expand our study by examining the dynamic interactions between various formal and informal channels of transfer. Our longitudinal qualitative methodology suggests that, dynamic interaction creates a strong cumulative effect with respect to the research valorization activity and reinforces the collective dimension of valorization

Texto completoDespite its practical relevance, business secrecy remains barely recognized under French law. Even if various texts refer to that concept, it cannot be considered as a legal concept under French law. In order to face the defects of our law, courts are bound to apply ordinary law to guarantee the protection of sensitive business information. However, applying article 1382 of the French civil code (torts) as well as referring to the concepts of robbery or handling (criminal law) are inappropriate solutions. Nevertheless, some foreign legal systems have demonstrated that protecting business secrecy was necessary. Therefore, our study will seek the grounds of that need for protection. Protecting confidential data, although justified, must be compatible with other key principles: individual rights to information, civil trial practice standards, financial transparency or freedom of work. Thus, the purpose of that study is to delimitate the concept of business secrecy before suggesting new measures to protect it while preserving third parties beneficiaries

Texto completoThe surviving spouse has very often been considered a poor relation in matters of inheritance. Generally defined, in French-speaking African countries, as the non-divorced spouse and against whom there is no final judgment of separation, his rights have undergone significant development. The laws of these countries were strongly inspired by the texts of France, the former colonizing power, mainly from the civil Code of 1804 and subsequent reforms.Originally, these rights, characterized by their heterogeneity, have, on the one hand, coexisted among themselves, under the influence of heterogeneous traditional institutions, generating unequal rights, based in particular on the privileges of masculinity and primogeniture. This coexistence was achieved, on the other hand, with the exogenous laws, in this case French law and Muslim law, which contributed to the general establishment of legal pluralism and specific inheritance pluralism, in a context shared between opposition and coordination of existing rules.Today, the homogeneous nature of these rights is affirmed throughout the territory of each of the countries under review. These rights are therefore granted by law, just as they can be by will, subject to compliance with the prohibitions relating to the marriage contract, and the reservation of reserved heirs. In addition to this consecration which above all highlights the inheritance vocation of the surviving spouse, these rights are nevertheless abused. Consequently, they first call for protection based more on devolution rules favorable to the tightening of the family nucleus around the matrimonial home. Also, on the strength of the community and linguistic space in which they operate, it would be interesting and appropriate to consider the harmonization of the rights of the surviving spouse in French-speaking African countries

Texto completoA presente dissertação tem por objetivo a análise da validade da cláusula de reserva de propriedade a favor das instituições de crédito como uma garantia no âmbito do financiamento da aquisição de um determinado bem. Esta questão assume particular relevância no âmbito da comercialização dos veículos automóveis, sendo estes os casos que se encontram na génese da discussão desta problemática nos tribunais. Apesar de se revelar uma prática usual por parte das instituições de crédito, é ainda evidente a divergência manifestada nos tribunais portugueses onde ainda não se vislumbra um consenso generalizado sobre esta problemática. Efetivamente, a cláusula de reserva de propriedade, embora já tenha sido objeto de estudo aprofundado pela doutrina e jurisprudência em geral, assume na atualidade uma enorme relevância uma vez que a maioria dos bens são adquiridos com recurso a financiamentos. Deste modo, procuraremos demonstrar qual a importância e relevância desta cláusula, mormente no âmbito das relações triangulares que se formam pela existência de dois contratos paralelos, o contrato de compra e venda e o contrato de mútuo e pela intervenção de três intervenientes, o comprador, o vendedor e o financiador. Procuraremos ainda expor os argumentos sustentados pelos defensores de ambas as teses acerca da cláusula de reserva de propriedade a favor do financiador, demonstrando quais as soluções que se apresentam ao financiador para contornar a problemática que tem sido discutida nos Tribunais dando origem a decisões controversas pondo em causa o princípio da segurança jurídica. Veremos ainda que esta problemática também tem dado origem a teses opostas nos tribunais de outros ordenamentos jurídicos. Neste quadro, evidenciaremos ainda quais as garantias que se encontram ao dispor do financiador para acautelar o seu crédito e em que moldes poderá obter a satisfação do seu crédito nos casos em que o comprador/mutuário não cumpre a obrigação a que se encontra adstrito em virtude do contrato de mútuo.
L´objectif de cette étude est d'analyser la validité de la clause de réserve de propriété établie en faveur des établissements de crédit et particulièrement les banques en tant que garantes dans le cadre du financement de l'acquisition d'un bien. Ce sujet est particulièrement pertinent dans le cadre des ventes de voitures qui constituent la plupart des cas discutés au sein des tribunaux. Bien qu´elle s´avère être une pratique courante au sein des établissements de crédit, la divergence manifeste entre les tribunaux portugais, où il n'y a pas toujours de consensus général, est toujours évidente. En effet, la clause de réserve de propriété, bien qu'ayant fait l'objet d'une étude approfondie de la doctrine et de la jurisprudence en général, est aujourd'hui extrêmement importante car la plupart des biens sont acquis en ayan recours au financement. Cependant, nous essayerons d´illustrer l'importance et la pertinence de cette clause, notamment dans le cadre des relations triangulaires formées par l'existence de deux contrats parallèles (le contrat d'achat et de vente) et le contrat de prêt et surtout par l'intervention de trois participants, l'acheteur, le vendeur et le prêteur (en général les banques). Nous essayerons également d'exposer les arguments soutenus par les défenseurs des deux thèses qui s´opposent sur la clause de réserve de propriété au profit du prêteur, en démontrant quelles sont les solutions à la disposition du prêteur pour contourner le problème débattu aux seins des tribunaux et dont la jurisprudence nous conduit souvent vers des décisions opposées et susceptibles de mettre en échec le principe de sécurité juridique. En conséquence, nous verrons également que ce sujet est aussi débattu et sans solutions sûres ni unanimes, dans les systèmes juridiques étrangers. Dans ce contexte, nous mettrons également en évidence les garanties susceptibles de sauvegarder le crédit, et de quelles manières la banque peut obtenir le paiement du crédit dans les cas où l'acheteur / emprunteur n´accomplit pas l´obligation du paiement.

Firstly, the obligations of each party will be studied, after which it shall be endeavoured to qualify the software license package contract with regard to civil law. Secondly, the creation of the software license package contract in a generalised situation as well as in an electronic environment will be examined. Furthermore, two new methods of contract creation will be contemplated, namely the "shrink-wrap" and the "click-wrap" methods. Finally, clauses limiting or exonerating responsibilities and guaranties, the de for election clause and clauses in relation to intellectual property will be analysed.
