En pratique, de nombreux obstacles peuvent empêcher le déroulement naturel du contrat. Lorsque ces obstacles n'ont qu'un caractère provisoire, le droit contemporain offre au contractant une solution temporaire : la suspension du contrat. Cependant, jusqu'à nos jours, cette solution du droit n'est pas soumise à un régime juridique unitaire. La suspension se dissimule dans diverses techniques juridiques, traditionnelles ou modernes. Le droit comparé français chinois à l'égard de la suspension permet d'identifier clairement l'ensemble de ces techniques, d'en envisager une nouvelle compréhension et de proposer une systématisation du phénomène complexe de suspension. Notre étude a révélé plusieurs constatations importantes. Pour un contractant, la suspension n'est pas uniquement une solution permettant de sanctionner l'inexécution temporaire de son cocontractant, elle peut également servir à justifier son inexécution légitime. En outre, la suspension peut être utilisée non seulement en cas d'inexécution du contrat, mais aussi en cas de risque d'inexécution. Enfin, l'objet visé par la suspension peut être non seulement la prestation contractuelle, mais aussi les travaux préparatoires à celle-ci
In practice several obstacles may prevent the natural progress of the contract. When those obstacles are not permanent in nature, modern law offers the contracting party a temporary solution : suspension of the contract. However, up until now, that legal solution has not been subject to a unitary legal system. Suspension is concealed by a range of traditional and modern legal techniques. Sino-French comparative law in relation to suspension makes it possible to clearly identify all these techniques, to envisage a new understanding and to offer a systematization of the complex phenomenon of suspension. Our study has revealed several important findings. For a contracting party, suspension is not merely a way to enable the sanctioning of temporary breach by the other contracting party; it can also be used to prove his legitimate breach. In addition, suspension can be used, not only in the event of breach of contract, but also in the event of the risk of breach. Lastly, the object affected by the suspension may not only be the contractual arrangement, but also the work leading up to it

Le mutuus dissensus est une locution latine de droit positif français. Elle est utilisée par la doctrine civiliste depuis la fin du XIXème siècle pour désigner une notion fondamentale du droit des conventions. La notion juridique de mutuus dissensus peut être définie comme la convention par laquelle toutes les parties consentent à la révocation de la convention qu’elles ont conclue antérieurement. La notion de mutuus dissensus présente une unité. Elle repose sur la réunion de deux éléments constitutifs essentiels. Le premier est une procédure classique : une convention. La convention de mutuus dissensus est une véritable convention extinctive plutôt qu’un nouveau contrat identique en sens inverse du contrat révoqué. Le second est un effet de droit spécifique : la révocation. La révocation par mutuus dissensus est plutôt une résiliation du contrat opérant uniquement pour l’avenir qu’une prétendue résolution d’un contrat à effet rétroactif. La notion de mutuus dissensus a un domaine très large en droit positif. La révocation par mutuus dissensus est un principe général du droit des conventions fondé sur l’article 1134, alinéa 2, du Code civil, qui a vocation à s’appliquer à toutes les conventions et dans toutes les matières. La notion de mutuus dissensus détermine un régime juridique spécifique. Les parties sont libres de déterminer les effets de la révocation par mutuus dissensus. Le principe de la liberté des parties est limité par l’ordre public. La sécurité des tiers est assurée par une protection générale et des protections spéciales reposant principalement sur le mécanisme de l’inopposabilité
Mutuus dissensus is a latin expression in the French positive law. It has been used by civil doctrine since the end of the nineteenth century to designate a basic notion of Contract Law. The juridic notion of mutuus dissensus may be defined as an agreement between all the parties to rescind their precedent contract. The notion of mutuus dissensus has an unity. It stands on two essentials constituent elements. The first one is a classical procedure: an agreement. Mutuus dissensus agreement is a real subsequent agreement to end a contract, rather than a new identical contract but opposite to the rescinded contract. The second one is an effect of specific right: the rescission. Rescission by mutuus dissensus is the termination of a contract for the future rather than a supposed discharge of a contract with a retroactive effect. The notion of mutuus dissensus has a very wide field in positive law. Rescission by mutuus dissensus is a general principle of law of contracts based on section 1134, subsection 2, of the French civil code, which is to apply to every contract and in every subject. The notion of mutuus dissensus determines a specific juridical system. Parties are free to decide the effects of the rescission by mutuus dissensus. The principle of freedom of parties is limited by law and order. The protection of third parties is ensured by a general protection and special protections which limit the effects of the rescission of contract by mutuus dissensus

O presente trabalho visa apresentar um panorama geral a respeito da terceira espécie de inadimplemento no Direito brasileiro, considerando os esforços da doutrina e da jurisprudência em nosso sistema jurídico no trato deste tema, bem como considerando aspectos relevantes colhidos na experiência estrangeira. Na tentativa de contribuir para debate, será apresentada uma proposição para a identificação dessa terceira espécie de inadimplemento no Direito brasileiro.
The present work aims to present an overview regarding the third kind of default in Brazilian law, considering the efforts of the doctrine and of the jurisprudence in our legal system in dealing with this issue, as well as considering relevant aspects gathered from the experience of foreign law. In an attempt to contribute to debate, a proposition will be presented for the identification of this third kind of default in Brazilian law.

El presente estudio centra su atención en la utilidad y regulación de la figura de la ventaja injusta que deviene un instrumento eficaz para combatir contratos excesivamente desequilibrados en perjuicio de una de las partes contratantes. El legislador catalán, a raíz de la aprobación del Libro Sexto del Código civil de Cataluña, ha querido dar un paso adelante en cuanto a la previsión de normativas que aspiran a lograr un Derecho contractual con un carácter marcadamente social mediante la introducción de la ventaja injusta, pionera en el entorno del Estado español. La finalidad de esta figura es la de proteger la integridad del consentimiento; dotar de una acción para combatir las consecuencias injustas de aquel consentimiento que se prestó apresuradamente y sin plena libertad de elección, y solucionar, a su vez, una falta de equivalencia objetiva entre las prestaciones. Para ello ha dado lugar a una institución autónoma de protección de la parte débil que se sitúa entre la justicia sustantiva y la justicia procedimental. Asimismo, el legislador ha aprovechado la ocasión para refrendar y generalizar la institución histórica de la rescisión por lesión que permite recuperar el equilibrio económico al que tienden los contratos estructuralmente onerosos. El presente trabajo de investigación se centra en el estudio de la institución de la ventaja injusta mediante un análisis crítico que destaca los beneficios que supone la incorporación de dicha figura en el ordenamiento jurídico y a su vez, plantea propuestas de modificación sobre la regulación introducida a partir del estudio de las propuestas armonizadoras del Derecho contractual europeo y de los códigos de nuestro entorno.
Aquest estudi centra la seva atenció en la utilitat i regulació de la figura de l’avantatge injust que esdevé un instrument eficaç per a combatre contractes manifestament desequilibrats en perjudici d’una de les parts contractants. El legislador català, amb l’aprovació del Llibre Sisè del Codi civil de Catalunya, ha fet un pas endavant en la previsió de normes de caire social que propugnen un Dret contractual més just, mitjançant la introducció de l’avantatge injust, figura pionera en l’entorn de l’Estat espanyol. La finalitat d’aquest instrument és protegir la integritat del consentiment que es va prestar apressadament i amb una voluntat no del tot lliure, i solucionar, així mateix, una manca d’equivalència objectiva entre les prestacions intercanviades per les parts. Per això s’ha incorporat una institució autònoma de protecció de la part dèbil emplaçada entre la justícia substantiva i la justícia procedimental. Alhora, el legislador ha mantingut i generalitzat la històrica norma de la rescissió per lesió que permet recuperar l’equilibri econòmic a què tendeixen els contractes estructuralment onerosos. Aquest treball d’investigació centra el seu àmbit d’estudi en la institució de l’avantatge injust a través d’un anàlisi crític que en destaca els beneficis que pot significar la seva incorporació en l’ordenament jurídic i, al mateix temps, planteja propostes de modificació sobre la regulació introduïda a partir de l’estudi de les propostes harmonitzadores del Dret contractual europeu i dels codis civils del nostre entorn.
The subject of the present study is the utility and regulation of the so-called ‘unfair advantage’ rule, which has become an effective instrument against contracts that are excessively unbalanced to the detriment of the weaker party. The Catalan legislator, after the adoption of Book VI of the Catalan Civil Code, has taken a step forward through the introduction of an ‘unfair advantage’ rule with the aim to achieve social justice in contract law; as such, the Catalan legislator is a pioneer in the Spanish legal environment. The objective of this rule is to protect the integrity of consent; to provide for an action to challenge the unjust consequences arising from consent that was given hastily and not in complete freedom; and to solve, at the same time, a lack of objective equality between the performance of the parties. To that end, an autonomous legal basis has been introduced for the protection of the weaker party, situated between procedural and substantive justice. Furthermore, the Catalan legislator has endorsed and expanded the historical concept of laesio enormis, that is intended to restore the economic balance and allows for rescission of contracts leaning toward being unreasonably onerous. The main focus of the research is on the institution of ‘unfair advantage’ by means of a critical analysis that highlights the potential of the introduction of this rule in private law. In addition, it proposes amendments to the Catalan regulation, drawing from the study of the proposals for the harmonization of European contract law and the legal systems around us.

The employer has the power governing the employment relationship which concerns the form of how work activities should be fulfilled, how can monitor compliance by the employee and impose disciplinary measures when necessary. However, the employer in the power of command must not exceed legal limits imposed on it, may be liable to employer misconduct. The employer misconduct is a way of rescission of employment contract by the employee (indirect rescission) and consists of the serious default made by the employer (Art. 483, Labor Code, paraphs "a" and "g") becoming very difficult to continue the employment contract. The responsibilities assigned to the employer are originated from contractual obligations of the employment relationship, however, we stick it out that the employer is also liable to civil liability in the reasonable circumstances. The employer may incur misconduct occasioning the indirect rescission of employment contract and can afford to take the damages caused by such titles as well as cumulatively may be held liable for moral and material damages caused to the employee, should fix them
O empregador detém o poder diretivo na relação de emprego que versa sobre a forma de como as atividades laborais devem ser cumpridas, podendo fiscalizar o modo de cumprimento pelo empregado, bem como aplicar-lhe sanções disciplinares quando necessário. Contudo, o empregador, no poder de comando, não deve ultrapassar os limites legislativos que lhe são impostos, podendo incorrer em falta grave patronal. A falta grave patronal é uma das formas de dissolução do contrato de trabalho por iniciativa do empregado (rescisão indireta) e consiste no cometimento de ato gravíssimo pelo empregador (art. 483, CLT, alíneas a a g ) impossibilitando o prosseguimento do contrato de trabalho. As responsabilidades atribuídas ao empregador são decorrentes das obrigações contratuais da relação de emprego, todavia, ressaltamos que o empregador também é passível de responsabilização civil nas hipóteses cabíveis. O empregador poderá incorrer em falta grave ensejando a rescisão indireta do contrato de trabalho devendo arcar com as indenizações devidas a tais títulos, bem como, cumulativamente, poderá ser responsabilizado pelos danos morais e materiais causados ao empregado, devendo repará-los

Esta tese tem como tema o inadimplemento antecipado do contrato no direito civil brasileiro. O ponto de partida para o estudo consiste na análise de jurisprudência que originariamente utilizou a figura, desprovida de consagração legal expressa. Posteriormente, é examinada a doutrina. Diante deste material, propõe-se um modelo teórico para o entendimento do inadimplemento antecipado do contrato, ajustando-o às categorias básicas do direito das obrigações brasileiro. São apresentados seus pressupostos, elementos constitutivos e efeitos. No decorrer do trabalho, são abordados aspectos do compromisso de compra e venda, a relação obrigacional complexa, deveres acessórios e laterais, fim contratual, inadimplemento, culpa e imputabilidade, impossibilidade, perda da função social, exceção de contrato não cumprido, resolução, indenização e demanda de cumprimento.
This work has as its theme the anticipatory breach of contract in the Brazilian civil law. The starting point for the study is the analysis of cases that originally used the figure, devoid of explicit legal recognition. Subsequently, the doctrine is examined. Faced with this material, we propose a theoretical model for understanding the anticipatory breach of contract, adjusting it to the basic categories of Brazilian law of obligations. Their assumptions, constitutive elements and effects are presented. Throughout his work, aspects of purchase and sale, the complex obligatory relationship, accessories and side duties, contractual order, breach of contract, non-performance, responsability, frustration, loss of social function, termination, rescission, and action for damages.

Este trabalho tem como objetivo principal demonstrar a aplicabilidade, da demissão por justa causa, nas diversas formas de contrato de trabalho regidas pela Consolidação das Leis do Trabalho. A premissa maior deste estudo será a abordagem das hipóteses elencadas no artigo 482 Consolidação das Leis do Trabalho, ou seja, as causas determinantes que levam o empregador e o empregado a desfazer unilateralmente o vínculo laboral através da inexecução culposa de um dos contratantes. Ante o tema principal, como suporte, introduzimos uma pequena noção de contrato e as diversas modalidades de distratos, assim como os incisos que permeiam a aplicabilidade da justa causa, utilizando como apoio bibliografia diversificada, em destaque no final deste trabalho. Em ponto oportuno destacamos as singularidades apresentadas em alguns dos princípios do processo penal e do direito constitucional, quando relacionadas ao processo trabalhista, dentre estes princípios o do devido processo penal, do contraditório, da indisponibilidade do processo, da verdade real, dentre outros que emolduram estas singularidades entre os dois processos. Em decorrência destacamos o binômio: necessidade versus impossibilidade de manutenção do contrato de trabalho, em que a lei faculta e ampara legalmente determinado ato, seja por impulso do empregado ou do empregador, mas deixa-os descabidos de direitos após a rescisão do contrato de trabalho. O princípio do protecionismo, as semelhanças apresentadas nos processos, penal e trabalhista, a tipificação taxatixa (exaustiva) seja no primeiro quando da tipificação do delito, e no segundo, quando dos incisos aplicados à justa causa, assim como a exclusão do uso da interpretação analógica. Por fim a (in) aplicabilidade da demissão por justa causa, que torna a sua utilização pelo empregador, ociosa, insegura e não alternativa para a rescisão do contrato de trabalho, procurando assim desfazer certas obscuridades legais.

This work has as main objective to demonstrate the applicability, of the dismissal for fair cause, in the several labor agreement forms governed by the Consolidation of the Laws of the Work. The larger premise of this study will be the approach of the hypotheses in the article 482 Consolidation of the Laws of the Work, in other words, the decisive causes that take the employer and the employee to undo the bond through the guilty nonperformance of one of the contracting parties. Before the main theme, as support, we introduced a small contract notion and the several modalities, as well as the interruptions that permeate the applicability of the fair cause, using as support diversified bibliography, in prominence in the end of this work. In opportune point we detached the singularities presented in some of the beginnings of the penal process and of the constitutional right, when related to the labor process, among these beginnings the one of the due penal process, of the contradictory, of the unavailability of the process, of the real truth, among others that frame these singularities among the two processes. In consequence we detached the binomial: need versus impossibility of maintenance of the labor agreement, in that the law allows and it aids certain action legally, be for the employee´s pulse or of the employer, but he/she leaves them improper of rights after the rescission of the labor agreement. The beginning of the protectionism, the similarities presented in the processes, penal and labor, the taxatixe (exhausting) it is in the first when of the of the crime, and in the second, when the applied interruptions to the fair cause, as well as the exclusion of the use of the analogical interpretation. Finally the (in) applicability of the dismissal for fair cause, that it turns his/her use for the employer, idle, insecure and no alternative for the rescission of the labor agreement, trying like this to undo certain legal obscurities.

A programação por contrato é uma metodologia de programação que implementa mecanismos de correcção de forma bem adaptada à programação orientada por objectos, facilitando a construção de software correto e robusto, permitindo também a sua documentação e especificação e a construção de programas tolerantes a falhas. No entanto, ao contrário da programação orientada por objectos, a programação por contrato tem uma difusão bastante reduzida. Uma das razões para tal facto é a quase completa ausência de suporte para a metodologia na grande maioria das linguagens de programação usadas actualmente, nas quais se inclui a linguagem Java. Apesar de existirem algumas ferramentas para tentar suprir essa omissão da linguagem Java, são aproximações incompletas que não permitem usufruir de todas as vantagens e capacidades da programação por contrato. Neste trabalho pretende-se definir quais as características necessárias numa linguagem de modo a permitir a implementação completa da metodologia, avaliando as falhas que as ferramentas existentes possuem e, de seguida, definir e construir uma nova linguagem, “Contract-Java”, definida como uma extensão da linguagem Java, que permita usar a programação por contrato na sua totalidade.
Design by Contract is a programming methodology which implements correction mechanisms well adapted to object-oriented programming, easing the construction of correct and robust software, as well as allowing its documentation and specification and the construction of fault-tolerance programs. However, unlike object-oriented programming, Design by Contract has a very low distribution. One of the reasons for such is the lack of support for it on most programming languages currently in use, in which Java is included. Although a few tools attempt to workaround such lack of support, they all present incomplete approaches which do not support all the advantages and capabilities of Design by Contract. In this work, we intend to define which characteristics are necessary in order to fully implement the methodology, evaluating the faults of existing tools and, afterwards, defining and constructing a new language, “Contract-Java”, defined as an extension of the Java language, which allows to use Design by Contract in its entirety.

Design by Contract (DbC) ´e uma t´ecnica popular para desenvolvimento de programas usando especifica¸c˜oes comportamentais. Neste contexto, pesquisadores descobriram que a implementao de DbC ´e crosscutting e, portanto, sua implementa¸c˜ao ´e melhor modularizada por meio da Programa¸c˜ao Orientada a Aspectos (POA) por´em, os mecanismos de POA para dar suporte a modularide de contratos, de fato comprometem sua modularidade e entendidmento. Por exemplo, na linguagem POA AspectJ, o racioc´ınio da corretude de uma chamada de m´etodo requer uma an´alise global do programa para determinar quais advice aplicam e sobretudo o que esses advice fazem em rela¸c˜ao a implementa ¸c˜ao e checagem DbC. Al´em disso, quando os contratos so separados das classes o programador corre o risco de quebrar-los inadvertidamente. Diferentemente de uma linguagem POA como AspectJ, uma linguagem DbC preserva as principais caractersticas DbC como raciocnio modular e documenta¸c˜ao. No entanto, pr´e- e p´os-condi¸c˜oes recorrentes continuam espalhadas por todo o sistema. Infelizmente esse n˜ao o ´unico problema relacionado com modularidade que temos em linguagens DbC existentes, o seu com respectivos verificadores dinˆamicos so inconsistentes com as regras de information hiding devido a naturaze overly-dynamic na qual os contratos s˜ao checados no lado servidor. Este problema implica que durante a reportagem de erros, detalhes de implementa¸c˜ao so expostos para clientes no privilegiados. Portanto, se os programadores cuidadosamente escolherem as partes que devem ser escondidas dos clientes, durante a checagem dinˆamica de contratos, as mudanas nessas partes n˜ao deveriam afetar nem os clientes dos m´odulos nem a reportagem de erros de contratos. Neste trabalho n´os resolvemos esses problemas com AspectJML, uma nova liguagem de especifica¸c˜ao que suporta contratos crosscutting para c´odigo Java. Al´em disso, n´os demonstramos como AspectJML usa as principais caractersticas de uma linguagem DbC como racioc´ınio modular e documenta¸c˜ao dos contratos. Mais ainda, n´os mostramos como AspectJML combinado com nossa t´ecnica chamada de client-aware checking permite uma checagem dinˆamica de contratos que respeitem os princ´ıpios de information hiding em especifica¸c˜oes. Neste trabalho usamos JML para fins concretos, mas nossa solu¸c˜ao pode ser utilizadas para outras linguagems Java-likee suas respectivas linguagens DbC. Para concluir, n´os conduzimos uma avalia¸c˜ao da nossa modulariza¸c˜ao dos contratos crosscutting usando AspectJML, onde observamos que seu uso reduz o esforo de escrever pr´e- e p´os-condies, por´em com um pequeno overhead em tempo de compila¸c˜ao e instrumentação de código para checagem de contratos.
Design by Contract (DbC) is a popular technique for developing programs using behavioral specifications. In this context, researchers have found that the realization of DbC is crosscutting and fares better when modularized by Aspect-Oriented Programming. However, previous efforts aimed at supporting crosscutting contracts modularly actually compromised the main DbC principles. For example, in AspectJ-style, reasoning about the correctness of a method call may require a whole-program analysis to determine which advice applies and what that advice does relative to DbC implementation and checking. Also, when contracts are separated from classes a programmer may not know about them and may break them inadvertently. Unlike an AspectJ-like language, a DbC language keeps the main DbC principles such as modular reasoning and documentation. However, a recurrent pre- or postcondition specification remains scattered across several methods in many types. Unfortunately, this is not the only modularity problem we have with existing DbC languages. Such languages along with their respective runtime assertion checkers are inconsistent with information hiding rules because they check specifications in an overly-dynamic manner on the supplier side. This implies that during error reporting, hidden implementation details are exposed to non-privileged clients. Such details should not be used in a client’s correctness proof, since otherwise the proof would be invalidated when they change. Therefore, if programmers have carefully chosen to hide those parts “most likely” to change, most changes, in the hidden implementation details, do not affect either module clients nor DbC error reporting. In this work we solve these problems with AspectJML, a new specification language that supports crosscutting contracts for Java code. We also show how AspectJML supports the main DbC principles of modular reasoning and contracts as documentation. Additionally, we explain how AspectJML combined with our client-aware checking technique allows runtime checking to use the privacy information in specifications, which promotes information hiding. We use JML for concreteness, but the solution we propose can also be used for other Java-like languages and their respective DbC languages. To conclude, we conduct an evaluation to assess the crosscutting contract modularization using AspectJML, where we observe that its use reduces the overall design by contract code, including pre- and postconditions, but introduces a small overhead during compile time and can increase the resulting bytecode due to code instrumentation to check ordinary and crosscutting contracts

Recent case law from the ECJ on one of the most important EU contract law legislation has left questions open about the compatibility of Swedish con­tract law with the Unfair Contracts Term Directive. The case law on Article 6 (1) in the directive seem to have changed the view on how to deal with the legal consequence of an unfair term in consumer contracts; namely that unfair terms cannot be adjusted but need to be declared invalid. This essay examines how the effects from the ECJ case law provide new light upon Swedish contract law. The effect creates a clash of ideas and rationalities between Union law and Swedish contract law. Unfair terms cannot be adjusted as the relevant Swedish legislation provides. An unfair term needs to be invalid, and if necessary, such an unfair term can in certain circumstances be complemented with default rules from national contract law. This does not only seem to change the interpretation and application of the Swedish law, but it also form an underlying tension between the instrumental market-functional Union law and the more jus­tice oriented Swedish private law.  Furthermore, as we move towards a new European civil code, perhaps these tensions and clashes may say something about where the discipline of European Private Law is headed.

This dissertation consists of two chapters. Chapter 1 examines the ex-ante optimality of repricing and rescission of executive stock options while considering dilution effects and the tax effects of new accounting rules associated with repricing and rescission. Traditional repricing lowers the exercise price of outstanding options to match the declined market value of the stock. Rescission allows employees to cancel already-exercised options when share prices fall, which was not an issue until 2000 when the stock market plummeted. To my best knowledge, this study is the first research on examining the possible optimality of traditional repricing and rescission while considering the economic impact of changing accounting rules in an ex-ante contracting setting. Chapter 2 examines the ex-ante optimality of repricing alternatives and derives an optimal repricing-triggered policy, which specify how deeply the options are under water before repricing takes place. In practice, traditional repricing practices have become obsolete since new accounting rules took effect in July 2000. To avoid associated variable accounting charges that cause uncertainty in future reported earnings, companies have tried several repricing alternatives as solutions to rescuing underwater options. This study not only justifies the occurrence of some repricing alternatives but also quantifies the impact of the marking-to-market feature imbedded in the new accounting rules.

Legal Business Contracts govern the business relationshipbetween trading business partners. Business contracts are likeblueprints of expected business behaviour from all thecontracting parties involved. Business contracts bind theparties to obligations that must be fulfilled by expectedperformance events. Contractual violations can lead to bothlegal and business consequences. Thus it is in the bestinterests of all parties concerned to organise their businessprocess flows to be compliant to the stipulated businesscontracts terms and conditions.

However, Contract Management and Business Process Managementin the current information systems domain are not closelyintegrated. Also it is not easy for business domain experts orinformation systems experts to understand and interpret thelegal terms and conditions into their respective domain needsand requirements. This thesis addresses the above two issues inan attempt to build a semantic bridge across the differentdomains of a legal business contract. This thesis focuses onthe contract execution phase of typical business contracts andas such views contract obligations as processes that need to beexecuted and monitored. Business workflows need to be as closeas possible to the stated contract obligation executionworkflow.

In the first phase, a framework for modelling andrepresenting contractual knowledge in the form of Multi TierContract Ontology (MTCO) is proposed. The MTCO uses conceptualmodels as knowledge representation methodology. It proposes astructured and layered collection of individual ontologiesmoving from the top generic level progressively down tospecific template ontologies. The MTCO is visualised as areusable, flexible, extendable and shared knowledge base.

In the second phase, a methodology for deducing the ContractWorkflow Model (CWM) is proposed. The CWM is deduced from theMTCO and a contract instance document in a stepwise userguideline. The CWM outlines the preferred choreography ofbusiness performance that successfully fulfils the execution ofcontract obligations. The deduced CWM is visualised as an aidto monitor the contract, as a starting point for businessprocess integration and business process workflow design.

In this article, the author highlights the benefits of incorporating the concepts “concession contract” and “long term contract” within the new Civil and Commercial Code of the Nation in Argentina. For the author, these contractual arrangements are fundamental in Administrative Law to understand the scope of the concession of public services, specifically in regard to the introduction of changes in the contract. This also means that foreign police concepts or theories as ius variandi, which only add authoritarian elements under the contract, are not longer required.
En el presente artículo, el autor resalta los beneficios de la incorporación de los conceptos “contrato de concesión” y “contrato de larga duración” dentro del nuevo Código Civil y Comercial de la Nación argentina. Así, para el autor, estas figuras contractuales son fundamentales en el Derecho Administrativo para poder comprender los alcances del contrato de concesión de servicios públicos, específicamente, en cuanto a la introducción de variaciones en la ejecución del contrato. Ello conlleva, además, que ya no se tenga que recurrir a conceptospoliciales extraños o a teorías como la del ius variandi que únicamente añaden elementos autoritarios en el marco del contrato.

By combining normative philosophy and empirical social science, I craft a research framework for assessing differential expectations of economic justice within the economic social contract of the United States. I argue that distinct viewsof such a contract grounded in the tradition of individualism and communitarianism manifest in people's judgments about economic justice. We empirically test these hypotheses on a sample of 270 subjects, finding broad support for the theoretical framework.

Introduction Chapter 1 contains an outline of the main positions held by scholars in the debate about Spinoza's social contract theory. I spell out those which are commonly regarded as the main "anomalies" of Spinoza's contractarianism, and those which are regarded as the contractarian aspects of his theory. Ch 2: I present, and argue against Matheron's evolutionary theory, a noncontractarian reading of Spinoza's political works. Matheron claims that the fragile and problematic contract theory that Spinoza holds in the Tractatus Theologico-Politicus is deeply revised and substantially abandoned in Spinoza's last work, the Tractatus Politicus. He also shows that we can deduce the details of Spinoza's political position from his metaphysical determinism. I try to show the limitations of Matheron's reading of Spinoza's TP, especially in regard of the notions of individual advantage and social/political conflict. Ch 3: I give an exposition of the "conceptual model of natural law theory", which Bobbio offers in highlighting the similarities of different contract theorists. I discuss Bobbio's contractarian reading of Spinoza's work, with special regard to the issue of the natural law theory. Ch 4: I offer my own reading of Spinoza's text, by exploring how the fundamental notions of Spinoza's theory interplay in the construction of an accomplished social contract theory. Ch 5: I show how Spinoza accommodates the notions of social contract and political change, in this way solving some traditional problems of the contract theory, Ch 6: I briefly discuss the relation between the Tractatus Politicus and Spinoza's earlier works. Ch 7: I contrast Spinoza's social contract theory to that of Hobbes. Spinoza's criticism seems directed against some precise aspects of Hobbes's theory rather than against the contract theory in general. I also discuss certain implications of Spinoza's contractarian approach. Conclusion 2

The goal of this thesis is the study on the integration of mechanisms from concurrent programming, objected-oriented languages, and Designby- Contract. We propose a new language, Concurrent Contract-Java (CCJava), that's an extension of Contract-Java, a language that has extended Java with Design-by-Contract language mechanisms. CCJava aims to ease object-oriented concurrent programming, ensuring safety (no race conditions will occur) and abstracting away lower level concurrent realizations such as the choice for shared object synchronization schemes. It reuses the semantics of Java mechanisms, together with the semantics of objects and Design-by-Contract constructs, providing simple and expressive language mechanisms for concurrency. CCJava guarantees all aspects of a shared object's concurrent utilization and thread creation, using only two new language keywords: shared, and remote. A compiler was developed implementing the more important language mechanisms, and used as a proof of concept of our proposals

Flanagan and Norman (1982b) examined the bidding performances of three contractors. In developing this study, the aim of this research is to demonstrate through statistical modelling that, in terms of competitiveness, competing contractors are influenced, to varying degrees, by contract type and size and that a competitiveness relationship exists between contractor size and contract size. Bidding behaviour between construction firms is regarded as the outcome of strategic management decisions undertaken in an economic setting. Contractors are seen to compete for construction work in a competitive environment made up of a series of market sectors, each containing an amalgam of contract types and sizes, while clients are viewed as initiators of the whole contracting process. Contractors are shown to respond to client demands by deciding on a strategic domain within which to operate, which contracts to bid for and, if opting to bid, the appropriate bid level. Two approaches to modelling competitiveness are offered. The first approach examines the relationship between competitiveness and variability in bidding and a four-way classification system of bidder behaviour is developed. The main goal of this work, however, is contained in the second approach, which uses multiple regression to construct a competitiveness model - a prediction equation relating bidder competitiveness (the dependent variable) to the independent variables of bidder (analysed individually and also grouped according to size), contract type and contract size. The regression model shows that differences in competitiveness are greater for different contract sizes than different contract types. The most competitive contractors appear to be those with a preferred contract size range. The results are inconclusive in providing evidence that large bidders are more competitive on larger contracts and vice versa.

O estabelecimento de um processo de negócios se faz por meio de relacionamentos entre parceiros que têm um objetivo comum. Esses relacionamentos são definidos em contratos, que podem ser explícitos ou implícitos, podem ser verbais ou escritos, e assim por diante. Quando uma pessoa busca um parceiro de negócios, ela procura um parceiro que possa completar um relacionamento definido em um contrato. Para dar suporte a esses processos na Internet (e na Web) é necessário caracterizar todos os seus aspectos, tais como: agentes, contratos, papéis, relacionamentos, interações entre os parceiros, políticas etc. Este trabalho apresenta o Contract Oriented Web Services Model (COWS) - um modelo para um ambiente apropriado para diálogos de E- Business, implementados por meio de Web Services. COWS é baseado em contratos bemdefinidos, acordados entre todas as partes envolvidas e que incorpora vários níveis de políticas. Essas políticas podem estar relacionadas a formas de pagamento, qualidade de serviço (QoS), políticas de privacidade, direitos, retorno de produtos, confiança entre parceiros, entre outros. Os contratos podem se referenciar a outros contratos e têm escopo em foros específicos, que contêm políticas globais. Um protótipo, para um ambiente Web com suporte ao COWS, foi implementado para testar os conceitos que estendem o processo de casamento de parceiros, em um processo de negócios. Todos os modelos do COWS foram especificados como ontologias, utilizando-se a linguagem Flora-2.
Business processes are established via relationships between partners with a common goal. These relationships are specified in contracts, which could be explicit or implicit, oral or written, and so on. When a person searches for a business partner, she is looking for a partner that can fulfill a relationship specified in a contract. To support such processes in the Internet (and in the Web) it is necessary to characterize all of its aspects, such as agents, contracts, roles, relationships, interactions between partners, policies, etc. This dissertation presents the Contract Oriented Web Services Model (COWS) - a model for an appropriate environment for E-Business dialogues, implemented using Web Services. COWS is based on well-defined contracts agreed upon by all concerned parties and incorporates various levels of applicable policies. These policies can be related to payment methods, quality of service (QoS), privacy policies, rights, products return, trust, etc. Contracts may refer to other contracts and are valid within forae, which have default global policies. A prototype web environment supporting COWS has been implemented to test the concepts that extend the discovery process. All COWS models have been specified as ontologies, using Flora-2.

The purpose of this treatise was to determine the distinction between the contract of service (employment) and the contract of work (independent contractor). A comprehensive literary survey was undertaken so as to establish if such a distinction does indeed exist. A logical point of departure was to study the contract of service and determine how the employment relationship is established by it. It is also necessary to establish under what circumstances a contract may be terminated and what the rights and obligations of the parties to the contract were. The contract between the parties will determine remedies to the breach of contract or applicability of labour legislation. It is also necessary to establish the definition of an employee under various statutes so as to understand what remedies exist should rights be infringed upon. Statutes considered include the Constitution of the Republic of South Africa, Labour Relations Act, Basic Conditions of Employment Act, Employment Equity Act, Unemployment Insurance Act, Compensation for Occupational Injuries and Diseases Act, Skills Development Act and the Income Tax Act. The effect of insolvency of the employer on the employee is also discussed. Outsourcing has played a major role in the emergence of the independent contractor. This phenomenon is considered from the point of the employer in terms of the reasons for choosing the option of outsourcing and the associated risks. The employee perspective is also dealt with in terms of why an employee would change his/her employment status. The various tests historically applied to determine the status of a worker is also discussed. These include the control, organisation, dominant impression and economic tests. Currently the dominant impression test is the one that is being applied to determine the employment relationship. Extensive reference was made to case law. United States of America cases are referred to with specific reference to the 20 Factor Test applied by the Internal Revenue Service. South African case law is dealt wit in terms of enforcement of Bargaining Council agreements, commission-earning persons, payment for services rendered, the intention of the parties and the identity of the true employer. The emergence of the dependent contractor is also addressed. This form of worker normally falls outside of the protection of labour legislation and social security. Amendments have been proposed to various statutes to remedy the situation in South Africa. A final aspect that is dealt with is that of vicarious liability. The applicability of this aspect lies in the liability of the employer for damages inflicted by the employee.

Resumen
La tesis consta de trs capítulos, además de un capítulo introductorio, relacionados con la teoría de contratos. El primer y segundo capítulo aplican la teoría de contratos incompletos al estudio de las oportunidades esternas.En el caso del primer capítulo las oportunidades externas son uno de los factores determinantes que explican los incentivos a invertir en la empresa. Concretamente, el análisis se centra en el impacto que tiene que uno de los agentes, en este caso el gerente, decida invertir activamente en mejorar sus oportunidades fuera de la relación con el presente trabajador en la empresa. El gerente decide invertir en buscar candidatas que puedan sustituir a esta trabajador. Este último, al verse precindible, pierde pate de sus incentivos para ejercer esfuerzo en su puesto de trabjao. El modelo también es utilizado para explicar que legislación exógena que aumente flexibilidad contractual puede volver menos productivos a los trabajadores. Asimismo, un mercado con alto desempleo y donde al gerente le es fácil encontrar sustitutos para el trabajador también tiene un impacto en la productividad.
El segundo capítulo también se centra en el estudio de oportunidades externas, en este caso para explicar la formación de mepresas en una economía. Una región con muchas empresas dedicadas a un sector productivo atraerá más agentes que otra con pocas empresas dedicadas a este sector. Estos agentes prefieren acudir a regiones que les ofrezcan el mayor número de posibilidades de trabajo. Estas posibilidades de trabajo se modelan como oportunidades externas al trabajo actual.
El tercer capítulo vuelve a centrar la atención a las relaciones dentro de la empresa, en este caso, utiizando la teoría de contratos completos. Un principal se enfrenta a dos agentes que son aversos a riesgo y que sin loss incetivos adecuados tienen tendencia a ejercer bajos niveles de esfuerzo (riesgo moral) y a confundier al gerente sobre información privada que ellos poseen (selección adversa). En este caso, la información privada está relacionada con las posibilidades de éxito de determinadas formas organizativas en el trabajo. El riesgo que el gerente da a loa agentes para que tengan incentivos en ejerce niveles de esfuero altos es también útiles para que éstos se auto-seleccionen.

Resumen
Government increasingly contracts out public functions to the private sector. While theory about contract performance management is abundant, there is little empirical evidence on contract performance. Additionally, the public management contract literature emphasizes management strategies to produce desired performance but largely disregards how the structure of ex post contract settings influences individual contract performance. In this dissertation, I develop theory and measures to assess how structural variables influence contract performance on quality dimensions. I focus on networked structures of exchange between contracted programs and government funders and the way exchange is situated in a larger environment. The empirical basis for my dissertation is a set of government funded residential services programs for delinquent youth. The outcome variable is a measure of program quality created by the government funder. Predictor variables include competition at the program and parent organization level and the overall presence of public and nonprofit programs in the contract network. I also examine the effects of organizational form on performance. Most programs are contracted to nonprofit and for-profit organizations with a small number of programs directly provided by government. The mixed market provides an opportunity to test existing theory about organizational form and performance. I use hierarchical linear models (HLM) and qualitative comparative analysis (QCA) to examine how structural variables influence performance. In the HLM analysis, I find some support for my hypotheses about structural predictors of performance. In the QCA analysis, I find that effects of organizational form are conditional upon structural variables. It appears that nonprofit and public programs perform well under a variety of conditions while for-profit programs are more likely to perform acceptably when they are constrained by structural factors like competition. This dissertation makes theoretical, empirical and practical contributions to the field of public management. Following recent, scholarly tradition, I examine the changing role of government and its increasing use of the nonprofit and for-profit organizations to deliver government services. I incorporate structural theory into the contract management literature and demonstrate the structure of contract settings influences performance. I also develop formal measures of competition in contract settings. I also find that HLM and QCA can be complementary analytical tools and provide a richer picture of causal processes when used on the same dataset.

The purpose of this research is to analyze Armed Services Board of Contract Appeals decisions, over the past two years, relating to disputes in United States Government construction contracts in order to identify potential weaknesses in both government and contractor organizations. The project will identify categories of contract disputes as well as patterns of contract administration weaknesses for both the government and the contractor. The purpose is to highlight deficiencies, in both government and contractor actions, and use it to enlighten contracting officers to help preclude future litigation in this area.

The primary purpose of this thesis is to review the management of the contract closeout process (primarily within the Defense Contract Management Command and selective Department of the Navy contracting activities) and determine if it is performed in an effective and efficient manner. The frequency of occurrence and level of difficulty of the fifteen contract closeout steps listed in the Federal Acquisition Regulation (FAR) were assessed and analyzed. Secondary objectives include identifying the areas that impede the process and/ or are neglected throughout the process and the ramifications thereof. Finally, recommendations are presented for a "streamlined" approach to the contract closeout process that can be applied throughout the entire contract administration cycle.

The purpose of this MBA project is to identify financial, manpower, and time variables in the contract berthing budget line and to determine the effects of the variables on cost and efficiency statistics of the budget line given a continuance of current policy. A contract berthing budget line refers to the funding provided under a contract berthing policy to reservists to cover certain lodging and meal expenses. More particularly, selected Reservists (SELRES) are required to conduct drills for pay at their assigned Resdiness Command (REDCOM), including the Naval Air Reserve (NAR) and/or Naval Air Facility (NSF). REDCOMs are typically assigned according to the facility closest to the home of residence of the SELRES. Under current Command Naval Reserves Forces Commond (CNRFC) contract berthing policy, SELRES living more than 50 miles from their assigned NAR are authorized lodging and meals expenses in addition to their drill pay. In this project, REDCOM statistics are analyzed to estimate the increase or decrease in funding required for contract berthing budget line. The current berthing process and the potential futre effects on the 50-mile radius rule of the contract berthing policy are also examined. The data included in the MBA project were generated in pre-BRAC 2005 decisions; therefore, analyses in this project are based on that data. Finally, based on the foregoing analyses, an assessment in made as to whether changes to the current contract berthing policy are warranted.

This thesis explores the Europeanisation of contract law through a critical analysis of the European Community's internal market programme of contract law harmonisation. This is a broad theme which raises topical and complex issues. The thesis first examines the pre-existing contractual backdrop in Europe through an Anglo/French comparative study on the rules for non-performance of contractual obligations. The analysis reveals how seemingly technical rules of contract law are underpinned by deeply embedded socio-economic, philosophical and historical values, unique to each jurisdiction. Recognition of the richness of contractual heritage and the gulf that separates each jurisdiction is a first indicator of the considerable obstacles for harmonisation. Nevertheless, the Community’s programme of contract law proceeds with optimism, pinning much on the ability to achieve harmonisation through sector-specific regulation and the drafting of common rules. The pitfalls of this approach are illustrated primarily through a study of the implementation of the EC Sales Directive into the contractual fabrics of English and French law. Fragmentation is found to ensue. Yet, the subsequent evolution of the EC programme, from sector-specific regulation towards more systematic and broader regulation – possibly even a codal instrument – is also revealed to be limited in its harmonising ability. Here, the thesis emphasises how the European contract law programme must embrace the post-national, multi-level architecture in which it operates. The co-existence of multiple sites of private law, and the interlocking and complex nature of interaction between each layer of governance, suggest that pluralism and diversity are here to stay. This indicates a more radical understanding of Europeanisation and has ramifications for the EC contract law programme. Internal market harmonising goals must be recalibrated and balanced alongside the preservation of diversity, in a coordinated framework of mutual learning. This is the charm and challenge of the Europeanisation of contract law.

Uma extensa literatura explora o papel de indivisibilidades como determinantes de escolha ocupacional e empreendedorismo. Na verdade, tais imperfeições de mercado são em última instância função dos limites à executabilidade de contratos na economia. Nesse artigo, incorporamos explicitamente a operação das cortes e o ambiente contratual em um modelo de escolha ocupacional e empreendedorismo. Nosso modelo mostra que diferentes ambientes contratuais estão associados a diferentes ineficiências nas decisões ocupacional e de investimento. Algumas dessas ineficiência são idênticas àquelas destacadas pela literatura, enquanto outras são de natureza diferente. As previsões da teoria sobre o efeito de executabilidade de contratos sobre empreendedorismo e investimento são então levadas aos dados utilizando-se da mudança institucional representada pela criação dos Juizados Especiais Cíveis nos municípios brasileiros a partir de meados da década de 1990.
An extensive literature has explored the role of indivisibilities as determinants of occupational choice and entrepreneurship. In reality, such market imperfections are ultimately function of the limits to contract enforcement in the economy. In this paper, we explicitly incorporate the operation of courts and the contract environment in a model of occupational choice and entrepreneurship. Our model shows that different contractual settings are related to different inefficiencies in occupational and investment choices. Some of these inefficiencies are identical to those highlighted in the literature, while others are different in nature. Theory’s predictions concerning the effects of contract enforcement on entrepreneurship and investment are then taken to the data by exploring the institutional change represented by the creation of Special Civil Tribunals in Brazilian municipalities from mid-1990’s on.
