Texto completoIn practice several obstacles may prevent the natural progress of the contract. When those obstacles are not permanent in nature, modern law offers the contracting party a temporary solution : suspension of the contract. However, up until now, that legal solution has not been subject to a unitary legal system. Suspension is concealed by a range of traditional and modern legal techniques. Sino-French comparative law in relation to suspension makes it possible to clearly identify all these techniques, to envisage a new understanding and to offer a systematization of the complex phenomenon of suspension. Our study has revealed several important findings. For a contracting party, suspension is not merely a way to enable the sanctioning of temporary breach by the other contracting party; it can also be used to prove his legitimate breach. In addition, suspension can be used, not only in the event of breach of contract, but also in the event of the risk of breach. Lastly, the object affected by the suspension may not only be the contractual arrangement, but also the work leading up to it

Texto completoMutuus dissensus is a latin expression in the French positive law. It has been used by civil doctrine since the end of the nineteenth century to designate a basic notion of Contract Law. The juridic notion of mutuus dissensus may be defined as an agreement between all the parties to rescind their precedent contract. The notion of mutuus dissensus has an unity. It stands on two essentials constituent elements. The first one is a classical procedure: an agreement. Mutuus dissensus agreement is a real subsequent agreement to end a contract, rather than a new identical contract but opposite to the rescinded contract. The second one is an effect of specific right: the rescission. Rescission by mutuus dissensus is the termination of a contract for the future rather than a supposed discharge of a contract with a retroactive effect. The notion of mutuus dissensus has a very wide field in positive law. Rescission by mutuus dissensus is a general principle of law of contracts based on section 1134, subsection 2, of the French civil code, which is to apply to every contract and in every subject. The notion of mutuus dissensus determines a specific juridical system. Parties are free to decide the effects of the rescission by mutuus dissensus. The principle of freedom of parties is limited by law and order. The protection of third parties is ensured by a general protection and special protections which limit the effects of the rescission of contract by mutuus dissensus

Texto completoAquest estudi centra la seva atenció en la utilitat i regulació de la figura de l’avantatge injust que esdevé un instrument eficaç per a combatre contractes manifestament desequilibrats en perjudici d’una de les parts contractants. El legislador català, amb l’aprovació del Llibre Sisè del Codi civil de Catalunya, ha fet un pas endavant en la previsió de normes de caire social que propugnen un Dret contractual més just, mitjançant la introducció de l’avantatge injust, figura pionera en l’entorn de l’Estat espanyol. La finalitat d’aquest instrument és protegir la integritat del consentiment que es va prestar apressadament i amb una voluntat no del tot lliure, i solucionar, així mateix, una manca d’equivalència objectiva entre les prestacions intercanviades per les parts. Per això s’ha incorporat una institució autònoma de protecció de la part dèbil emplaçada entre la justícia substantiva i la justícia procedimental. Alhora, el legislador ha mantingut i generalitzat la històrica norma de la rescissió per lesió que permet recuperar l’equilibri econòmic a què tendeixen els contractes estructuralment onerosos. Aquest treball d’investigació centra el seu àmbit d’estudi en la institució de l’avantatge injust a través d’un anàlisi crític que en destaca els beneficis que pot significar la seva incorporació en l’ordenament jurídic i, al mateix temps, planteja propostes de modificació sobre la regulació introduïda a partir de l’estudi de les propostes harmonitzadores del Dret contractual europeu i dels codis civils del nostre entorn.
The subject of the present study is the utility and regulation of the so-called ‘unfair advantage’ rule, which has become an effective instrument against contracts that are excessively unbalanced to the detriment of the weaker party. The Catalan legislator, after the adoption of Book VI of the Catalan Civil Code, has taken a step forward through the introduction of an ‘unfair advantage’ rule with the aim to achieve social justice in contract law; as such, the Catalan legislator is a pioneer in the Spanish legal environment. The objective of this rule is to protect the integrity of consent; to provide for an action to challenge the unjust consequences arising from consent that was given hastily and not in complete freedom; and to solve, at the same time, a lack of objective equality between the performance of the parties. To that end, an autonomous legal basis has been introduced for the protection of the weaker party, situated between procedural and substantive justice. Furthermore, the Catalan legislator has endorsed and expanded the historical concept of laesio enormis, that is intended to restore the economic balance and allows for rescission of contracts leaning toward being unreasonably onerous. The main focus of the research is on the institution of ‘unfair advantage’ by means of a critical analysis that highlights the potential of the introduction of this rule in private law. In addition, it proposes amendments to the Catalan regulation, drawing from the study of the proposals for the harmonization of European contract law and the legal systems around us.

The employer misconduct is a way of rescission of employment contract by the employee (indirect rescission) and consists of the serious default made by the employer (Art. 483, Labor Code, paraphs "a" and "g") becoming very difficult to continue the employment contract. The responsibilities assigned to the employer are originated from contractual obligations of the employment relationship, however, we stick it out that the employer is also liable to civil liability in the reasonable circumstances. The employer may incur misconduct occasioning the indirect rescission of employment contract and can afford to take the damages caused by such titles as well as cumulatively may be held liable for moral and material damages caused to the employee, should fix them
O empregador detém o poder diretivo na relação de emprego que versa sobre a forma de como as atividades laborais devem ser cumpridas, podendo fiscalizar o modo de cumprimento pelo empregado, bem como aplicar-lhe sanções disciplinares quando necessário. Contudo, o empregador, no poder de comando, não deve ultrapassar os limites legislativos que lhe são impostos, podendo incorrer em falta grave patronal. A falta grave patronal é uma das formas de dissolução do contrato de trabalho por iniciativa do empregado (rescisão indireta) e consiste no cometimento de ato gravíssimo pelo empregador (art. 483, CLT, alíneas a a g ) impossibilitando o prosseguimento do contrato de trabalho. This work has as main objective to demonstrate the applicability, of the dismissal for fair cause, in the several labor agreement forms governed by the Consolidation of the Laws of the Work. The larger premise of this study will be the approach of the hypotheses in the article 482 Consolidation of the Laws of the Work, in other words, the decisive causes that take the employer and the employee to undo the bond through the guilty nonperformance of one of the contracting parties. Before the main theme, as support, we introduced a small contract notion and the several modalities, as well as the interruptions that permeate the applicability of the fair cause, using as support diversified bibliography, in prominence in the end of this work. In opportune point we detached the singularities presented in some of the beginnings of the penal process and of the constitutional right, when related to the labor process, among these beginnings the one of the due penal process, of the contradictory, of the unavailability of the process, of the real truth, among others that frame these singularities among the two processes. In consequence we detached the binomial: need versus impossibility of maintenance of the labor agreement, in that the law allows and it aids certain action legally, be for the employee´s pulse or of the employer, but he/she leaves them improper of rights after the rescission of the labor agreement. The beginning of the protectionism, the similarities presented in the processes, penal and labor, the taxatixe (exhausting) it is in the first when of the of the crime, and in the second, when the applied interruptions to the fair cause, as well as the exclusion of the use of the analogical interpretation. Finally the (in) applicability of the dismissal for fair cause, that it turns his/her use for the employer, idle, insecure and no alternative for the rescission of the labor agreement, trying like this to undo certain legal obscurities.

Texto completoA programação por contrato é uma metodologia de programação que implementa mecanismos de correcção de forma bem adaptada à programação orientada por objectos, facilitando a construção de software correto e robusto, permitindo também a sua documentação e especificação e a construção de programas tolerantes a falhas. No entanto, ao contrário da programação orientada por objectos, a programação por contrato tem uma difusão bastante reduzida. Uma das razões para tal facto é a quase completa ausência de suporte para a metodologia na grande maioria das linguagens de programação usadas actualmente, nas quais se inclui a linguagem Java. Apesar de existirem algumas ferramentas para tentar suprir essa omissão da linguagem Java, são aproximações incompletas que não permitem usufruir de todas as vantagens e capacidades da programação por contrato. Neste trabalho pretende-se definir quais as características necessárias numa linguagem de modo a permitir a implementação completa da metodologia, avaliando as falhas que as ferramentas existentes possuem e, de seguida, definir e construir uma nova linguagem, “Contract-Java”, definida como uma extensão da linguagem Java, que permita usar a programação por contrato na sua totalidade.
Design by Contract is a programming methodology which implements correction mechanisms well adapted to object-oriented programming, easing the construction of correct and robust software, as well as allowing its documentation and specification and the construction of fault-tolerance programs. However, unlike object-oriented programming, Design by Contract has a very low distribution. One of the reasons for such is the lack of support for it on most programming languages currently in use, in which Java is included. Although a few tools attempt to workaround such lack of support, they all present incomplete approaches which do not support all the advantages and capabilities of Design by Contract. In this work, we intend to define which characteristics are necessary in order to fully implement the methodology, evaluating the faults of existing tools and, afterwards, defining and constructing a new language, “Contract-Java”, defined as an extension of the Java language, which allows to use Design by Contract in its entirety.

Design by Contract (DbC) ´e uma t´ecnica popular para desenvolvimento de programas usando especifica¸c˜oes comportamentais. Neste contexto, pesquisadores descobriram que a implementao de DbC ´e crosscutting e, portanto, sua implementa¸c˜ao ´e melhor modularizada por meio da Programa¸c˜ao Orientada a Aspectos (POA) por´em, os mecanismos de POA para dar suporte a modularide de contratos, de fato comprometem sua modularidade e entendidmento. Por exemplo, na linguagem POA AspectJ, o racioc´ınio da corretude de uma chamada de m´etodo requer uma an´alise global do programa para determinar quais advice aplicam e sobretudo o que esses advice fazem em rela¸c˜ao a implementa ¸c˜ao e checagem DbC. Al´em disso, quando os contratos so separados das classes o programador corre o risco de quebrar-los inadvertidamente. Diferentemente de uma linguagem POA como AspectJ, uma linguagem DbC preserva as principais caractersticas DbC como raciocnio modular e documenta¸c˜ao. No entanto, pr´e- e p´os-condi¸c˜oes recorrentes continuam espalhadas por todo o sistema. Infelizmente esse n˜ao o ´unico problema relacionado com modularidade que temos em linguagens DbC existentes, o seu com respectivos verificadores dinˆamicos so inconsistentes com as regras de information hiding devido a naturaze overly-dynamic na qual os contratos s˜ao checados no lado servidor. Este problema implica que durante a reportagem de erros, detalhes de implementa¸c˜ao so expostos para clientes no privilegiados. Portanto, se os programadores cuidadosamente escolherem as partes que devem ser escondidas dos clientes, durante a checagem dinˆamica de contratos, as mudanas nessas partes n˜ao deveriam afetar nem os clientes dos m´odulos nem a reportagem de erros de contratos. Neste trabalho n´os resolvemos esses problemas com AspectJML, uma nova liguagem de especifica¸c˜ao que suporta contratos crosscutting para c´odigo Java. Al´em disso, n´os demonstramos como AspectJML usa as principais caractersticas de uma linguagem DbC como racioc´ınio modular e documenta¸c˜ao dos contratos. Mais ainda, n´os mostramos como AspectJML combinado com nossa t´ecnica chamada de client-aware checking permite uma checagem dinˆamica de contratos que respeitem os princ´ıpios de information hiding em especifica¸c˜oes. Neste trabalho usamos JML para fins concretos, mas nossa solu¸c˜ao pode ser utilizadas para outras linguagems Java-likee suas respectivas linguagens DbC. Para concluir, n´os conduzimos uma avalia¸c˜ao da nossa modulariza¸c˜ao dos contratos crosscutting usando AspectJML, onde observamos que seu uso reduz o esforo de escrever pr´e- e p´os-condies, por´em com um pequeno overhead em tempo de compila¸c˜ao e instrumentação de código para checagem de contratos.
Design by Contract (DbC) is a popular technique for developing programs using behavioral specifications. In this context, researchers have found that the realization of DbC is crosscutting and fares better when modularized by Aspect-Oriented Programming. However, previous efforts aimed at supporting crosscutting contracts modularly actually compromised the main DbC principles. For example, in AspectJ-style, reasoning about the correctness of a method call may require a whole-program analysis to determine which advice applies and what that advice does relative to DbC implementation and checking. Also, when contracts are separated from classes a programmer may not know about them and may break them inadvertently. Unlike an AspectJ-like language, a DbC language keeps the main DbC principles such as modular reasoning and documentation. However, a recurrent pre- or postcondition specification remains scattered across several methods in many types. Unfortunately, this is not the only modularity problem we have with existing DbC languages. Such languages along with their respective runtime assertion checkers are inconsistent with information hiding rules because they check specifications in an overly-dynamic manner on the supplier side. This implies that during error reporting, hidden implementation details are exposed to non-privileged clients. Such details should not be used in a client’s correctness proof, since otherwise the proof would be invalidated when they change. Therefore, if programmers have carefully chosen to hide those parts “most likely” to change, most changes, in the hidden implementation details, do not affect either module clients nor DbC error reporting. In this work we solve these problems with AspectJML, a new specification language that supports crosscutting contracts for Java code. We also show how AspectJML supports the main DbC principles of modular reasoning and contracts as documentation. Additionally, we explain how AspectJML combined with our client-aware checking technique allows runtime checking to use the privacy information in specifications, which promotes information hiding. We use JML for concreteness, but the solution we propose can also be used for other Java-like languages and their respective DbC languages. To conclude, we conduct an evaluation to assess the crosscutting contract modularization using AspectJML, where we observe that its use reduces the overall design by contract code, including pre- and postconditions, but introduces a small overhead during compile time and can increase the resulting bytecode due to code instrumentation to check ordinary and crosscutting contracts

Texto completoLegal Business Contracts govern the business relationshipbetween trading business partners. Business contracts are likeblueprints of expected business behaviour from all thecontracting parties involved. Business contracts bind theparties to obligations that must be fulfilled by expectedperformance events. Contractual violations can lead to bothlegal and business consequences. Thus it is in the bestinterests of all parties concerned to organise their businessprocess flows to be compliant to the stipulated businesscontracts terms and conditions.
However, Contract Management and Business Process Managementin the current information systems domain are not closelyintegrated. Also it is not easy for business domain experts orinformation systems experts to understand and interpret thelegal terms and conditions into their respective domain needsand requirements. This thesis addresses the above two issues inan attempt to build a semantic bridge across the differentdomains of a legal business contract. This thesis focuses onthe contract execution phase of typical business contracts andas such views contract obligations as processes that need to beexecuted and monitored. Business workflows need to be as closeas possible to the stated contract obligation executionworkflow.
In the first phase, a framework for modelling andrepresenting contractual knowledge in the form of Multi TierContract Ontology (MTCO) is proposed. The MTCO uses conceptualmodels as knowledge representation methodology. It proposes astructured and layered collection of individual ontologiesmoving from the top generic level progressively down tospecific template ontologies. The MTCO is visualised as areusable, flexible, extendable and shared knowledge base.
In the second phase, a methodology for deducing the ContractWorkflow Model (CWM) is proposed. The CWM is deduced from theMTCO and a contract instance document in a stepwise userguideline. The CWM outlines the preferred choreography ofbusiness performance that successfully fulfils the execution ofcontract obligations. The deduced CWM is visualised as an aidto monitor the contract, as a starting point for businessprocess integration and business process workflow design.

The goal of this thesis is the study on the integration of mechanisms from concurrent programming, objected-oriented languages, and Designby- Contract. We propose a new language, Concurrent Contract-Java (CCJava), that's an extension of Contract-Java, a language that has extended Java with Design-by-Contract language mechanisms. CCJava aims to ease object-oriented concurrent programming, ensuring safety (no race conditions will occur) and abstracting away lower level concurrent realizations such as the choice for shared object synchronization schemes. It reuses the semantics of Java mechanisms, together with the semantics of objects and Design-by-Contract constructs, providing simple and expressive language mechanisms for concurrency. CCJava guarantees all aspects of a shared object's concurrent utilization and thread creation, using only two new language keywords: shared, and remote. A compiler was developed implementing the more important language mechanisms, and used as a proof of concept of our proposals

Texto completoO estabelecimento de um processo de negócios se faz por meio de relacionamentos entre parceiros que têm um objetivo comum. Esses relacionamentos são definidos em contratos, que podem ser explícitos ou implícitos, podem ser verbais ou escritos, e assim por diante. Quando uma pessoa busca um parceiro de negócios, ela procura um parceiro que possa completar um relacionamento definido em um contrato. Para dar suporte a esses processos na Internet (e na Web) é necessário caracterizar todos os seus aspectos, tais como: agentes, contratos, papéis, relacionamentos, interações entre os parceiros, políticas etc. Este trabalho apresenta o Contract Oriented Web Services Model (COWS) - um modelo para um ambiente apropriado para diálogos de E- Business, implementados por meio de Web Services. COWS é baseado em contratos bemdefinidos, acordados entre todas as partes envolvidas e que incorpora vários níveis de políticas. Essas políticas podem estar relacionadas a formas de pagamento, qualidade de serviço (QoS), políticas de privacidade, direitos, retorno de produtos, confiança entre parceiros, entre outros. Os contratos podem se referenciar a outros contratos e têm escopo em foros específicos, que contêm políticas globais. Um protótipo, para um ambiente Web com suporte ao COWS, foi implementado para testar os conceitos que estendem o processo de casamento de parceiros, em um processo de negócios. Todos os modelos do COWS foram especificados como ontologias, utilizando-se a linguagem Flora-2.
Business processes are established via relationships between partners with a common goal. These relationships are specified in contracts, which could be explicit or implicit, oral or written, and so on. When a person searches for a business partner, she is looking for a partner that can fulfill a relationship specified in a contract. To support such processes in the Internet (and in the Web) it is necessary to characterize all of its aspects, such as agents, contracts, roles, relationships, interactions between partners, policies, etc. This dissertation presents the Contract Oriented Web Services Model (COWS) - a model for an appropriate environment for E-Business dialogues, implemented using Web Services. COWS is based on well-defined contracts agreed upon by all concerned parties and incorporates various levels of applicable policies. These policies can be related to payment methods, quality of service (QoS), privacy policies, rights, products return, trust, etc. Contracts may refer to other contracts and are valid within forae, which have default global policies. A prototype web environment supporting COWS has been implemented to test the concepts that extend the discovery process. All COWS models have been specified as ontologies, using Flora-2.

Texto completoEl segundo capítulo también se centra en el estudio de oportunidades externas, en este caso para explicar la formación de mepresas en una economía. Una región con muchas empresas dedicadas a un sector productivo atraerá más agentes que otra con pocas empresas dedicadas a este sector. Estos agentes prefieren acudir a regiones que les ofrezcan el mayor número de posibilidades de trabajo. Estas posibilidades de trabajo se modelan como oportunidades externas al trabajo actual.
El tercer capítulo vuelve a centrar la atención a las relaciones dentro de la empresa, en este caso, utiizando la teoría de contratos completos. Un principal se enfrenta a dos agentes que son aversos a riesgo y que sin loss incetivos adecuados tienen tendencia a ejercer bajos niveles de esfuerzo (riesgo moral) y a confundier al gerente sobre información privada que ellos poseen (selección adversa). En este caso, la información privada está relacionada con las posibilidades de éxito de determinadas formas organizativas en el trabajo. El riesgo que el gerente da a loa agentes para que tengan incentivos en ejerce niveles de esfuero altos es también útiles para que éstos se auto-seleccionen.

The project will identify categories of contract disputes as well as patterns of contract administration weaknesses for both the government and the contractor. The purpose is to highlight deficiencies, in both government and contractor actions, and use it to enlighten contracting officers to help preclude future litigation in this area.

Texto completoThe primary purpose of this thesis is to review the management of the contract closeout process (primarily within the Defense Contract Management Command and selective Department of the Navy contracting activities) and determine if it is performed in an effective and efficient manner. The frequency of occurrence and level of difficulty of the fifteen contract closeout steps listed in the Federal Acquisition Regulation (FAR) were assessed and analyzed. Secondary objectives include identifying the areas that impede the process and/ or are neglected throughout the process and the ramifications thereof. Finally, recommendations are presented for a "streamlined" approach to the contract closeout process that can be applied throughout the entire contract administration cycle.

Texto completoThe purpose of this MBA project is to identify financial, manpower, and time variables in the contract berthing budget line and to determine the effects of the variables on cost and efficiency statistics of the budget line given a continuance of current policy. A contract berthing budget line refers to the funding provided under a contract berthing policy to reservists to cover certain lodging and meal expenses. More particularly, selected Reservists (SELRES) are required to conduct drills for pay at their assigned Resdiness Command (REDCOM), including the Naval Air Reserve (NAR) and/or Naval Air Facility (NSF). REDCOMs are typically assigned according to the facility closest to the home of residence of the SELRES. Under current Command Naval Reserves Forces Commond (CNRFC) contract berthing policy, SELRES living more than 50 miles from their assigned NAR are authorized lodging and meals expenses in addition to their drill pay. In this project, REDCOM statistics are analyzed to estimate the increase or decrease in funding required for contract berthing budget line. The current berthing process and the potential futre effects on the 50-mile radius rule of the contract berthing policy are also examined. The data included in the MBA project were generated in pre-BRAC 2005 decisions; therefore, analyses in this project are based on that data. Finally, based on the foregoing analyses, an assessment in made as to whether changes to the current contract berthing policy are warranted.

Texto completoAn extensive literature has explored the role of indivisibilities as determinants of occupational choice and entrepreneurship. In reality, such market imperfections are ultimately function of the limits to contract enforcement in the economy. In this paper, we explicitly incorporate the operation of courts and the contract environment in a model of occupational choice and entrepreneurship. Our model shows that different contractual settings are related to different inefficiencies in occupational and investment choices. Some of these inefficiencies are identical to those highlighted in the literature, while others are different in nature. Theory’s predictions concerning the effects of contract enforcement on entrepreneurship and investment are then taken to the data by exploring the institutional change represented by the creation of Special Civil Tribunals in Brazilian municipalities from mid-1990’s on.
