资金是企业重要的资源，健全的资金归集体系是集团公司进行高效资金管理的基础。在资金集中管理过程中，受时差、当地政策等因素制约，外汇资金不能自由流动。随着中国企业的外向型经济规模持续扩张，境外外汇资金对集团公司资金管理工作产生的影响越来越大。国家政策引导企业进行外汇资金集中管理前期，集团公司在符合条件的银行开立中国国内外汇资金主账户和国外外汇资金主账户，通过网银在额度内进行境内外资金划转。近年来，业务开展使企业产生更加高效的资金周转需求，SWIFT 凭借其标准统一的全球金融电文网络，成为中国企业建立健全外汇资金归集体系的选择之一。

Abstract:

为了探究融资融券对真实盈余管理治理效应的外部机制，将市场监管引入模型，探究市场监管、市场化进程和产权性质在融资融券对真实盈余管理的政策效果中所发挥的作用。首先探究融资融券制度的实施是否对真实盈余管理存在治理效应。为了探究融资融券政策实施效果以及市场和公司特质在其中所发挥的作用，将市场作用细化为市场化进程与市场监管力度两方面，并引入产权性质，以A股上市公司2008-2018年的面板数据为样本，通过多期DID模型、分层回归和分组回归进行实证研究。研究结果表明，成为融资融券标的公司后，真实盈余管理水平相对于其他公司显著降低；市场监管在融资融券对真实盈余管理管理的作用中起倒U型的调节作用；市场化程度高的地区，融资融券的抑制作用明显；在非国有企业中融资融券的抑制作用明显。上述结果表明，融资融券可以抑制真实盈余管理，但该作用的发挥有赖于外部的市场和企业的特质，市场监管发挥着倒U型的调节作用，市场化进程有助于融资融券发挥作用，该作用在非国有企业中更显著。研究结果丰富了融资融券政策效果的经验数据，部分完善了融资融券对真实盈余管理影响路径的研究，对中国融资融券的发展和完善提出了一些建议。研究结果表明，成为融资融券标的公司后，真实盈余管理水平相对于其他公司显著降低；市场监管在融资融券对真实盈余管理管理的作用中起倒U型的调节作用；市场化程度高的地区，融资融券的抑制作用明显；在非国有企业中融资融券的抑制作用明显。上述结果表明，融资融券可以抑制真实盈余管理，但该作用的发挥有赖于外部的市场和企业的特质，市场监管发挥着倒U型的调节作用，市场化进程有助于融资融券发挥作用，该作用在非国有企业中更显著。研究结果丰富了融资融券政策效果的经验数据，部分完善了融资融券对真实盈余管理影响路径的研究，对我国融资融券的发展和完善提出了一些建议。

為了落實國民參與審判的司法改革政策，司法院推動國民法官法的立法，經過漫長的立法程序，最終由立法院以三天二夜連續表決的方式，在2020年7月22日三讀通過，同年8月12日總統公布國民法官法，揭開人民參與司法審判新時代的序幕。其中國民法官法第5條第1項第2款所規定之就故意犯罪因而發生死亡結果的案件，預定2023年1月1日正式適用國民法官法進行審判，同條項第2款之所犯最輕本刑為10年以上有期徒刑之罪，則在2026年1月1日開始適用國民法官法進行審理。<br />

随着社会不断发展，人们对节能环保的可持续发展的关注越来越高。我国能源供应以煤炭为主，燃煤机组锅炉占比80%以上。传统燃煤锅炉不可避免地会产生大量有毒、有害气体，对周遭环境造成不良影响。在当前节能环保的政策压力下，各电力公司燃煤机组相继进行节能环保改造，其中，燃煤锅炉改为燃气锅炉是其中一项具体举措。论文分析了燃煤锅炉导致空气污染严重与技术落后的问题，探讨了燃煤锅炉与燃气锅炉的差别，并进一步分析了燃气锅炉的节能优势。

随着国家环保部门对大气污染指标的不断提高，对雾霾防治力度的不断加大，政府相继颁布“政策”要求采用清洁能源替代燃煤锅炉采暖。针对公司燃煤锅炉配套设施较多，系统复杂，锅炉本体维护保养成本较高，并且对水质要求较高，需用人员较多，人员素质要求高，用时用工多等缺点。提出采用太阳能及空气源热泵复合热能代替锅炉洗浴热水，首先分析了太阳能及空气源热泵的技术特点，设计了一套以太阳能为主，空气源热泵为辅助的洗浴热水系统，并针对不同的运行方式进行了测试研究。通过大量的测试数据研究分析，最后，基于太阳辐照强度、温度等气候条件的变化，对空气源热泵辅助太阳能洗浴热水系统提出了一种高效、节能的最优运行方式。

建構證券型代幣發行（STO）市場的法律及規範性框架，係創造投資人信心的關鍵。英國金融行為監理局（FCA）現行有關首次公開發行（IPO）市場之法規範，經評估可適用於STO市場，以消弭投資人與發行人間之不對稱，並促進其使用金融服務。英國的公司法，則作為辨認投資人經濟（現金流）及政治（治理）權存在風險與否之架構。英國法之比較法分析，可提供藉由發展智慧合約以實行STO並落實投資人權利之指引。再者，德國法之比較法分析結果顯示，風險不只僅存在於特定國家之資本市場或公司法規範，其他法律體系亦尚未充分辨認許多風險之態樣，也未將之納入現行立法項目之考量。最後，本文檢視投資人之資料權，並主張資料權應同時作為經濟及政治上之權利，故資料紅利應被分派予證券型代幣之持有者，且資料治理上應確保中心化管理不會有獨占資訊而影響代幣持有者決策之情形。<br />Embedding securities token offering (STO) within a law and a regulatory framework is critical for its market to develop with investor confidence. The UK’s Financial Conduct Authority (FCA) current laws and regulations, which were designed for the initial public offering (IPO) market, are assessed for suitability in an STO market that aims to bring investors closer to issuers and to increase access to finance. UK Company law is then used as a framework to identify risks to investors’ economic (cash flow) and political (governance) rights. The analysis provides guidance for developing smart contracts to implement STO and fulfilling investors’ rights. Furthermore, a comparative analysis with German law shows that although the risks do not only exist in country-specific capital market or company law regulations, other legal systems have neither sufficiently identified many of the risks nor taken them into account in current legislative projects. Finally, the author examines investor’s data rights and argues that they should be recognised as both an economic and a political right. Data dividends should be distributed to security token holders and data governance should ensure that centralised management does not monopolise information to influence token holders’ decision making.<br />

Abstract:

Abstract The agricultural sector and the rural sector in China have experienced fundamental changes from the 1980s onward, and farmer cooperatives have emerged in response to these changes. Beginning in 1990, a series of different policies have been implemented by the Chinese government to promote farmer cooperatives (FCs). This article aims to explore the functioning of FCs on the basis of the type and scope of the services they provide and their connections with the rural communities. The findings show that activities carried out by FCs help to extend farmers’ engagement in value-chain participation and management. FCs, as organizational innovations, also provide opportunities to bring knowledge providers and farmers together. Some FCs are starting to coordinate activities for farmers, rural communities and local government to make better use of collective resources. Four types of FCs are identified in the research: commodity-based FCs, community-based FCs, specialized technology providers and credit service providers. The emergence of these four types of FCs is embedded in broader institutional developments. The government mainly promotes commodity-based FCs and specialized technology-providing FCs. Companies focus on commodity-based FCs, and research institutes and development organizations are involved in community-based FCs. These findings imply that an integrated and broader view of policies is needed to promote the development of FCs in the long run. (This article is in English.) 摘要 20世纪80年代以来中国的农村和农业经历了深刻的变革。从20世纪90年代开始，政府出台了一系列的政策推动农民合作社的发展，合作社数量逐步增加。本文意在展示合作社提供服务的类型和范围，以及他们与农村社区之间的联系，并以此为基础探讨合作社的功能发挥。本文研究显示合作社开展的活动有利于农户参与到农产品价值链不同环节以及价值链管理中。合作社作为一项组织创新，也为建立农户与技术提供者之间的联系搭建了桥梁。一些合作社协调农户、农村社区和政府部门之间的关系，实现了集体资源的充分利用。本研究将合作社分为四类：产品型合作社、社区型合作社、专业技术服务合作社和资金互助合作社。这四类合作社的产生根植于外部制度环境。政府主要倡导产品型合作社和专业技术服务合作社的发展。公司致力于产品型合作社的发展，而研究机构和发展组织更多参与到社区型合作社的发展中。这些研究发现意味着政府需要制定更具包容性的政策，加强政策间的一致性，以从长远角度促进合作社的发展。

随着汽车保有量增加，世界石油资源日益减少，汽车尾气的环境污染问题以及地球气候的变化。各国都在千方百计降低汽车的燃料消耗和致力于清洁能源的开发利用。随着我国汽车产业政策的引导，促进了新能源汽车产业的迅猛发展，燃料电池类型汽车在保证人们出行需要的同时还有利于社会实现绿色发展，而在燃料电池类型汽车使用以及普及的阶段，新能源车辆的能源供给已经成为一个迫在眉睫的问题。这对于我国要实现2030年前二氧化碳排放达峰值、2060年前碳中和的目标，需要推动经济、能源、环境实现均衡与路径优化，加速构建清洁高效的能源体系具有重要意义。高效、零污染，氢燃料电池作为未来新能源汽车最理想的能源，具有很大优势。基于此相关车企纷纷上马氢燃料电池汽车项目。本文就以江苏国新新能源乘用车有限公司燃料电池及系统实验室制氢加氢辅助设施投资建设项目为例，试述项目配套的加制氢一体化站的设计工作。

目前，中国的经济发展处于转型的阶段，中国的民营企业也跟随海外并购相关政策的出台来到了海外并购的舞台中。中国民营企业如今的选择较之前会更加的宽泛和多元化，这也促使中国民营企业在海外并购项目数量上独占鳌头。对民营企业海外并购案例的研究不仅有利于民营企业更好的借鉴海外并购相关经验，而且对海外并购行为的发展提供了一个良好契机，如能促进企业进行规模扩张、销售渠道渐趋多样化、有效提高技术水平等。与此同时，这些良好的契机对于民营企业的整体发展来说也起到了借鉴作用，能够增强其他民营企业的海外并购风险意识。

憲法未列舉之「健康權」，終於經由釋字第785號解釋，透過憲法第22條納入憲法第二章的「人權清單」。在此之前的漫長時間裡，國家並不能因憲法規定的疏漏，就怠於保障人民的健康，故除退而求其次的援引具基本國策性質的憲法第157條規定：「國家為增進民族健康，應普遍推行衛生保健事業及公醫制度。」以及憲法增修條文第10條有關促進或保障健康等規定，作為概括的憲法依據外，大多分別制定民事、刑事、行政等性質的法律保障之，惟其功效往往因立法形成自由或國家保護義務範圍的不定而生爭議，乃有健康權入憲的問題意識。本文除先就相關論理基礎與脈絡論述外，續對具有里程碑意義的釋字第785號解釋就健康權的詮釋，從國際人權規範觀點提出一些補充與展望意見，至盼日後違憲審查者能賡續強化並累積健康權的理論與實務，以面對健康權多元化的艱巨挑戰，並嘉惠人民。

苏州大学生创业企业如雨后春笋般涌现,但是,总体来看,当前苏州大学生创业企业发展现状不容乐观。苏州大学生创业企业以微型企业为主,企业人员规模都相对偏小。从苏州大学生创业企业融资实践来看,还有很多的问题。政府引导不够,缺乏平台；融资管理不到位具有盲目性；公司治理落后,自我融资能力不佳；商业机构风险意识强、贷款手续复杂；高校创新创业教育发展不够。本文提出了苏州大学生创业企业融资对策建议：一是政府引领,加速发展大学生创业投资体系；二是强化经营者素质,加强融资管理；三是规范公司治理提升自我融资能力；四是完善创业贷款政策,严格政策落实；五是加强创新创业教育指导工作,不断细化学科分类,尽量满足更多的企业与行业的创业实践。

Abstract:

PurposeThe paper investigates the market performance of strategic acquisitions for growth in the fifth and sixth merger waves and outlines the major determinants that affect the performance of acquiring companies in these most complex and most challenging corporate transactions.Design/methodology/approachTo perform the quantitative analysis a unique data sample was built out of acquisitions performed in the 5th and 6th merger waves with an only single purpose – strategic growth. Their performance was first analyzed using the method of market-based event study. In addition, the impact of several non-accounting determinants identified through a thorough literature review was tested using univariate/multivariate regression analysis.FindingsThe new findings of the study state that strategic acquisitions for growth created more value for acquiring companies if they were completed internationally and involved an acquisition of a middle-sized company. Moreover, the acquisition of targets in the less related industries (2-SIC) led to stronger performance of acquirers, especially in the international settings.Research limitations/implicationsThe study suggests additional directions for future research. The future analysis can investigate the post-merger acquisition performance of strategic acquirers and can focus on additional financial (accounting) determinants in the evaluation of performance. This perspective can not only address the limitations imposed by the assumption of efficient capital markets but also provide additional insights.Practical implicationsThe results of current study have important implications for executives performing M&A for growth. They show that the market reaction to M&A announcement can be at least partially anticipated and help managers to plan their strategic moves based on a defined set of variables.Social implicationsThe study contributes to the sustainable, value-creating growth dynamics and encourages Executives to “lead for value.”Originality/value(1) In contrast to the existing studies that do not differentiate between the transaction rationale in their analysis, this paper focuses explicitly only on those acquisitions that have strategic growth as their primary objective and responses therefore, to the problem stated by Halpern (1983). This approach helps to mitigate the distortion of results and make a reliable assessment of the strategic move. 当前,在“一带一路”及全球化战略的引导下,越来越多的中国企业走出了国门,走向了非洲、亚洲等海外市场。然而由于国家政治体制、经济发展水平、社会文化制度、法律制度、公司监管环境等方面存在差异,众多企业在开展跨境业务的同时,遇到了众多棘手的问题。本研究课题从中国跨国企业国际化扩张过程中面临的治理难题出发,立足不同国家间制度距离等客观情景,通过分析典型的跨境企业并购案例,揭示其内在的规律,提出相应的跨境人才培养策略。

Abstract Chinese agriculture has undergone a quiet transformation in the past fifteen years. The “old agriculture” of grain, cotton, and oil crops has seen a tremendous rise in uses of machinery (and also farm chemicals) to save labor. At the same time, the capital and labor dual-intensifying “new agriculture” of higher-value products—vegetables, fruit, meat, poultry, fish—has expanded greatly. These changes have been accompanied by substantial declines in the number of people working in agriculture. Together, the changes add up to a high degree of “capitalization” (i.e., increased capital inputs per unit labor) in Chinese agriculture. This article presents detailed quantitative evidence for these commonly neglected changes. Contrary to conventional assumptions, the capitalization has been powered principally by peasant household investments, more than state or capitalist firm investments. This fact points to the need to rely more on peasant initiative in the future, by providing greater state guidance and support for peasant family farm-based endeavors, rather than strongly favoring “dragon head” enterprises as in the past decade. (This article is in English.) 摘要过去15年间，中国农业经历了悄然但巨大的变化。“旧农业”（粮食、棉花、油料作物）大量使用机械及农药以节约劳动。与此同时，资本与劳动双密集的“新农业”（主要是高产值的蔬菜、水果、肉、禽、鱼）有着极大的发展。这些变化是伴随农业就业人员数的持续下降而来的。结果是中国农业显著的“资本化”（亦即，单位劳动力资本投入的增加）。对于这些普遍被忽视的事实，本文将给出详细的量化证据。与通常的假设不同，中国农业资本化主要是由农户投资推动的，其总量比国家和农业企业公司的投资还要大。这一事实的重要意义在于，未来中国农业的发展，需更注重和依赖农户的能动作用。国家需对农民家庭的经营行为给予更大的服务和扶持，不应像过去十年间那样，一味将政策支持倾斜于“龙头企业”。
