The Taiwan High-Speed Rail BOT project is the primary BOT case in Taiwan, and is the largest one in Taiwan with the amount of investment and construction scale. However, since its initial operation for the Taiwan High-Speed Rail Corporation (herein, as THSRC) in early 2007, the company has faced the fiscal issue with shortage of revenue from paying off the high cost of depreciation of fixed assets and interest, thereby, causing severe loss for the company. Simultaneously, for the remaining concession years, the company still needs to pay back the indebted principle of syndication loans to the banks, and rebate to the government. The aforementioned issues cover the underfunded issues with accounting accrual basis and cash basis. In such regard, this paper, hereby, shall start with the “Construction and Operation Agreement” and the aspect of legal requirements, in order to look into the potential solution for the supra financial crisis. Then, we can refer to the experience from “Eurotunnel” case, so as to seek other possible solution for THSRC’s financial issues. Finally, due to the government's indirect investment and interfered management of the company, such phenomenon led plan against the true BOT rule and principle. This paper attempts to explain and look into the role and responsibility of the government in a public-private partnership (PPP), based on the “theory of state ensuring.” This paper shall propose the sound finance and such improved measures of this BOT project, with the purpose of tacking back onto the true BOT operation mechanism. The issues this paper looks into, include: First, we get into the legal attribute of “Construction Operation Agreement” and relief program. Secondly, in accordance with contractual and legal provisions, we look into the resolution pattern for THSRC’s financial issues. Thirdly, we probe the reason for weather the asset depreciation and amortization is irrational, subject to the advocate legal principle for change of circumstances. Lastly, we look into the extension of the concession and other supporting measures for improving the financial condition of the THSRC.

BOT (Build-Operate-Transfer) has become a popular trend in constructing public works in Taiwan. However, there is no effective computer system in that clauses and their related laws of a BOT contract (concession contract) can be easily retrieved. This research incorporates expert system techniques, current laws and regulation, existing concession contracts, and typical contracts constituted by the Public Construction Commission, Executive Yuan, to develop an interactive computer system for querying clauses and their related laws in the concession contracts. Suggestions are also provided for certain clauses in the system. In addition, several concession contract examples for various public works can be retrieved for reference. The developed system is expected to serve as a useful tool for the personnel who are engaged in contract administration of BOT projects.

A Charter School’s Research of Law Institutions in None-Governmental Participant in Education School education is an organized social system for nations human resource cultivation, which has becomes the most fiercely criticism in present though. Besides, the ideal of transformation under the influences of latest New Liberalism, has been approached the debate of institutional reform in public school in consequences. So, our thesis applied some methodologies such as laws, economics, public administrations, pedagogies and some other knowledge domains, primary focusing on public and private sectors’ collaboration issues, enabling to create a win-win outcome as prospect, and discussing the latest cooperation model for non-governmental participant in education. In fact, public school transformation model in theory and practice for educational reform is already advanced. However, American Charter School System, appraised as a successful transformational type of public school, is supported by new law institutions of Federal and many other states in recent years. Through its decretal deregulation may permit competent authority’s establishers who privately participate in public school establishment with “brain-gaining” experts, competitive concept, independence, selection, accountability and other mechanisms by using Charter. Therefore, a new typical educational system conferred the environment school establishment in more plural and creative way is arised. Our thesis adduced from a successful establishment of American Charter School’s experience before acdemic fields and competent authorities of education implementing the law institutions. In addition, in order to consider the difference of educational environment or culture background, selecting the appropriate pedagogy for country is the first priority we expected. Finally, as a reference for related legislation and expectation to support school establishment, we are not only using a comparison method for extensional observation, but also trying to develop a pattern for nations’ pedagogy and Charter School institution.
