ABSTRACT The purpose of this study is to apply theory of merger and acquisition, and incorporate the industrial organization approach to analyze the economic effects since the action of merger operating in Taiwan securities firms. Basically, the empirical model is built and estimated by Translog cost function. The results indicate that this model can fit and shape the operational performance of securities firms in Taiwan. Furthermore, the empirical model is used to simulate the merger of large, medium and small securities firms which classified by different capital base. It compared the efficiency with the securities firms merged before and after. The effects of simulation also give the important implications about merger strategies. In the other words, this empirical information help a securities firm to achieve an effective merger and acquisition, and would improve its operational performance and take its business merger strategies.

The push of the telecommunication liberalization in Taiwan takes the experiences of advanced countries’ opening market for reference. It adopts the opening tactics progressively. According to the WTO bilateral commitments about telecommunications of agreement between Taiwan and the United States, since 1995, Mobile Communication, Satellite communication and regular communication …, etc. has been opened up successively. In 2000, Finnish government opens the prelude of 3G by issuing the first 3G license in the world. Afterwards, Britain, Germany, Japan, and Korea follow up in succession. At present, the Asian-Pacific area has already become the most important market in the global telecommunication industry. In this research, quality method is adopted to further investigate the Asian-Pacific telecommunication group as a case study. Through the in-depth interview of semi-structural formula, and the consultation of relevant domestic and international periodicals, books, newspapers and magazines, the researcher probes into the competing and cooperative relation between fixed network and the third generation of mobile telephone (3G). The conclusions are listed as the following. First, the greatest differences among 3G, 2G or 2.5G lie in the application of “transfer rate of data” and “data content”. The four major essentialities of success in 3G are the combinations of coverage, rates, 3G phone, and content of the data. Second, if the problem of " last mile " is left unsolved, the broadband telecommunication companies, such as TFN, the Asian-Pacific telecommunication group, and Spark, are unable to get the effective break-through in the operating income. Relative to the predominance of Chinese telecommunication, these telecommunication companies are in time of adversity, and will have to seek new operational mode to survive. Third, it is an unavoidable trend that the Fixed Network and the Mobile Communication compete with each other. Fourth, in the telecommunication industry, integration of the fixed network and the mobile communication will become a trend in the near future. Fifth, all the communication services that the Fixed Network, Mobile Communication, Internet Service Provider (ISP) offer, in the future, may all be combined into the IP backbones. Sixth, the development of the Asian-Pacific telecommunication group enlightens Taiwan area of its succeeds in combining the firm network to the internet network (ISP) and the mobile phone. The combination of these three types of telecommunication companies improves the operational performance. It is suggested by the research that, first, the government should work on a comprehensive program of WiMAX and digital convergence. Second, the academic organization can further evaluate and investigate the follow-up development of telecommunication’s policy and the influence of the policy on the telecommunication industry after the affiliation in WTO. At last, the telecommunication companies in Taiwan should make preparation promptly to the change of new science and technology, and the opening telecommunication market in Mainland China in the future.

Due to the emergence of global operation, the improvement of technology, and the change of industrial environment, business is no longer an independent administration system. In fact, business has been integrated into a supply chain to resiliently respond to marketing competition. The purpose of this thesis is to study supply chain management, in combination with other techniques including information system integration, total quality management and business process reengineering, to create a model analysis of business competitive advantage. The questionnaire of this study has been modified and approved after consulting experts and administrating several pretests. The subjects of this study were high technology and traditional business in Taiwan. Among the total 994 surveys, 168 copies were responded and 155 questionnaires were valid. The data were analyzed by their significance and validation in the information system integration capability, total quality management, business process reengineering, and supply chain management capability. The whole model was analyzed by LISREL and shown as follows: χ2- 181.406, p value- 0.129, GFI- 0.903, AGFI- 0.874, RMSR- 0.026, CFI- 0.988. These findings indicate the adequacy of this model system in its business application. The results indicate that the information system integration capability not only has a significantly positive impact on total quality management, business process reengineering, and supply chain management, but also assists the establishment of competitive advantage. High technology and traditional business have significant difference in the model system. In general, the performance of high technology is better than traditional business. The impact of information system integration capability on business process reengineering and supply chain management, as well as supply chain management capability on business competitive advantage, is significantly greater in high technology than those of traditional business. These data show that tradition business is inadequate in the information system integration capability, which, in turn, leads to business competitive disadvantage in information system and supply chain management. In conclusion, current businesses in Taiwan should accelerate their information system integration capability and integrate total quality management and business process reengineering in the administration. In the era of fast-expanding economics, business should build on the supply chain management to increase the value of the customer service, prudently correspond to the environmental change, reinforce competitive ability, and pursue the ultimately everlasting success.
