Abstract:
This article explores the legal institution of kafāla/kefalet (bondsmanship; surety) and its role in shaping local communal government in Syria in the Ottoman period. Drawing on the shar‘īya court registers of Tripoli (in addition to those of Sayda and Antioch as well as the Başbakanlık archives), it shows how iltizām tax-farming contracts in the 18th century increasingly required a pecuniary guarantee for their discharge to be posted by a third party, an act specific to Ḥanafī jurisprudence but not practised uniformly throughout the region. Whereas in some places the kafāla amounted to little more than a pledge of mutual accountability, or was imposed on a community against its will, it could also be used by foreign merchants or local notables to secure the rights to a given district’s commercial produce in advance. By “investing” in revenue collection concessions, the article concludes, both the southern Lebanese Shihābī emirs and the Maronite village population used the kafāla to acquire a direct financial and ultimately political stake in the rural hinterland of Tripoli, before dispensing once more with the idea of mutual or corporative responsibility once all of the province’s tax farms passed under complete Shihābī control in 1763. Cet article traite de l'institution juridique de kafāla / kefalet (cautionnement) et de son rôle dans la gouvernance communautaire locale en Syrie à l’époque ottomane. S'appuyant sur les registres de tribunal shar‘īya de Tripoli (en plus de ceux de Sayda et d'Antioche, ainsi que sur des documents d’archives Başbakanlık), il tâche à montrer comment les contrats de ferme fiscale iltizām du XVIIIe siècle exigèrent de plus en plus qu’une tierce personne se porte garant pour leur acquittement, un acte spécifique à l’école de jurisprudence ḥanafī mais pas appliqué de façon uniforme à travers la région. Alors que la kafāla ne constitua guère plus qu’une promesse de responsabilité collective dans certains cas, ou qu’elle fut imposée à une communauté particulière contre son gré dans d’autres, elle pouvait également servir à des marchands étrangers ou à des notables locaux pour s’assurer les droits sur la production agricole d’un certain district à l’avance. En « investissant » dans de contrats de perception d’impôt d’autrui, cet article propose en conclusion, les émirs Shihābī du Liban-Sud tout comme la population villageoise maronite ont pu utiliser la kafāla pour acquérir une participation financière directe ainsi qu’un droit de regard politique sur l’hinterland rural de Tripoli, avant d’abandonner de nouveau le principe de responsabilité mutuelle ou corporative une fois que toutes les fermes fiscales de la province furent passé sous le contrôle complet des Shihābī en 1763.

Abstract:
In this study the effects of harder ultrafine Al2O3 particles on the mechanical milling of ductile Cu flakes (200mesh, 70μm) have been investigated. The small hard Al2O3 particle in the mixture acted as an effective milling agent not only by inducing a drastic change of the Cu morphology from flattened flakes to equiaxed crystals but also by reducing the milling time required for a uniform dispersion of Al2O3 in the Cu matrix. This was more pronounced as the Al2O3 concentration increased. A critical concentration of the reinforcing Al2O3 required for a shape change was observed at the range of 8 to 9wt. %. All the hard Al2O3 particles were uniformly embedded in the ductile Cu matrix regardless of the concentration of Al2O3. By increasing the milling time, the weldment and fragmentation of the Cu flakes became significant and a uniformly distributed equiaxed composite structure (13wt.% Al2O3) was obtained at above 70 min..

La création des coopératives en Afrique remonte à la période coloniale. Elles sont aujourd’hui régies par l’Acte uniforme du 15 décembre 2010 relatif au droit des sociétés coopératives. S’affranchissant de la tutelle administrative vers 1990, elles sont devenues démocratiques et évoluent doucement vers les sociétés commerciales, mais différemment des entreprises individuelles et sociétés par actions. Comme l’Acte uniforme qui les régit permet à toute personne, quelle que soit sa nationalité, d’exercer en société coopérative une activité dans l’espace de l’OHADA et que l’article 296 de l’Acte définit le statut du représentant permanent de la personne morale coopératrice, des étrangers, dont les Occidentaux, peuvent y exercer cette activité. Fort de la susdite dynamique, les sociétés coopératives peuvent, au regard du droit canadien, offrir tous les types de produits ou de services et accomplir des actes de commerce. Au sein de ces différents droits, lesdites sociétés sont largement réfractaires à la nullité. Dès lors, il se pose un problème relatif à l’étendue de leur nullité et de celle de leurs actes. Cette analyse répond à la question en montrant que le domaine des nullités est aujourd’hui restreint, de façon assez ambiguë, par l’Acte uniforme et la pratique qui favorise la régularisation de certains actes nuls en matière de société coopérative.

Mechanically harvested pickling cucumbers are a once-over destructive harvest system. Gynoecious hybrids are planted at high populations to obtain high yields and to concentrate maturity. Population, row width, plant spacing, and uniform emergence all affect yield and maturity. 65,000 plants/acre in 26 inch rows were found to optimize yield and provide the highest percentage of fruit at the desired uniform size.

AbstractThe paper presents the test description and results of thermal bowing of RC beams exposed to non-uniform heating at high temperature. Bending of a non-uniformly heated element is caused by free thermal elongation of the material it is made of. The higher the temperature gradient, the greater the bending. In the case when an element is exposed to load and high temperature simultaneously, apart from free bending also deformation of the RC element may occur, which is caused by the decrease of the concrete or reinforcing steel mechanical properties. In order to examine the contribution of the deflection caused by thermal bowing to the total deformation of the bent element with a heated tension zone, an experimental study of freely heated (unloaded) beams was performed. RC beams were heated: (1) on three sides of the cross-section or (2) only on the bottom side. Deflection of elements loaded by a substitute temperature gradient was calculated using the Maxwell–Mohr formula. The test results show that deflection of freely heated RC beams (caused by the thermal bowing phenomenon) can be 10 to 20% of the total deflection of loaded RC beams with a heated tension zone.

Abstract:
Le 10 septembre 2015, l'OHADA s'est dotée d'un nouveau droit des entreprises en difficulté, à la faveur d'une réforme de l 'Acte uniforme portant organisation des procédures collectives d'apurement du passif (AUPC). En effet, huit ans après les premiers travaux d'amendement, l'AUPC révisé a enfin été adopté lors de la 40ème réunion du Conseil des Ministres de l'OHADA tenue à Grand Bassam (Côte d'Ivoire). Le 24 décembre de la même année, conformément aux textes communautaires, ledit Acte est entré en vigueur dans l'ensemble de l'espace OHADA. L'évènement n'est pas sans importance dans la mesure où l'ancien texte avait clairement montré son incapacité à sauvegarder les entreprises viables et à liquider rapidement celles qui ne l'étaient plus. L'un des points marquants de cette réforme est sans doute la place de choix accordée à la prévention des difficultés des entreprises par le législateur. En effet, puisque prévenir vaut mieux que guérir, ce dernier a pris le soin, non seulement d'améliorer le dispositif préexistant à savoir le règlement préventif, mais a également introduit un nouveau procédé préventif inspiré du droit français à savoir la conciliation. Il n'a pas manqué d'organiser le statut des mandataires judiciaires qui interviennent tant en matière préventive, qu'en matière curative. Au soir de cette réforme, deux questions peuvent principalement susciter l'intérêt. Premièrement, on peut se demander ce .qui a concrètement changé dans le dispositif de prévention des difficultés des entreprises en droit OHADA, et, deuxièmement, on peut d'ores et déjà s'interroger sur les moyens d'améliorer la réception de ce nouveau droit par ses destinataires à savoir les acteurs économiques, les praticiens et les magistrats. Les pistes de réponse apportées à ces questions faciliteront on l'espère la mise en œuvre de cette nouvelle politique préventive de l'OHADA
On September 10, 2015, OHADA adopted a new law for companies in difficulty through reform of Uniform Act organizing Bankruptcy Proceedings for the wiping off debts . Indeed, eight years after the first works of amendment, the revised law has finally been adopted at Grand Bassam (Ivory Coast), during the 40th meeting of OHADA's Council of Ministers. The event is not unimportant insofar as the old text clearly showed its inability to safeguard viable enterprises and to liquidate quickly those that were no longer viable. On 24 December of the same year, in accordance with the Community texts, the new law came into force in the entire OHADA's space. One of the striking points of this reform is doubtless the special place granted to the prevention of the difficulties of companies by the legislator. Indeed, since prevention is better than cure, the legislator improved the old procedure, but also introduce a new one named « conciliation ». He has not failed to organize the status of judicial officers who intervene in both preventive and curative matters. Following this reform, two questions can mainly arouse the interest. Firstly, one can wonder what really changed in the legal prevention of the difficulties of the companies in OHADA's space, and secondly, one can wonder right now about the means of improving the reception of this law by his recipients namely debtors, experts and magistrates. The answers to these questions will hopefully facilitate the implementation of this new OHADA preventive policy

Le Traité pour l'Harmonisation en Afrique du droit des affaires a été signé à Port Louis (ÎleMaurice), le 17 octobre 1993 et, entré en vigueur le 18 septembre 1998. Il a été modifié par le Traité deQuébec en date du 17 octobre 2008. Ce traité révisé est entré en vigueur le 21 mars 2010. Il a pour principalobjectif de remédier à l'insécurité juridique et judiciaire existant dans les États parties. Pour ce faire, il aadopté neuf Actes uniformes dont l'Acte uniforme relatif au droit commercial général, ci-après l'AUDCG quifait l'objet de notre étude.Le Traité OHADA a également institué une Cour commune de justice et d'arbitragechargée de l'interprétation et de l'application uniformes desdits actes. L'AUDCG a été adopté le 17 avril 1997et est entré en vigueur le 1er janvier 1998. Il a été modifié le 15 décembre 2010 et publié au Journal Officielde l'OHADA, le 15 février 2011. Il est entré en vigueur le 15 mai 2011.Il est applicable de la même façondans tous les États contractants. L'existence d'un tel corpus de règles permet de réduire l'importance du fordans la résolution des litiges internationaux et de limiter la nécessité de recourir aux règles de conflits quigénèrent une certaine insécurité juridique. C’est la raison pour laquelle le droit OHADA de manière généraleet l'AUDCG en particulier ne se préoccupe pas ou peu des conflits de lois. Pourtant,les conflits de loissubsistent dans l’espace OHADA. D’une part, l'AUDCG laisse subsister les dispositions du droit national dumoment qu'elles ne lui sont pas contraires.L'AUDCG peut également faire l'objet de divergencesd'interprétations par les juridictions nationales qui sont les juridictions de droit commun du droitharmonisé.Tout conflit d'interprétation est un conflit de lois. D'autre part, l'AUDCG s'insère dans un contextenormatif international caractérisé par une profusion de règles matérielles sous-régionales telles que l'UnionÉconomique et Monétaire de l'Afrique de l'Ouest (UEMOA),la Communauté Économique des États del'Afrique de l'Ouest (CEDEAO), la Communauté Économique et Monétaire de l'Afrique Centrale(CEMAC)et internationales de droit matériel tels que la CVIM, le Protocole du 11 avril 1980 et la Convention de New-York du 14 juin 1974 relatifs à la prescription en matière de vente internationale de marchandises, laConvention de Genève sur la représentation en matière de vente internationale de marchandises. De cetteimbrication de règles de droit naissent des conflits. The Treaty for Business Law in Africa Harmonization was signed in Port Louis (Mauritius ) ,October 17, 1993 and entered into force on 18 September 1998. It was amended by the Treaty of Quebec on17 October 2008. This revised treaty entered into force March 21, 2010. The treaty 's main objective is toaddress the legal uncertainty and judicial existing in States parties . To do this , it adopted new Uniform Actsincluding the Uniform Act relating to general commercial law, following the AUDCG which is the subject ofour study. The OHADA Treaty has also established a Joint Court of Justice and Arbitration responsible forthe interpretation and uniform application of those acts .The AUDCG was adopted April 17, 1997 and entered into force on 1 January 1998. It was amendedDecember 15, 2010 and published in the Official Gazette of OHADA , February 15 , 2011. It entered intoforce on 15 May 2011. It is applicable in the same way in all Contracting States. The existence of such a setof rules to reduce the importance of the forum in the resolution of international disputes and reduce the needto resort to conflict rules that generate legal uncertainty. That is why OHADA law so general and especiallyAUDCG does not care or whatever conflict of laws.Yet the conflict of laws remain in OHADA . First, the AUDCG leaves the provisions of national law as longas they are not contrary to it. Abstract:
L'Acte uniforme sur le droit des sociétés commerciales présente une particularité. En effet, le principe de sécurité juridique s'y trouve consacré à travers l'article 2, lequel fait des dispositions de l'Acte uniforme autant de dispositions d'ordre public. Cependant, l'absence de définition légale d'une telle notion est susceptible de générer quelques difficultés en raison de sa nature de standard juridique, sauf à considérer que l'ordre public doive être davantage perçu comme une technique de mise en oeuvre du droit. Pourtant, force est de constater qu'il s'agit d'une notion qui concourt à remplir l'impératif de sécurité juridique poursuivi par le législateur OHADA au sein de l'Acte uniforme sur le droit des sociétés commerciales, assurant ainsi son attractivité économique. A ce propos, traiter de la question de la liberté contractuelle dans l'Acte uniforme sur le droit des sociétés commerciales conduit nécessairement à mettre en lumière le paradoxe qui résulte de la lecture positive que l'on peut avoir de l'ordre public à travers l'article 2 au regard des finalités poursuivies par le législateur OHADA. Car, en tentant de répondre à l'impératif de sécurité juridique et à l'exigence d'attractivité économique, c'est la garantie de l'exercice de la liberté contractuelle qui se trouve assurée par ricochet. Ce qui nous conduit à étudier in fine comment l'ordre public tel qu'édicté assure la protection de la liberté contractuelle, de sorte à ce qu'ordre public et liberté contractuelle deviennent des notions non plus à opposer, mais à concilier
The Uniform Act on Commercial Companies is a special case. Indeed, the principle of legal certainty is recognized through the article 2, which makes the provisions of the Uniform Act as many public policy provisions. However, the lack of legal definition of such a concept is likely to cause some difficulties due to its nature of legal standard, except considering that public policy should rather be viewed as a law implementation technique. Though, it is clear this is a concept that helps to fulfill the requirement of legal certainty pursued by the OHADA legislator in the Uniform Act on Commercial Companies, ensuring thereby its economic attractiveness.In this regard, addressing the issue of contractual freedom in the Uniform Act on Commercial companies necessarily leads to highlight the paradox that results from the positive understanding that one can have of public order through the article 2 in view of the purposes persued by the OHADA legislator. Because, in attempting to meet the requirement of legal certainty and the requirement of economic attractiveness, it is the guarantee of the exercise of contractual freedom which is ensured by ricochet. In the end, this leads us to consider how the public policy as enacted ensures the protection of contractual freedom, so that public policy and contractual freedom become notions either to oppose, but to reconcile

Abstract:
Dans l'espace de l'OHADA, la diffusion massive du terme de gouvernance relève essentiellement du contexte de la coopération internationale pour le développement. Ce nouvel impératif de gouvernance est depuis quelques années, dans le débat sur la construction d'une gouvernance d'entreprise, au cœur de tous les discours, des réformes, de toutes les initiatives en matière de développement des affaires et de fonctionnement efficace de l'entreprise. En réalité, dans cet environnement communautaire de l'OHADA, (CEMAC et UEMOA), il se trouve que la volonté politique est avant tout économique, le droit ne jouant qu'un rôle de second plan de mise en ordre a posteriori. Aussi, cela pose le problème suivant, à savoir : comment concilier d'une part, l'objectif de sécurité juridique et judiciaire indispensable pour drainer des flux importants d'investissements et, d'autre part, l'enjeu essentiel dont participe l'OHADA à l'établissement de ce qu'il est aujourd'hui coutume d'appeler « la bonne gouvernance » et de l'Etat de droit en Afrique comme vecteur de la performance économique.Au regard de l'ambition affichée par les rédacteurs de l'AUSCGIE et, sous le prisme des normes internationales, d'exigences nouvelles de développement économique et de la pérennité des entreprises, la gouvernance des sociétés commerciales pose la problématique de l'efficacité juridique de ce corps de règles. En d'autres termes, comment faire émerger dans un espace où le contrôle de l'Etat sur les activités économiques est mis à mal, des règles de gouvernance d'entreprise efficace au sein des sociétés commerciales ? Vaste programme.Dans la pratique, compte tenu des réalités, « la gouvernance dans les Etats membres de l'OHADA signifie souvent tout autre chose. Il ne s'agit pas de la gouvernance des sociétés dans le sens classique, mais au contraire, de l'influence politique ». De fait, il se trouve qu'aujourd'hui, la zone OHADA souffre avant tout, non pas de l'absence de règles, mais de la persistance de graves faiblesses et d'un manque cruel en terme de gouvernance et de contrôle de la bonne application des règles de droit, notamment, vis-à-vis de l'entreprise. Au regard de cette situation, l'on est tenté de dire que l'application des règles et principes de la gouvernance d'entreprise reste quelque peu limitée ou n'a pas encore porté les fruits escomptés. Une gouvernance d'entreprise dans l'espace OHADA est-elle une illusion ? Le constat objectif est bien évidemment non. C'est donc au prisme des enjeux économiques actuels et, face aux nouvelles attentes et défis des Etats membres, des axes de convergences ne seraient possibles qu'en vertu du réalisme du droit de l'OHADA, qui doit concilier à la fois, impératif économique (besoin d'investissement) et sécurisation juridique et judiciaire des activités économiques (quête de sécurité juridique).Mots clés : OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires), Droit, Gouvernance, Entreprise, Acte uniforme
In the space of OHADA, the massive dissemination of the term governance essentially within the context of international cooperation for development. This new imperative of governance in recent years, the debate on building a corporate governance at the heart of all the speeches, reforms, all initiatives in the development of effective business and operation of the 'business. In fact, at that Community environment OHADA (CEMAC and UEMOA), there is the political will is above all economic, law playing only a role of second order implementation plan afterwards. Also, this poses the following problem, namely how to reconcile one hand, the essential objective of legal and judicial security to drain large flows of investment and, secondly, the essential challenge which involved the OHADA in establishing what is today commonly called "good governance" and the rule of law in Africa as a vector of economic performance. Given the ambition of the drafters of the AUSCGIE and, from the perspective of international standards, new requirements of economic development and enterprise sustainability, governance of corporations raises the issue of the legal effectiveness This set of rules. Au lendemain de leur accession à l'indépendance dans les années 1960, les pays d'Afrique Francophone étaient dotés d'un système de droit privé étroitement dérivé de celui de l'ex-puissance coloniale. Pendant près de deux décennies, ces États ont fait évoluer séparément leurs législations conformément à l'expression de la souveraineté nationale même si la volonté d'unifier le droit en Afrique était matérialisée par des tentatives sous-régionales ayant peu abouti.Aujourd’hui, l’Organisation pour l’Harmonisation en Afrique du droit des Affaires(OHADA), créée depuis 1993 à Port-Louis œuvre pour une harmonisation du droit desaffaires en Afrique. Par l’adoption de ses divers actes uniformes, elle a su harmoniser voire uniformiser au plan communautaire les domaines essentiels du droit des affaires, notamment le droit commercial, le droit des sociétés et le droit des sûretés. Dans sa perspective d’intégration, elle envisage aussi d’énormes chantiers de codification afin d’étendre sa communauté à d’autres Etats encore réticents à une perte de leur souveraineté au profit d’une instance d’intégration et d’harmonisation du Droit des affaires.Dans la logique des objectifs poursuivis, nos premiers travaux de terrain ont porté sur l’ERSUMA étant donné qu’elle dispose d’une documentation très fournie sur l’OHADA, et que cette institution dont le rôle consiste à former les magistrats des divers Etats membres sur les textes communautaires, est ainsi le principal outil de vulgarisation des actes uniformes et des traités de l’organisation. Elle est donc l’une des instances les plus actives et les plusindispensables de l’OHADA.Retenons que cette perspective d’intégration de l’OHADA soulève encore d’énormesinterrogations relatives à la finalité des objectifs de l’Organisation, qui s’inscrit plus dans une perspective d’uniformisation que d’harmonisation comme le laisserait penser sa dénomination ; ajouté à l’épineuse question de la criminalisation des infractions en droit des affaires en Afrique et surtout à l’existence ou non d’un ordre juridique pour l’OHADA. Aussi, d’autres points importants, et diverses autres problématiques liées à l’intégration africaine du droit des affaires, ne présagent pas encore d’un avenir glorieux pour l’Organisation
Following their accession to independence in the 1960s, the countries of Francophone Africa were equipped with a system of private law closely derived from that of the former colonial power. During about two decades, these States have separately evolved their legislation in accordance with the expression of national sovereignty even if the desire to unify law in Africa was marked by sub regional attempts little successful. Today, the Organization for the Harmonization of Business Law in Africa (OHADA), created 1993 since in Port Louis works for business law harmonization in Africa. With the adoption of its various uniform acts, it has managed to harmonize or standardize at community level the essential areas of business law, including business law, corporation law and reliability law. In its perspective of integration, it is also considering consolidation sites in order to expand its community in other States which still reluctant to a loss of sovereignty for the benefit of an instance of integration and harmonization of business law. Let us remember that this OHADA integration perspective still raises huge questions regarding the purpose of the Organization's objectives, which fits more in a perspective of standardization over harmonization as its name would suggest; added to this sensitive issue of offenses criminalization in Business Law in Africa. Also, other important points and various issues related to African integration, which do not portent a glorious future for the Organization

La délinquance économique et financière, constituée par l'ensemble des activités illégales, qui peuvent être commises de manière individuelle, en entreprise ou bande organisée, a des méthodes d'action différentes de celles des infractions de droit commun. Le plus souvent, elles se commettent par des procédés astucieux (tromperie), ou frauduleux (faux par exemple), par l'exploitation des secrets commerciaux ou des données confidentielles (délits d'initiés), exigeant pour cela des connaissances et un savoir-faire propres au monde des affaires, voire une ingénierie financière, à l'encontre des particuliers, d'entreprises. de l'Etat ou d'organisations internationales. Généralement, leur finalité est la recherche du gain facile, donc de l'argent sale ou noir, fruit d'activités illégales ou criminelles. Cet argent est au centre de la délinquance économique et financière. Il en est le moteur. C'est une des raisons pour lesquelles la lutte contre cette forme de délinquance doit avoir comme principale finalité la saisie des avoirs d'origine criminelle ou délictuelle. A cette fin. nous avons fait dans cette étude, des propositions de réforme dans les codes pénaux et de procédure pénale des Etats appartenant à la sphère UEMOA-OHADA et d'y inclure des dispositions permettant de procéder efficacement à cette saisie. Cette question de saisie des avoirs d'origine illicite montre à quel point il est difficile de lutter contre cette forme de délinquance. Car, aujourd'hui, l'action des Etats, pris individuellement. pour combattre ce fléau, a perdu son efficacité. C'est pourquoi, le traitement de cette délinquance devrait nécessairement passer par une harmonisation du droit pénal des affaires de l'OHADA et une uniformisation du droit pénal économique et financier de l'UEMOA. Cependant. ce combat au niveau communautaire n'est pas sans poser quelques difficultés dans la mesure où les Etats membres de ces deux organisations ne veulent pas se départir, au profit des Institutions communautaires, du pouvoir d'élaborer des sanctions pénales contre les incriminations communautaires applicables sur leur territoire. D'où la nécessité de tenir compte de l'impératif d'harmonisation des règles pénales de sanction contre les violations du droit communautaire, d'un côté, et de l'impératif du respect de la souveraineté des Etats, de l'autre, même si ces deux impératifs sont difficilement conciliables. En tout état de cause, pour rendre efficace la lutte contre ce phénomène criminel, les dispositifs actuels doivent évoluer vers de nouveaux instruments plus adaptés. Ainsi des typologies de mesures relatives au droit pénal de forme et de fond sont elles proposées tant au niveau national et régional. En effet, une lutte envisagée à un seul niveau est d'avance vouée à l'échec. C’est ainsi qu'il faut instaurer un véritable coopération judiciaire dans l'espace UEMOA-OHADA pour une lutte efficace contre la délinquance économique et financière dans cet espace
Economic and financial criminality, constituted by all illegal activities, which can be committed individually, in companies or organized groups, has different methods of action than those of violation of common law. Most often, they are committed by clever means (trickery), fraudulent (false for example), by the exploitation of trade secrets or confidential data (insider trading), requiring knowledge and know-­How of the business world, or even financial engineering against individuals, companies, the State or international organizations. Most often, their finality is the search for easy gain. therefore dirty or black money is the fruit of illegal or criminal activities. This money is at the center of economic and financial crime. It is the driving force behind it. This is one of the reasons why the fight against this form of crime must have as main objective the seizure of assets of criminal origin. In this sense, we have made in these study proposals for reform in the penal codes and criminal proceeding of the States belonging to the WAEMU-OHADA sphere and to include disposal enabling effective seizure. This issue of seizure of assets of illicit origin shows how difficult it is to fight this form of delinquency. Because today, the action of States taken individually to fight this scourge, has lost its effectiveness. Therefore, the treatment of this delinquency should necessarily involve a harmonization of the criminal business law of the OHADA and a standardization of the economic and financial criminal law of WAEMU. However, this battle at Community level is not without some difficulty, to the extent of that the member states of these two organizations do not wish to abandon the power to draw up criminal sanctions against Community incriminations applicable in their territory to the benefit of the community institutions. From where the necessity to take account of the need to harmonize criminal law rules penalties against community law violations. on the one hand and the imperative of respect for State sovereignty on the other, even if these two imperatives are difficult to reconcile. At all events, in order to make efficient the fight against this criminal phenomenon, the current plan of action must evolve towards new and more appropriate instruments. Thus, are typologies of measures relating to criminal law in form and substance proposed at both national and regional level. Indeed, a fight envisaged at a single level is in advance tied to failure. It is thus necessary to establish real judicial cooperation in the WAEMU-OHADA area for an effective fight against economic and financial crime in this area

Cette thèse aborde le problème de l’abondance des activités dans l’économie informelle en Afrique qui échappent au contrôle et à la régulation de l’état. L’objectif est de participer par l’intermédiaire d’un débat juridique d’une dimension continentale, à l’analyse du rôle de l’entrepreneur en matière de développement économique. Dans un contexte d’évolution du droit des affaires il est particulièrement important de s’intéresser au rôle de l’entrepreneur en tant qu’acteur économique. Nous proposons une approche comparative à la lumière du droit français pour encourager la création d’entreprise dans les états de l’Afrique de l’ouest. Dans cette optique le législateur OHADA intervient en vue de mettre en place une réglementation simplifiée permettant aux particuliers de se lancer dans la vie des affaires, sans se soumettre à des contraintes sévères de légalité. L’intégration de l’Entrepreneuriat par le biais de la révision de l’acte uniforme sur le droit des sociétés et groupement d’intérêt économique du 31 janvier 2014, l’acte uniforme sur le droit commercial général du 15 décembre 2010, l’acte uniforme relatif au droit des sociétés coopératives du 15 décembre 2010, constitue un levier fondamental. Une nouvelle réglementation est désormais attribuée à des professionnels qui n’étaient pas régit par le droit commercial. Cette innovation majeure traduit cette volonté de faire participer l’ensemble des citoyens au développement économique. L’objet de la présente étude est d’analyser les avantages et les inconvénients de cette facilité de gestion qu’offre l’entrepreneuriat en droit de l’OHADA à travers une vision d’ensemble des actes uniformes intéressant la création d’entreprise. Nous discutons enfin de la pertinence de cette approche par une mise en parallèle avec le modèle français très avancé en matière d’entrepreneuriat. A travers l’importance accordée au micro crédit, à la diversification des modes de financement, au secteur formel, mais aussi et surtout au changement de statut. L’entreprenant en droit OHADA présente d’énormes similitudes avec le statut d’auto- entrepreneur résultant d’une innovation de la législation française par la loi de modernisation du 04 août 2008. De plus, des transitions peuvent être envisagées, à travers la création de société commerciale. En effet, la France offre une large gamme de modes transitoires allant de l’auto entrepreneur, l’entreprise individuelle, l’entreprise unipersonnelle à responsabilité limitée à la création de société commerciale. Il sera également question de souligner le caractère superficiel de certains aspects du statut juridique de l’entreprenant. Le champ d’application des règles régissant ce statut est souvent limité, car le législateur laisse le soin aux états membres de décider sur certains points. C’est sans doute ce qui est à l’origine de cette absence de conciliation des logiques nationales au dynamisme communautaire. La notion d’entreprenant suscite alors de nombreuses incertitudes, une synthèse de solutions pourrait favoriser le maintien de ce statut. La formalisation de l’informel constitue aujourd’hui un phénomène complexe, mais essentiel pour faire face à la faible croissance des économies africaines. L’auto-entrepreneuriat est généralement considéré en France comme source de complément de revenu, alors qu’en Afrique elle représente une part importante de l’économie de subsistance
This thesis addresses the problem of the abundance of activities in the informal economy in Africa that escape the control and regulation of the state. The objective is to participate through a legal debate of a continental dimension, to the analysis of the role of the entrepreneur in economic development. In the context of changing business law, it is particularly important to focus on the role of the entrepreneur as an economic actor. We propose a comparative approach in the light of French law to encourage business creation in the states of West Africa. With this in mind the OHADA legislator intervenes with a view to putting in place a simplified regulation allowing individuals to get into the business world, without subjecting themselves to severe constraints of legality. The integration of Entrepreneurship by the bill of revision of the Uniform Act on Company Law and Economic Interest Grouping of January 31, 2014, the Uniform Act on General Commercial Law of December 15, 2010, the Uniform Act relative to the law of cooperative companies of December 15, 2010, constitutes a fundamental lever.New regulations are now issued to professionals who were not governed by commercial law. This major innovation reflects this desire to involve all citizens in economic development. The purpose of the present study is to analyze the advantages and the disadvantages of this ease of management offered by OHADA law entrepreneurship through an overview of the uniform acts concerning the creation of a company. Finally, we discuss the relevance of this approach by comparing it with the very advanced French model of entrepreneurship. Through the importance given to micro credit, the diversification of financing methods, the formal sector, but also and above all to the change of status. The entrepreneur in OHADA law has enormous similarities with the status of auto-entrepreneur resulting from an innovation of French legislation by the law of modernization of August 4, 2008. Moreover, transitions can be envisaged, through the creation of commercial company.France offers a wide range of transitional modes ranging from the self-employed entrepreneur, the sole proprietorship, the one-man limited liability company to the creation of commercial company. It will also be necessary to emphasize the superficial nature of certain aspects of the entrepreneur's legal status. The scope of the rules governing this status is often limited because the legislator leaves it to the Member States to decide on certain points. This is undoubtedly what is at the origin of this lack of reconciliation of national logic with community dynamism. The concept of enterprising then raises many uncertainties, a synthesis of solutions could favor the maintenance of this status. The formalization of the informal economy is today a complex phenomenon, but essential to deal with the weak growth of African economies. Self-entrepreneurship is generally considered in France as a source of income supplement, while in Africa it is an important part of the subsistence economy

L'étude consiste à découvrir théoriquement et pratiquement la capacité de ce nouveau droit à remplir sa mission. Les nouveautés du droit OHADA comportent-elles un esprit dynamisant pour les économies africaines? Les éléments de l'environnement telles que la tradition africaine, la corruption, la mondialisation, ainsi que l'OHADA en tant qu'organisation d'intégration régionale concourent-ils avec les Actes uniformes à améliorer les économies des Etats membres de l'OHADA ? Le regard sera critique et soutiendra les avantages et les inconvénients des différentes situations sociologiques et économiques mises en rapport avec le droit uniforme. Des données empiriques sur la croissance économique avant et après l'entrée en vigueur des Actes uniformes sont fournies. O presente trabalho objetivou analisar a aplicabilidade das normas de tratados internacionais no direito comercial particularmente no caso do Tratado da OHADA na Guiné-Bissau do ponto de vista jurídico-constitucional e de direito internacional. Analisam-se na presente pesquisa os conflitos emergentes com a adesão da Guiné-Bissau a essa organização internacional não olvidando as teorias clássicas sobre o tema isto é as teorias monista e dualista. Neste caso enfatizou-se a problemática da supranacionalidade da OHADA a questão da aplicação direta e obrigatória dos seus atos normativos por parte dos Estados-Membros e na falta de normas constitucionais guineenses respeitantes à relação com as normas do direito internacional verificou-se quais as possíveis soluções oferecidas pela doutrina. Ademais procurou-se comparar os dois ordenamentos jurídicos com a finalidade de constatar as inovações introduzidas pelos atos normativos da OHADA considerando que não houve uma revogação total e global das normas comerciais vigentes. Tudo isso sem perder de vista a análise do seu ordenamento jurídico e suas características. Foi observado por outro lado que a Guiné-Bissau não somente carece de preceitos sobre o valor que as normas internacionais ocupam no seu direito interno, como também constatou-se que não admite a supranacionalidade, constituindo assim um verdadeiro obstáculo à integração política e supranacional visada pela OHADA.

AbstractAtrophic scars may be defined as depressive areas on the skin, due to a defect of fatty tissue under the skin. This situation may lead to adherence to the depth (fascia, bone, tendon) to be a source of functional impairment. Most of the atrophic scars are secondary to acne localized over the face. Multiple techniques were proposed to restore the volume and uniformize the surface, like laser, injection of fat, microneedling, microdermabrasion, dermal fillers, and surgical techniques such as subcision and platlet rich plasma (PRP). On the basis of level 1 evidence currently available, it appears that PRP can improve the quality of atrophic acne scars treated with ablative fractional CO2 laser and decrease the duration of laser-related side effects including edema and erythema (Goutos). Regenerative surgery, including fat harvesting, centrifugation, and isolation of adipocyte stem cells, has been promoted since years and should be repeated when injected fat progressive crush is observed. The clinical case presented here is a paraplegic patient presenting a pressure sore in the left ischiatic area. The flap was successful but the depth of the transplanted fatty tissue was decreasing after some years. A first fat injection was programmed.

AbstractIn this chapter we review the function of the central bank as lender of last resort (LOLR), starting from the understanding of financial crises developed in the previous chapter. We recall long-established LOLR principles: proactive lending, inertia of the central bank risk control framework, and risk endogeneity. Because of its systemic role, a central bank should not tighten its collateral framework in a crisis, as restrictive policies are likely to not only increase the overall damage done by a crisis to society, but to even increase central bank losses. We explain in more detail the main reasons why a central bank should act as LOLR: prevent negative externalities from fire sales; its unique status as institution with unlimited liquidity; its status as a risk-free counterparty making others accept to deliver collateral to it even at high haircuts; and its mandate to preserve price stability. We distinguish three different forms of LOLR: elements built into the regular operational framework; readiness to relax parameters in a crisis; and provision of emergency liquidity assistance to individual firms. We then discuss what could be the optimal propensity of a central bank to engage in LOLR activities and outline possible trade-offs. Last but not least, we develop a bank-run model which highlights the role of asset liquidity and central bank eligible collateral. We calculate through a model variant with binary asset liquidity and uniform central bank collateral haircut, but then also introduce a model variant with continuous asset liquidity and haircuts.

Abstract Magnetorheological properties significantly depend on the regime of aggregate structures. In the case of cubic particles, closely-packed clusters that are significantly different from those for the case of spherical or rod-like particles are formed in the system since magnetic cube-like particles prefer a face-to-face contact with the neighboring particles. Therefore, a cubic particle suspension is expected to exhibit a sufficiently strong magnetorheological effect, which may be investigated by means of Brownian dynamics simulations. However, the translational and rotational diffusion (or friction) coefficients of a cube are not known and indispensable in order to develop this simulation technique. From this background, in the present study, we have analyzed the flow field around a cube in a Stokes flow regime in order to estimate the diffusion (or friction) coefficients of cube-like particles that are required for performing Brownian dynamics simulations of a cubic particle suspension. In the situation of a uniform flow field with a Reynolds number sufficiently smaller than unity, the force acts on the cube only in the flow field direction, and the torque acting on the cube may be regarded as negligible. In the situation of a rotational flow field with a sufficiently low Reynolds number, the torque acts on the cube only in the direction of angular velocity of the rotational flow field, and the force negligibly act on the cube. These characteristics are in significantly similar to those for the case of spheres in a Stokes flow situation. From these results, we may conclude that the diffusion coefficients of cube-like particles can be expressed by introducing a correction factor to those of the spherical particles.

Enhancement of heat or mass transport in a spherical drop of a dielectric fluid translating in another dielectric fluid in the presence of uniform electric field is investigated. The internal problem or the limit of the majority of the transport resistance being in the dispersed phase is considered. The transient energy conservation equation is solved using a fully implicit finite volume method. In the literature, there is a plenty of studies that had been carried out when the electric field acts in the same plane of translation. In this paper, considering creeping flow regime, numerical computations have been conducted when the electric field acts perpendicular to the plane at which translation acts. As such the flow is no longer a two dimensional flow as a third component velocity comes to picture. At the first glance, thoughts of transport enhancement come to mind on the presence of a third velocity component that might promote mixing and consequently enhance transport effectiveness. Results are expressed in terms of the Nusselt number. Nusselt numbers are plotted in terms of Peclet number, Fourier number and the parameter L which is defined as the ratio of the maximum electric-field-induced surface velocity to translation-induced surface velocity. The code was validated by comparing, results for Peclet numbers of 500 and 1000 to corresponding cases available in literature. Results showed good agreement with previous results. A 3-D grid of 20×40×60 has been considered to cover the computational domain. A grid independence study has been carried out by doubling the whole grid. Results show acceptable results compromising accuracy and code running time. The effect of electric field is expressed in terms of parameter L. For low Peclet numbers (Pe ≤ 250), the application of electric field perpendicular to the plane at which translation acts leads to enhancement of heat/mass transport compared to that in pure translation. Such enhancement is about the same when the electric field and translation act in the same plane. On the other hand, for moderate Peclet numbers (Pe= 250∼1000), the transport enhancement is significant when compared to the enhancement obtained by an electric field acts in the same plane of action of translation as well as pure translation. These results can be understood by comparing time scales for diffusion and convection. When Peclet number is low the convection time scale is very large and hence mixing is not that effective in promoting heat / mass transfer. Whereas for moderate Peclet number, when the convection time scale gets smaller, heat/mass transfer is considerably enhanced compared to low Peclet numbers.

The article presents the genesis and content of the amendments to the Protection of Public Order Act and the State Border Control Act, which were proposed by the opposition and adopted by the National Assembly at the end of September 2020 to limit the operation of the vigilant guards. The amendments prohibited and sanctioned the carrying or display of imitations of weapons and weapons-like objects to create the appearance that a person is performing the duties of officials or military personnel. They also prohibited and sanctioned the wearing of uniforms or clothing similar to the uniforms of officials or military personnel if a person, by his or her conduct or presence in a particular public or private place, creates the appearance of performing the duties of officials or military personnel. Time will tell how the police will implement the amendment and what the adopted amendments mean in practice.

It is now widely recognized that three-dimensional (3D) system integration is a key enabling technology to achieve the processing speeds and performance needs of future microprocessor integrated circuits (ICs). To provide modular thermal management in 3D stacked ICs, interlayer microfluidic cooling scheme is adopted and analyzed in this study. The effects of cooling scheme and essential geometry variations on the routing completion and congestion of electrical interconnect are quantitatively analyzed. Also, the thermal and hydraulic performance of several two-phase refrigerants is discussed in comparison with single-phase cooling. The results show that refrigerants in two-phase flow are thermally preferred due to the higher heat transfer coefficients, and relatively constant fluid temperature throughout the microchannel. However, the large internal pressure and pressure drop act as significant limiting factors in realizing the merits of two-phase cooling. It is also concluded that integration of high performance hot-spot thermal management is a key to addressing a challenge of mass flow rate mal-distribution.

We recently proposed a technique in which an externally applied uniform electric field was used to alter the distribution of particles on the surface of a drop immersed in another immiscible liquid. Particles move along the drop surface to form a ring near the drop equator or collect at the poles depending on their dielectric constant relative to that of the two liquid involved. This motion is due to the dielectrophoretic force that acts upon particles because the electric field on the surface of the drop is non-uniform, despite the fact that the applied electric field is uniform. This technique could be useful to concentrate particles at a drop surface within well-defined regions (poles and equator), and separate two types of particles at the surface of a drop. In this paper we show that in addition to the dielectrophoretic force the particles also interact with each other via the dipole-dipole interactions to form chains or move away from each other depending the local direction of the electric field. The regions in which the local electric field is normal to the drop surface, i.e., the poles, the particles move away from each other. On the other hand, near the equator, where the local direction of electric field is tangential to the drops surface, they form chains that are aligned parallel to the electric field direction.

Abstract AC electrokinetics is one of the widely used methods as an actuating mechanism in the lab-on-a-chip devices because of the absence of moving mechanical parts. In this paper, an analysis is done by using two perpendicular electrodes which are placed in V-shape to each other while maintaining an angle of 45 degrees with the third horizontal electrode. A semiconductive fluid was used to observe the microfluidic behavior and characteristics under the application of a DC biased AC signal. Applying the AC signal produced two different mechanisms of electrokinetics such as DC-biased AC electrothermal (ACET) and DC-biased AC electroosmosis (ACEO). In the ACEO process, a time-varying voltage was applied to the electrodes to create the double layer capacitance and zeta potential. This ACEO mechanism required lower voltage. On the other hand, the AC Electrothermal (ACET) flow produced a non-uniform electric field that generated spatially varying heat sources which in turn created a non-uniform temperature distribution. Two surface characteristics were also analyzed experimentally; one of these was by using the hydrophobic surface and the other used glass-surface only. At the microscale, mechanical microdevice encounter very high flow resistance and put stringent requirements on the strength of fluid channels, chambers and the interconnects. While many types of microfluidic manipulations can be effectively done by AC electrokinetics techniques, current research work focused on the observation of varying frequencies and voltages and their effects on microfluidic manipulations.

The California State Rail Plan (CSRP) is among the best rail plan documents published by any jurisdiction in the United States to date. As such, the CSRP is used in this paper as the basis of comparison to other state rail service plans. These plans will have been submitted to the Federal Railroad Administration (FRA) on record as of June 2020—as required under Section 303 of the Passenger Rail Investment and Improvement Act (PRIIA) of 2008. The purpose of this paper is to identify the best practices and gaps that may inform California and other states in their future rail service plan development. This paper is grounded in the realization that, while the general outline of FRA requirements is uniform for all states, the actual content and inclusion of these requirements in the myriad state plans varies greatly. For example, California was granted an exception to help update FRA Rail Plan Guidance for its 2018 Rail Plan, other states have complained that FRA guidance and requirements on rail service planning have put state rail agencies in the position of constantly writing plans with little or no time to implement them. Throughout this research, the authors identify all the elements of FRA guidelines as reflected in the CSRP and rail plans of other states. This report also identifies the best features and planning strategies that may inform and improve the state rail planning process going forward, steps that will positively contribute to the public benefit of enhanced rail systems.
