Full textArbitration consists in private legal proceedings thanks to wich litigation is not processed through the powers of state juridiction but dealt with by private persons who are called arbitrators and hold their judging position from agreement between the parties. Nevertheless, a close examination of positive law shows that the principle of dispossession of state juridiction is construed in a very supple way and that, on the contrary, judicial intervention keeps on prospering in suits in which arbitrators have been appointed. The may 14 th 1980 and may 2 nd 1981 decrees first allow the state judge to intervene on the merits of a suit to settle the difficulties related to the constitution or the functioning of the court of arbitration. The precedents of the case then have it that the state judge, notwithstanding the existence of an arbitration convention, retains his powers to order - on request or in chambers - any provisional or protective measure on the basis of ordinary law enactments. Whatever the ground of the intervention, this work is aiming at showing that the competence thus acknowledged to the state judge (in dealing with the main issue or provisional judgment) has become nowadays the genuinely formal means of interference of state juridiction into juridiction by arbitration

Full textThe competitive climate arising from the advantages of favor arbitrandum is likely to create a breeding ground for fraud. Such a framework is maintained particularly by the multiplication of arbitration actors motivated by purposes other than the regular resolution of a dispute. In order to identify this risk, it is important to draw a distinction between, on the one hand, the litigants who resort to arbitration for the regular resolution of their dispute and, on the other hand, those who try to divert it from its legitimate purpose. In this regard, ensuring equal treatment for these two categories of litigants would consist in denying the favor arbitrandum, by challenging the idea that a favorable regime should be recognized only to authentic arbitration proceedings. In order to demonstrate that arbitration is not necessarily destined to become a potential tool for fraud, it is essential to set out the contours of the problem in a better way. Therefore, the present study intends firstly to focus on the various fraudulent behaviours that can occur in arbitration. This approach makes it possible to propose a definition of fraud that is entirely specific to arbitration. Secondly, this study takes into consideration the efforts that the various actors of arbitration will have to make in order to detect and to take action against fraudulent arbitrations in the perspective of supporting the fight against different arbitral frauds

Full textOver the last decades, unforeseen to national legislators, International Arbitration Law acquired more and more autonomy despite the existence of domestic legislation governing international arbitration. This autonomy has sparked much interest but has also caused some concern. The reason for such concern is twofold. The first cause for concern lies in the fact that there exist no legal definition of international arbitration. Indeed, the notion of international arbitration is, as of today, derived from the various criteria which have been set to distinguish international arbitration from domestic arbitration. These criteria, which stem from legislative methods specific to each national jurisdiction, are a reflection of the very unique approach taken by national laws towards arbitration and inevitably influence the manner in which each state decides to legislate on the rules governing international arbitration.The second cause for concern is the result of the increasing complexity of cross-border economic and commercial trade and the continuous diversification of sources of international arbitration through the enactment of numerous international pieces of legislation, national reform and case law. The development of these rules reveals an ongoing process within a context favorable to an informal harmonization of substantive International Arbitration Law. These rules remain insufficient today. The weakness of the system is due to the fact that International Arbitration has been regulated through domestic legislation. This raises the question of regulating arbitration through country-specific legislation. Even if, when internationalized, monism is not incompatible with the specificities of international arbitration, the dualistic approach seems to be more appropriate. The real question here actually lies is the importance afforded by national regulation to such specificities. Moreover, the existence of material dualism followed by formal dualism in international arbitration is a first step in the ongoing legal debate around the appropriateness of Transnational Arbitral Legal Order as the normative pillar of international arbitration

Full textThe rules of conflicts determine which law to apply when diversity exists between the applicable law of that court's state [the forum state] and the applicable law of another jurisdiction interrested in the controversy. In some cases, the law designated bu the conflicts of law provision will be excluded by the application of an overriding mandatory rule. This special category of mandatory rules may not be redogated from, even if another law of another country is chosen. In some exceptional cases, two or more overriding mandatory rules might create what we call a conflict of mandatory rule. The purpose of my research intends to prove that conflicts between two overriding mandatory rules are possible, especially in the field of arbitration and european law, and to provide possible solutions to this particular kind of conflict. Conflicts of laws are traditionnally solved through a special method that is nowadays influenced by European law, at least for the intra-European cases. Moreover, many of the contentious areas in the theory and practice of arbitration relate to the inevitable tensions between party autonomy and state legal controls. These kinds of tensions can raise a conflict of overriding mandatory rules. What kind of solution could we find to solve a conflict of overriding mandatory rules ? It is not possible to consider a classic rule of conflict of law ; rather a more flexible rule has to be chosen. The solution will be a combination of different theory as the proper lax, the better lax, and the balancing interest test

Full textWhen analyzing the United Nations Convention on Contracts for the International Sale of Goods adopted the 11 April 1980 (CISG), a principle of autonomous interpretation appears. This principle is stated in other legal texts (as United Nations conventions and UNIDROIT Principles). The principle of autonomous interpretation belongs to the transnational law and leads to take into account the international character of the legal provisions to be interpreted and to promote the uniformity of their application as “expressed” in the article 7 of the CISG. General principles underlying the CISG are used for gap-fillings which is the second side of legal interpretation. Using national laws is the ultimate resort.The principle of autonomous interpretation in the application of the CISG will be studied. For this purpose, judicial decisions and arbitral awards will be examined. Dispositions from the Convention have been chosen for their interpretation to be examined. The principle of good faith is also examined in its relation with the CISG interpretation. It will be observed that French case-law doesn’t acknowledge the principle of autonomous interpretation. Arbitral awards show a more important tendency to apply the principle of autonomous interpretation but there is no uniformity. The arbitrators in international trade have multicultural traditions and do not depend on a forum. Therefore they are less likely to be “influenced” by national “references” and so much more capable to interpret autonomously international dispositions. Nevertheless the “express” affirmation of a principle of autonomous interpretation is missing from arbitral awards and judicial decisions. This thesis aims to enlarge the acknowledgement of the principle of autonomous interpretation by the interpreters of uniform law using the CISG as a model. The function of the principle of autonomous interpretation will be fundamental to the expansion and to the correct application of uniform law. This method of interpretation is respectful of the objective of uniform law

The first stage of the reasoning resides then in the determination of the legal framework of electronic arbitration of the litigations relating of the internet. But the dematerialization of the arbitration procedures causes quite distinct difficulties. Full textEl presente trabajo tiene por objetivo el análisis del arbitraje institucional en Chile, particularmente como mecanismo de solución de conflictos jurídicos entre particulares. En la primera parte de la investigación se desarrollarán ciertos conceptos o ideas generales respecto del arbitraje, considerando su normativa aplicable, así como también definiciones, naturaleza jurídica y características, entre otros, para luego dar paso a un análisis en mayor detalle respecto a la situación particular del arbitraje institucional, comenzando con la búsqueda de una definición para ello, y así posteriormente indagar en las ventajas, desventajas y problemas que este mecanismo de solución de conflictos acarrea, además de revisar la experiencia internacional sudamericana en el tema. El segundo capítulo se refiere a las cláusulas arbitrales tipo, en cuanto a sus alcances y efectos. Asimismo, y en relación con ello, se estudiarán las relaciones jurídicas que emergen de la convención arbitral, es decir, aquellas presentes en la relación triangular entre el juez árbitro, la institución arbitral y las parte y los efectos de las mismas, particularmente respecto a responsabilidades de los participantes. En un tercer capítulo se estudiará la situación de tres instituciones administradoras de arbitrajes presentes en Chile, considerando especialmente la normativa interna de cada una de ellas, así como también su historia y organización, pero teniendo como principal objetivo exponer al lector la forma en que se desarrollan los procedimientos arbitrales bajo los estatutos de cada una de ellas y algunos de los problemas que se puedan suscitar, para posteriormente analizar la tramitación electrónica, considerándolo como un aspecto común entre las instituciones estudiadas en virtud del uso de dicha herramienta tecnológicas para cumplir con el objetivo de resolver el conflicto, simplificando ciertas diligencias procesales y agregando celeridad al proceso. Full textThis dissertation analyses the questions regarding provisional and interim measures previously or during an arbitration proceeding (including the means they can be pleaded, analyzed and enforced), as well as the interaction between the arbitrators, the Judiciary Power and also with the Court of Arbitration responsible for the conduction of the arbitration proceeding (in the case of institutional arbitration). The study brings a brief analysis of the history of arbitration and about its legal nature, with a specific focus on provisional and interim measures, also analyzing the regulations of the main Courts of Arbitration from Brazil and from abroad, as well as the Brazilian and foreign legislation about provisional and interim measures in arbitration. The main topics analyzed are referred to: (i) provisional and interim measures previously to the beginning of the arbitration (when the parties have already committed themselves, through arbitration clause or arbitration agreement, to resolve any conflict through arbitration); (ii) provisional and interim measures during an arbitration proceeding; (iii) the enforcement of provisional and interim measures, which requires the use of force (coercive power) and, therefore, depends on the assistance and the support of the Judiciary Power; (iv) the enforcement of provisional and interim measures rendered on foreign arbitrations; and (v) the anti-suit injunctions.

Full textThe settlement of international disputes is classically studied thought the concepts of judicial power, jurisdiction and admissibility. However it is now common to find references to the notion of « right of action » or « right of claim » in decisions of international tribunals especially when individuals are involved. One might wonder whether this observation reveals an evolution in the concepts governing disputes settlement in international law. The study of the right of action in international investment law demonstrates the usefulness of the concept in explaining the applicable rules. First, as a key concept, it can be used to identify the rules that determine the possibility to obtain a decision of the tribunal as opposed to the rules governing the State’s responsibility. In practice, it appears that the tribunals do not always respect this distinction. Secondly, the right of action allows taking into account the legal consequences of the State’s consent to arbitration. In this case, the concept of judicial power is partly irrelevant as it is usually based on a consent agreement between the parties. It follows that the concept of right of action is relevant when the applicable rules deal with the possibility to invoke and to rely on the consent to jurisdiction expressed by the respondent State. The fact that it is the case in the settlement of disputes between a State and an investor does not mean that it can not be so in the context of a interstate dispute

Full textChile y Argentina comparten la segunda frontera más larga del mundo, con las consecuencias que en materia política, social y económica de ello se desprenden. En este último ítem, y dentro del ámbito de las relaciones comerciales, la relación bilateral entre ambos países se traduce en un intercambio que, en el periodo comprendido entre los años 2010-2014, arrojó como resultado un total de 1.112 millones de dólares por concepto de exportaciones desde nuestro país, y 4.850 millones de dólares en importaciones desde Argentina.1. Del análisis de las cifras señaladas, se puede desprender el importante número de operaciones que, a diario, se celebran entr [e personas naturales y jurídicas a ambos lados de la cordillera de los Andes, lo que ha obligado a los Gobiernos de ambas naciones a convenir una serie de normas de rango internacional que, hasta la fecha, no han sido sistematizadas orgánicamente. Producto del problema planteado, y específicamente en el ámbito de la solución de los conflictos por vía del arbitraje comercial internacional y el posterior procedimiento de ejecución de lo juzgado mediante la institución del exequátur, nace la justificación del presente trabajo, el cual pretende suplir la ausencia de un tratado específico entre ambas naciones sobre la materia, recogiendo las principales normas de derecho interno e internacional, de carácter bilateral y multilateral, celebrados hasta la fecha, buscando ofrecer al lector soluciones jurídicas actuales y efectivas para la problemática en estudio. A su vez, y de forma innovadora, se realiza un análisis de la normativa y jurisprudencia existente en materia de exequátur entre las jurisdicciones de ambas naciones, atendida la carencia de un procedimiento consensuado de reconocimiento de sentencias entre ambas naciones.

Full textA presente tese tem como objetivo a análise dos efeitos da prescrição extintiva na arbitragem interna e internacional, com visão a partir do direito brasileiro. As relações entre a prescrição extintiva e a arbitragem não foram objeto de praticamente nenhum debate, nem mesmo antes da vigência da Lei n.º 9.307/1996, que instituiu de forma completa o procedimento arbitral no Brasil. A razão dessa ausência era óbvia: por ser a prescrição um instituto de direito material e a Lei Brasileira de Arbitragem, um diploma processual, não haveria motivo para discussão a respeito da prescrição. Tudo se resolveria por meio da lei material. Ademais, a ausência de regulamentação específica das questões sobre prescrição no âmbito da arbitragem se deu em virtude de o legislador ter facultado às partes, em uma arbitragem, a escolha da lei regente dos aspectos processuais e materiais do procedimento arbitral. Atribuindo-se às partes o direito de escolha do regime jurídico aplicável à controvérsia, a prescrição e, especialmente, seus prazos poderiam variar, daí inócua seria a disposição de escolha do direito material, se houvesse disposições específicas acerca da prescrição no corpo da Lei de Arbitragem. Ocorre que a prescrição é um instituto dotado de certas peculiaridades que podem acarretar dúvidas passíveis de gerar certo tumulto ao procedimento arbitral, criando, até mesmo, um contencioso paralelo à arbitragem. A liberdade das partes, tão aclamada em matéria de arbitragem, poderia estar em jogo, se se tratasse da incidência da prescrição extintiva. Eis, portanto, a dúvida: diante da notória flexibilidade em matéria temporal da qual é revestida a arbitragem, como lidar com as questões que concernem ao decurso do tempo, pela inércia de uma parte que deixa de instituir, a tempo, uma arbitragem? Qual é a influência da prescrição extintiva no âmbito da arbitragem? Para esclarecer essas dúvidas, a tese se divide em duas partes: na primeira, será estudada a razão de ser do instituto da prescrição extintiva quando se está sob o escopo da jurisdição arbitral. Ali analisar-se-á, principalmente, como a prescrição se aplica no contexto dos litígios submetidos à arbitragem interna e internacional. Em relação a esta última, o problema maior a ser verificado é a definição do regime jurídico aplicável à prescrição extintiva, o que ganha relevo em razão da diversidade de leis supostamente aplicáveis à prescrição. Na segunda parte cuidar-se-ão dos efeitos diretos causados pelo instituto da prescrição extintiva nos litígios da arbitragem interna e internacional. Com grande destaque à questão relativa à interrupção da prescrição no âmbito de uma arbitragem, e a outras questões não menos relevantes, como a suspensão da prescrição, a possibilidade de modificação convencional dos prazos prescricionais e os efeitos da expiração do prazo de prescrição, esta parte será finalizada com propostas de mudança de algumas questões sobre a prescrição no âmbito interno, com reflexos diretos na arbitragem. Ainda será demonstrado que, na órbita da arbitragem internacional, as questões concernentes à prescrição extintiva mereceriam um tratamento no mínimo harmônico e, se possível, uniforme, favorecendo a promoção da estabilidade das relações jurídicas comerciais internacionais.

Full textIn investment treaty arbitration, preliminary objections can be defined as procedural issues raised by the States in order to contest arbitral tribunal jurisdiction or admissibility of an investor claim. With the rise of investment treaty arbitration, recourse to this litigation technique is getting more and more frequent. However, the submission of preliminary objections by the States, as well as their examination by the arbitral tribunals are frequently confusing. Our research focuses on the core concepts of jurisdiction and admissibility in international litigation in order to reconsider their distinction in a specialised field of international litigation - investment treaty arbitration. On the basis of this distinction, we propose a classification of preliminary issues according to their object. This classification will order the legal regime to be applied to each type of preliminary defence, thus putting some order in the submission of preliminary objections by the States and their examination by the arbitrators, examination which relates to their capacity to exercise their jurisdictional function

Full textThe anti-suit injunction is the only means capable of preventing a party from being involved in proceedings commenced before a domestic court of its choice in bad faith and with the only objective of disrupting arbitration. It is most efficient in the form of an interim measure. In accordance with modern arbitration laws and rules, this jurisdictional tool may be obtained, in this form, from arbitration tribunals, which normally have sufficient imperium to order it, as well as to impose sanctions on any non-compliant party. Although it can be issued before the parties’ rights have been determined, the arbitrator must nevertheless make sure that its legal basis falls under his jurisdiction. Examples of such legal bases are the prima facie potential breaches of one of the obligations contained in the arbitration clause, such as to perform it in good faith, or of a confidentiality clause contained in the main contract. This restraining measure is also available to the French judge, since prohibitory injunctions are hardly unknown to French law. In the field of arbitration, it appears that its use may be permitted under the new Brussels 1 bis Regulation in spite of the West Tankers case and, especially, where it takes the form of an interim measure. When its issuance appears to be legitimate, it is primarily for the court of the seat of an arbitration to decide whether it should be ordered in support of the arbitration proceedings. However, for reasons of efficiency, if the court of another country happens to be in a better position to ensure compliance with the anti-suit injunction, it may also order it

Full textWith increasing cross-border trade between associated enterprises and means of control of international transactions by the tax authorities, the risk of disputes over transfer pricing necessarily increase. If these conflicts are not resolved, they can lead to double taxation, mainly of economic nature, and constitute obstacles to the free movement of goods and services in a globalised economy. Taxpayers and States therefore need effective procedures to resolve these situations, unanimously denounced by international organizations and taxpayers. However, current procedures are not entirely satisfactory. The European Commission and the O.E.C.D. have recently completed extensive work to improve the mechanisms. Dispute resolution in transfer pricing is certainly a hot topic. A critical analysis of all international settlement mechanisms of double taxation arising from transfer pricing adjustments is conducted. These procedures are examined, the causes of dysfunction sought and improvement measures are proposed, particularly in light of recent work of international organizations. The first part is devoted to the mutual agreement procedure under bilateral double tax treaties. The analysis is carried out following a chronological approach of the stages of the procedure, from its opening till the implementation of the mutual agreement. The second part deals with the new ways of resolving transfer pricing double taxation that are mediation, conciliation and arbitration in tax matters. Faced with the impossibility of using state justice, the use of paperless settlement was necessary, which promotes the logical development of ODR including Electronic Arbitration. Nevertheless, the use of this resolution mode sometimes raises not only technical issues, but many legal ones as well. This is precisely due to the nature of the legal environment. Full textArbitrary-precision integer arithmetic algorithms are used in contexts where both their performance and their correctness are critical, such as cryptographic software or computer algebra systems. GMP is a very widely-used arbitrary-precision integer arithmetic library. It features state-of-the-art algorithms that are intricate enough that their formal verification is both justified and difficult. This thesis tackles the formal verification of the functional correctness of a large fragment of GMP using the Why3 deductive verification platform.In order to make this verification possible, I have made several additions to Why3 that enable the verification of C programs. Why3 features a functional programming and specification language called WhyML. I have developed models of the memory management and datatypes of the C language, allowing me to reimplement GMP's algorithms in WhyML and formally verify them. I have also extended Why3's extraction mechanism so that WhyML programs can be compiled to idiomatic C code, where only OCaml used to be supported.The compilation of my WhyML algorithms results in a verified C library called WhyMP. It implements many state-of-the-art algorithms from GMP, with almost all of the optimization tricks preserved. WhyMP is compatible with GMP and performance-competitive with the assembly-free version. It goes far beyond existing verified arbitrary-precision arithmetic libraries, and is arguably the most ambitious existing Why3 development in terms of size and proof effort.In an attempt to increase the degree of automation of my proofs, I have also added to Why3 a framework for proofs by reflection. It enables Why3 users to easily write dedicated decision procedures that are formally verified programs and make full use of WhyML's imperative features. Using this new framework, I was able to replace hundreds of handwritten proof annotations in my GMP verification by automated proofs

Full textEstablishing a relationship between a State or one of its emanations, on the one hand, and an investor, on the other, international investment law moves beyond the distinction between public law and private law. Given the fact that it resides in-between international law and domestic law, international investment law raises important questions about the governing law and jurisdiction. Conceived as a specific legal order arising from the interaction between the international and the national legal orders, international investment law begets controversy with respect to its interference with the national legal order. This interference, which is not submitted to any hierarchy on the legislative or jurisdictional level, raises serious questions: what would be the applicable law when domestic law and international law are both involved in the same dispute? In a similar manner, what would be the competent court if the international and domestic jurisdictional institutions are both competent according to the rules of their own legal order? The answers to these questions are not obvious and continue to give rise to heated debates. As the issue has not been firmly and definitively resolved, the present study aims to provide an answer by demonstrating the pre-eminence of substantive international law and transnational arbitration to the point of clearly excluding the application of the local law and the competence of domestic judges. Full textThe phenomenon of globalization had the power to bring together different peoples, each with their own interests and cultures. However, in view of the cultural diversity of different peoples around the world, the existence of an international consensus in establishing the principles to be followed when external relations are formed cannot prevent the emergence of external conflicts and disagreements. This led the international society to develop mechanisms that could peacefully settle the controversies that may eventually arise. The adoption of such mechanisms is encouraged by the Brazilian Constitution, whose article 4, sections VI and VII, advocates the pursuit of peace and peaceful settlement of disputes. Its use does not lead to the renunciation of the exercise of sovereignty nor to the immunity of jurisdiction. Meanwhile, in order to achieve greater efficacy in the submission of disputes arising outside of the means allowed to solve them, it is important that countries involved in the disputes have consolidated internal orientation towards favouring international law over their domestic infra-constitutional legislation. The primacy of the domestic law may result in the ineffectiveness of adopting peaceful means for solving international controversies since authorities of the countries engaged in the dispute may avoid compliance with the agreement or decision on the grounds of some contradiction with the domestic law procedures. In this context, the taxation arena has been constantly attracting international disagreement. The different interpretations conferred by various nations, including Brazil, in applying taxation-related treaties signed by themselves, particularly those attempting to avoid double income taxation or to guarantee the free flow of goods, people and services, bring a high level of insecurity to investors possessing operations connected to two or more distinct tax systems. As a result, the debates regarding the extension of the peaceful mechanisms to the solution of divergences take shape, including those related to the application of any treaty which speaks to the subject of taxation. This favors the search for the standardization of the hermeneutical methods applicable to those tax events which are linked to two or more sovereign entities. This is the context surrounding the current study, which addresses the possibility of the Federative Republic of Brazil to refer tax-related disputes, caused by divergent interpretation of the international conventions of which it is a member, to the arbitral proceedings.

The first part addresses ínterim measures and injunctive relief in the context of judicial reliefs opportune timing, always taking into account readiness, legal security and procedural technique, as well as the proposals for a new Code of Civil Procedure. The second addresses procedural due process and participation in the proceedings, law and economics, the relations between substantive and procedural law, and the legal regime of interim measures. The third part approaches the limits of judicial review, inaudita altera parte relief, contempt of court fees, noncompliance, counter-guarantee, irreversibility, the relationship between the interim measure in the final awards effects and its impact in the regime of nullity defects in corporate law. The fourth part discusses interim measures based on preponderance of evidence in corporate law, bracing the fracture of ordinary proceedings in the current Brazilian Procedural system, some corporate disputes, and the proposals for the New Code of Civil Procedure. The fifth parte contains the unravelling of interim relief based on preponderance of evidence and urgent relief regarding the corporations decisions. The sixth and seventh parts will engage in the matters of urgent relief and other remaining corporate issues (anticipated disclosure of evidence, anticipated payment of shareholders assets, termination of shareholders, probate proceedings, disclosure of business records and other company documents). The eight part focuses arbitration in corporate law and the relationship between state judges and arbitrators. The ninth part contains proposals for statute drafts and the conclusions of the thesis. Full textThis thesis intends to investigate some of the legal issues raised by e-commerce, specifically the validity and enforceability of the electronic adhesion contracts and the terms and conditions of use. Such electronic juridic acts can be grouped into three subspecies: a) the shrink-wrap licences, reserved for purchase in the store, but yet the consumer can not view the terms and conditions that she or he will be bound by, once the product (often a software) is installed; the consumer is granted with a period of time within she or he can return the product to the store if she or he does not agree with the terms and conditions; b) the click-wrap agreements are contracts presented to the consumer, when dealing on-line, stating the terms and conditions of the purchase, and then, once its read, she or he may point and click in a dialog box indicating her or his consent (such as I agree or some other synonymous expression); and c) the browse-wrap, composed by terms and conditions listed in a hyperlink on the bottom of a web page, which obliges the consumer only because she or he surfs on the Web, nevertheless it is not require that the consumer shows any kind of consent to the terms and conditions. Even though some courts have ruled in favor of the validity and enforceability of browse-wrap, it is very questionable to accept the fact of being bound by something that one never knew that it even existed. Thus, some other courts are of the view that browse-wrap is not technically a contract according to the legal doctrine. Instead it is a sort of private regulation of the disposal of products and services written by the supplier. On one hand, there is a need to enforce electronic commerce in order to stimulate and consolidate it by making electronic contracts binding on consumers. On the other hand, there is a need to protect consumers from the abuse of unequal bargaining power in such contractual relation, which may pit them against a multinational corporation, which operates throughout the world. Thus, jurists and academics must combine efforts to find a sustainable balance between these two sides. Besides there is a need for a uniform and scientific solution, given that a prerequisite to valid contract formation is the unequivocal meeting of the minds which may not happen in this means of contract formation, especially if the supplier does not require any clear and effective sign of assent from the consumer. The touchstone of e-commerce is the law and jurisdiction conflicts since such contracts often include a forum selection clause or a mandatory arbitration clause, which can deprive the consumers of their day in court. In short, it highlights the need for a uniform legislation and a strong consumer protection system to ensure the growth of ecommerce. This would foster a reliable electronic environment meeting the consumers expectations and the market standards.

Full textAn increasing number of statutes relies on the concepts of serious argument and obvious evaluation for their application. Yet no satisfying definition of these concepts has still been found. For if it is usually assumed that these concepts depend on the obviousness of the Law and of the disputed facts, a careful examination of the case law shows well enough that this view is false : one often judges an evaluation obvious only after having demonstrated its truth through a complex argumentation and a long reasoning.Thus, the thesis argues that the concepts refer not to the obviousness of the Law and the disputed events but to the certainty of these. Here the Law refers to a question of jurisprudence : is the case easy or hard ? This new definition leads to the discussion of skepticism regarding the Law. Once a definition that fits the case law has been built, it is necessary to identify the reasons, both legal and pratical, for the use of the concepts in procedural law.From this it becomes possible to a build critical look on the statutes that use the concepts of serious argument and obvious evaluation for their application : is this use justified or should the statutes be changed ? It will also be possible to consider that the appplication of statutes that do not refer to these concepts actually depends on them, or at least should depend on them

Full textThe professional, supposed to be able to defend his interests, by opposition to the employee or the consumer, has proven to also be victim of imbalanced contracts for a few decades. The emergence of powerful private companies in various sectors clearly leads to inequalities between professionals. Our study underlines the difficulty to find the best criterion to identify what a professional weaker party is. It is impossible to say that globally such company is stronger than another because the legal person party to the agreement can hide many interests, which are hard to seize at first sight. Nor can the judge arbitrate prices in an authoritarian way without risking a misappropriation of his part. We shall side for this idea: a business-to-business agreement is to be qualified of adhesion contract as long as it does not give place to adequate bargaining; so the judge has to look the bargaining process and the circumstances preceding the contract. Many criteria can help the judge such as the size of the company, market parts, exchanged words, the good or bad faith of the parties or the efforts they have made. If we consider the bargain analysis as the ultimately rightest choice, we have to contemplate its limitations. It would not be realistic to consider that the judge could always discover every circumstance prior to the agreement. This is why we shall join a system of presumptions - albeit rebuttable - to the bargain analysis, when the difference of size of companies or the disproportion of provisions is obvious. We shall put into light the strategies used by strongest parts to bypass the bargain analysis, such as harmful clauses or internationalization tactics. Thus, we shall opt for high obligatory standards, as well as in national law than in international law. Once the bargain analysis is done, we shall try to suggest sanctions adapted to the concern. The judge, in our opinion, must be able to modify the agreement in a very flexible way, either retroactively or during the implementation of the said agreement. The gravity of various contractual behaviors must lead us to think about a form of criminal law or a "quasi criminal" law in order to combat those behaviors in a more suitable mean. Nevertheless, the protection of the professional weaker part is also to be dealt on a procedural ground. A proceeding for interim measures is likely to face the needs for celerity, which bother the weakest parts for their action. We shall also underline the advantages of a class action, which could overcome the financial issue of the lawsuit. Conversely, the legal security of business will bring us to foster a protection by a soft law system. First Part: The identification of the business-to-business adhesion contract. Full textThe web applications are now being used in many security oriented areas, including online shopping, e-commerce, which require the users to transmit sensitive information on the Internet. Therefore, to successfully authenticate each party of web applications is very important. A popular deployed technique for web authentication is the Hypertext Transfer Protocol Secure (HTTPS) protocol. However the protocol does not protect the careless users who connect to fraudulent websites from being trapped into tricks. For example, in a phishing attack, a web user who connects to an attacker may provide password to the attacker, who can use it afterwards to log in the target website and get the victim’s credentials. To prevent phishing attacks, the Two-Way Password Protocol (TPP) and Dynamic Two-Way Password Protocol (DTPP) are developed. However there still exist potential security threats in those protocols. For example, an attacker who makes a fake website may obtain the hash of users’ passwords, and use that information to arrange offline password guessing attacks. Based on TPP, we incorporated challenge responses with arbitrary images to prevent the off-line password guessing attacks in our new protocol, TPP with Challenge response using Arbitrary image (TPPCA). Besides TPPCA, we developed another scheme called Rain to solve the same problem by dividing shared secrets into several rounds of negotiations. We discussed various aspects of our protocols, the implementation and experimental results.

A sociedade de consumo, em que vivemos e que conhece hoje uma grande complexidade, fruto do desenvolvimento sócio-económico, das tecnologias e do Direito inclusivé, é uma das áreas de maior conflitualidade na atualidade. A globalização dos mercados, a existência de espaços de integração económica como a UE, em que as fronteiras praticamente desapareceram, requerem sistemas de resolução de conflitos capazes de responder em tempo útil às exigências dos cidadãos e das empresas. Face à impossibilidade dos Estados assegurarem o funcionamento do sistema de justiça meramente suportado nos tribunais judiciais convencionais, o século XX assistiu ao aparecimento e desenvolvimento de diversos meios de resolução alternativa de litígios (RAL) que, em especial na área do consumo frutificaram e de que Portugal constitui um exemplo marcante. Entretanto, o início do século XXI conheceu um grande desenvolvimento das tecnologias da informação e comunicação (TIC), com particular projeção na Internet, o que levanta um conjunto novo de desafios, que obrigam a redesenhar a RAL, nesta área convertida em resolução de litígios em linha (RLL). A presente dissertação perpassa por estes temas, designadamente pelos instrumentos legais comunitários (Diretiva RAL e Regulamento RLL) que determinaram a institucionalização em toda a União Europeia de meios efetivos de resolução de conflitos de consumo, incluindo a resolução em linha.
Nowadays things change rapidly and unpredictably, affecting all dimensions of people’s lives, societies and justice, too. We live in a very complex consumer society that is a result of the socioeconomic development, technologies and Law. Therefore, it is one of the areas of greatest conflict today. The globalization of markets, the existence of economic integration as the UE, where the borders virtually disappeared, requires conflict resolution systems capable of promptly responding to the needs of citizens and companies. According to the inability of States to guarantee the operation of the justice system which is only carried out by conventional judicial courts, the 20th century witnessed the emergence and development of various means of alternative dispute resolution (ADR) that, especially in the area of consumption, were successful and that Portugal is a striking example. Meanwhile, the beginning of the 21st century experienced a great development of information and communication technologies (ICT), with particular Internet projection, which raises a new set of challenges, which require redesigning ADR in this area converted to online dispute resolution (ODR). This dissertation addresses these issues, namely by community legal instruments (Directive on consumer ADR and Regulation on consumer ODR) that determined the institutionalization throughout the European Union with effective means of conflict resolution, including the online resolution.
