Full textENGLISH ABSTRACT: This paper examines the effect a target's operating characteristics can have on the takeover-decision of a potential bidder. Consequently, the general socioeconomic changes within the takeover market and their consequences for companies acting within this hostile environment are described and the most common economic and non-economic motives of bidders as well as several distinctive target characteristics discussed. In particular, this study identifies and subsequently analyses 28 variables viewed to be potentially relevant for a bidder's takeover-decision. In order to obtain the best possible insights into the behavior of the identified variables and their particular influence on the likelihood of getting taken over, the specific variables are empirically tested on an individual level through the application of different nonparametric techniques as well as on a combined level through the performance of a binary logistic regression analysis. The empirical examination is based on a total of 804 observations gathered by Bloomberg L.P. for the pharmaceutical and the related health care sector and covers the period from 1996 to 2002. The results of the different testing methods, although subject to certain limitations, give reason to believe that there are indeed certain factors that can make companies more interesting for potential bidders. Therefore, a regular performance of 'target-self-tests' as suggested by the author is viewed to be paramount for an early anticipation of hostile takeover attempts and a timely establishment of adequate measures of defense, which as a consequence could contribute considerably to a decrease of a company's likelihood of getting taken over.
AFRIKAANSE OPSOMMING: Hierdie studie fokus op die effek wat 'n potensiele teiken se bedryfseienskappe op die oorname besluit van die organisasie wat die oorname oorweeg, kan hê. Gevolglik word die algemene sosio-ekonomiese veranderinge in die oorname mark en hulle gevolge vir maatskappy wat daarbinne opereer, bespreek. Verder word die mees algemene ekonomiese en nie-ekonomiese beweegredes van maatskappye wat oornames oorweeg asook verskeie onderskeidende eienskappe van teikenmaatskappye, ook bespreek. In besonder identifiseer en analiseer hierdie studie 28 veranderlikes wat potensieel relevant mag wees tydens 'n oorname besluit. Ten einde die bes moontlik insig te verkry oor die gedrag van die ge-identifiseerde veranderlikes en hulle spesifieke invloed op die waarskynlikheid van 'n oorname, word nie-parametriese tegnieke toegepas om op individuele en saamgestelde vlak die veranderlikes empiries te toets. Hierdie empiriese ondersoek is gebaseer op 'n totaal van 804 observasies soos versamel deur Blomberg L.P. vir die farmaseutiese en verwante gesondheidsorgsektore en strek oor die tydperk 1996 tot 2002. Die resultate van die onderskeie toetsmetodes - gegewe sekere beperkings - dui daarop dat daar inderdaad sekere faktore is wat maatskappye meer aantreklike teikens vir 'n potensiele oorname kan maak. Gevolglik beskou die navorser dit as belangrik dat sekere 'selftoetse' gereeld gedoen behoort te word. Dit kan dien as vroee waarskuwingsein met betrekking tot die waarskynlikheid van 'n vyandige oorname; en kan die geteikende maatskappy help om tydige verdedigingsmeganismes in plek te kry ten einde die waarskynlikheid van oorname beduidend te verminder.

Full textA business administration problem is that qualified employees is a limited asset that organizations must compete for. Employer Branding's three-step process and, above all, the first step in the process "Employee Value Proposition" can help organizations to create an employer brand with attractive characteristics that employees are attracted to. The study's phenomenal driven research gap is to describe which attractive characteristics are relevant in a Swedish context from an employee perspective. The study based the empirical collection on theoretical descriptions of three characteristics: 1) accountability, 2) inclusion and 3) adaptability and responsive. A largely quantitative survey with three qualitative elements in the form of free text questions was used. The data was interpreted with a thematic analysis and the themes where the theoretical characteristics of the study. The result was that the characteristics had a relevance but that there were differences between the theoretical and the empirical descriptions. Three new empirical descriptions were developed that are consistent with the current and potential employees' image of an attractive employer in a Swedish context.

How did the Mudlands form ? They are largely the result of two basic geologic processes: deposition and erosion. It also known as Badland, because it’s unique and the peculiar conformation without vegetation .As a result of the inhomogeneity and fragile stratum, Steep slope over 60 degrees,composed of tiny grains of sediments such as sand’silt and clay that have been cemented together into sedimentary rocks during the late Eocene(34 to 37 million years) Throughout the Oligocene Epochs(26 to 34 million years ago ). The torrential rain scat the flabby sedimented slope to different shape as groove’dome and jagged. The Badland of Taiwan is the one of the very few where located in the tropical area that also on the verge of severe erosion and serious destruction owing to typhoons and earthquakes. The east of Taiwan in sight of Pacific Rim Volcanic Area, and outskirt Philippine plate on west side, generate collisions with average annual 82mm movement to Eurasian plate. It causing the badland area constant rise and erosion moreover create a multi-faceted change. The badland area occupy 3% of Taiwan’s territory, The land is vastitude, the sedimentary layer is the thickest of the world, It provide abundant sources of seafloor sediment’ ecology and stratigraphic analysis, expect apply for World Natural Heritage in the future, at the mean time we need complete development under the protection of the environment with excellent travel itinerary planning, set teaching’ travel’ and leisure together make the trip meaningful and also the focus of international tourism.

On the basis of Person-Environment Fit theory, Person-Job Fit theory, Attraction-Selection-Attrition model and Signal theory, this study aims to investigate how the moderating effects between applicant’s personality (Extraversion, Agreeableness, Conscientiousness, Emotional Stability and Openness to Experience) and recruiter characteristics influence organizational attraction. Data were collected from 92 applicants who have been interview experience. The results showed that Openness to Experience applicants prefer recruiters who provide information about the organization or the job and who display professional behaviors. Moreover, applicants with low Conscientiousness were also attracted by recruiters who like to share information about the job and the organization.

The research focuses on the effect of relationships between job and organizational characteristics, talent’s attraction and job pursuit intention, also investigate mediation effect of organizational talent attraction between work and organizational characteristics and job pursuit intention. This study is based on one of the Northern university of Science and Technology business management administration third grade students who is about entering workplace for full time internship, implement questionnaire and statistical analysis. There are total 130 questionnaires, and effective recovery 115 questionnaires, effective recovery rate is 88.5%. The study result of positive effect on job and organizational characteristic of talent attraction. The attraction of organizational talent which has positive effect of job pursuit intention, and job and organizational characteristic will conspicuous effect of job pursuit intention as well. Organizational talent attraction between work and organizational characteristics and job pursuit intention have partial of mediation effect.

The concept of Person-organization fit (P-O fit) has been become an important recruitment issue during recent years. When organizations release the recruitment messages meeting the job seekers’ needs, the messages could attract job seekers’ attention, and promote the attractiveness of the organization. Therefore recruitment activities should consider carefully how to deliver the messages that could get job seeker’s focus, and further, attract appropriate ones to apply. Most P-O fit researches have focused on discussing the congruence between individual and organizational values. Relatively less attention has been paid to the relationship of needs-supplies fit. This study applies the concept of supply and demand to explore the match between individual’s work motivation (intrinsic motivation and extrinsic motivation) and organizational characteristics (individually-based setting and group-based setting). In addition, this study tries to examine whether work motivation-organizational characteristics fit influence applicant attraction. Using a between-subjects experimental design, 422 valid responses were collected. This study confirms the existence of fit relationship between work motivation and organizational characteristics. Especially, fit relationship between intrinsic motivation and individually-based organizational characteristics is significant. The result indicates that work motivation-organizational characteristics fit would positively influence applicant attraction. This study extends the basis of P-O fit theory, and managerial implications and future suggestions are discussed as well.

Abstract Job market is one of the supply and demand system. The enterprise and the talented people wanted to find their own best choice. The adaptability of individual and organizational is an index of Job seekers’ Cognition and Judgement. The more subjective judgments of job seekers close to the actual situation, the more accurate judgments of job seekers. Therefore this research is to discover the idea of practical workers that can be a reference for the recruitment and retention of an enterprise. This may discuss from two aspects. 1.Job values The job values is one of the key factors that job seekers select their job. I will try to classified as two types of the seven job values orientation here, and discuss them separately. 2.The attraction of organization characteristics What are the most important features that an enterprise can attract the talented people ? What are the most important features that an enterprise can retain employees ? I will conduct the research from the organization characteristics and the enterprise social achievements This research will find out the job values of incumbent, and then discover the relationship between Job values and organization characteristics. So we can understand what kind of incumbent will think what kind of organization characteristics are attractive. The samples of this research are Taiwanese incumbent. A total of 250 questionnaires, the return of 211 valid questionnaires, the effective return rate is 84%. This research says that the incumbent think “The dignity orientation”, “The organization safe and the economical orientation” and “Stable and avoid the anxious orientation” are more important job values than others. In the organization characteristics aspect, “Based Pay on performance”, “Decentralized ”, “Treatment of women and minorities”, “Employee relations”, “Community relations” are attractive. Finally, this research suggested that the supervisor can use job values tool to find out the employees and job seekers’ job values and what they are concerned. With the Small and Medium Enterprise Administration launching the counseling task of re-engineering local characteristic industries in 1989 and the central government enacting laws and announcing the implementation of two days off on alternate weeks in 1998, the local characteristic industries, local festival events, and integration of tourism resources have gradually helped development the domestic leisure industry by promoting related government policies. In particular, the local characteristic industry has played an even greater role among fierce global competition and has become a source of energy that is revitalizing local economies. In 2012, the New Taipei City Government started to work with in the Wanli area and aggressively promoted wild crab caught with environmentally friendly measures to build up the brand name of the Wanli crab. At a time when the government is working to promote and market wild sea-crab caught in the Wanli area, their efforts can also hopefully help stimulate the development of the tourism industry in its peripheral areas. Nevertheless, since the harvest season of crab only lasts three months during the fall and the focus of the official promotion is merely placed on the season, the advertisement effect cannot be long-lasting. Therefore, local fishermen and the related commercial establishments would like a persistent event to be planned and designed in order to create and improve the local characteristic industry and brand name of Wanli crab. In this study, we aim to investigate the attractiveness factor of the local characteristic industry and explore the comprehensive effect of developing a local characteristic by using the brand name of Wanli crab. In the first stage, we performed a literature review and investigation and organized related information. Then we adopt the evaluation grid method (EGM) of Miryoku engineering with 16 individuals with high-degree involvement in order to develop an evaluation structure chart. Then, through induction and analysis, we determined the six primal attractiveness factors of "Wanli crab" to be "fresh delicacy," "local feature," "natural environmental protection, "tourism industry," and "brand image," as well as 10 abstract attractiveness factors and 10 specific attractiveness factors, which acted as the basis for designing the questionnaire. Then, in the second stage, we disseminated the questionnaires to further verify our results. We found that both tourists and average consumers believe that the following attractiveness factors have the greatest effect: "fresh delicacy," "local food ingredients," "natural environmental protection," and "cognitive concept of maritime conservation policy," among others. This research study can serve as a reference for related business operators of the Wanli area and relevant competent authorities of New Taipei City Government when developing events for Wanli crab. In addition to assisting, improving, and innovating the local characteristic industry of fishing townships, designing marketing events, and promoting the tourism industry, the reputation of Wanli crab is hoped to be made well known. Doing so not only emphasizes the fresh delicacy of local food ingredients but also develops the brand image of Wanli crab among consumers through persistent official marketing and promotion. Furthermore, taking local characteristic as the basis not only helps consumers to enjoy gourmet food but also publicizes concepts of natural environmental protection and awareness of maritime conservation policies. Altogether, these efforts can provide a reference for fishing townships with characteristic as they intensify the awareness of conservation policies and the marketing and sustainable development of the tourism industry.

Since humans created labor, employment has become the biggest and most important way to earn a living. In today’s society, finding a great job that will present good opportunities is one of the biggest challenges for many people. The purpose of this study is to look into the relationships among salary, corporate image, and organizational attraction while going into the effects of job characteristics and person-organization fit on those relationships. The focus group of the research will be employees working in the business sector of Mongolia. The study analyzed the factors that influenced the decisions of job seekers when they accepted an employment offer to see what made them most attracted to that certain organization.
