Abstract The article presents the theoretical foundations of the criminal act of scheming to defraud in an insolvency proceeding. A criminal act according to the § 226 Act No. 40/2009 Coll. (Criminal Code) is often a part of organized crime. Crime is made easier by the difficult proceedings of solving the debtor’s bankruptcy in the Czech Republic. The article includes a case interpretation in which the judge committed a crime. She caused severe harm to several participants of the insolvency proceeding and secured that the debtor’s shareholder benefited.

The treatment of executory contracts in rehabilitation proceedings is governed under articles 119 to 124 of the Debtors Rehabilitation and Bankruptcy Act (the DRBA). With respect to bankruptcy proceedings articles 335 to 342 of the DRBA apply. In both rehabilitation proceedings and bankruptcy proceedings, the DRBA vests the receiver or the bankruptcy trustee with the power to assume or reject executory contracts. An executory contract is described as ‘a bilateral contract that has not been fully performed by both the debtor and the counterparty at the commencement of the insolvency proceeding’, and the law provides only for the situation where both parties are required to fulfil their obligations. If the contract is fully performed by the debtor, general insolvency rules apply whereby the receiver or bankruptcy trustee can demand performance or damages from the counterparty in default.

The prominent divide between bankruptcy and reorganization procedures in South African insolvency law is also evident in the treatment of executory contracts. The general position in both types of proceedings is that executory contracts are not automatically terminated. The commencement of proceedings affects or may affect the other contract party’s ability to exact performance under the contract, who may then claim damages for non-performance. This broadly similar result is, however, based on different legal constructions for bankruptcy and reorganization, and may lead to different practical outcomes. This report states the law in Italy as at 16 March 2019. Delegation law (legge delega) no 155 of 19 October 2017 provides for the principles to be followed by the Italian government in drafting the reform bills (decreti delegati) aimed at significantly amending the existing bankruptcy law. The principles included within the said delegation law provide, among others, for amendments to the existing insolvency proceedings (with the exception of Amministrazione straordinaria), inclusive of the renaming of the fallimento (bankruptcy) proceeding into judicial liquidation proceeding; introduce the so-called ‘alert procedures’ as well as the possibility to appoint a mediator within a restructuring proceeding; provide rules on group insolvencies. The Italian government issued on 12 January 2019 legislative decree (decreto legislativo) no. 14, named ‘codice della crisi e dell’insolvenza’ which was published on the Official Gazette of the Italian Republic on 14 February 2019 which shall become effective on 15 August 2019 (art. 389). Certain specific provisions of law shall, however, become effective after 30 days from its publication. Decree 14/2019 shall have a major impact on certain rules regarding, among others, the following restructuring proceedings: concordato preventivo; accordi di ristrutturazione; composizione della crisi da sovraindebitamento.

This chapter addresses the main issues regarding the possibilities of using arbitration in dispute resolution under the Brazilian Bankruptcy Law (BBL). Such possibilities include an insolvent company agreeing to an arbitration clause and the viability of submitting insolvency-related disputes to an arbitral tribunal. The Brazilian insolvency system is regulated by the BBL. In essence, this provides for two kinds of proceedings: judicial restructuring and liquidation. Judicial restructuring proceedings give debtors the opportunity to present a reorganizational plan to their creditors. Debtors will attempt to convince creditors not only of their ability to overcome the temporary economic and financial crisis, but also of their business' feasibility. In some circumstances, the economic and financial distress is so extreme that no means exist to reverse the situation, in which case it is preferable to definitively interrupt the debtor's activities, forcibly eliminating the enterprise from the market and liquidating its assets, in order to pay creditors and prevent the damages inflicted on the community from aggravation by breaching credit reliability. Brazilian liquidation proceeding may be initiated by debtors (voluntary petition) or creditors (involuntary petition).
