Bambach, Matthew. "Maximising Board governance effectiveness in small and medium-sized Australian independent schools." Thesis, Edith Cowan University, Research Online, Perth, Western Australia, 2020. https://ro.ecu.edu.au/theses/2310.

Full text
Abstract:
My experience of working with boards of independent schools has led me to conclude that boards often struggle to know how they might make their governance more effective. Very little has been written and few empirical studies have investigated governance of independent school boards in Australia, despite the considerable responsibility and power entrusted to them. This study asks how well such boards are governing and what they could do to engender fully effective governance. Currently, there are no standards or instruments for assessing the effectiveness of board governance. This study identi

The 2008 financial crisis that led to the collapse of companies and economic recession in most countries has also increased the concern for transparency, accountability and regulatory oversight and once more put corporate governance and board effectiveness on the front burner of big business issues all over the world. The board is seen as a key player in governance of companies and there is need for a better understanding of how this body works. Boards of directors are considered to be the lynchpin of corporate governance in Australia (Gillan, 2006) and the roles boards play have been subject to considerable scrutiny and research. It is accepted that boards play multiple roles in governing corporations (Johnson, Daily, & Ellstrand, 1996; Nicholson & Kiel, 2007). However, there is a concern that the current regulatory emphasis on the monitoring and control role does not always lead to optimum corporate governance outcomes (Cohen, Krishnamoorthy, & Wright, 2008; MacAvoy & Millstein, 2004) and that firm performance may be degraded. Abstract:
The social and economic effects of high profile governance scandals such as the National Safety Council, HIH and Centro have triggered much debate, reform and research into predicting and preventing future failures. While this has meant director financial literacy is now recognised as a core capability required of each individual director, there has been little guidance on what this capability involves other than the very general statement of being able to 'read and understand financial statements'. This thesis comprises three empirical studies that investigate the effects of director networks and corporate governance mechanisms on firm performance and CEO compensation. The first empirical study (chapter three) describes the extent of board networks among non-financial FTSE 350 firms listed on the London Stock Exchange during 2007-2010. We use the concept of the “centrality” from social network analysis to examine whether board networks are related to firm performance. We find that firms whose directors are more central in a network are associated with better financial performance. Consis
