Full textYet, the lack of multilateral trade regulations regarding the protection of workers' rights brings a normative creation from state and non-state participants. Indeed, in a conventional context (both bilateral and regional trade agreements) or unilateral (the generalized system of preferences) some states combine trade with the respect for work standards. In addition, what is new is the emergence of private standards (codes of conduct) in companies and in nongovernmental organizations (fair trade projects) which aim to protect some workers' rights. The failure to add a "social clause" to the Agreements of the World Trade Organization when it was created in 1994 as well as the wide variety of those "social clauses" led to the adoption, during the 1998 and the 2008 International Work Conferences, of two promotional normative instruments which reminded governments to respect fundamental principles and rights at work. The respect for this base of universal rights seems to be the result of the state' s intervention and cooperation with the International Labour Organization. The implementation of various "social clauses" is the result of binding and incentive legal mechanisms as well as the role of state and non-state participants. What is really at stake here is the protection of workers' fondamental rights by the new international economic order

Full textRegional economic integration processes lead to consequences in the social field and in labour law; this situation has fed a debate on labour law transformation to which this thesis contributes. Its main hypothesis is the following: the naalc that the three contries decided to add to the fre-trade because of the economical, political and legal differences constitutes a main reference in the current debate about a "social clause" in international trade. This device could be the vehicle of a scale transformation of labour law that the globalization of the economy requires. In a preliminary section, the background of the north-american integration is analysed and is actually seen as a silent economic integration built around the u. S. . The process has been followed by an important transformation of labour relations in the three countries, generating a social degradation in canada and the u. S. And a real social desintegration in mexico. Part i points out the asymetries in the labour law framework of the three countries. A detailled study of the naalc follows in which the specificities of the agreement are documented. The two first years of its application have confirmed its innovative features. The analysis leads to the elaboration of a theoty of the social clause in part ii. After giving some terminological definitions, the thesis presents the pros and cons of resorting to a socialclause. The analysis of different types of social clauses (unilateral, multilateral and autonomous) leads to an evaluation of the treatment of the linkage beetween economic integration and labour standards. European integration, mercosur and the alena are compared. The ilo system is also analysed in order to specify the role it could play in the application of a social clause that could possibly be linked to the wto

Full textThe aim of the research is to demonstrate that the object clause is no more significant in the current social / economic framework. For instance, art. 2380-bis c.c., as currently in force, gives to the directors the general and exclusive competence for the direction of the company, legitimating them to the fulfillment of all the operations which are necessary for the accomplishment of the object clause. The activity constituting the object of the company should then represent a merely internal limit to the direction powers of the directors, but not an external limit to their general powers. In other words, the object clause would have some importance only on the internal ground as indicator of the liability of the directors, being deprived of its importance on the external ground. Other limits to the effectiveness of the object clause can be found in the matter of groups of companies. Here the concept of group interest should prevail, as scholars and case-law clearly indicate, on the object clause, with the consequence that the object clause would see diminished its role. It is worth noting that also other law systems are reviewing the concept of object clause for adapting it to a different environment, such as UK with sec. 31 (1) of the Companies Act 2006 as well as Ireland and Spain. Accordingly, it seems clear that the object clause is not currently much important in our law system. Different conclusions can be reached if the legislator introduced the possibility of companies with unrestricted object clause, but it seems that at the moment the legislator does not have the intention to intervene on these grounds.

Full textPublic procurement and contribution to sustainability come, seemingly, from two distinct logics. On one hand, public markets function to meet the needs of public citizens. On the other hand, contribution to sustainability is traditionally dependent on legal, and not contractual, acts. However, public citizens increasingly use public procurement contracts to affect public policy on sustainability.This research identifies this phenomenon and shows that these contracts relating to sustainability are similar to a modification of the function of public procurement. Subsequently, they become instruments of environmental and social action for public citizens. This major change in the function of public buying is reinforced by the communal directives on public markets dated 26th of February 2014 and is recorded in the renewed definition of the domestic market. The success of this evolution necessarily implies a need for it to be accompanied by a legal reform in order for the complete efficiency of this opening up of public procurement to sustainability policies to be reached. Furthermore, this research will show that this regeneration of public procurement goes further than sustainability and reaches more widely into the sphere of other public policies. The whole body of public procurement law is as such affected

The research has required the study and analysis of "varied" and multidisciplinary reference sources, taking into account that it is a multifaceted phenomenon, which has become more common in relatively recent periods and has been the subject of very different interpretations, sometimes even antithetical. The aim of this research is multiple. Firstly, the thesis sought to define the perimeter of the phenomenon, extracting a possible legal definition, which is still absent in the existing regulatory framework. Secondly, through a comparative analysis between Europe and Latin America, the research analyzed the trend of social dumping in different contexts, in particular, in a developed and in a developing country. In its third and last objective, the thesis, by taking out the pros and cons of social dumping, tried to identify a future path in where it will be possible – through proactive behavior on behalf by all those involved – to make a positive contribution to counter the negative phenomena of dumping while increasingly protect social rights.
