Full textThe legal security seems to be the essential concern of the contracting parts to protect their justifiable interests. When both parts conclude a contract, this last one has to be an instrument of certainty and previsibility; now, we all know that the differences of the national legislations of different cultures are at the origin of uncertainties. Studing to know better the legal system of both countries appears to us as one of the relevant solutions of this problem for the authors of the Franco-Vietnamese sale of goods. In order better meet the needs to insure the legal security in the Franco-Vietnamese deals of goods, the present thesis does not only aim at studying all the French or Vietnamese material legal rules in international sale of goods, but also all the rules of the private international law French and Vietnamese governing the Franco-Vietnamese sale. Indeed, it does not represent that a study of the contents of the law Vietnamese common material or French of the sale of goods because it is about a Franco-Vietnamese sale, that is a relation having elements of foreign origins. In other words, in the presence of an international contract, the problems of the determination of the competent state or arbitration court and that of the law applicable to the sale are imperative before the study of the contents of the material rules of the French law or the Vietnamese law in sale contract. The study of the material rules of the French common law and those of the Vietnamese common law is subjected to the comparative method to raise the conflicts between both systems when the one or the other one may be the law of the contract (the lex contractus). Since conflicts appear and subsist, the study of the exception of the “ordre public” is imperative to notice the efficiency of the lex contractus

This paradox significantly influences its international economic integration process and manifests itself especially in the domain of trade in services. This is demonstrated by the manner in which Vietnam recognizes the principle of non-discrimination, through bilateral, plurilateral and multilateral agreements, in trade in services as well as in investements. Besides, in order to accelerate economic development, important reforms on business law have removed substancial discriminations between economic operators. However, the insufficient ajustement on structural matters still poses many problems for the implementation of the principle of non-discrimonation

Full textThe aim of this research is to better understand the export performance of SMEs in the context of transition countries. Starting with a review of the relevant literature on export performance of SMEs and followed by a survey of 231 Vietnamese SMEs in exporting business, we finally created a chain of determinants for the export performance of SMEs. The chain begins with the very important role of the leader in SMEs. The business of export demands that the leaders take risks and initiatives to stay ahead of competitors in the foreign markets. This entrepreneurial profile of leader encourages innovation and the know-how of SME export; this in result creates marketing advantages of either the product type or that of market type. The marketing advantages directly determine the export performance of SMEs. This research also shows that the combined use of objective performance and subjective performance is possible as we found a correlation between these two measures. Finally, the encouragement of environment expressed by the setting of favorable conditions also influences the export performance of the SMEs

Full textThis thesis examines the key issues in choosing strategies for industrialization of Vietnam in the new global economy. It is organized into three main parts. The first part reviews the pros and cons of import- substitution industrialization (“ISI”) and the export-oriented industrialization (“EOI”) strategies in Asian countries. It also reviews the different theoretical views of the subject, identifying achievements and limitations of the Asian model of industrialization, and lessons for Vietnam. The second part analyzes the investment policies of Vietnam, the impact of foreign direct investment (“FDI”) and international integration on trades as well as causality linkage between investment and import-export for Vietnam. The part also reports key findings using empirical study, specifically analysis of the time-series and a gravity model for trade. The third part discusses about international competitiveness of Vietnam and competition of Chinese products in both international and Vietnamese domestic markets

Full textThe globalization of markets imposes imperatives on the competitiveness of companies and has consequences for the environment and humans. In this context, researchers propose sustainable development (SD) as an alternative to preserve our environmental and social heritage. Companies as major players in our society must play their part. Among these, smalland medium-sized enterprises (SMEs) are more numerous and important in our economies, their responsibilities are all the more important. To be competitive and survive for the competition that comes from everywhere, they have no other choice than to innovate and deploy their strategies by developing products that are more respectful of the environment.Moreover, without a critical mass of SMEs engaged in SD, this project would be unachievable. To do this, integrating both new products and SD in their management 6 approach would be a way for SMEs to be responsible while being competitive. Howeve, the question is can they do it taking into account the lack of resources and know-how in the field of SD. What motivates SMEs to engage in sustainable development? This is the central question that is the subject of our study.Previous studies showed that corporate commitment to SD is motivated by financial advantage or concerns about reputation. Large companies have begun to pay attention to the process of sustainable development, SMEs seem to be lagging behind and yet they have specific characteristics such as organizational flexibility, proximity to local actors that favor the implementation of this process. However, many SMEs still hesitate to engage in the practice of CSR (Corporate Social Responsibility) for lack of resources and fear of return on investment. There is a dearth of research on how SMEs perceive and implement the concept,particularly from a developing countries perspective. This study helps to fill these gaps by examining how sustainable development is perceived and practiced by SMEs in Vietnam. In a developing and transition economy like Vietnam, financial, human, technological and institutional resources are limited and sustainable development is interpreted in a national and cultural context, so a CSR study in the SME sector is particularly important. The empirical study conducted in 4 articles with 2000 manufacturing SMEs explores to what extent the concept of CSR is understood and adopted by Vietnamese SMEs. Stakeholder, entrepreneurship and resource base theory were used primarily as they help to understand the phenomenon of sustainable entrepreneurship, especially in a country-specific research framework. Stakeholder and entrepreneurial theoriesare used to explain CSR SME engagement in Article 01. Stakeholder theory is used in Article 03 and partly in Article 02 to examine the impacts of different actors on sustainable strategic choices. In this article 02 we also use the neo-institutional theory to explain the diffusion mechanism of CSR practice in international trade. The resource theory is useful in explaining the barriers to SME CSR practice (Article 04)

Full textThe WTO is both an international organization and a set of agreements defining the rules of the international trade. Integration into the WTO means integrating the contemporary multilateral trading system, which is necessary and irreversible for developing countries. However, this integration raises many challenges and difficulties. The institutional integration of developing countries is reflected in the fact that they benefit primarily from the status of membership in the WTO. Furthermore, it is important that they should participate effectively in the process of decision making and its dispute settlement system. Material integration in the WTO requires developing countries to ensure that their own national rules and business practices conform to relevant WTO rules. In particular, it also requires these countries to take advantage of opportunities created by the implementation of these rules to meet their own specific needs and interests. The choice of Vietnam as example can decline the subject into three main parts: the first deals with the process of accession, the second is the implementation of the WTO agreements and the third addresses the question of participation in the operation and dispute settlement system of the WTO

Full textIntellectual property rights are the rights given to persons over the creations of their minds. They usually give the creator an exclusive right over the use of his/her creation for a certain period of time. The WTO’s Agreement on Trade-Related Aspects of Intellectual Property Rights (TRIPS), negotiated in the 1986-94 Uruguay Round, introduced intellectual property rules into the multilateral trading system for the first time. Vietnam became the 150th member of the WTO since January 11, 2007. As Viet Nam stated in the TRIPS Council in 2008, the Civil Code of 1995, which introduced the basic principles of property, including intellectual property, was the fundamental text representing a turning point in Vietnamese efforts to become a market economy. The Civil Code was revised in 2005 by Law No. 33/2005/QH11, re-stipulating the basic civil principles of intellectual property rights. The Civil Code is the basis on which the whole universe of IPRs is regulated by IP legislation in Viet Nam. The Law on Intellectual Property (Law No. 50/2005/QH11 of 29 November 2005) was amended and supplemented in 2009 (Law No. 36/2009/QH12). This Law covers comprehensively the full range of full IPRs. Implementing provisions are generally regulated by decrees and circulars. Research of national legislation allows us to understand the integration of this Agreement in the domestic system. But it still requires a more effective regulatory system by doing research on legal problems
