This chapter examines the regulatory issues that arise when there is an offer to acquire shares directly from one or more shareholders of a company such that control of that company shifts to the acquirer. It begins with a comparison between control shifts implemented by contract and corporate transactions which produce the same result. It identifies three principal areas where contract may need to be supplemented by takeover-specific rules arising out of the coordination costs of target shareholders, powers of target management, and agency costs of non-controlling shareholders. It then considers how takeover regulation could be fashioned so as to promote efficient and discourage inefficient transfers of control. The chapter concludes by focusing on the choices actually made in four countries: Japan, Germany, UK, and the United States.

Abstract:
The “Corporate Risk Governance & Control” Commission, composed of risk managers, working for the top leading companies and financial institutions, many of which are publicly listed, as well as academics and board members, worked together to produce a position paper that aspires to provide principles and best practices regarding strategic risk management and risk governance. In particular, the document provides a framework, applicable to non financial companies based on their specific profiles, that integrates the general requirements established by the standard setters (i.e. the Code of Corporate Governance for publicly listed companies, the COSO Framework 2017, ISO 31000:2018 and banking and financial sector regulations) while taking into consideration elements of differentiation, uniqueness and different organizational and managerial approaches to affront risk The document is composed of two main sections: "Risk Governance” and “Risk & Strategy". In the first section, roles and responsibilities regarding risk management are addressed, starting from the importance to diffuse a risk culture consistent with mission, vision and company values to outlining the benefits of adequate organizational principals and governance. Once clarifying the difference between the first, second and third level of defense, the section concludes with a detailed analysis dedicated to the role of the Chief Risk Officer, in which the requirements of professionalism and independence are underlined as well as the key role played in the consolidation of a holistic view of the risk profile within the organization. In the second section of the position paper, ample space is dedicated to the Risk Appetite Framework, a fundamental tool to connect the business strategy and punctual risk quantification. The objective is to offer guidelines to define the risk appetite within a company. The final section of the paper proposes some suggestions for risk classification considering a portfolio view, as well as ulterior reflections regarding risk quantification, highlighting also some of the principle approaches to targeted evaluations and the drafting of a strategic plan pondered around risk.

This chapter summarizes Singer and colleagues’ 1999 “Quality End-of-Life Care: Patients’ Perspectives,” which investigates elements of quality end-of-life (EOL) care from patients’ perspectives. The study uses content analysis of previously conducted interviews with 126 dialysis and HIV patients and long-term care residents to identify five domains of quality EOL care: receiving adequate pain and symptom management, avoiding inappropriate prolongation of dying, achieving a sense of control, relieving burden, and strengthening relationships with loved ones. The authors compare these with three other, non-patient-derived taxonomies, finding the study’s domains to be simpler and more specific, less conceptually driven (e.g., “processes of care”), and more outcome-focused. This study pioneered patient-centered research into quality of EOL care, which has since expanded to many other populations

Abstract:
This work is a critical update of the most recent and innovative developments of the avalanche science. It aims at re-founding it on clear scientific bases, from field observations and experiments up to strong mathematical and physical analysis and modeling. It points out snow peculiarities, regarding both static mechanical properties and flow dynamics, that may strongly differ from those of compact solids for the former, and of Newtonian fluids for the latter. It analyzes the general processes involved in avalanche release, in terms of brittle fracture and ductile plasticity, specific friction laws, flow of healable granular materials, percolation concepts, cellular automata, scale invariance, criticality, theory of dynamical systems, bifurcations, etc. As a result, slab triggering (including remote triggering) can be summarized by the “slab avalanche release in 4 steps” concept, based on weak layer local collapse and subsequent propagation driven by slab weight. The frequent abortion of many incipient avalanches is easily explained in terms of snow grain dynamical healing. Sluffs and full-depth avalanches are also analyzed. Such advances pave the way for significant progress in risk evaluation procedures. In the present context of a speeding-up climate warming, possible evolutions of snow cover extent and stability are also tentatively discussed. We show how, in mountainous areas, the present analysis can be extended to other gravitational failures (rock-falls, landslides) that are likely to take over from avalanches in such circumstances. The text is supported by on-line links to field experiments and lectures on triggering mechanisms, risk management, and decision making.
