Abstract:
Purpose This study aims to examine the antecedents of company secretaries’ behaviour and their relationship and effect on intended whistleblowing with the role of neutralisation as a moderating factor on an individual’s ethical decision-making in whistleblowing. Design/methodology/approach Using a modified version of the theory of planned behaviour as a framework and a quantitative research approach, a Likert-type scaled, self-administered questionnaire was conducted on a non-probability sample, totalling 208 company secretaries, currently working for various consultancy, audit and secretarial firms in Malaysia. The data obtained were analysed through structural equation modelling. Findings Findings indicated that attitude, subjective norm, perceived behavioural control, ethical obligation as well as self-identity were found to be predictors in a company secretary’s intended behaviour to whistle-blow. However, neutralisation was proved not to be a contributing factor in whistleblowing between intention and behaviour. Research limitations/implications The quantitative measures of intention and behaviour are incompatible based on their levels of specificity or generality. Also, there may be an existence of social desirability bias among the respondents, indicating the need for a wider sample. Practical implications The study offers valuable knowledge by providing organisations and regulators with several insights into improving the company secretaries’ whistleblowing behaviour, including the need to strengthen whistleblowers’ support and alleged malpractice investigation and analysis systems. It also enables company directors and regulators to implement whistleblowing policies as an internal control mechanism, thus realising an individual’s intention to highly engage in whistleblowing. Originality/value To the best of the authors’ knowledge, this study represents the first research that has empirically tested the relationship and effect of antecedents of company secretaries’ whistleblowing intention and behaviour using a modified version of the theory of planned behaviour, thus adding to the stock of literature on this topic and showing that “neutralisation” had an insignificant effect on the possibility of fraudulent reporting.

Abstract:
Recent research suggests that company secretaries are increasingly involved in governance responsibilities in addition to traditional administrative tasks. Little is known in the literature, however, about company secretaries’ changing governance role, and their daily challenges in liaising with boards and other stakeholders. In addition, few studies have been able to gain access to learn firsthand how company secretaries operate. This exploratory study fills this void by gaining access to the opinions of about one hundred company secretaries in the Netherlands who operate in the two-tier board system. Our findings indicate that company secretaries significantly influence an organisation’s governance framework, while they face a number of practical challenges with directors, employees and management in fulfilling their diverse roles and responsibilities

Purpose This study aims to examine the core challenges facing company secretaries in a two-tier board context. This study focuses on the key factors contributing to these challenges and how company secretaries can effectively address them. Design/methodology/approach An analysis of the narratives provided by 291 Dutch company secretaries in response to a series of open-ended questionnaire questions led to insights into the key challenges company secretaries face in their day-to-day work. Findings Company secretaries perceive a myriad of factors contributing to pressures on their time, the need to work for multiple organizational bodies and the processing of information. They believe process interventions and social interventions are needed to alleviate these issues. Research limitations/implications The research highlights the need to deeply study boards from a holistic and systems point of view that recognizes the various actors, such as the company secretary, and their relationships in a boardroom context. Furthermore, the research shows how the two-tier board model may complicate these relational dynamics owing to the formal separation of decision management from decision control. Practical implications This study identifies various pragmatic ways to address the core challenges facing company secretaries so as to improve their contributions to decision-making at the apex of organizations. Originality/value This study sheds light on an important organizational actor (i.e. the company secretary) that hitherto has received scant attention in the governance literature.

Abstract:
This study investigates the role of the company secretary in ensuring and promoting proper Corporate Governance (CG) in public and private owned South African companies, so as to educate companies on their significance in reducing corporate scandals. The study followed a mixed research paradigm in which qualitative and quantitative methods of data collection were used. Fifty questionnaires were sent to company secretaries of different business sectors giving a response rate of 78% with four of the participants telephonically interviewed to gather qualitative data. The study confirmed that the company secretary still plays a significant role in promoting CG by giving support and advising the board and its directors on CG matters. The results further show that some company secretaries are involved in director selection, performance evaluation and implement induction, training and/or professional development to strengthen the company’s governance practices. Through the use of the Companies Act and the Kings report the company secretary ensures directors are kept abreast of relevant legislative and regulatory developments. It was observed that the company secretary ensures good information flow between the board, directors and stakeholders and keeps record of all conflicts of interest. Though the company secretary is appointed by the board they can whistle blow any misconduct under the protection of the Protected Disclosure Act, thus ensuring effectiveness of their role. Despite the fact that some of the company secretaries are facing challenges due to the ever evolving and increasing complexity of their roles, there has been evolution with regards to legislation, greater transparency, better governance and improved investor expectation. This study enriches company secretaries with knowledge of their expected role in CG.

Purpose This paper aims to present the outcomes from 40 one-to-one semi-structured interviews and 12 focus group sessions with company secretaries, chairmen, CEOs, chief financial officer (CFOs), senior independent director (SIDs) and NEDs, about the role of the company secretary. Design/methodology/approach Lukes’ (1974, 2005) third dimension of power is engaged in thematic analysis of this strategic leadership role and its contribution to Board effectiveness. Findings The findings identify “discretionary capacity” as being critical to effective role contribution. Research limitations/implications Whilst the inquiry included international participants, e.g. multi-national Board members and company secretaries, it was conducted within the UK. Practical implications Having a range of discretion is particularly necessary at this time, when the new governance regime is broadening its demands on the role of the company secretary to interact with wider stakeholders. Social implications Better Board effectiveness is critical to broader sustainability of business in society. Originality/value An emergent model of the company secretary role is offered as a tool for building discretionary capacity, based on key technical, commercial and social characteristics, in their contexts – understood together as “Breadth” and “Majesty”. Breadth establishes a competency, whereas majesty, the refined high-level social qualities. This study concludes that the company secretary role is highly dependent on the preferences of the chairman, in enabling them to make an effective contribution to the Board.

Purpose Extensively public concern on “Huge Executive Compensation” makes it urgent to investigate the reasonability of high executive compensation. The purpose of this paper is to explore the effectiveness of compensation contracting based on the specific responsibility of executives. More specifically, this paper is to examine whether high compensation is helpful to mitigate agency problems. Design/methodology/approach Considering that board secretaries of listed companies are responsible for information disclosure in China, this paper examines the effect of board secretaries’ excess compensation on firms’ disclosure quality using listed company data from 2007 to 2015. The first measure of disclosure quality is based on the disclosure violation behavior of firms, and the second is KV value that represents the extent to which the investors relay on the stock trading volume. To provide additional confidence that the findings are robust, this paper further conducts two indirect tests based on rumors and cost of equity capital. Findings The results show that board secretaries’ excess compensation is negatively associated with the probability of information disclosure violation and also negatively associated with firms’ KV value, suggesting firms that pay high compensation to their information providers are more likely to provide high-quality disclosures. Besides, this paper further finds that board secretaries’ excess compensation is negatively related to the incidence of rumors, the number of rumors incurred or the cost of equity capital. Research limitations/implications Overall, the findings provide support to the efficient contracting of executive compensation, which implies that highly paid board secretaries would be better information providers than those poorly paid. Practical implications This paper provides empirical evidence that firms’ disclosure quality can be improved by modifying the compensation contract of information providers. This may indicate a new way to improve the quality of disclosures, so as to mitigate the agency problem. Social implications In spite of the public criticism on executive excess compensation, the high compensation is not always a signal of manipulation, collusion and self-interest. It also can be a signal of individual talents and great efforts. Board secretaries are worth to be highly paid if they can improve firms’ disclosures, thereby reducing the incidence of rumors and reducing the cost of equity capital. Originality/value This paper is the first research to examine the effectiveness of compensation contracting based on information providers’ disclosure responsibility in the Chinese context. It documents a positive relation between board secretaries’ excess compensation and corporate disclosure quality.

AICI statistics shows that only two farmers from Telangana state opted for crop insurance under national agriculture Insurance Scheme. This proposed research will be an explorative in nature to identify the reasons behind farmers not opting for crop insurance. Primary data collected with the help of questionnaire from farmers, interaction with primary agriculture cooperative society secretaries, bankers and Agriculture officers.

The Article is devoted to the secret correspondence of the CPSU (b), which began its existence in the early period of Soviet power. In the USSR, 1922-1923 were secretly carried out of the party and state reform, in which was installed dictatorship of the ruling Communist party. The old model of domination of individual Bolshevik leaders were eliminated. All power concentrated in the hands of few of its leaders at the top. As further development, there is a simple and archaic system of government which is not bound to any laws or control of the company. Whoever was at the top, dispose of everything and governs all. The basis of the Soviet state was the hierarchy of party committees headed by appointed secretaries. In addition, after the entry of Stalin in the post of Secretary General of the relation of the Supreme party organs to the party apparatus on the ground began to carry secret correspondence between them was classified. Circle functionaries who were sent extracts of the minutes of the Central Committee of the CPSU (b), the party committees and individual orders of the secretaries of the Central Committee and party committees, persons carrying out intra-party correspondence was strictly limited.

Abstract:
This article explains how difficult it could be sometimes to get a potentially good idea from the laboratory to the marketplace. A classic example of this difficulty is the humble Post-it note that was developed by engineer and inventor Art Fry. Art Fry worked for the 3M Company, which allowed him to engage part time in intrapreneurship. When Fry approached his superiors with his invention, the novel idea was not received with much enthusiasm. The market for sticky bookmarks did not seem to be very promising, and Fry’s idea seemed outlandish. However, Fry persistently pushed the idea until 3M relented and test-marketed “temporarily permanent” stick-and-remove notes, pads of which were distributed free to customers of other office products. Secretaries and other office workers found all sorts of uses for what came to be called Post-it notes, and the rest is history for the immensely successful product. However, the whole process from development to commercialization spanned about a decade.

This article analyses the diary entries made by a Persographic secretary (munshī), Aḥmad ʿAlī, who was employed by a retiring East India Company official to write an account of the journey they made together in 1780 across North India from Lucknow to the Mughal imperial capital in Delhi and back. Much of the landscape that they traversed—including a cluster of qasbahs, river passes, forests and fields—was formerly governed by a confederacy of Rohilla Afghans from 1737 to 1774. By 1780, however, this region was marked by the absence of well-defined, enduring state structures and witnessed an abundance of overlapping political claims. Under such conditions, Aḥmad ʿAlī, a novice secretary from this region who lacked access to major scholarly networks or courtly circles, found himself uniquely placed to observe and document the micro-level political and historical changes that he had lived through. Unlike his courtly counterparts, he witnessed transformations at a remove from both imperial politics and the regional courts that had developed through the eighteenth century. Rather than to a state or a single political project, his locus of service was aligned with the world of independent military entrepreneurs and their households, which were strewn across a region that he knew well. Questioning the view that secretaries were primarily cyphers of courtly culture or bureaucratic imperatives, the following pages demonstrate that while Aḥmad ʿAlī served his individual employer, he could imagine politics and history outside the constraints that came with corporate political affiliations, as a figure who was new to the work of secretarial penmanship and a seasoned bearer of textured regional knowledge.

This research aimed to analyze the effect of good corporate governance on stock prices. It was conducted on companies listed on the Indonesia Stock Exchange which were included in the KOMPAS100 Index in 2014-2018 by using a purposive sampling technique. The results of the study show that the number of board of the commissioner meetings, return on assets, earnings per share, and price to book value had significant effects on stock prices in a positive direction; the number of directors, education/training for corporate secretaries, and price to earnings ratio had positive but insignificant effects; the number of independent commissioners and the number of board of the director meetings had negative but insignificant effects on share prices. The novelty in this study was the addition of the variable of company secretary as an indicator of corporate governance, which was not found in previous studies. Besides, this study added a dummy interaction to see the effect of the level of corporate compliance on corporate governance.

AbstractAlthough historians have long recognized the important role that Indians played in the English East India Company's operations, the focus has usually been on the mechanics of direct rule in ‘British’ India. Yet, the expertise of Indian cultural intermediaries was arguably even more important, as well as more contested, in the context of the Company's growing political influence over nominally independent Indian kingdoms. This article examines the relationships between the East India Company's political representatives (Residents) and their Indian secretaries (munshis) at Indian royal courts during a period of dramatic imperial expansion, from 1798 to 1818. The article considers how these relationships were conceptualized and debated by British officials, and reflects on the practical consequences of these relationships for the munshis involved. The tensions surrounding the role of the munshi in Residency business exemplify some of the practical dilemmas posed by the developing system of indirect rule in India, where the Resident had to decide how much responsibility to delegate to Indian experts better versed in courtly norms and practices, while at the same time maintaining his own image of authority and control. Although the Resident–munshi relationship was in many respects mutually beneficial, these relationships nevertheless spawned anxieties about transparency and accountability within the Company itself, as well as exciting resentments at court. Both Residents and munshis were required to negotiate between two political and institutional cultures, but it was the munshi who seems to have borne the brunt of the risks associated with this intermediary position.

ABSTRACT The eXtensible Business Reporting Language (XBRL) represents an electronic reporting standard that has gained global prominence. Yet, almost all XBRL academic research has focused on the Securities and Exchange Commission's mandate with little attention to international regulator XBRL mandates and how the consequent implementations have directly impacted the accounting profession. Accordingly, our field study describes India's Ministry of Corporate Affairs' (MCA) XBRL implementation. The MCA scenario is unique, because it is the first mandatory XBRL implementation that also requires accountant certification, thus increasing the demands placed on accountants. We first report the MCA's underlying motivations and summarize their perceived benefits. Next, we examine the taxonomy and relevant documentation, investigate a sample of 15 filings, and conduct semi-structured interviews with certifying accountants of the 15 filings. Our analysis shows 219 errors post-certification, 190 from company secretaries, which can be classified into four categories and nine subcategories. Additionally, results indicate confusion with regard to XBRL validation, architectural flaws in the taxonomy and a consequent lack of taxonomy understanding, no additional procedures undertaken when certifying accountants detect errors, and a lack of incentive to provide quality certification. In light of the extant literature, we suggest the MCA change its focus from document-level certification to data-level assurance. Our findings serve to advance the evolving XBRL assurance research. Patience Worth, a British Puritan girl who lived and died sometime in the seventeenth century, produced a prolific four million words in the form of novels, plays, poems, prayers, and short stories. “Produced” is the best word for what she did; we certainly can't say she “wrote” them. We can't, in fact, say that Patience Worth existed at all. But neither can we comfortably say that Pearl Pollard Curran (1883–1937) wrote the material in question, though she is usually credited as its author. Between 1913 and 1937, Curran (Fig. 1), a St. Louis, Missouri, housewife, spoke these four million words aloud (often in an idiosyncratic, pseudo-Shakespearean dialect) with the aid of a Ouija board and a planchette. A series of secretaries transcribed what she said: Curran claimed that Worth was a thwarted authoress who had long been searching from beyond the grave for a suitable host and that she had selected Curran as her channel. Some of the material she (they?) generated was ultimately published with the assistance of Casper S. Yost (1863–1941), editor of the St. Louis Globe-Democrat and founder of the American Society of Newspaper Editors. Intrepid librarians have cataloged this perplexing material in ways that attempt to account for its convoluted provenance: “Hope Trueblood, by Patience Worth, communicated through Mrs. John H. Curran, edited by Casper S. Yost, published by Henry Holt and Company, 1918.” Questions of authorship, ownership, and voice are central to this perplexing body of work.

Purpose The purpose of this study is on the top 500 companies in South Africa (as per the TopCo, 2014 list) that have a code of ethics, to see the current state of development in this area after 20 years of focus by the government and business on making corporate South Africa a more ethical environment, in which to conduct business. Design/methodology/approach A structured questionnaire survey method was used to gather the data and it was directed to the company secretaries of these top 500 companies. Findings Many companies in South Africa have a well-established set of protocols to enact the ethos of their code of ethics, indicating that they are becoming increasingly aware of the benefits to them of having a code. South African companies are, therefore, implementing both a code of ethics and strategies that contribute to creating an ethical corporate culture. Research limitations/implications This study provides an opportunity to further research assessing and comparing other companies in non-Western and emerging economies. Practical implications After 20 years of endeavours by business people and lawmakers to improve the ethical framework of South African business, there is still plenty of work to be done, as so many top companies do not appear to have a code of ethics. Originality/value There have been limited studies in the area of business ethics in South African companies. This study is the first of its kind in the South African context and establishes the current practice 20 years after the King I report.

Purpose This study aims to examine and describe ways that organisations in corporate South Africa try to embed ethos of corporate codes of ethics in their organisations. Design/methodology/approach The study followed a quantitative research approach. The target population was the top 500 companies operating in the corporate sector by revenue. Data were collected using a structured questionnaire from 222 company secretaries and heads/managers responsible for ethics in the companies. Findings The findings show that the majority of companies have regulations that can help promote ethics ethos. The most prevalent artefact in the area of regulation was found to be conduct of ethical audits. Training was found to be the most prevalent artefact under staff support. Research limitations/implications The study was limited to large organisations in South Africa. The findings can thus not be generalised to include small- and medium- sized businesses which make up the largest segment of all businesses in South Africa. Practical implications The research provides information that can be used to compare companies operating in different contexts on practices that help promote corporate ethics quality. It provides business managers with information that they can use to evaluate and benchmark their companies on practices that help promote the ethos of corporate codes of ethics. Originality/value The study is the first of its kind to examine how organisations go about institutionalising codes of ethics in South Africa. The findings can be used by all sectors of South African business as a point of reference in their efforts aimed at embedding the ethos of ethics in their respective organisations.

Purpose – The purpose of this paper is to investigate the opinions of managers of Indian firms on stock splits and bonus shares (stock dividends) and relate them to explanations for stock distributions identified in the prior literature. Design/methodology/approach – The authors use descriptive statistics from a mail survey to the company secretaries of 500 firms listed on the National Stock Exchange of India to elicit their responses about statements involving stock splits and bonus shares. Findings – The survey evidence shows that among the competing motives for stock splits, the liquidity hypothesis receives the highest level of support followed by the attention-getting variant of the signaling hypothesis, signaling, and the preferred trading range hypotheses. Regarding bonus shares, respondents express strong support for the retained earnings, liquidity, and signaling hypotheses but lesser support for the cash substitution and preferred trading range hypotheses. Research limitations/implications – The survey evidence provides new insights into the stated motivations for stock distributions, especially bonus shares, among Indian firms but the ability to generalize the results is tempered by the relatively small number of respondents. This limits the ability to test for statistically significant differences between the various competing hypotheses. Hence, the results are suggestive rather than definitive. Practical implications – The survey evidence suggests that no single explanation dominates all others for issuing stock splits or bonus shares in India. Thus, managers have multiple reasons for engaging in stock distributions. Originality/value – Few studies use survey methodology to examine Indian dividend policy. Given the dearth of survey evidence on stock distributions among Indian firms, this study not only updates the limited evidence on stock splits but also provides the first survey evidence about managerial views on bonus shares.

Purpose Despite several years of its implementation, the corporate social responsibility (CSR) strategy of Tullow Ghana has not been able to produce the desired results for host coastal communities in south-western Ghana. This inability has resulted in many community agitations, mistrust and unresolved conflicts between Tullow and the beneficiary communities of its CSR initiative. This paper aims to examine Tullow’s CSR programme by juxtaposing the company’s annual reports with beneficiary views on CSR need satisfaction in proximate communities to determine the effectiveness of the company’s communication strategy and its impact on the performance of the programme. Design/methodology/approach This study was conducted using both secondary and primary data. The secondary data comprised CSR reports from Tullow Oil Plc. and reflected the company’s attempts at addressing social, environmental and economic issues in its host communities of southwestern Ghana. At the time of this research (February-March 2015), only the 2012 and 2013 CSR reports were available, and so the researchers relied on the two reports for secondary data. These annual reports and other relevant documents were downloaded from the company’s website, as advised by officials of the company’s CSR programme. The primary data for the research were, however, collected using face-to-face interviews with leaders of the company’s host communities, and focus group discussions with a cross-section of ordinary residents of affected communities. In all, 20 community leaders (five chiefs, five stool secretaries and ten youth leaders) were interviewed on the nature and impact of Tullow?s CSR programme on the socio-economic development of host communities. Findings The study revealed that although Tullow’s reports show considerable CSR success in Ghana, the experiences of fishing communities in the country’s western region were largely inconsistent with the company’s reports on its CSR interventions for the fisher folks. The study also suggested that an improved community-outreach strategy is required to sanitise the relationship between Tullow and its CSR beneficiaries. Research limitations/implications A limitation of the study is that there are no current CSR reports of the company. Moreover, researchers would have wished to talk directly to company officials instead of relying on the company’s website for reports. Practical implications This study has unearthed a new pathway to improving Tullow Ghana’s CSR strategy. Unlike previous studies that have proposed a top-down approach (Ackah-Baidoo, 2012, 2013; Hilson, 2014) or a bottom-up redress (Andrews, 2013) of the conflict between Tullow Ghana and its host communities, these researchers have argued that the conflict between Tullow and its beneficiaries is a communicative one and that mistrust is one of the underlying factors of such community agitations. Social implications The study has pointed out that achieving an effective communication strategy is a shared responsibility between Tullow, the coastal fishing communities and third parties – NGOs, CSOs, and others. Tullow can help pursue this strategy by adopting a more inclusive CSR reporting and education. The current practice of uploading global reports on the company’s website is not helpful to the fishing community. Originality/value This study is an original piece of work with primary data collected directly from beneficiaries of the company’s activities. The study will contribute to CSR practice in Ghana particularly in the extractive sector.

Secretarial Audit is a compliance audit. It is a part of total compliance management in an organization. The Secretarial Audit is an effective tool for corporate compliance management. It helps ensure timely corrective measures when non-compliance is detected. The Companies Act, 2013, seems to revolve around this concept of compliance and the ways to ensure its implementation. The enforcement mechanism is also well incorporated in the Act itself providing the requisite arms to strike home the point. The corporate sector as well as the professional community is required to be extra vigilant in discharging their functions to ensure that they are compliant in their approach. Over abundance of provisions spread over the Act and the rules coupled with enhanced penal provisions, inflated additional filing fees and fraud related provisions make the situation look more frightening. Audit is perhaps the only mechanism which provides some sort of comfort and assurance that controls and checks are in place. Dalam penelitian ini pendekatan yang digunakan ialah kualitatif dengan analisis regresi linear berganda dan analisis uji beda (ANOVA). Analisis uji beda digunakan untuk mengetaui perbedaan tingkat kualitas jasa pada keempat pengelola atau sekretariat yang terdaat di obyek wisata Gua Pindul. Sample yang digunakan untuk penelitian ini sebanyak 300 responden, dalam satu sekretariat terdapat 75 kuota responden. Sedangkan analisis regresi linear berganda digunakan untuk mengetahui kualitas jasa yang terdapat pada obyek wisata Gua Pindul terhadap kepuasan pengunjung.Dari hasil analisis regresi linear berganda diketahui bahwa variabel yang terdapat pada penelitian ini meliputi bukti langsung (tangibles), kehandalan (reliability), ketanggapan (reponsiveness), jaminan (assurance) dan empati (emphaty), terbukti berpengaruh positif dan signifikan terhadap kepuasan pengunjung obyek wisata Gua Pindul. Sedangkan hasil dari uji beda terbukti bahwa adanya perbedaan tingkat kualitas jasa pada tiap-tiap pengelola atau sekretariat obyek wisata Gua Pindul. Tourism is a product of the services offered by a service company in the hope that visitors come to visit and enjoy the attractions offered. In order to attract visitors, managers should be able to provide the best quality service to create a satisfaction to visitors. Quality of service has five dimensions include direct evidence (tangibles), reliability (reliability), responsiveness (reponsiveness), assurance (assurance) and empathy (empathy), the fifth dimension is referred to and used as a variable in this study in order to influence the quality of services to the satisfaction of visitor attractions Pindul. In this study is a qualitative approach used by multiple linear regression analysis and analysis of different test (ANOVA). Analysis of different test used to mengetaui differences in the level of service quality in the fourth manager or secretariat terdaat tourism and Pindul. The sample used for this study of 300 respondents, in the secretariat are 75 quota respondents. While multiple linear regression analysis is used to determine the quality of the services contained on Pindul sights on visitor satisfaction. Management of corporate social responsibility is used mostly to assist poverty reduction programs. The process of implementation of corporate social responsibility is accepted by the Semarang Regional Secretariat Cooperation Section. The company's understanding of the basis for the laws governing corporate social responsibility, most informants do not know the exact rules and regulations of governing the provision of corporate social responsibility. Abstract:
ABSTRACT The Agreement of Cooperation Between the United States of American and the United Mexican States Regarding Pollution of the Marine Environment by Discharges of Hydrocarbons and Other Hazardous Substances signed in February 2000 by the U.S. Coast Guard and the Secretaria de Marina-Armada de Mexico, established the beginning of a successful bilateral cooperation between both countries for the preparation and response to pollution incidents that could affect the coastal waters of both countries. The agreement calls for joint pollution response exercises to be conducted to exercise the bilateral coordination and joint response system. In May 2004, the Shell Exploration and Production Company acted as the Responsible Party in such a joint exercise, denominated MEXUS GULF 2004. The exercise was conducted in Matamoros, Tamaulipas, Mexico May 25–27, 2004. Building on a previously conducted exercise in 2002, the objectives of the 2004 exercise were to exercise and identify joint response procedures following a significant impact to the shared shorelines. Specifically, the four identified objectives included:Identify Natural Resources Damage Assessment (NRDA) Procedures in Mexico.Address transboundary movement Procedures of collected waste and contaminated equipment with emphasis on movement from Mexico to the U.S.Identify joint procedures for clean-up and rehabilitation of oiled wildlife.Exercise Joint Command and Control Procedures including transboundary and field communications Shell Exploration and Production Company (SEPCo), working jointly with the U.S. Coast Guard, and the Mexican Secretaria de Marina—Armada de Mexico and with outstanding support from the National Ocaanographic and Atmospheric Administration, The U.S. Fish and Wildlife Service, the Minerals Management Service and the Texas General Land Office designed and executed an outstanding exercise well lessons learned were captured and shared. This paper will cover the planning, logistical considerations, execution and lessons learned from the joint exercise as well as the successful use of the Incident Command System as an incident response management tool for bilateral cooperation.

Abstract:
The most senior Australian in the League of Nations secretariat, H. Duncan Hall became an established advocate of institutional internationalism as a mitigator of conflict. From 1933, however, the advent of totalitarian movements and his exposure to Freudianism through his association with Dr Robert Waelder led him to the conviction that psychoanalysis provided the key to the irrationality of the times. He endeavoured to use his League position, including his influence in Australia, to convince opinion leaders of the profound dangers of national mass psychosis to the survival of the international order. Frustrated in the League, he then sought to convey the same message in the United States. Although largely unsuccessful in his efforts, and unable to establish an academic vehicle for the study of the issue in America, he was able to help bring to Australia the first practitioners of Freudian psychoanalysis trained in Europe.

Abstract:
Special Economic Zone (SEZ) Tanjung Lesung located in Pandeglang, Banten Province, was established to increases local economy by tourism. Under law No. 39 year 2009 on SEZ, SEZ was managed by Zone’s board with assistance of SEZ secretariat, its administrator, and company such as PT. Banten West Java (BWJ). Effective institutional productivity is needed in the development of SEZ Tanjung Lesung. This research uses quantitative and qualitative methods to measure effectivity level of its employee’s character, government policy, human resources effectivity, also role and coordination of zone’s board . There is inefficiency in SEZ management mainly in role and coordinating aspects that turns SEZ working inefficently because of the lack of coordination, communication, service standards, monitoring and supervision. Further institutional evaluation and restructurization is needed to ensure optimum SEZ function.

Tujuan dari penelitian ini adalah: 1) Mengetahui tanggapan Dunia Usaha/Dunia Industri (DU/DI) tentang kompetensi mahasiswa Program Studi (Prodi) D3 Sekretari Fakultas Ekonomi Universitas Negeri Yogyakarta (FE UNY); 2) Mengetahui kompetensi sekretaris yang dibutuhkan oleh DU/DI. Penelitian dilaksanakan bulan Juli sampai dengan Agustus 2017. Penelitian ini merupakan penelitian deskriptif. Pengumpulan data menggunakan kuesioner tertutup dan terbuka. Populasi penelitian adalah organisasi/perusahaan yang menjadi tempat Praktik Kerja Lapangan (PKL). Penarikan sampel penelitian menggunakan teknik purposive sampling. Analisis data penelitian ini menggunakan tahap-tahap analisis data sebagai berikut: 1) mengorganisasi data dan melakukan pemeriksaan data dengan cermat, 2) melakukan pemeriksaan ulang terhadap data, 3) melakukan pengolahan data, 4) melakukan analisis terakhir, membuat interpretasi dan kesimpulan akhir. Hasil penelitian menunjukkan bahwa: 1) tanggapan sebagian besar DU/DI terhadap aspek pengetahuan mahasiswa masuk dalam kategori baik. Aspek keterampilan mendapatkan tanggapan baik. Aspek kepribadian mendapatkan tanggapan baik. 2) Usulan kompetensi baru yang perlu dikuasai oleh calon sekretaris, pihak DU/DI menitikberaktan pada kompetensi yang berkaitan dengan penguasaan teknologi informasi dan internet. The International Federation of Petroleum Workers (IFPW) was an international trade secretariat based in the United States and secretly funded by the U.S. government. The federation supported the Kennedy administration's policy of rapprochement with Iraq during the country's first Ba’thist regime by defending the regime against criticism of its violent suppression of the Iraqi Communist Party and by fostering the development of Ba’thist-led Iraqi labor unions, free of Communist influence. Simultaneously, left-wing Ba’thist union leaders strove to establish an autonomous, radically democratic, and nonaligned labor movement in the face of their own government's efforts to subordinate unions to government control. The leftist labor leaders also confronted the Iraq Petroleum Company as it attempted to reduce the size of its Iraqi work force. The IFPW focused solely on Cold War goals and did not support the union organizers in their struggles for either labor autonomy or economic security for oil workers.

Effect of Foreman Communication on Employee Performance at PT. Dewata Sawit Nusantara. This research is motivated by a number of cases of violence that occurred against the foreman, especially in the secretariat of oil palm plantations which caused the death of the foreman itself and automatically work in the palm oil sector will be hampered or decreased production even followed by poor quality of the oil palm plant itself. Of the several cases that occurred due to miscommunication between the foreman and the employee causing conflicts that triggered emotions on both sides. To support this research, the method of distributing questionnaires to respondents who have been chosen is chosen and not to forget the direct observation in the field and then supported by company data which is then processed in statistical tests to determine the effect of foreman communication on employee performance. It can be seen from the results of this study that good communication attitude from the foreman greatly influences the quality of employee performance and of course must also be supported by the good social adaptation abilities of the foreman.

Penelitian dilaksanakan pada bulan April-Juni tahun 2018. Penelitian ini menggunakan desain penelitian deskriptif dengan pendekatan kuantitatif. Data penelitian diambil menggunakan angket tertutup. Populasi dalam penelitian ini adalah mahasiswa D3 Sekretari FE UNY dan organisasi atau perusahaan yang menjadi tempat Praktik Kerja Lapangan (PKL) Mahasiswa D3 Sekretari FE UNY. Penarikan sampel penelitian menggunakan teknik purposive sampling untuk responden dari kelompok DU/DI dan teknik insidental sampling untuk responden dari kelompok mahasiswa D3 Sekretari FE UNY. Hasil penelitian menunjukkan bahwa tanggapan sebagian besar DU/DI dan mahasiswa mengenai kebutuhan keterampilan desain grafis perkantoran yaitu: 1). Keterampilan desain grafis perkantoran merupakan ketrampilan administrasi perkantoran modern yang diperlukan untuk menghadapi modernisasi dan variasi pekerjaan kantor; 2). Media penyampian informasi yang paling banyak digunakan di DU/DI adalah X-banner; 3). Penyampaian informasi terlihat lebih modern, menarik dan informatif dengan keterampilan desain grafis kantor; 4). Keterampilan desain grafis perkantoran bagi mahasiswa dan pegawai dianggap penting untuk dikuasai; 5). produk desain grafis perkantoran untuk pekerjaan perkantoran modern yang paling banyak dipilih yaitu logo instansi/perusahaan. Hasil penelitian ini dapat digunakan sebagai bahan pertimbangan dan rekomendasi perumusan kurikulum D3 Sekretari FE UNY dan sekolah vokasi lain yang mempunyai kemiripan nomenklatur keilmuan. Abstract:
This paper seeks to explain the success of two NGOs in creating standards for calculating and reporting greenhouse gas (GHG) emissions at the level of an entire company. These emissions accounting standards, called the Greenhouse Gas Protocol, have been widely adopted by multinational firms, emissions reporting registries, and even an emissions trading scheme. The paper traces the widespread adoption of the standards, and then offers an explanation for this successful instance of private regulation. It presents a supply and demand model of private entrepreneurial authority—where private actors project authority without delegation by states. The two NGOs were successful rule-makers because they were able meet a demand for three benefits to potential users of the standard: reduced transaction costs, first-mover advantage, and an opportunity to burnish their reputation as environmental leaders. The paper also explains the supply of private authority—that is, why we see entrepreneurial authority rather than delegation by states. The disagreement among developed countries on the appropriate role for emissions trading in the climate regime delayed action on developing firm-level accounting methodologies. Moreover, the relative weakness of the focal institution in the climate regime—the climate change Secretariat—meant that there was no obvious international organization to take up the task of creating new measurement tools.

Abstract:
The challenge to enhance the use of Information Communication Technology (ICT) in the Brazilian Federal Public Administration involves not only technological issues but also staff training, adaptation to new culture, and understanding of processes. Furthermore, knowledge must be well aligned and articulated so that ICT resources are applied efficiently and effectively, meeting the needs of society, ensuring the provision of quality public service and, above all, providing better conditions for the exercise of functions performed by employees. This article presents an account of the implementation of the ICT processes in a State Company based on the ICT Governance Kit proposed for the Secretariat of Coordination and Governance of State Companies. During the execution of the case study, we surveyed the initial diagnosis of the processes performed by the State, as well as brainstormings and semi-structured interviews to help the implementation process. The diagnosis made it possible to identify the level of maturity of the existing ICT processes in the State and to verify if they were being carried out in the best possible way. The driving dynamics worked as a pilot, allowing the exchange of knowledge between teams, improvements suggestion in some processes of the Kit and the definition of a proposed methodology for the implementation of the Kit that could serve as a model to be used by other States which will implement the Kit. Lastly, the processes contemplated in the Kit were considered adherent by the execution team (State employees specialists in ICT Governance who participated in the implementation process), and the suggested artifacts were validated.

ABSTRACT In May 2002, an oil spill exercise was led by Unocal Corporation - a major US based independent energy company, the U. S. Coast Guard, The Mexican Navy and members of several U.S. and Mexican government agencies. The objective of the exercise was to test the recently signed joint contingency plan between Mexico and the United States regarding pollution of the environment by discharges of hydrocarbons or other hazardous materials (MEXUS) and one of the associated geographic annexes; the MEXUS-Gulf. Participants and exercise design team members included representatives from U.S. Coast Guard, U.S. Minerals Management Service, the Texas General Land Office, Texas Natural Resource Conservation Commission, U.S. Department of the Interior, U.S. Department of Agriculture, Unocal Corporation, ERST/O'Brien's Inc., 1st Naval Zone of Mexico, Secretaria de Medio Ambiente y Recursos Naturales (SEMARNAT), Procuraduria Federal de Proteccion al Ambiente (PROFEPA) and Petroleos Mexicanos (PEMEX). This paper will describe the many lessons learned as the exercise was planned, conducted and evaluated. The exercise resulted in an exemplary show of cooperation between industry, U.S. and Mexican government officials in the desire to learn and understand the issues associated with hydrocarbon spills that cross or have the potential to cross the U.S./Mexico borders. Communications, language barriers, acceptable practices and standards for oil spill cleanup were all challenges faced by the teams in this unique exercise. Gaining a better understanding of these challenges and many other issues was invaluable and it was the consensus of all involved that this type of cooperative effort is the key to a successful cross-border response. Joint planning and training should continue in order to assure an effective implementation of the MEXUS plan should a real event ever occur.

La investigación, por una parte, determina el número de micro, pequeñas y medianas empresas (pymes) activas del cantón Cuenca, a partir de utilizar los registros y base de datos de la Superintendencia de Compañías, Valores y Seguros y los criterios referenciales dispuestos por la Secretaría de la Comunidad Andina de Naciones. A partir de esta información, se utiliza la Clasificación Industrial Internacional Uniforme (CIIU) de todas las actividades económicas, para determinar el número de empresas que se dedican a la actividad comercial (Sección G). Con esta información, se realiza una investigación particular de cada empresa de este segmento para determinar qué porcentaje de estas mantienen un sitio web en línea, así como el uso que le dan al mismo. Los indicadores que se desprenden del estudio sirven como punto de partida para futuras investigaciones que registren la evolución del uso de páginas web en la ciudad de Cuenca, asimismo, la propuesta metodológica definida puede servir para estudios similares en otras ciudades y países. AbstractThis research checks the number of active small and medium-sized enterprises (SMEs) in the city of Cuenca using the records and database of the Superintendence of Companies, Appraisal and Insurance and the benchmarks set by the Secretariat of the Andean Community of Nations. Based on this information, we use the International Standard Industrial Classification (ISIC) of all economic activities to determine the number of companies engaged in commercial activity (Section G). We performed a particular investigation of each company of this segment with this information to determine what percentage of these maintain an online website, as well as the use that they give to it. The indicators that emerge from the study serve as a starting point for future research that record the evolution of the use of web pages in the city of Cuenca. Moreover, similar studies in other cities and countries can use the methodological proposal offered in this study.

The atmospheric corrosion presented in indoors of a seafood industry, generated aggressive environments and with this deterioration in steel cans used to can sardine and tuna food, which were corroded in the manufacturing processes of this industry evaluated. Even using metal containers with a special coating to can tuna and sardines and with the exposition of aggressive environments the deterioration of these cans was made, before being used for the container of tuna and sardines in the manufacturing areas. The air pollutants as sulfurs principally, which generated the aggressive environments penetrated through cracks and air conditioning systems to indoors of the seafood industry evaluated in Ensenada, promoting the corrosion process originated. The occurrence of corrosion in the seafood industry evaluated, increased the costs of the manufacturing processes for the necessity of takeoff the deterioration of steel cans corroded used to pack tuna and sardine in 45% of the steel cans received of an industry of United States, and around 35% of the steel cans used had to be replaced. This represented a decrease in competitiveness in this industrial company evaluated, presenting economic losses, caused by presence the air pollution of Ensenada, which generated the deterioration in steel cans, being originated principally sulfurs of cars and chloride ions of sea breeze. Recently in this city of the northwest of the Mexican Republic, the indices of air pollutants emitted by the traffic vehicle, are increased and overpass the air quality standards (AQS), determined by the Secretaria de Medio Ambiente y Recursos Naturales (SEMARNAT-Mexico) and the Environmental Protection Agency (EPA-USA). For this reason an analysis of the atmospheric corrosion in indoors of a seafood industry located in Ensenada city, was made to identify the aggressive agents that reacted with the metallic surface of steel cans used to can tuna and sardine, with micro evaluation with technique of Scanning Electron Microscopy (SEM) and nano analysis with Auger Electron Spectroscopy (AES) method. Este trabalho tem como principal objetivo, estudar a realidade do Sistema de Limpeza Urbana da cidade de Campina Grande-PB, analisando de maneira integrada os seus aspectos sociais, econômicos e ambientais. A metodologia fundamentou-se na aplicação de questionários aos técnicos da Secretaria de Obras e Serviços Urbanos do município e aos da empresa prestadora de serviço, responsável por 90% da coleta de resíduos sólidos domiciliares e comerciais da cidade e entrevistas à comunidade atendida pela serviço de limpeza pública, para obtenção de informações a respeito da problemática dos resíduos sólidos urbanos da cidade de Campina Grande-PB. O trabalho foi norteado também na identificação dos roteiros e prática de coleta realizada no município, na determinação da taxa de produção per capita e caracterização física e química dos resíduos sólidos domiciliares. Os resultados advindos da realização deste trabalho,apresentam substanciais contribuições na área da limpeza urbana. Além disso, com base no diagnóstico obtido delineou-se um novo modelo para o sistema de limpeza urbana tanto para a cidade de Campina Grande-PB, enquanto para as demais cidades com características equivalentes. ABSTRACT This work has as its main objective to study the reality of the System of Urban Cleaning in the city of Campina Grande (PB), analyzing in an integrated way its social, economic and environmental aspects. The methodology is based on the application of questionnaires to the technicians in the local Urban Services Department and to the employees of the waste collection company, responsible for 90% of the collection of solid waste. Interviews are also applied to members of the local community. The work was also guided towards the identification of the routes and procedures of collection carried out in the city, and also the determination of per capita production rating and physical and chemical characterization of the home solid waste. The results present substantial contribution to the area of the urban cleaning. Therefore, a new model for the system of urban cleaning is designed not only for Campina Grande but also for other cities alike. This paper draws on research into the corporate governance practices of small and medium enterprises (SMEs) listed on the Australian Securities Exchange. Interviews were conducted with the directors and/or company secretaries of 19 SMEs. The aim of the research was to explore not only SME corporate governance structures and processes but how SMEs had chosen to implement the Principles and the reasons for their choices. The paper addresses the issue of whether the ASX Corporate Governance Principles and Recommendations were appropriate for SMEs. It describes the SME responses to the requirements, how these differ from those of larger companies, and how these differences impact on small companies.

This piece of study is designed to analyse the socio economic profiles of the corporate governance professional’s opinion on the impact of CG (Corporate Governance) on FV (Firm value) from the angle of their socio economic profile. The study considered 90 company secretaries as Corporate Governance Professionals and elicited their opinion on the aspect of Corporate Governance and Firm value, with the help of semi-structured questionnaire circulated through Google forms. After implementation of the Companies Act 2013 we have completed nearly five years. Now this is the time to see how far the socio economic characteristics of professionals influence the FV? The socio economic variables were represented by Gender, Age, Educational Qualification, Profession and Experience etc., and for the purpose of Firm value an average value of Turnover, paid up capital, net worth, EPS and Return on Investments were considered. The study found significant difference between opinion based Socio-economic factors (age and profession) and impact of CG on FV, and the remaining socio economic factors were not found significantly differentiating their impact on firm value.

Abstract:
Auditors are a key feature of a company. They perform an important role as they report on a company’s financial affairs. The report is presented at the company’s general meeting for the benefit of shareholders of the company who will consequently evaluate the performance of the company’s management. Furthermore, the report is lodged at Companies Commission of Malaysia which can be accessed by various parties who wish to rely on the report. Hence, auditors hold a public office and auditors’ report is considered as a public document. In light of this, this paper explores the possibility of attaching a fiduciary duty on auditors. This paper then proceeds to examine the manner courts deal with this concept. This is important since the concept is used extensively in relation to directors, company secretaries, receivers and liquidators. Nonetheless, in relation to auditors, it is relatively a new concept. This paper will also examine the challenges faced by auditors with this new concept. In 2007, essentially a new provision was incorporated in the Companies Act 1965 imposing a duty of good faith on auditors and to be absolved from any civil or criminal liability. Hence, this paper examines the implications of imposing such a duty on auditors. Interviews were carried out with auditors, academics, professional bodies, relevant bodies and regulatory bodies to derive in-depth views on the subject matter. Be that as it may, the duty to act in good faith is imposed on most professionals and due to the fact that auditors are professionals, the legislature imposed a similar duty on auditors. The fiduciary duty imposed on auditors will bring about more rights not only to shareholders but other parties too. Thus, this will enhance the duties and obligation of auditors in the current corporate atmosphere. This is essential as there are an increasing number of financial scandals which involve auditors. Thus, imposition of a fiduciary duty further improves the reputation of the audit profession.
