In the broadest sense of civil law, trade secret is the object of its separate branches. The legal institution of trade secret occupies a special place in the system of civil and commercial law and includes a set of general and special civil law rules governing the civil circulation of commercially important information. The Civil Code of the Republic of Azerbaijan does not define a trade secret and does not specify its individual elements. However, we have a special act of legislation in our legislation that regulates trade secrets. Its main element is "information". In order to determine the commercial significance of information under the legislation of Azerbaijan, it is important to clearly define these criteria in the legislation, as well as to cause certain problems in a dynamic environment. According to the legislation of Azerbaijan, there are criteria set out in the legislation to determine the commercial significance of the information. Abstract:
This thesis mainly deals with Barthes’s process of signification, denotation, connotation, and Lakoff’s and Johnson’s theory of metaphor in order to reveal the excellence concept in the branding of Nike video commercial “Unlimited You”. The focus of the writer’s analysis is the verbal and visual expressions in the video commercials. Those theories being used will help the writer in analysing the excellence concept and the use of verbal and visual expressions in the advertisement, then, figuring out the excellence concept used in the video commercials. The writer analyses one video commercial of Nike under the concept of “Unlimited Series” which is “Unlimited You”. This research uses qualitative content analysis by Krippendorff (2004) and Schreier (2012) to describe the concept of excellence in a systematic way. From the analysis, the writer found out that Nike aims to motivate and inspire its audience through the excellence concept. Furthermore, Nike defines the excellence concept as a form of success which comes in the form of ability to pass through the challenge. Nike associates success with high endurance, confidence, and optimism as pictured in the video commercials. The verbal and visual expressions are aimed to inspire and motivate the audiences to be optimistic, have confidence, and have high endurance to achieve success

Abstract:
Oil and gas production in the Arctic poses several new challenges that require new solutions. One such is the use of manned submarines for light intervention tasks. The submarine is completely independent of the surface conditions while adequately submerged, which is their main advantage in the Arctic. This report presents the initial design of an intervention submarine intended for the Shtokman gas condensate field. The vessel is able to perform structural inspection with an ROV and replace smaller subsea components. The vessel is intended for two week missions to the Shtokman field and is designed for operation at depths up to 537 metres. It carries an array of positioning systems originally developed for the military and offshore industry in order to safely transit within, to and from the field. The vessel is completely independent from the surface and other vessels, and do not need specially adapted infrastructure at the field in order to perform the intended tasks. The primary power plant is based on the proton exchange membrane (PEM) fuel cells used in the German Type 212 submarines, while the secondary power source is a large battery rack. The battery rack is large enough to enable the vessel to try to perform repairs on-site before an emergency return on battery power if the primary power source is disabled. The primary power plant is fuelled by pure hydrogen and oxygen. The fuel is stored as cryogenic liquids outside the pressure hull.

This paper presents a new revolutionary design in commercial aircraft: the conven-tional vertical and horizontal tails are not present as generally known, and their contri-bution to the manoeuvering of the aircraft, namely the presence of the rudder and theelevators, is achieved by locating them at the wingtips and in the canard, respectively.Substituting the horizontal tail with the canard, the possibility of dividing the fuel be-tween the wing (where it is located conventionally) and the canard allows the pilot tochange the center of gravity during the ight with more freedom, while the eect of theelevators continues present. Locating the vertical stabilizers at the wingtips combinesthe eect of the vertical stabilizer and the winglet all in one, with the corresponding lostof weight. In this sense, the aerodynamic, stability and aeroelastic characteristics of anaircraft such as the one described have been analyzed using dierent modules belongingto CEASIOM program, and the results are very encouraging, showing that it is reallyfeasible to change the current concept of the commercial aircraft without penalizing theperformance.

Abstract:
This study deals with an important concept in fiqh known as ḍamān. Despite its universal usage in various areas of law, including that of criminal law and law of torts especially in facilitating award of compensation, this study will confine its survey within the bounds of commercial transactions. Ḍamān forms one of the most complicated subject-matters in the Islamic Law of Obligation. In this context, ḍamān is generally perceived as civil liability in the widest meaning, arising from the non-performance of contractual obligation, violation of trust, misrepresentation and unlawful enrichment. Firstly, this study will discuss suretyship, as ḍamān is, to some extent, treated as synonymous with kafālah by the jurists. Secondly, ḍamān will be surveyed as a method of redress of any contractual irregularities under the notion of gharāmah. Such practices are motivated by the Sharī'ah doctrines of maqāṣid shar'iyyah (objectives of the law), upholding the concept of lā ḍarara wa lā ḍirār (no harm shall be inflicted or reciprocated) and respecting the notion of sanctity of legitimate ownership (ḥurmat al-milkiyyah) and freedom of contract (ḥurriyat al-ta'āqud). Methods of establishing liability (ṭuruq ithbāt al-ḍamān) and its waivers (al-i'fā') min al-ḍamān), provision of redress (mabda' al-ta'wīḍ) and the institutional framework which are involved in it are then discussed. The study will be concerned with the prescriptions of the Qur'ān and Sunnah on ḍamān and their explanations in the classical manuals of Islamic Law. In addition, certain post-classical texts offering specific treatment of ḍamān, particularly al-Baghdādī's Majma' al-Ḍamānāt and al-Ma'danī's Taḍmln al-Ṣunnā' will be studied. Also, decisions by juristconsults of various localities, recorded in various collections of fatāwā and court decisions in the literature of adab al-qaḍā, will be examined to enhance our knowledge of the way ḍamān has been treated. For the purpose of systemization, texts of Uṣūl al-Fiqh and Qawā'id Fiqhiyyah are essential. Similarly, evidence on the economic history of Muslim civilization in the form of actual contracts, letters, business records and institutional operations, are examined. The research also relies heavily on the codifications of Islamic law like the Ottoman Majallat al-Aḥkām al-'Adliyyah, Qadrī Bāshā's Murshid al-Ḥayrān and the Ḥanbalīs Majallat al-Aḥkām al-Shar'iyyah. Finally, an analysis of the contemporary legislations in Egypt, the United Arab Emirates and Malaysia will prove that a classical concept like ḍamān is still vital for modem commerce. This also lays stress on the importance of neo-ijtihād to ensure ability and competence to apply ḍamān to fresh problems in commercial life.

The purpose of this dissertation is to analyse the definitional rules of fiscal jurisdiction as well as the tax consequences resulting from the application of these rules, as implemented in the national tax law of the chosen jurisdictions. In essence, there are two main rules, which give content to the chosen theory of fiscal jurisdiction, mainly source and residence. It is trite that globalisation of the world's economies poses certain problems for international tax policy. Companies and individuals are becoming more mobile and therefore are able to exploit tax differences between states. In consideration of the natural concern of governments that they should get an acceptable share of the profits generated by international businesses, this research study analyses the bases through which a country could claim the right to tax. The plasticity of these two key concepts (source and residence) may well subvert a country's ultimate tax objective because of the potential for exploitation of ambiguity in the search for effective avoidance. The residence tax system and its implications have been analysed mainly from the South African perspective, and where necessary, the analysis has sought reference in other jurisdictions such as the United Kingdom and the United States. The source principle of taxation and its effects have also been studied from the South African context, with a comparative approach from Hong Kong. It has been found that the countries considered in this research have, in various ways, adopted different combinations of subjective factors for tax liability in their domestic tax laws. At the same time, the relentless search of additional tax revenue, has led countries to implement in their tax laws, stringent anti-avoidance measures designed to prevent the deferral of tax, for instance on foreign source income. Factors such as the increasing complexity of modem business and the greater sophistication of tax planning techniques have contributed to this state of affairs. Thus, this dissertation highlights that competition between governments, in the face of international economic integrity, may lead countries to adopt tax rules, which though they follow the usual international standards, are nevertheless very complex in application and administration. This can maintain the problem of international double taxation and lead to excessive or unpredictable compliance burdens. It is shown how countries in the exercise of their fiscal jurisdiction can move towards harmonisation of rules and common interpretation of the tax base in the application of their national tax legislation.

Pour comprendre les influences de la densite dans les espaces commerciaux, nous avons commence par faire le point sur les recherches menees en marketing et en psychologie sociale. Nous avons passe en revue les effets de la densite, les variables qui moderent ces effets et les mecanismes d'influence de la densite. Puis, nous avons presente les principes de l'analyse transactionnelle qui permet d'integrer les differentes approches theoriques et de conceptualiser plus finement les effets et les mecanismes d'influence de la densite. A partir d'une analyse des transactions entre l'individu et son environnement, nous avons developpe un modele dynamique selon lequel les reactions des acheteurs dans un magasin bonde dependent de la signification qui emerge de la transaction entre l'individu et son environnement. Pour tester cette approche, nous avons effectue une etude empirique aupres de 585 acheteurs d'une grande surface. Notre recherche permet d'identifier plus precisement les effets de la densite sur les acheteurs et les mecanismes d'influence de la densite. Elle a permis de : - differencier les aspects sociaux et spatiaux de la densite et d'etudier l'impact de chacun, - de clarifier la notion d'impressions de foule, - de mettre en exergue les modes d'ajustement a la densite, - d'identifier les mecanismes d'influence de la densite, - de proposer un ensemble d'actions pour gerer efficacement la densite dans les espaces commerciaux.

L'élaboration et l'application de règles d'origine sont devenues plus problématiques face aux réalités de la mondialisation, car les matières premières ou les composantes peuvent venir d'un certain nombre de pays, mais les douaniers doivent déterminer l'origine du produit aux fins de traitement, parmi lesquelles le droit de douane à appliquer, à partir du moment où le produit entre dans sa juridiction. Traditionnellement, l'origine des marchandises faisant l'objet d'échanges internationaux a été considéré comme l'un des instruments de l'administration des douanes, mais l'évolution du commerce international a montré que la détermination de l'origine pouvait avoir des conséquences sur un très grand nombre d'aspects régis par différents Accords de l'OMC. Actuellement, les règles d'origine constituent un instrument secondaire de politique commerciale important et elles sont utilisées pour déterminer la nationalité d'un produit en vue d'une application correcte des mesures de politique commerciale discriminatoire. Mais l'absence d'un ensemble de règles d'origine unifiées et harmonisées offre à certains pays l'opportunité et les incitent à utiliser ces règles pour appliquer une politique protectionniste et discriminatoire entre les différents pays. En raison de la manière dont elles sont appliquées dans un grand nombre de cas, il semble que ces règles soient de plus en plus considérées comme des instruments de politique commerciale en soi, et non comme un dispositif de soutien aux dits instruments. Il est reconnu par tous les pays que l'harmonisation faciliterait les échanges internationaux. Mais compte tenu de la diversité des règles d'origine, cette harmonisation est un exercice complexe en fonction des divergences des intérêts nationaux, couvrant le spectre entier du commerce global, s'étendant de la libéralisation et de l'accès aux marchés à la protection. Cette thèse n'a pas l'ambition de trouver une solution à cette problématique, car les solutions dépendent de l'intérêt privilégié, mais de fournir quelques pistes de réflexion.

A la qualification de l'acte s'attache une serie de consequences concernant notamment le regime juridique applicable (regle de preuve, de solidarite, de competence juridictionnelle. . . ). Fondamentale, la distinction n'est pas pour autant exempte d'incertitudes. La loi ne definit pas l'acte de commerce et les qualifications retenues par la jurisprudence manquent de clarte et de coherence. Les criteres de commercialite (reposant sur les notions d'entreprise, de commercant, de speculation. . . ) Se revelent inadequats pour effectuer correctement le depart entre les activites civiles et commerciales. Les qualifications manquent de coherence et de logique. Le critere ideal de commercialite n'existe pas. On est alors conduit a envisager la suppression ou tout au moins une modification de la distinction actuelle. La disparition de toute classification bipartite des actes du droit prive, par le jeu d'une reunification de l'ensemble des actes civils et commerciaux ou, inversement, par le biais d'une scission infinie des deux categories existantes n'apparait pas susceptible de resoudre correctement les difficultes que souleve la distinction actuelle. On preferera donc une redefinition de la classification fondee sur un critere nouveau : celui du professionnel. La nouvelle repartition proposee se justifie tant par l'identite de situation des particuliers que par la profonde unite qui existe au sein du monde des professionnels. En substituant a la distinction des actes civils et de commerce une distinction opposant l'acte non professionnel a l'acte professionnel, on parviendra a une classification claire et logique des actes du droit prive
The distinction between civil and commercial contracts is fundamental in french private law. Whether the contract is considered civil or commercial carries significant consequences, especially in the relevant legal rules (concerning for instance what jurisdiction will be competent). Although fundamental, the distinction is not free from uncertainties. There is no legal definition of commerciality and the jurisprudence lacks firmness and consistency. Any attempt at defining commerciality in terms of exercising enterprise, business or speculation activities turns out to be inadaquate to find a clear-cut dividing line. No perfect criterion of comerciality can exist. This rises the question whether the present distinction should not be given up or at least substantially modified. As a matter of fact, reuniting the whole of civil and commercial contracts, or, on the contrary, splitting them into a number of sub-categories, would not provide a proper solution. So we argue for a new definition of commerciality on the basis of a new criterion : being a professional businessman. Our solution is justified by the fact that all professional businessmen behave much the same way, in contradistinction to non professionals. This new distinction between professional and non professional contracts is apt to bring clearness and consistency to private law

Abstract:

This master’s thesis deals with the transfer pricing of intangibles and focuses on the U.S. standard commensurate with income. This standard has been accused of being incompatible with the overriding principle of transfer pricing, the arm’s length standard, and is not endorsed by the OECD. Recent developments on the topic include the introduction of a similar provision in Germany. The purpose is to evaluate the standard’s compatibility with the arm’s length standard and to establish the current position of the concept of commensurate with income.

To meet this purpose the thesis first describes the inherent problems surrounding transfer pricing of intangibles as well as provides a background to transfer pricing in the U.S. The focus then shifts towards the history, application and criticism of the commensurate with income standard. The thesis also gives an account of the OECD’s and Germany’s positions on the matter. In the final analysis the compatibility with the arm’s length standard is examined from two angles; the commensurate with income standard’s valuation approach on one hand and its use of hindsight on the other.

The commensurate with income standard uses an income approach to valuation of transfers of intangibles instead of the market approach recommended by the OECD. This may lead to overvaluation of intangibles and is not strictly in line with the arm’s length standard. The German commensurate with income provision is more in line with the market approach and is therefore more compatible with the arm’s length standard in this aspect.

The commensurate with income standard allows adjustments to transfer prices with the benefit of hindsight. The actual income from a transferred intangible is thus used as evidence as to whether or not the original transfer price was set reasonably. The OECD is of the opinion that only information known at the time of the transfer should be used, but makes an exception for the particular situation when a tax authority can prove that unrelated parties would have adjusted transfer prices retroactively. The point made here is that the commensurate with income standard places the burden of proof on the taxpayer, while the OECD places it on the tax authority. This allows the OECD to stay true to the arm’s length standard, while the U.S. and Germany deviates somewhat from it.

However, there is no exact manner in which to define the arm’s length standard, and even the OECD deviates from it more or less. The commensurate with income standard may be one step further away from the purest definition of it but not a complete deviation. The German version of commensurate with income manages to target the same problem while staying closer to the arm’s length standard. Germany has thereby found a middle way and might hold the solution to finding a consensus between the OECD and the U.S.

For the majority of cooling towers installed, of which there are greater than half a million installed in the U.S., tower design uses direct evaporative cooler technology where an ideally enthalpy-neutral process cools the process water stream to a temperature above the ambient wet bulb. This ambient wet bulb temperature is the limiting factor for the process cooling. As such the energy-water connection is clear, these cooling towers are direct consumers of treated water and their cooling performance is intimately tied to the process efficiency.

Abstract:
In this proof-of-concept project, CSET and Amplyfi Ltd. used machine learning models and Chinese-language web data to identify Chinese companies active in artificial intelligence. Most of these companies were not labeled or described as AI-related in two high-quality commercial datasets. The authors' findings show that using structured data alone—even from the best providers—will yield an incomplete picture of the Chinese AI landscape.
