This Master's Thesis is a comparative study of the regulation of defensive measures in hostile takeovers. It consists of two main parts: In the first, the subject is approached from a theoretical point of view. The relevant factors for the regulation of defensive measures are outlined and analysed, followed by a discussion of the different ways of drafting such rules. This part concludes with a proposition concerning the most favourable form and content of a regulation. The second part describes hostile takeover regulation in the US, the UK, Canada, the EU and Germany, showing the diversity in that field of regulation in practice and the underlying reasons. It highlights and assesses the characteristics of each country and its regulation in the light of the considerations made in the first part, and provides an outlook concerning the future development of the regulation of defensive measures in hostile takeovers.

The aim of my master’s thesis is proposal for the common systems in the western part of the cadastral area municipality. Suggestion anti-erosion measures, road networks, landscape elements and territorial system of ecological stability.

This diploma thesis is divided into two main parts. The first part describes issues of the proposal of water management measures in land consolidation process. Second part deals with the conceptual proposal of water management measures in the specific cadastral area. This part also include graphic attachments.

The master's thesis deals with the issue of the consolidation of financial statements. The first part of thesis, there are explained important terms and methods, which are linked to consolidation. The theoretical information is used for work out a practical part, which includes making new consolidated financial statements in consortium HOLOUBEK. The new statements are related to change in consolidation group.

This dissertation is concerned with the foundations in volume unstable soils and objects disorders which are related to this. The thesis was focused on the study of clay and loess soils which are abundant in the geological profile of the Czech Republic. First, the formation of the two groups of soils is introduced, then their properties are examined and finally the influence of vegetation on the former type and the influence of collapsibility in the latter type are investigated. The conclusion is, in fact, a recommendation on the design of structures so that the system of clay / structure is not damaged and that structures are not subject to renovations. Several instance of problems with structures are discussed which were subject to structural repairs employing both a civil and geotechnical engineers.

This thesis is focused on the issue of achieving synergistic effect in a consolidating entity. Consolidation unit and proposed financial indicators for monitoring the synergistic effect of the parent company and the consolidated group are defined based on the theoretical findings. Based on the analysis of these indicators is evaluated whether the synergistic effect is achieved.

碩士<br>逢甲大學<br>水利工程所<br>93<br>The stream corridors are often affected by human activities and the channel-transverse structures are then utilized to control erosion, scours, collapses and deposits of channel beds. However, there are some drawbacks with these structures that are designed to be safe and endurable. The most serious effect among the drawbacks is to block the pathway of mitigation fishes, especially by check dams. Meanwhile, local scour holes below channel-transverse structures also cause the separation and isolation of aquatic habitats. Therefore, this study tried to compare the effects of original check dam with three kinds of dams with improvement measures, i.e., sharpened spillway, rock ramp, and rock apron, by flume experiments. With evaluations on mitigation accessibility, sediment transportation, habitat composition, stream self-purification capacity, and water power, this study found that the best improvement method is rock apron followed by rock slope, and non-improvement check dam performed worst. However, this improvement policy of channel-transverse constructions is the make-up approach for its drawbacks. The most important consideration at planning period of construction is designing specific structures to avoid excessive impact to environment and reach the goals in ecology conservation and engineering purposes.

A project report submitted to the Faculty of Engineering, University of the Witwatersrand, Johannesburg, in partial fulfillment of the requirements for the degree of Master of Science in Engineering.<br>The research report summarises the theory of consolidation, for both linear infinitesimal strain, and for non-linear finite strain. The non-linear finite strain theory isadopted in a computer program to model the building of a tailings dam by thin layers. This program provides the pore water pressure profile over the depth of the deposit, as well as the settlement of the deposit. Making use of the program and the consolidation properties of five mining residues and two industrial residues, the build up of excess pore water pressures is modelled for different rates of deposition of the waste products. These results are used in determining how the rate of deposition affects the stability of the outer slope of a tailings dam. Also, the difference in the stored volume in a dam is investigated, based on different drainage condltions and rates of deposition.<br>Andrew Chakane 2018

碩士<br>國立臺北教育大學<br>教育政策與管理研究所<br>96<br>The Research on the Measures and the Assessment Indicators for Small School Consolidation in Remote Districts in Taipei County Abstract The purpose of this study is to have an understanding of the viewpoints of the related personnel in small schools and communities in remote districts in Taipei County on the assessment indicators and the measures for school consolidation. The three methods adopted in this study are questionnaires, individual case interviews and document analyses. The questionnaires were given to 34 small schools with less than 100 students in Taipei County in the academic year 2007. Then 233 valid questionnaires were collected. The individual case interviews were conducted. The information acquired by the interviews was analyzed. The information acquired by the questionnaires was analyzed by the following methods: percentage, frequency distribution, mean, standard deviation, t test, and one factor ANOVA. The major conclusions and suggestions drawn from this study are as follows, Major conclusions: 1. Due to the declining birthrate and the population outflow, the number of students in small schools in remote districts also declined. Facing school consolidation, these schools had to actively develop their characteristics and to create their value of education. 2. Since most related personnel did not want school consolidation, it showed the lowest score in the related personnel assessment indicators. Therefore, the people’s opinions should be highly respected. 3. The aspect of culture passage of the small schools facing school consolidation was highly valued by the related personnel. 4. The counter aspect of environment and distance got high score in the counter aspect of related personnel assessment indicator. 5. The aspect of the feelings of the alumni should be highly valued when the schools faced consolidation. 6. The variable, different backgrounds of school personnel, varied among the 3 assessment indicators: concern for related people, concern for environment and facilities and concern for feelings of alumni. 7. The variable, different backgrounds of community people, showed different aspects in the 2 assessment indicators: consideration of administration scale and consideration of school distance. 8. The number one way the related personnel chose was to have small schools develop their characteristics and have no need to be consolidated. The number two way they chose was the new concept of “united schools” when schools underwent consolidation. 9. For the timetable of “the Plan of Small School Transformation in Taipei County,” it should be comprehensively assessed, then to produce the priority procedures and to propose the measures in advance. 10. The consolidated school personnel viewed their school be transformed to “the Ecological Educational Park” as the top priority. The community people viewed their community be transformed to “the Community Activity Center” as the top priority. 11. The number one choice for the transportation arrangement of consolidated school students all agreed was to have students take the buses arranged by the county government. 12. For the measure for preferential tuition fee, it was considered that the small school students should be given complete care, since most students were economically disadvantaged. 13. The consolidation plan of small schools should be more comprehensive. The measures should be complete. The communication had to be done in advance. It should be given assistance during the consolidation process and followed by periodical aftercare. Based on the conclusions of the study, the suggestions are proposed as follows, 1. Suggestions for the education administration authorities: (1) The number of students should not be the only concern for school consolidation. School consolidation should be comprehensively assessed and then followed by mid-term and long-term plans. (2) The consensus had to be reached by the schools which were in the tentative list of consolidation. The comprehensive measures should be prepared. (3) For the schools which were in the list of consolidation, a series of working procedures should be planned and followed by periodical guidance in order to have the consolidation develop its greatest value. 2. Suggestions for the schools: (1)To apply new administration concept for small schools “strategic union－united schools” in order to promote school competitiveness. (2) To link up the community resources to develop school characteristics; to play the role of communication platform for other schools in order to create new value of education. (3) For schools which were in the list of consolidation, they should play the role of communication and coordinator in advance to cope with the coming tasks. The diploma thesis deals with an assessment of cadastral territory, which is going through a complex land consolidation. For these purposes, the cadastral area Záborná, that is located in the Vysočina Region, was selected. The main objective of this work is to compare the current state of the territory, in terms of erosion, with the area where the erosion control measures were proposed. Erosion will be calculated using by Wischmeier-Smith's universal soil loss equation. In this cadastral area, it will be necessary to assess in terms of climate, geology and hydrology.

We assess the effects of austerity announcements on investors' perception of the government's solvency across the financial cycle. To do so, we construct a unique news dataset utilizing a newswire database which consists of governmental and parliamentary approvals of austerity measures for 11 European countries. We also follow more regular statements of governmental representatives towards austerity measures. The effects are studied on 10-year sovereign bond yield spreads vis-à-vis Germany during the period 01:2000-12:2019. Implementing pooled OLS regressions, we find significant decreasing effects in the pre-crisis period especially for the GIIPSH group (Greece, Ireland, Italy, Portugal, Spain, and Hungary) and decreasing although not significant effects in the post-crisis period. The crisis period manifests itself with increased surprise effects of announcements. The markets adopted announcements of the GIIPSH group as signals of deteriorating solvency which led to further increases of yield spreads. On the other hand, prudent countries (Czechia, France, Netherlands, Poland, and Slovakia) enjoyed a low sensitivity to their announcements across the cycle. Finally, we find that markets react rather on final announcements of austerity measures than to comments expressed by national representatives....

This thesis focuses on the evaluation of the current state of common facilities and the following draft of comprehensive land consolidation in the cadastral territory of Dolní and Prostřední Svince. In the scope of the common facilities, the survey focused on the network of roads/paths and subsequently its elaboration in the form of a digital map. After the survey of the followed territories in the terrain the current state was processed which showed the individual advantages and disadvantages. By means of the evaluating criteria the effectiveness of the common facilities within comprehensive land consolidation for zones of interest was tested. The target of the performed evaluation and the draft of measures is the total improvement and strengthening of effectiveness of individual common facilities within comprehensive land consolidation.

The aim of this work is to explore the area of the Complex Land Consolidation Poněšice in the view of the pedology, hydrogeology and climatology. Further make a erosion threat calculations using the USLE and Curve Number method and afterwards review the application of the erosion control measures in another section of the chapter Main terriorial systems. In conclusion, to estimate the economic aspects of the proposed measures.

There is solved the cooperation of the land plan and complex land consolidation fot three different cadastral areas - Krtely, Malovičky and Podeřiště. These cadastral areas come under the administration of the community Malovice. The complex land consolidation and land plan were initiated in different order nad in defferent years. The land consolidatin for the cadastral area Krtely was initiated in 1992, for Malovičky in 2005 and for Podeřiště in 2007. Moreover, each project has been prepared by the different design office. The result of the diploma thesis is the assessment of the cooperation during different conditions and also the assessment of the processing quality of single projects.
