Abstract:
The objective of this thesis is to consider whether the institutionalist hypothesis that the choice of organisational form functions to limit the transaction costs of organising productive activities explains a major standard-form contract which is used in building production. I approach this task by demarcating three models of contract which represent different points along a "contracting continuum". Each of the three governance structures - classical contract, relational contracting and the firm - represents a distinct patterning of resource co-ordination and each generates its own configuration of transaction costs. Thus the contracting continuum provides a basis for comparing the cost-reducing strengths and weaknesses of governance structures that vary with respect to their characterisation of relations between economic actors, and of the form and substance of both planning and implementation of decisions. The second part of the thesis focuses on the standardform building contract and its location along the contracting continuum. This part of the thesis addresses the question of "transactional fit" between the building contract and the activity which it purports to regulate. The analysis proceeds by identifying sources of transaction costs in the context and in the practices of building production and examining the governance implications of the contractual responses to such costs. 11 In its conclusions the thesis attempts to evaluate the contribution of institutional analysis our understanding of legal conceptions of contract. By using an industry-wide standard-form contract as a focus, I hope to illustrate some of the strengths and also the limitations of this approach. Building contracts have received little academic attention in the UK., and transaction cost analysis of governance structures is a young science which has been pursued with more enthusiasm by economists than by lawyers. As yet there has been little attempt to relate substantive aspects of the lawyer's understanding of contract to the "new institutional economics". It is hoped that this thesis will make a contribution to that exercise.

Abstract:
This research exposes to examination and understanding the law governing procurement of construction and engineering works and services. The thesis captures both development of common law and judicial determination of statutory law. It takes the form of published journal articles and conference papers which discuss legal issues relevant to construction procurement and conclude with recommendations for clients and construction project managers on how to better manage the procurement process. The work reveals, inter alia, the extent to which contract law regulates the tendering phase of construction procurement and places the client under an obligation to the tenderer characterised as 'fair dealing' or 'good faith'. Chapter 1 is of an introductory nature. Chapter 2 sets the crime of manslaughter arising out of construction site fatality as a procurement issue. The author notes the UK government's intention to introduce the new offences of reckless killing, killing by gross carelessness and corporate killing. Chapter 3 discusses cases where disaffected parties to the tendering process have made private law challenges of that process seeking compensation for the other party's alleged irregularities. The client is generally obliged in law to treat all tenderers equally and fairly and to refrain from evaluating tenders and awarding contracts other than in accordance with the rules set down in the tender conditions. Chapter 4 addresses the question: do traditional tendering processes encourage, or merely permit, contractor innovation? Several tender codes are reviewed to establish whether these codes provide for, or encourage, innovative proposals from competing bidders. Chapter 5 provides updating case material for the period 1999-2000 which helps to underpin the conclusions and recommendations set out in Chapter 12. Chapter 6 is a criticism of the NJCC's Code of Procedure for Single Stage Selective Tendering and the CIB's Code of Practice for the Selection of Main Contractors. Suggestions are made as to what a new tender code might include in the light of selected decisions of the common law courts. It is argued that a set of 'standard' tender rules should become the terms of a 'tender contract'. Those rules would properly reflect decisions of the courts and would be accepted by all parties to the process as a tender contract document. Chapter 7 discusses how the common law protects the integrity of construction procurement by imposed or assumed contractual obligations. Procurement of subcontract works is also considered. The author concludes that the tendering contract operates between main contractor and subcontractor as it does between owner/ developer and main contractor, and that the 'two contract' analysis provides the best basis for upholding integrity of the bidding process. Chapter 8 sets out advice for quantity surveyors and project managers derived from the decisions of the common law courts. The author argues that practice should be shaped to reflect the obligations assumed by parties in common law so as to avoid claims from aggrieved bidders. In Chapter 9 the focus shifts from private to public law. A Scottish court denied a remedy to the unsuccessful bidder on the grounds that the contract award process was unfair, unreasonable and in breach of natural justice. The author argues that a successful case might have been made out in private law and concludes with recommendations as to how the tender process might be better conducted. Chapter 10 deals with public procurement under the rules of the European Union (EU), noting a particularly important decision by the European Court of Justice that contracting authorities are obliged to treat all tenderers equally and fairly, a duty that parallels that found in common law and discussed in Chapters 2 through 8. Chapter 10 concludes with an article on Rv Portsmouth City Council (1996), reviewing both decisions at first instance and in the English Court of Appeal. Chapter 11 considers the risks of developers and contractors by examining the effectiveness of 'controls' imposed by common law when the usual statutory controls are temporarily withdrawn. It can be seen that the common law has not evolved to protect the interests of neighbours and local residents from the perils and hazards of property development which result in environmental degradation. This chapter concludes with recommendations as to how developer and constructors might minimise their impact on adjacent property owners. Chapter 12 presents a summary of the conclusions drawn from the completed research project and the author's recommendations for further research within the procurement topic.

The FIDIC ContractsThe International Federation of Consulting Engineers (FIDIC), participating in a global trend of creation of the rule of law by private organizations, elaborates and issues the FIDIC contracts. These contracts are standards widely used in major international constructionn projects by the main actors of international construction market. The FIDIC contracts participate to the transnationalization of the applicable law to such major projects. Esta dissertação apresenta um estudo a respeito da interpretação do contrato de cessão remunerada de espaço para instalação de loja em shopping center, denominado como “contrato de shopping center”, visando à estipulação de parâmetros hermenêuticos que auxiliem na busca do seu conteúdo. Para isso, procede-se, em primeiro lugar, à devida caracterização deste contrato, em seus aspectos econômico-negociais e jurídicos, que são decisivos para o desenvolvimento do estudo quanto à sua interpretação. Em especial, manifesta relevância o estudo da sua qualificação jurídica, que parte das duas principais discussões percebidas na doutrina e na jurisprudência nesse tocante, a respeito da tipicidade ou atipicidade do contrato e da presença de coligação contratual nesta relação negocial. Expostas as características de cada categoria, compreende-se que o contrato de shopping center é um contrato atípico misto, que apresenta coligação com outros, para a consecução da finalidade socioeconômica do empreendimento. Tal qualificação tem repercussões na interpretação deste contrato, uma vez que atrai a consideração de fatores específicos no processo hermenêutico, em conjunto com a aplicação das normas legais sobre a interpretação dos contratos (arts. 112, 113 e 423 do Código Civil). Assim sendo, com base na doutrina e na análise de precedentes jurisprudenciais, especialmente sobre o contrato de shopping center, estabelece-se que o intérprete desse contrato deve observar a incidência das referidas normas legais sob a perspectiva de tal qualificação contratual, que atrai os seguintes parâmetros interpretativos: pela sua atipicidade mista, a preeminência das disposições contratuais estipuladas pelas partes em face dos modelos legais típicos, considerando a relevância dos usos e costumes na definição desse sentido, mediante o tipo socialmente formado, e a possibilidade de aplicação de tais modelos legais típicos, se não contrariar o significado próprio do contrato; pela presença de coligação contratual, a “ampliação” do material interpretativo, impondo a consideração dos demais contratos vinculados na interpretação do contrato coligado, e a maior relevância da função socioeconômica supracontratual exercida pelos contratos em conjunto para a definição do conteúdo do contrato na coligação.
This dissertation presents a study on the construction of the contract for the lease of premises for retail stores in shopping centers - named “shopping center contract” - in order to establish hermeneutic parameters that assist in the definition of its content. For that we will first characterize such contract according to its economic, trading and legal aspects, which are decisive for the development of the study concerning its construction. In special, the study of its legal qualification reveals importance in that matter: this qualification is grounded on two major debates perceived in the jurisprudence and in the case law in this subject - the characterization of the contract as “typical” or “atypical” and the presence of linked contracts in this business relationship. Once the features of each of these categories are exposed, we can understand the “shopping center contract” as a “mixed atypical contract”, which is linked to other contracts for the achievement of the socioeconomic purposes of the enterprise. Such legal qualification has bearing in the construction of the shopping center contract, as it draws the consideration of specific elements in the hermeneutical process, along with the application of statutory rules for the construction of contracts (articles 112, 113 and 423 of the Brazilian Civil Code). Therefore, based on the jurisprudence and on the analysis of case law, specially surrounding the “shopping center contract” in Brazil, we can establish that the legal interpreter of this contract must abide by the application of the aforementioned statutory rules under the perspective of such legal qualification, which by its turn casts construction parameters into consideration. These are: due to its nature as a mixed atypical contract, the preeminence of the contractual terms agreed upon by the parties vis-à-vis the typical statutory legal standards, considering also the importance of the customary practices in the definition of its content, through the socially formed contractual type, in addition to the possibility of the application of such typical statutory legal standards when they are not conflicting with the contract’s own meaning; and, due to the presence of linked contracts, the “enlargement” of the subject matter to be construed, which imposes the consideration of the remaining linked contracts in the interpretation of the contract at hand, and the superior relevance of the socioeconomic function of the union of all linked contracts for the definition of a contract’s content within its group.

Abstract:
Many construction contracts require contractors to use the Critical Path Method (CPM) scheduling technique as a management tool. In such projects, many participating parties commonly attempt to appropriate float time shown in the CPM schedules in order to advance their own interests. Under current scheduling practices, float time is considered "free" and therefore does not belong to any one party in the construction process. As a result of this conception, when a project delay occurs, float ownership and its utilization can become a major source of dispute. This ambiguous interpretation of total float ownership can be clarified by improving contract language with regard to scheduling specifications in the area of total float management. The purpose of this research dissertation is to introduce a comprehensive practice of float pre-allocation and management terms, for the application of scheduling specifications in the CPM-based construction contract. The proposed concept for managing "total float" involves pre-allocating a set amount of total float on the same non-critical path of activities to the two contractual parties - owner and contractor. For the sake of equity, this research adopts an equal (50-50) allocation concept, which allocates to each party one-half of the total float. This new concept for pre-allocating and managing "total float" involves recommending contract clauses to direct its use and to explain the manner in which responsibility for any resulting delay will be assigned. Six examples of factual situations are provided to illustrate the assigning of responsibility for delays. The features of proposed concept are then compared to those of other theories presently being used. Such a comparison provides insight as to which features have not worked well in the past - and how those of the proposed concept can change this. A Delphi survey is used to validate the total float pre-allocation concept of equal allocation. The survey shows that the concept could significantly increase involved parties' awareness of total float consumption and thus help resolve any potential disputes regarding it. This dissertation considers suggestions obtained from the survey and recommends them for future study. The simple step of inserting new scheduling language into the construction contract documents assures that all participants will become more aware of the fact that when they consume floats, they introduce the potential of increasing project completion times.

Bendradarbiavimo pareiga statybos rangos atžvilgiu suprantama labai plačiai, kaip apimanti įvairaus pobūdžio šalių veiksmus, būtinus, kad būtų pasiektas statybos rangos sutarties tikslas. Antroji darbo dalis skirta praktiniams aptariamos pareigos aspektams ir su jais susijusioms problemoms aptarti. Šioje dalyje nagrinėjami šalių bendradarbiavimo pareigos klausimai susiję su statybos leidimo pateikimu, statybvietės sąlygomis, darbų atlikimu su užsakovo medžiagomis, projektinės dokumentacijos pateikimu ir pranešimu apie jos klaidas, neatitikimus, darbų perdavimu – priėmimu, darbų pakeitimais ir t.t. This master thesis analyses practical and theoretical aspects concerning the parties’ obligation to cooperate in the performance of a construction contract. The first part of the work proposes the definition of such obligation, discuses the extent and limits of this obligation, also classifies its elements. The parties’ obligation to cooperate in the performance of a construction contract is understood very broadly and includes all reasonable actions of a party necessary to be taken in order to achieve the goals of the construction contract. The second part of the work analyses the practical aspects of the obligation and the problems that surround it. This part particularly deals with the questions of the cooperation concerning the delivery of the permission to build, the site conditions, delivery of the design projects and the contractor’s obligation to warn about any discrepancies therein, taking over of the works and so on. The work presents a critical approach to some spheres of legal regulation in Lithuania, i.e. disproportion of the liability concerning the work done with inappropriate materials presented by the employer, the criteria of the works that have to be taken over and so on. Another point analysed is the right of the employer or the main contractor to control the works which has actually transformed into an obligation. Lors d’une opération immobilière de construction, deux ensembles de règles, qui sont le droit de la construction et le droit de la consommation, viennent se superposer pour apporter un certain niveau de protection lorsque l’acquéreur ou le maître de l’ouvrage est un consommateur ou un non-professionnel. Corrélativement, ils génèrent de nombreuses obligations mises à la charge des professionnels. Ce projet de recherche a donc pour finalité de réaliser, d’une part, un état des lieux des différentes problématiques de protection nées de l’application cumulative de ces deux branches du droit et, d’autre part, de proposer des solutions de règlement en cas de « conflit ». En effet, si les conséquences positives d’une telle combinaison sont indéniables, cette étude ne serait pas complète si l’on n’envisageait également les effets pervers que cette double protection peuvent engendrer dans la pratique au regard de l’économie du contrat, du secteur du bâtiment et de l’esprit qui anime le droit de la construction de manière plus générale. L’objectif poursuivi étant de rendre le droit plus efficace pour sécuriser, autant que possible, l’opération de construction, pour l’ensemble des acteurs du secteur : tant professionnels, pour qu’ils prennent la mesure de leurs responsabilités et obligations (entrepreneurs, promoteurs, architectes, banquiers, notaires…) que pour le « consommateur immobilier » : accédant ou maître d’ouvrage, qui doit pouvoir avoir une vision, la plus claire possible, des contrats qui lui sont soumis afin que sonconsentement soit réellement éclairé
In a building construction operation, two sets of rules, which are construction law and consumer law,are superimposed to bring a level of protection to the consumer purchaser of real estate. Correlatively,they generate many obligations for the professionals. The objective of this research project is thereforeon the one hand to provide an inventory of the various protection issues arising from the cumulativeapplication of these two branches of law and, on the other hand, to propose settlement solutions in caseof "conflict". Although the positive consequences of such a combination are undeniable, this studywould not be complete if one did not also take into account the perverse effects which this dualprotection may entail in practice with regard to the economy of the contract, the building sector and thespirit of construction law in a more general way. Partant de ce constat, il a semblé opportun de s'intéresser plus particulièrement aux marchés de travaux privés et plus précisément encore à la question du paiement. Au coeur des relations économiques, le paiement défini comme l'exécution d'une obligation porte en son sein la question fondamentale de sa sécurisation. Préoccupation légitime du créancier, on trouve sa pleine consécration et son traitement le plus abouti en droit civil dans le droit des sûretés qui occupe le livre IV du Code civil. Toutefois, dans les marchés privés de travaux, la sécurisation du paiement est rendue possible tant au stade de la formation du contrat par la détermination de son objet - le prix - qu'au stade de l'exécution grâce aux modalités de l'opération de paiement elle-même et à la fourniture de garanties. Appréhendant l'opération de paiement tant d'un point de vue pratique que théorique, l'objet de la présente thèse est de montrer que la sécurisation du paiement dans les marchés privés de travaux peut être envisagée tant au stade de la formation que celui de l'exécution du contrat
The construction sector is a major pan of economic activity that underlies much of the growth nationally. With this in mind, it seemed appropriate to focus specifically on private works contracts and even more specifically to the issue of payment. At the heart of economic relations, payment defined as fullfilment of an obligation is asking the question of its security. In private works contracts, securing the payment is possible both during the formation of the contract by the determination of its purpose - the price - at the stage of execution thanks to the operation of arrangements payment itself and the provision of guarantees. Abstract:
This research critically analyses and compares how the United Arab Emirates (UAE)1 Law and English and Welsh (EW) Law regulates obligations in a contract, for a thing that is to come into existence in the future, namely a construction contract. Uncertainty/speculation as to how an obligation is to be performed in UAE Law is termed gharar. The word that is synonymous with this terminology in EW Law is “risk”. The extent of gharar or ‘risk’ (these terms are used on an interchangeable basis in this thesis) in an obligation plays a fundamental role in the profitability of a construction contract. Where losses become unacceptable, particularly for the Contractor, a dispute will arise. These circumstances may be in conflict with UAE Law, which obligates parties to a contract to ensure circulation of wealth by maintaining the anticipated profit to be made from a contract. This analysis also reviews how the level of gharar or ‘risk’ can be increased by operation of two types of provision that are included in standard forms of construction contract such as the International Federation of Consulting Engineers, Geneva, Switzerland (FIDIC) Conditions of Contract for Construction for Building and Engineering Works Designed by the Employer 1st Ed. 1999 (FIDIC99). The first is a provision that releases the Employer from liability where the Contractor does not give timely notice of an Employer’s act of prevention. The second is a provision giving the Employer a discretion to act in an opportunistic manner, and exempt or limit his liability. It considers how FIDIC99 should be applied to control gharar or ‘risk’ in a positive way. It also identifies similarities between how UAE Law controls gharar and that of the notion of parties’ reasonable expectations in contract Law (herein referred to as parties’ expectations), and how relational contracts operate to ensure parties achieve their expectations.

The subject of the master work – „The liability of the parties in legal construction relationship“. Keywords: construction, legal construction relationships, constuction contract, subconstruction contract, client, contractor, subcontractor, liability. Efficaciousness of the construction process for the most part depends on how clear and comprehensible the construction contract and legal acts define rights and obligations of the parties and divide between them risk and liability for an improper execution of the obligations. Taking it into consideration, in this work there is complex analysis of the legal basis for liability and problems, which are related to application of the liability. The first part of the work reveals conception of legal construction relationships. In the second part there is rewiev of the legal acts provided as well as the concepts of the parties.The author studies the conception of the construction contract, it‘s substantial conditions and relation between construction and subconstruction contracts. O objetivo deste trabalho é examinar o seguro de riscos de engenharia como instrumento para o desenvolvimento. A perspectiva adotada é a da articulação entre direito e economia política: parte-se da ideia de que as categorias jurídicas instauram determinada economia política. Nesse sentido, os contratos de seguro serão entendidos de forma indissociada das operações comunitárias em que se encerram e de sua especial tarefa de reorganização social e econômica. A função social dos contratos de seguro é revelada como conteúdo obrigatório da própria autonomia da vontade atinente a esses contratos. A relação entre seguro e desenvolvimento é ainda mais evidente nos seguros de risco de engenharia, objeto específico deste trabalho. Institucionalizada desde a década de 1930, a função desenvolvimentista desses seguros tem seu declínio a partir dos anos 1970 com nítida agravação no ano de 2007, quando ocorre a abertura do mercado brasileiro de resseguro. Defende-se a tese de que a legislação brasileira sobre seguro de risco de engenharia é inadequada, atuando de forma impeditiva do desenvolvimento nacional. A principal razão para isso está na perda paulatina de conteúdo desses seguros, em parte promovida pelo próprio Estado, capturado pelos interesses dos empresários do setor. A tentativa de anulação da teoria do interesse consagrada não só na longeva praxe dos seguros, como pela doutrina nacional e estrangeira e plasmada no art. 757 do Código Civil, é um dos principais argumentos explorados. Por fim, são apresentados dispositivos do Projeto de Lei do Senado n. 477/2013, que procura trazer para o sistema de direito positivo a primeira lei de contrato de seguro da história brasileira, com o objetivo de reordenar as relações contratuais, eliminando as principais práticas desfuncionalizadoras e em busca dos escopos fixados na Constituição de 1988.
The aim of this study is to examine engineering risk insurance as an instrument of development. The perspective adopted here is an articulation between Law and Political Economy, beginning with the idea that legal categories determine political economy. In this sense, insurance contracts are construed as non-dissociated from the community operations to which they belong and from their special task of social and economic reorganization. The social function of insurance contracts is seen as an inexorable part of the autonomous will involved in such contracts. The relationship between insurance and development is even more evident in engineering risk insurance, which is the specific object of this study. Having been institutionalized since the 1930s, the developmental function of this type insurance began to decline in the mid-1980s, and clearly worsened in 2007, when the Brazilian reinsurance market was opened. We propose that the Brazilian legislation on engineering risk insurance is inadequate and acts as an impediment to national development. The main reason for this is the gradual loss of content in this type of insurance, in part promoted by the State itself, captive to the interests of industry executives. The attempt to nullify the theory of interest well established not only in longstanding insurance practice, but also in national and international tenets, and shaped by Article 757 of the Brazilian Civil Code is one of the main arguments explored here. Finally, we present some provisions of Senate Bill no. 477/2013 that seeks to incorporate into the system of positive law Brazils first law of insurance contract, the aim of which is to reorder contractual relations by eliminating the major defunctionalizing practices, in keeping with the intentions of the 1988 Constitution.

Anläggningsprojekt är idag allt fler på grund av att den infrastruktur som byggdes på mitten på 1900-talet inte längre uppfyller dagens ställda krav. I takt med att större entreprenader utförs idag, krävs även större resurser och bättre samspel mellan beställare och entreprenörer. Entreprenadsumman för ett betongbroprojekt är väldigt stark förknippat med mängden ÄTA–arbeten och avvikelser. ÄTA–arbeten kan gå i olika riktningar, till exempel från underentreprenör mot beställare och tvärtom. I denna studie ligger fokus på entreprenörens ÄTA–arbeten gentemot beställaren och avvikelser som uppstår i produktionen. Syftet med studien är att identifiera de vanligaste ÄTA–arbeten och avvikelser som förekommer i olika betongbroprojekt för att undersöka hur dessa påverkar entreprenadsumman samt hur de i framtiden skall hanteras av entreprenören så att de inte upprepas i kommande projekt. Till en början har en litteraturstudie gjorts för att öka kunskapen kring ämnet. Därefterhar en fallstudie utförts av fyra tidigare betongbroprojekt. Den centrala delen av fallstudien har varit en kvalitativ undersökning, med intervjuer samt en enkätundersökning. Det har hållits 10 intervjuer med olika platschefer, en jurist och en arbetschef, samtidigt har 55 tjänstemän från fallföretaget deltagit i enkätundersökningen. I den kvantitativa delen har en sammanställning gjorts av samtliga ÄTA–arbeten och avvikelser som uppstått i de betongbroprojekt som studerats. Därefter har de ÄTA–arbeten och avvikelser som upprepats i dessa betongbroprojekt identifierats. Studien visar att ÄTA–arbeten oftast uppstår på grund av brister i beställarens förfrågningsunderlag. Geotekniska undersökningar och tekniska lösningar föreskrivna av beställaren är det som vanligen föranleder ÄTA–arbeten. Även entreprenadformen är avgörande för mängd och typ av ÄTA–arbeten. I en utförandentreprenad är det mycket mer likställda ÄTA–arbeten och när det gäller en totalentreprenad är de vanligaste ÄTA–arbetena föreskrivna tilläggs- och ändringsarbeten. Det är sällan lönsamt med många ÄTA–arbeten i betongbroprojekten, däremot ökar det projektensomsättning vilket får ses som positiv. Avvikelser förekommer oftast på grund av dålig planering och kommunikation. Bristfälliga arbetsberedningar och missade kontroller är andra orsaker till att avvikelser förekommer. Det är oftast entreprenörens eget fel attdet uppstår avvikelser. Avvikelserna har då alltid en negativ inverkan på projektetsslutkostnad i och med att kostnaden inte läggs på entreprenadsumman, det vill säga att entreprenören avhjälper avvikelser på egen bekostnad. De vanligaste ÄTA–arbetena förekommer kring brokonstruktionens grundläggning,oftast på grund av att de geotekniska undersökningar som gjorts, har gjorts fel eller inte i tillräcklig omfattning. När det kommer till avvikelser är de vanligast i samband med armeringsarbeten och betonggjutningar. Dyrare avvikelser förekommer men inte i någon större utsträckning. Genom att lägga mer fokus på planering, kommunikation, involvering och upprätta bättre arbetsberedningar kan negativa effekter på entreprenadsumman på grund av ÄTA–arbeten och avvikelser undvikas.
Various plant projects are today more common because the infrastructure built in themid-1900s no longer meet today's set requirements. As major contracts are carried out today, greater resources and better interaction between client and contractor are also required. The contract sum for various concrete bridge projects is very strongly associated with the amount of contract changes and deviations. Contract changes can go between different entrepreneurs for example from a subcontractor against the clientand vice versa. In this study the focus is on contract changes from the main entrepreneur towards the client and deviations that occurs in the production. The purpose of the study is to identify the most common contract changes and deviations that occur in different concrete bridge projects to investigate how these affect the contract sum and how they should be handled by the entrepreneur in the future so that they are not repeated in upcoming projects. Initially a literature study has been done to increase knowledge about the subject. Then a case study has been carried out on four previous concrete bridge projects. The central part of the case study has been a qualitative investigation, where interviews have been held and a survey has been conducted. There have been 10 interviews with various site managers, a lawyer, and a supervisor, while 55 officials from the case company have participated in the survey. In the quantitative part, a compilation of contract changes and deviations that has occurred in the concrete bridge projects that was studied has been done. Then the contract changes and deviations that was repeated in all the studied concrete bridge projects has been identified. The study shows that contract changes occur most often because of deficiencies in the clients request documents. Geotechnical investigations and technical solutions prescribed by the client are what usually prompt contract changes. The contract form is also crucial for the amount and type of contract changes. In a contract that is based on AB 04 it is much more preserved contract changes and when it comes to a general contract based on ABT 06, the most common contract changes are prescribed alterations and additional works. It is rarely profitable with many contract changes in concrete bridge projects, yet it increases the revenue of the projects, which may be positive. Deviations occur most often due to poor planning and communication. Inadequate work preparations and missed controls are other reasons for the presence of deviations. It is usually the entrepreneur’s fault that there are a lot of deviations. Deviations always has a negative effect on the project’s final cost since the cost for it is not added to the contract sum, which means that the entrepreneur remedies deviations at their own expense. The most common contract changes occur around the groundwork of the bridge construction, usually because the geotechnical investigations carried out by the client, have been done wrong or not enough. When it comes to deviations the most common are in connection with reinforcement work and concrete castings. More expensive deviations occur but not to a greater extent. By focusing more on planning, communication, involvement and establishing better work preparations, negative effects on the contract sum due to contract changes and deviations can be avoided.

ENGLISH ABSTRACT: Section 197 of the Labour Relations Act 66 of 1995 ensures the transfer of a contract of employment from an old employer to a new employer on the transfer of a business as a gomg concern. Although section 197 is mostly based on European and British statutes and regulations, one should not rely on foreign provisions when interpreting section 197 without careful consideration. It is only when we understand the inherent limitations of applying these provisions, that they can be of any help to formulate definitions for the terms "transfer", "business" and "going concern". The two most important effects that section 197 has, is that it ensures the transfer of the contract of employment and that it protects the terms and conditions of employment when such a transfer takes place. Unfortunately, this section does not regulate dismissal on the transfer of a business. Section 197 also does not deal satisfactorily with the transfer of contracts of employment on the transfer of an insolvent business. As a result of the above-mentioned and other shortcomings of the current section 197, it was decided to amend the Act. The Labour Relations Amendment Bill 2000 relies heavily on precedents from foreign law, but unfortunately it does not adequately address all the current problems.

Wanneer ons die inherente beperkings daarvan begryp, mag die bepalings van hulp wees om definisies te vorm van die begrippe "oordrag", "besigheid" en "lopende onderneming". Artikel 197 het hoofsaaklik twee uitwerkings: dit fasiliteer die oordrag van die dienskontrak en verseker dat die terme en voorwaardes van indiensneming onveranderd bly. Die artikel reguleer nie ontslag by die oordrag van 'n besigheid nie. Artikel 197 reguleer ook nie genoegsaam die oordrag van dienskontrakte waar 'n insolvente besigheid oorgedra word nie. As gevolg van bogenoemde en ander tekortkominge is besluit om die Wet te wysig. The comparison between civil law systems and, more particularly, between the Province of Quebec and France, allows to confront diverse experiences in favor of the European Union's construction. The comparative method can, in a regulating approach, allow to realize a real common integration in such area as the construction, in favor of the citizens. In a perspective to innovate the legislation, it would be therefore a matter of modelling coherent legal structures for a real European Union of the construction. The participation of the builders in the debates is required, to facilitate the integration and the application of the future common standards with the support of a new European institution devoted for this mission.But how respect the national diversities, while seeking to set up a "unionist" principle keeping in mind the goal of full harmonization of the legal warranty periods settled down by the Member states of the European Union ? Buildings have long been considered closed-in self-protected environments. Today, however, numerous scientific innovations show how they affect climate, energy and health related issues. By trying to reduce their impact on these issues, the law is made more complex, new obligations are created. As it happens, the way the law takes into account energy efficiency and indoor air quality affects building professionals liability. This liability covers several levels of responsibility depending on the legal status of the individual looking to institute the proceedings, whether it be the public sphere or a professional cocontractant. Thus professional liablility may be a result, unique, successive, or cumulative, of state control as well as civil responsability, and more specifically of contract law. Several factors pertaining to modes of operation in the local construction industry contribute to construction delays. Contractual claims are integral and an important feature of construction project's life. Often times, delay-related contractual claims in construction projects is a controversial issue that often leads to disputes and conflicts between contractual parties due to its ambiguity and complexity. Literature have shown over the last decade a range of problems that have consistently resulted in construction delay and significant costs to all contractual parties due to contractual claims in almost all types of construction projects. Therefore, to achieve more time efficiency on construction projects, comprehensive studies on common problems resulting in routine delays due to contractual claims is essential. Such studies need to pinpoint the most relevant causes of delay that have to be monitored carefully in order to avoid the construction delays. Thus, this study adopted a quantitative research method. Closed ended and open ended questions were designed in the quantitative instrument for the quantitative survey. Descriptive and Principal Component Analysis was employed for data analysis to develop an operational framework for evaluating delay related claims in the South African construction industry. Findings from the analysis of data revealed several factors through which, when appropriately evaluated will reduce the incidence of contractual claim to minimum if not completely eliminated in construction project. The study has found that delay-related claims are increasingly emerging and have become the most common and costly problem in construction projects which not only deny the client timely access to the completed facility but disrupt the overall performance of the building project. This study also concludes that the contractual claims that often lead to dispute during execution of building projects are; Change order claim, Variation order claim, Cost and expense claims and Dayworks claim. Therefore, evaluation of these claims must be given careful assessment during the construction phase of a building project to forestall its attendant consequence on project performance. Inconsistencies in the operational dealings with contractual claims in the South African construction industry showed that; release of payment emanating from claims, quality of management and design coordination, nonavailability of specified materials and change in micro economic policy are the most significant in evaluation factors which must be considered in evaluation of accurate and undisputed contractual claims. This study also affirmed that the three principal components that lead to claim and dispute when combined explained 49% of the total variance. Also, it was concluded that arbitration is most appropriate for dispute due to; shortage of materials, claims in fluctuation of the materials price, physical environmental consideration, and conflict of interest among the project team. Litigation is most appropriate to resolve dispute due to access to the construction site. While mediation is most suitable for dispute due to; inability of the client to understand design, the choice of the procurement process, delay in release of payment emanating from claims, lack of prompt delivery of materials by the suppliers, interference with utility lines and extreme weather condition. Lastly, Negotiation is most suitable for dispute arisen from constructability of the design and non-availability of specified materials.

ENGLISH ABSTRACT: In order for the government to function, it needs goods and services. It may acquire these goods and services by using its own resources, or by contracting with outside bodies. The latter method is generally referred to as public or government procurement. Government procurement usually contributes a large deal to a country’s economy and is therefore of great importance. With South Africa’s political transformation in 1994, the construction industry was used as the model for public sector procurement reform. The industry regulates all infrastructure and constituted 3.8% of the country’s gross domestic product (GDP) in 2011 with the private sector as its biggest client. The legal regulation of construction procurement in South Africa is therefore significant. Section 217 of the Constitution¹ sets the standard for government procurement in South Africa. Section 217(1) provides that organs of state in the national, provincial or local sphere of government or any other institutions identified in national legislation when contracting for goods or services must do so in accordance with a system which is fair, equitable, transparent, competitive and cost-effective. Organs of state are not prevented from implementing procurement policies which provide for categories of preference in the allocation of contracts and the protection or advancement of persons, or categories of persons, disadvantaged by unfair discrimination in terms of section 217(2). Section 217(3) in turn provides that national legislation must prescribe a framework in terms of which section 217(2) must be implemented. The rules for construction procurement in South Africa are found in the Construction Industry Development Board (CIDB) Act² and the Regulations to the Act.³ The Construction Industry Development Board has been established by the Act and is empowered to regulate construction procurement in terms of the Act and to publish best practice guidelines for further regulation and development of construction procurement. This thesis aims to answer the question as to whether the legal regulation of construction procurement complies with section 217 of the Constitution. Chapter one sets out the research question to be answered, the hypothesis on which the thesis is based and the methodology employed. Chapter two establishes the constitutional standard for government procurement in South Africa and is the standard against which the rules discussed in subsequent chapters are tested. Following this, the procurement procedures in terms of which supplies, construction works and services are procured are described and analysed in chapter three. It appears that the Regulations to the CIDB Act exclude contracts for supplies and services in the construction industry. Therefore, the qualification criteria for construction works contracts are examined in chapter four. Thereafter, the evaluation and award of construction works, supplies and services contracts are explained and analysed in chapter five. Government procurement may further be used for objectives not directly connected to the main goal which is the procurement of goods and services at the best possible price. It may also be used for the promotion of socio-economic objectives, for example. Therefore, in the sixth chapter, the use of government procurement as a policy tool in the South African construction industry is discussed and analysed. The concluding chapter collectively refers to what was discussed in the preceding chapters including the conclusions and attempts to answer the research question as to whether the legal regulation of construction procurement in South Africa complies with section 217 of the Constitution.
AFRIKAANSE OPSOMMING: Die staat het goedere en dienste nodig om te funksioneer. Dit kan hierdie goedere en dienste verkry deur die staat se eie bronne te gebruik, of dit kan instansies van buite kontrakteer. Daar word oor die algemeen na laasgenoemde metode verwys as staatsverkryging. Gewoonlik lewer staatsverkryging ‘n groot bydrae tot ’n land se ekonomie en dit is dus van groot belang. Met Suid-Afrika se politieke transformasie in 1994 is die konstruksiebedryf as die model voorgehou vir die hervorming van die staatsverkrygingstelsel. Die konstruksiebedryf reguleer alle infrastruktuur in die land en het in 2011 3.8% tot Suid- Afrika se Bruto Binnelandse Produk (BBP) bygedra, met die private sektor as die grootste kliënt in die bedryf. Dit is dus noodsaaklik dat staatsverkryging in die Suid-Afrikaanse konstruksiebedryf wetlik gereguleer word. Artikel 217 van die Grondwet4 stel die standaard vir staatsverkryging in Suid-Afrika. Artikel 217(1) bepaal dat staatsorgane in die nasionale, provinsiale of plaaslike regeringsvertakkings, of enige ander instelling in nasionale wetgewing vermeld, wat vir goedere of dienste kontrakteer, sodanige goedere of dienste moet verkry ooreenkomstig ’n stelsel wat regverdig, billik, deursigtig, mededingend en koste-effektief is. Staatsorgane word verder nie verhinder of belet om staatsbeleid te implementeer wat voorsiening maak vir die bevordering van sekere mense, of kategorieë mense, wat ingevolge artikel 217(2) deur onbillike diskriminasie benadeel is nie. Artikel 217(3) bepaal dat nasionale wetgewing ’n raamwerk moet voorskryf ingevolge waarvan artikel 217(2) geïmplementeer moet word. Die Wet op die Ontwikkelingsraad vir die Konstruksiebedryf (Construction Industry Development Board Act)5 en die Regulasies tot die Wet6 omskryf die regsreëls vir staatsverkryging in die Suid-Afrikaanse konstruksiebedryf. Die Ontwikkelingsraad vir die Konstruksiebedryf het ingevolge hierdie Wet tot stand gekom en is gemagtig om staatsverkryging in die konstruksiebedryf te reguleer. Dit mag ook goeie praktykriglyne publiseer vir verdere regulering en ontwikkeling van staatsverkryging in die konstruksiebedryf. Hierdie tesis het ten doel om die vraag te beantwoord of die wetlike regulering van staatsverkryging in die konstruksiebedryf aan artikel 217 van die Grondwet voldoen. Hoofstuk een gee ‘n uiteensetting van die navorsingsvraag wat beantwoord sal word, die hipotese waarop die tesis berus en die metodologie wat aangewend word. Hoofstuk twee omskryf die grontwetlike standaard vir staatsverkryging in Suid-Afrika en word as standaard gebruik waarteen die regsreëls vir staatsverkryging in die konstruksiebedryf in die daaropvolgende hoofstukke getoets word. Vervolgens word die verkrygingsprosedures ingevolge waarvan voorraad, konstruksiewerk en dienste verkry word, in hoofstuk drie bespreek en ontleed. Dit blyk dat die Regulasies tot die Wet op die Ontwikkelingsraad vir die Konstruksiebedryf (CIDB Act) kontrakte vir die verkryging van voorraad en dienste uitsluit. Gevolglik word die tendervereistes vir konstruksiewerk in hoofstuk vier bespreek. Vervolgens word die evaluering en toekenning van konstruksiewerk, voorraad- en dienskontrakte uiteengesit en ontleed in hoofstuk vyf. Dit blyk verder dat staatsverkryging gebruik mag word vir doelwitte wat nie direk verband hou met die primêre doel, naamlik die verkryging van goedere en dienste teen die beste prys, nie. Dit mag byvoorbeeld ook gebruik word vir die bevordering van sosio-ekonomiese doelwitte. Gevolglik word staatsverkryging as ’n beleidsinstrument in die Suid-Afrikaanse konstruksiebedryf in hoofstuk ses bespreek en ontleed. Die laaste hoofstuk gee ‘n opsomming van wat bespreek is in vorige hoofstukke, maak gevolgtrekkings en probeer die navorsingsvraag beantwoord of die regsreëls wat staatsverkryging in die konstruksiebedryf reguleer, voldoen aan artikel 217 van die Grondwet.

The objective of this study is to examine the significance of postmodern insights regarding interpretation (especially the rejection of intentionalism) and subjectivity for contractual interpretation theory. In Part One (consisting of chapters 2-5), the leading postmodern insights on interpretation, individual autonomy, texts and intentionalism are discussed. This is done by analysing the present interpretive practice in four chapters: 1) Different theories of interpretation ranging from objectivism and natural law theories to post-structuralism are discussed in chapter 2. 2) In chapter 3 individual autonomy (as advocated by liberal theorists) is contrasted with communitarianism in order to problematize the notion of contracting parties as autonomous, self-regulating beings. By highlighting criticism against liberalism and communitarianism, and also by suggesting critical self-rule as an alternative, the assertion that contracting parties are autonomous and self-regulating is contested. 3) The process of textual definition is critically analysed with emphasis on the position reflected by the application of the parol-evidence rule and also post-structuralist ideas on the definition of texts in chapter 4. It is shown that textual definition consists of interpretation rather than identification. 4) The nature of intention and the process of intention “discovery” are analysed in chapter 5. Because of the centrality of intention in contractual practice, alternative theories on intention (and its role during interpretation) are postulated and it is suggested that post-structuralism can provide a critically reflective theory of intention. It is clear (from the critical analysis of intentionalism) that the way intention is presently approached is theoretically flawed. It is also apparent from the critique of liberal beliefs held regarding the nature of interpretation, subjectivity and the definition of texts that the theoretical foundations of these beliefs are fundamentally flawed. A critical re-imagination of contractual interpretation is necessary. In Part Two, questions about the justifiability of the present interpretive theories are posed. In chapter 6 the practical implications of a new theoretical basis for contractual interpretation are considered by examining the way various rules of interpretation are influenced by the new theoretical basis of interpretation. Three “rules” are examined: 1) The golden rule of interpretation is examined because of its reliance on intentionalist assumptions; 2) the parol-evidence rule is examined because of its relation to positivist assumptions about the definition of texts; 3) the relevance of bona fides as a substantial remedy during the interpretation of the contract is analysed to reveal assumptions about the nature of legal subjectivity in which the present consideration of the bona fides is grounded. It is shown that rules depend not on their content for operation, but rather on the assumptions upon which they are grounded. In short, we do not have to do away with our rules of contractual interpretation, but we have to re-evaluate how we apply those rules. The final part of this dissertation consists of a summary of the conclusions drawn during the course of this study.

Since 1976 public agencies in Oregon have been allowed to select construction contractors using a "qualification" based competition instead of the more typical lowest responsible bid or Design-Bid-Build (DBB) basis. Since 1985, at least 136 such selections, commonly known as CM/GC for Construction Manager/General Contractor, have been made. The results of this policy have not previously been analyzed. This research compares these selection methods, seeking to answer the following questions: Does the CMl/GC method result in projects that differ from DBB projects regarding cost and schedule control? Are CMl/GC projects more efficient than DBB projects, where efficiency is defined as the data envelopment analysis (DEA) technical efficiency score? Does efficiency depend on an interaction between project type and the selection method? How do project stakeholders evaluate the benefits and drawbacks of the two selection methods? How do projects compare when the only apparent difference between them is the selection method? To answer these questions, we identified 407 Oregon public building construction projects and obtained a variety of data, including cost and schedule results, for 215 jobs (111 CMl/GC and 104 DBB). We analyzed the data several ways, including statistical analysis, DEA, and various qualitative methods. Results: There was no statistically significant difference between the CMl/GC and DBB projects regarding cost and schedule control. The DEA technical efficiency scores showed that CMl/GC projects outperformed the DBB projects. There was no interaction effect between project type and selection method. Project stakeholders stated that reduction of risk is the principal benefit of using CMl/GC; however, architects and subcontractors are less enthusiastic than owners and general contractors. Data on two nearly identical projects indicated that the DBB project was less costly than the comparable CMlGC project and also incurred less cost growth; both projects were completed on time. To summarize, this research fails to find support for the current Oregon law that exempts certain projects from competitive bidding based on the presumption that CMl/GC will lead to substantial cost savings but does indicate that the CMl/GC projects may be better able to accommodate accelerated project schedules.
