he assumption of a purely self-interested supervisor in a three-tier hierarchy (a principal-supervisor-agent framework) gives rise to the possibility of supervisor-agent collusion which lowers the principal's profits. Economists have suggested that firms use share contracts rather than wage contracts as one possible solution to downsizing. The first paper develops a model of long-term contracts as barriers to entry with differentiated products. It shows that if an incumbent firm can hold the consumer surplus in the pre-entry period hostage, he can sign the buyer up for a long-term exclusive contract regardless of the degree of product differentiation.
