Abstract:
Good Governance und nachhaltige Unternehmensführung sind für Gemeinwirtschaft und Gemeinwohl von besonderer Bedeutung. Allerdings zeigen empirische Studien nach wie vor gravierende Governance-Defizite. Selbstregulierung mit Corporate Governance Kodizes wird relevante Potenziale zugewiesen und die Notwendigkeiten und Chancen zur Einführung und Überarbeitung werden für öffentliche Verwaltungen, gemeinwirtschaftliche Unternehmen, Nonprofit-Organisationen, Genossenschaften, kirchliche Einrichtungen, internationale Nichtregierungsorganisationen und weitere gemeinwohlorientierte Organisationsformen vielfach betont. Selbstregulierung ist sowohl ein Policy-Instrument als auch ein Governance-Mechanismus für die Erreichung von Politik- und Organisationszielen als Alternative oder zur Ergänzung von gesetzlichen Maßnahmen. Dieser Beitrag möchte für die weitere Diskussion um Effekte von Corporate Governance Kodizes in gemeinwohlorientierten Kontexten zu einem vollumfänglichen Verständnis des international einschlägigen comply-or-explain Prinzips als zentralem Gestaltungselement von Corporate Governance Kodizes beitragen, auf ein relevantes systemisches Forschungsgefälle zusätzlich aufmerksam machen und Impulse für die zukünftige Erforschung der Effekte von Corporate Governance Kodizes in verschiedenen organisationalen Kontexten in Interaktionen mit weiteren Faktoren liefern.

This dissertation explores the relationship between governance quality, accumulated wealth, and organizational performance in U.S. nonprofits. Accumulated wealth in nonprofits has been previously shown to reduce overall support contributions because donors perceive less need for financial resources. Further, the absence of owners leads to weaker monitoring mechanisms and greater agency problems. Despite the size of the nonprofit sector (5.5% of GDP and 9% of employment), the impact of governance in organizations with accumulated wealth has not been studied much. Using recent data on governance practices at nonprofits reported on IRS Form 990’s and structural equation modeling/partial least squares analysis, this study finds that the strength of governance practices in nonprofits reduces the negative impact of accumulated wealth in Arts, Education, Environment, Health, Higher Education, Hospitals, Human Services, International, and Religious organizations. This paper demonstrates how agency theory and stakeholder theory complement each other when the nonprofit business model has a traditional revenue structure similar to its for-profit counterpart. For practitioners, it shows that combining a strong governing body, governing policies, compensation policies, and transparency policies, helps hold management accountable. This is necessary for the more efficient and effective execution of a nonprofit’s mission.

Abstract:
This thesis uses a constructivist grounded theory approach to investigate nonprofit corporate governance in the UK; using data obtained from participatory observations of board and associated meetings, workshops, and unstructured elite interviews. Open codes are generated and brought together as concepts, which are then iteratively compared and grouped in open categories. These categories are then reassembled using the paradigm model into five axial codes: the clash of orthodoxies; clash of motivations; regulator versus board power; clash of rationalities; and effective board duality. A dialectical approach is then used to create the core category of the ‘clash of neoliberal and public service world views which exists at every level of the nonprofit sector’. This core category is analysed in terms of the subordinate contradictions: at an environmental level - regulatory power versus sector power; at board level - accountability; the SMT; board practices and rituals (professionalism, actual and symbolic authority, boards meetings as theatre, and ethical standards); the concept of challenge as an expression of power relations; and rationality and decision making; and at the individual level - motivations of directors, moral duty and social purpose, social group membership, identification, credibility and trust. The substantive theory is then situated within psychology, governance, and corporate governance theories. The contribution made by the thesis are identified as the: use of ethnography to describe the inner workings of the board; creation of a model of nonprofit corporate governance; identification of the importance of political, ideological, regulatory, and ethical contexts; and concept of power, and the senior management team as a component of the board. Further research is suggested into: (i) a comparison of corporate governance in the for-profit and nonprofit sectors; (ii) challenge within the nonprofit culture; and (iii) the SMT as a major player in governance.
