Abstract:
Comparative studies of corporate social responsibility (CSR) are relatively rare, certainly as contrasted with other related fields, such as comparative corporate governance or comparative corporate law. This is to be expected in a field, such as CSR that is still ‘emergent’. While theoretical perspectives on corporate social performance or stakeholder management have been developed over two decades, it is only in the last decade that businesses have begun to exhibit serious evidence of CSR in their strategic management and stakeholder social reporting. This article goes on to explore how CSR can reflect wider national business and governance systems, such as market structures and rules, institutional norms, and respective responsibilities of governments, corporations and other social actors. A particularly exposed role, most notably for multinational corporations from the global north, is emerging for corporations in developing countries.

Abstract:
This article develops a framework in which corporate social responsibility (CSR) represents the contested terrain of global governance. The rise of CSR is one of the more striking developments of recent decades in the global political economy. Calls for multinational corporations (MNCs) to demonstrate greater responsibility, transparency, and accountability are leading to the establishment of a variety of new governance structures—rules, norms, codes of conduct, and standards—that constrain and shape MNCs' behavior. CSR is thus not just a struggle over practices, but over the locus of governance authority, offering a potential path toward the transformation of stakeholders from external observers and petitioners into legitimate and organized participants in decision-making. This article points to two distinct perspectives on CSR; as a more socially embedded and democratic form of governance that emanates from civil society, or alternatively, as a privatized system of corporate governance that lacks public accountability.

What is corporate social responsibility (CSR)? ‘An idea whose time has come’ begins with the definitions of CSR before looking at its antecedents and recent developments. CSR is simultaneously a set of societal expectations and a set of business practices. A business should be accountable; it should compensate for negative impacts and contribute to societal welfare; and the business needs to be operated ethically, responsibly, and sustainably. CSR has been embraced by businesses ranging from multinational corporations to small- and medium-sized enterprises and state-owned enterprises. Contemporary CSR is taken seriously, engaged in, and promoted by a much wider set of organizations including labour, finance, governmental, civil society, and professional organizations.

Abstract:
This article follows the study of Garriga and Melé (2004), which distinguishes four groups of corporate social responsibility theories, considering their respective focus on four different aspects of the social reality: economics, politics, social integration, and ethics. The first one focuses on economics. Here the corporation is seen as a mere instrument for wealth creation. The second group focuses on the social power of the corporation and its responsibility in the political arena associated with its power. The third group focuses on social integration. It includes theories which consider that business ought to integrate. In describing each theory, this article commences with an overview, followed by a brief historical background, including the milestones of its development. Then, it outlines the conceptual bases of the theory, concluding with a brief discussion on the strengths and weaknesses of each theory.

Addressing environmental concerns in a post-conflict setting is a difficult undertaking; yet addressing these concerns, particularly their cyclical nature, is vital to ensuring that post-conflict countries develop sustainably. Fundamental human rights may also be implicated where there is systematic environmental degradation and those rights infringements in turn can threaten efforts at peace and stability. Given the inadequacy of existing post-conflict country domestic and international hard law governing environmental rights and protections, voluntary and soft law norms and the corporate social responsibility movement are critical to ensuring that multinational investment in post-conflict countries is in line with sustainable development principles and the long-term economic and environmental prosperity of those countries, and therefore should be included in a holistic jus post bellum framework. These norms provide a critical opportunity to harness the power of private corporations and investments to ensure sustainable development, resulting in a more durable transition to peace in post-conflict states.

Corporate governance is concerned with holding the balance between economic and social goals and between individual and communal goals. The corporate governance framework is there to encourage the efficient use of resources and equally to require accountability for the stewardship of those resources. This article outlines the relationship between corporate governance and corporate social responsibility (CSR). It begins by examining the role of corporate governance in creating value for shareholders. It focuses on the actions of the corporation and the board toward its shareholders and other stakeholders, i.e., how corporate governance serves or fails to serve their interests. It covers the assumptions that underlie theories of corporate governance and the expected outcomes of various board structures and compositions. It then examines the state of corporate democracy, the issue of accountability, and key legislation relative to corporate governance.

Corporate social responsibility is a subject of growing importance in business and law. Today, no analysis of corporate governance systems would be complete without considering the pressures on companies to be seen as responsible corporate citizens. This chapter provides a descriptive overview of developments in the field, including increasing voluntary and required environmental, social, and governance (ESG) disclosure; and proliferating voluntary and multilateral standards for responsible corporate behavior. It reviews some of the more significant empirical evidence on the financial results of companies’ implementation of corporate responsibility initiatives, including the effects of such initiatives on innovation, trust, and social welfare. It concludes with an analysis relating these developments to arguments about the objectives of the corporation and the shareholder/stakeholder debate—with particular reference to the argument between Cornell Distinguished Professor of Corporate and Business Law, Lynn A. Stout, and Chief Justice of the Delaware Supreme Court, Leo E. Strine, Jr.
