Abstract:
The incorporation of new businesses in Canada is remarkably cheap and easy, both under the Canada Business Corporations Act and under the provincial corporations statutes. The benefits conferred on shareholders by incorporation are obvious and well known, particularly the advantage of limited liability. Easy incorporation however also imposes significant burdens on the corporation's voluntary and involuntary creditors if the corporation cannot meet its liabilities. The author examines the various statutory and judicially created techniques for restraining the abuse of the corporate form, and finds them seriously deficient. Nevertheless, he sees no likelihood of the legislature reversing a century old trend either by making incorporation much more difficult or by denying directors or shareholders in closely held corporations the protection of limited liability. He concludes therefore that ''second order'' remedies are much more realistic, even if less efficient. He also recommends several new remedies, including the requirement that all corporations must file a copy of their financial statements in a public office and that directors will be held personally responsible for the corporation's debts if the corporation continues to trade when it is clear that it is insolvent and likely to remain so.

Abstract:
Purpose – The purpose of this paper is to test the assertion that the relationship between corporation performance and organizational complexity follows an inverted U-shape curve, and a corporation gains the best performance when its organizational complexity fits its environmental complexity. Design/methodology/approach – This research did not directly measure environmental complexity to verify the relationship between corporation performance and complex environment, but measured organizational complexity to subtly display the effect of the organizational complexity on the corporation performance while controlled the environmental complexity. To do so, a set of corporations that shared the similar environment was selected, and then these corporations’ performance and organizational complexity were calculated, the related hypotheses were tested empirically. Findings – The paper proved the inverted U-shape relationship between organizational complexity and corporation performance, and also found that different corporation chooses different complex adaptive way, so the inverted U-shape relationship displays hierarchy. Research limitations/implications – Future research should search out to calculate corporation’s environment complexity the fitness of organizational complexity for testing hypotheses. Practical implications – The regularity of relationship between organizational complexity and corporation performance is helpful for managers to understand that a way to improve a corporation’s performance is to enhance the fitness of organizational complexity and environmental complexity. Social implications – Organizational complexity may be competitive advantage, but excessive growth of it will be harmful. Originality/value – Usually organizational complexity is thought of as a negative factor to corporation performance and tends to be constrained, but this research explored the role of organizational complexity to corporation performance and the findings helps managers to understand when to enhance organizational complexity and when to weaken it. The methodology of calculating the fitness of organizational complexity and environmental complexity by fixing environment is a contribution to complexity theory research.

Abstract:
American corporate law has long drawn a bright line between for-profit and non-profit corporations. In recent years, hybrid or social enterprises have increasingly put this bright-line distinction to the test. This Article asks what we can learn about the purpose of the American business corporation by examining its history and development in the United States in its formative period from roughly 1780-1860. This brief history of corporate purpose suggests that the duty to maximize profits in the for-profit corporation is a relatively recent development. Historically, the American business corporation grew out of an earlier form of corporation that was neither for-profit nor nonprofit in today’s parlance but rather, served a multitude of municipal, religious, charitable, educational, and eventually business purposes in early nineteenth-century New England. The purposes of early American business corporations—rather than maximization of profit to private shareholders— were often overtly public, involving development of local transportation, finance, and other much-needed economic infrastructure. With the rise of factory-based manufacturing, railroads, and other capital-intensive industries in the middle decades of the nineteenth century and the advent of general incorporation statutes, the purpose of the American business corporation shifted fundamentally from public to private. By 1860, the stage was set for the modern firm. This Article concludes that the corporation has no intrinsic purpose. The corporation’s defining features are separate legal personality and the ability to aggregate capital toward any otherwise lawful end, whether for-profit or nonprofit. Social enterprises today more closely resemble the early American business corporation than the profit-maximizing modern firm. Social enterprise should be seen less as a legally uncertain novelty than a return to the business corporation’s nineteenth-century American roots. Finally, this Article suggests potential limitations for social enterprise.

Sustainable initiatives have been widely fulfilled by corporations, which can acquire better reputations by performing environmental, social, and economic responsibilities. However, if a corporation’s propaganda about sustainable orientation is contrary to the actual action, or even does not have a clear orientation, then it may also fall into the reputation of hypocrisy. In this study, from the perspective of consumer behavior and based on the moral responsibility theory of corporate sustainability, we identify six types of sustainable corporations by their orientations toward sustainability, including value, goals, and structure. We empirically examine their direct effects on consumers’ sustainable quality perception and trust, as well as the moderating effects of corporate social responsibility associations and consumer–corporation identity. Data are collected in China; 203 adults participated in the survey. The results reveal that the types of sustainable goals and structure have a significant effect on consumers’ sustainable quality perception and trust. Furthermore, consumers’ perception is also positively associated with their trust in a corporation. Moreover, the consumer–corporation identity negatively moderates the relationship between perception and trust. These findings also bring theoretical and practical insights for governments and corporations.

Today, corporations play an important role in the global, national and local economy. Regardless of the business profile, degree of internationalisation or size, they participate in numerous economic processes, which is why they are the subject of research in geography of industry, especially in geography of enterprises. The main goal of the article is to review research related to corporations in Polish literature on the subject in the field of geography of industry. The author also aims at organising the concept of corporations, presenting closer their classifications, as well as indicating the place of research on corporations in geography. The preparation of the article began with a literature query, as well as an analysis of the existing data (desk research). As a result, the analysis of the concept of a corporation, various types of classifications and divisions of corporations, as well as a literature review of the subject in terms of the corporation’s research issues were made. As the research carried out indicates, in Polish literature on the issues of geography of industry, the researchers who concentrate on corporations look at the concentration of their head offices, theory and location factors, shaping processes and location of production, service and various branches, network connections, strategies implemented by corporations and their organisational forms, processes of corporation influence on international conditions for the development of domestic and regional systems and industrial enterprises, stimulation of inflow of foreign direct investment, the influence of corporations on the shaping of various industrial sectors, export relations, the role of cities in globalisation processes and the location of the corporation and their effects, as well as on corporate CSR activities.

The power to purchase its own shares by a corporation constitutes the most remarkable innovation in recent company legislations throughout Canada. This article deals primarily with the power to acquire shares under the Canada Business Corporations Act and the exercise of this power, subject to various conditions relating to the corporation's solvency and directors' duties. In a wider perspective, the rights of creditors of the corporation are analysed and the clear transition from a concept of the corporate capital as a trust fund for creditors to a concept of capital as a practical planning device emerges from the analysis.

Abstract:
This study explores the relationship between Korean listed companies’ corporation social responsibility (CSR) activities and their sustainable growth and valuation, focusing specifically on the nonlinear aspect. The nonlinear quantile regressions used in this study reported that CSR activities increased corporation value exclusively in the middle-range groups (i.e., τ_25, τ_50, τ_75) of Tobin’s q, a proxy for corporation growth and value. However, the linear ordinary least squares (OLS) regression did not indicate similar results. Our findings also showed that CSR activities affect the valuation of Korean listed corporations in a nonlinear, rather than in a linear way. Considering that most prior studies are devoted to reporting linear results from classical ordinary least squares estimations between CSR activities and corporation value, our study fills the gap in the literature. The findings of this study may provide corporation managers and researchers with valuable data concerning a corporation’s optimal investment point for their CSR activities for sustainable growth and the maximization of corporation value.

Corporation social responsibility includes the relational responsibility for the contractual stakeholders (relational CSR) and the public responsibility for the whole society (public CSR). In this paper, we examined the effect of organizational virtuousness on a corporation’s public CSR behavior and the moderating effect of organizational identity orientation between them. To test our hypothesis, we collected and analyzed a sample from 88 corporations and 742 respondents through questionnaires. Our results show that organizational virtuousness is positively associated with a corporation’s public CSR behavior, and this positive effect is moderated by organizational identity orientation. Among them, individualistic and collectivistic identity orientation positively moderates the relationship between organizational virtuousness and public CSR, while relational identity orientation negatively moderates the relationship between them. Our results suggest that a virtuous corporation does not necessarily have more willingness to take on public CSR than its counterparts, because the intention also depends on the type of identity orientation possessed by the virtuous corporation. In order to improve the enthusiasm of enterprises to take on public CSR, in addition to cultivating the virtue of organizations, different management measures should be taken according to the identity orientation of organizations.

This paper examines fundamental issues concerning a corporation's right to sue for defamatory attacks on its reputation, the scope of the right and the remedies available. It first outlines the opposed positions in England and Australia, respectively. It also argues that a corporation, save for a government corporation that exercises governmental functions based on markedly different rationales, should have the right to sue in defamation premised on the concept of corporate reputation as property and for the purpose of vindicating its reputation. On the question of remedies, a corporation should be entitled to recover special damages as reparation for damage to reputation provided they are proved. This paper considers, instead of presumed damages, alternative remedies for vindicating corporate reputation. Finally, it examines the business and non-business reputations of both trading and non-trading corporations in relation to claims for damages.

Corporate governance is a subject of academic and professional debate. It has and it will continue to be a topic under scrutiny for subsequent deliberations since there are many different research dimensions and contexts associated with it. However, it has been observed that the linkage between corporate governance and strategy of a corporation remains as an untapped area with considerable avenues of research. This paper tends to explore this linkage, using Enron scandal as backdrop.

In the aftermath of the debacle of US energy giant Enron in 2001, the significance of corporate governance has come under heavy scrutiny of different researchers. Whereas different explanations have been attributed to its downfall, it has been widely accepted that this was a case of failed corporate governance.

This paper tends to explore Enron downfall from the perspective of failed corporate governance. By defining and exploring corporate governance and its underlying issues, the authors have used Agency theory as a theoretical framework in unison with internationally renowned auditing company - Ernst & Young Model - to understand the role of different actors and forces responsible for Enron collapse.

By using qualitative research method, the authors have used secondary literature as well as combination of questionnaires and telephonic interviews to obtain viewpoint of renowned international academic / professional researchers. They have been identified through convenience sampling methodology. A few internationally renowned auditing companies have also been used as part of this survey to explore diversity of perspectives in this context. Efforts have been made; to explore the main causes rather then to write just another case on Enron.

After drawing lessons from Enron, the paper concludes with the understanding that there is direct link between corporate governance and strategy of corporations. However there is diversity of perspectives in this context and hence it requires further exploration and debate.

Abstract:
The primary objective of this dissertation is to determine the factors that have shaped the corporate financial reporting practices in Bahrain. Prior researchers have offered two explanations, environmental factors and cultural importation, for the emergence of financial reporting practices in developing countries. The environmental explanation suggests that a nation's financial reporting practices will be shaped by its socioeconomic structure. The cultural importation explanation states that the desire for international legitimacy creates incentives for developing nation to adopt Western financial reporting practices. Bahrain provided an excellent environment in which to examine the two explanations since its public and closed corporations have similar economic characteristics. Only public corporations are legally required to publish financial reports. I posited that public corporations would try to gain legitimacy for their published reports by adopting Western standards, while closed corporations would not have a similar incentive. I used an interpretive framework to analyze the Bahrain socioeconomic environment and to examine the general financial reporting practices of Bahraini corporations. I found that closed corporations provided data responsive to the Bahraini environment. Public corporations, however, adopted International Accounting Standards. My analysis supported prior researchers7 findings that colonialism, the need for international legitimacy, and international audit firms were important factors in gaining acceptance for Western accounting practices. The adoption of Western financial reporting practices may be dysfunctional to a developing nation like Bahrain if these practices do not provide relevant information about corporate performance. Therefore, Bahrain, as well as other developing countries, needs to proceed cautiously before adopting Western corporate reporting practices.

Abstract:
The present thesis exploits a concept that lays in the core of human capital, employee satisfaction, under the context of a proactive organizational change. The prior literature depicts organizational change as a strategy applied to increase the efficiency of the company and its relevance to the market involved. The unique element of the matter is that proactive reorganizations are a product of a structural practice initiated by an entity’s human resources department. The department operates under a standardized model of change, which focuses on addressing the technical discrepancies that may occur in the human capital. Mainly analyzed from a company’s perspective, its influence on the employees involved in the change is often been neglected. The thesis was conducted in an effort to assess the need for a change in the current model in order to better address employee’s needs. To achieve that a sample of 100 Intel employees was used to uncover the state of the employees’ job satisfaction after an organizational change has been taken place. Results of the analysis exhibited above average overall satisfaction scores. The areas that employees seem to be the least satisfied were that of job security and company’s policies. Moreover, the elements of culture and the type of reorganization have also seemed to influence the overall satisfaction scores. Upon viewing the results the authors concluded that a need does exist, for a more interpersonal human resource approach to be incorporated within the current reorganizational model of an entity.

Abstract:
We seem to hold corporations to an impossible standard. We call for profit maximization, but at the same time want to place strict limits on the methods corporations may use to obtain them. In this thesis, I explore two popular theories of the corporation: stakeholder theory and shareholder theory. I examine the degree to which each theory explains the corporation as it exists today, as defined in the law and through its behavior, but also the theories‘ normative appeal. I conclude by positing what I find to be the best normative account of the corporation: a theory of how we should structure the corporation in the United States so it is the most morally-defensible.

The notable separation of the countries of economic vanguard from other countries (group of the high-growth countries, the socialist countries, the countries) happened to a transitional economy on the basis of multinational corporation development. The economic aspect of this influence is accurately traced in effective instruments of industrial, scientific and technical, social and economic development. Evolutionary changes of the relations of property, the competition, strengthening of regularity of national economies in capitalist economic system are inseparably linked now with multinational corporation. Even in stronger, in the economic plan, the countries consider multinational corporation not only through a prism of economic influence, but also political domination. This moment is telling argument of finding of multinational corporation in the center of serious discussions concerning their role, positive or negative, in the international division of labor, in processes of movement of the capitals and globalization of world economy. It follows from this that the state economic policy in the Kyrgyz Republic which basis are processes of formation and development of the market relations, has to provide active use of the developed economic forms (in this case multinational corporation) more progressive system of the economic relations, i.e. modern capitalism. In this research attempt of theoretical justification of mutually beneficial cooperation of the Kyrgyz Republic with multinational corporation which will act as an interaction basis with multinational corporations present at the Kyrgyz Republic ("Kumtor Opereyting Company", Gazprom, Reemstma, Coca-Cola, etc.) is carried out.

The hackathons, thematic contests of developers and similar activities make a kind of “pharmacies” for corporations to rejuvenate them systematically with startups (external innovations). The experience of establishing and managing startups within the framework of business partnerships with research organizations and innovative companies is discussed.

In modern conditions corporations are a core of economic system and many macroeconomic indicators depend on growth of corporations. Quality and intensity of growth of corporations depend on many factors, both internal, and external. Institutional factors, including efficiency of the contract relations, level of tax burden, quality of corporate institutes have huge impact on growth of corporations. The purpose of this work – to reveal factors of growth of the Russian corporations and to construct models of the Russian corporations’ growth in a branch section. In research the assessment influence of tax loading on efficiency of the contract relations and growth of the Russian corporations is carried out. The analysis of growth of the Russian corporations in various branches (oil and gas, metallurgy, power industry) is carried out and models of their growth taking into account such factors, as tax burden, level of dividend payments and level of compensation of the administrative personnel are constructed. The degree of tax burden to efficiency improvement of contractual relations in Russian corporations was analyzed. The growth rate of sales revenue was taken as an indicator of the corporation efficiency. The factors influencing the growth rate of sales revenue were analyzed, the basis for the analysis was Cobb-Douglas production function with some clarifications.

Under the context of the ‘Trade War,’ Chinese multinational corporations are experiencing difficulty in overseas markets due to retarded globalization. Therefore, they have become increasingly aware of the significance of presenting themselves to foreign markets through ‘telling good stories.’ Narratives in these contexts are reframed from Chinese into English corporate profiles of these multinational corporations, so as to present the corporate identities of these corporations as more acceptable to target foreign stakeholders. This paper purports to investigate how profiles of Chinese corporations in the domestic market are reframed for overseas markets. Tthis paper thus creates a case study of English corporate identities of the corporate profiles of the CRRC (China Railway Rolling Stock Corporation), the world’s largest supplier of rail transit equipment. A combination of content analysis and thematic analysis is used in the data analysis. Narrative reframing strategies from source to the target texts are examined and analyzed by content analysis. Thematic analysis is employed for identifying the corporate identities constructed through this data.

Abstract:
Searching for new indices of a modern corporation is one of urgent problems of modern economic science. In our opinion, there are good prospects of using "a value added" as an indicator. It reflects a corporation’s ability of creating a new value, whereas its distribution between different players shows an ability of meeting their interests. The aim of the present paper is to propose a methodology and consider a calculation of the amount and distribution of values added between major groups of players on the basis of some financial statements of the Gazprom Corporation for the period of 2004-2012. The proposed methodology for estimating a value added is based on a Marxist interpretation of this concept. Such a value added can be calculated as a sum of elements that belong to different stakeholders. For our calculation, we have used data contained in the Gazprom Corporation’s IFRS consolidated financial statements and quarterly reports for the period of 2004-2012. The main part of the value added of Gazprom was appropriated by the state through tax and customs systems. Its share is around 50% of the total value added. The second most important recipients of the value added are corporation owners. Their share just slightly fell short of 40% in 2010 and 2011, and in 2012 it was 33.8%. The third most important subjects in terms of value added assignments are workers. Their share has been steadily shrinking in the period from 2004 (13.8%) to 2012 (10.4%).

Patents are well-recognized as valuable data source for product innovation, design and development. They contain rich information about design rationale (DR), technology development and so on. In this paper, we intend to discover design focuses, which refer to types of design that a corporation emphasizes on in innovations and R&D approaches. By analyzing invention features, we attempt to reveal distinct design focuses that corporations have targeted at. In our previous study, we have explored text mining to discover DR based on the proposed ISAL model (issue, solution and artifact layer) from patents. In this paper, we aim to design a rationale-based patent analysis approach to analyze technical focuses of corporations from a large volume of patents. In our proposal, DR information of each patent is firstly discovered and each patent is represented by a structured manner of issue, solution and artifact layers. A feature association-based approach is designed to measure connections between artifact features and highly related features are clustered into groups to represent the categories of invention and design focuses from a corporation perspective. A scoring function is then defined to categorize patents based on artifact feature groups. In experimental study, a case study using patents filed by Apple Inc. and RIM (Research In Motion) over a period of time was conducted to demonstrate the approach proposed. We reported our findings on issues like design topic clusters and design focuses involved in the inventions over time.
