This thesis investigates the relationship between crises and reforms by looking at whether reforms are more likely during crises, and whether democracies and autocracies implement reforms differently in the presence of a crisis. Empirical evidence on these relationships is still very limited. Using panel data on over 150 countries over the period of 1960-2005, this paper finds evidence that economic reforms are more likely to be adopted in democracies, and that countries converge towards a certain level of reforms. These results are robust to the inclusion of several control variables. Our results also show that the level of reforms in neighbouring countries has a positive influence on reforms. The empirical analysis shows that there is an ambiguous effect of crises. Different types of crises appear to differently affect whether reforms are implemented. This analysis differs from others in the sense that multiple dimensions of reforms are investigated for a large sample.

Full textMy dissertation deals with the compatibility of the «trust» – as a “foreign” institution – with the basic principles of corporate debt restructuring and/or reorganization in Italian bankruptcy law. More specifically, it draws extensively on the evidences from the common law experiences, with regard both to the general relationship between trusts and bankruptcy law [i.e. the treatment of the trust (rectius: the rights of the parties involved as well as their creditors) in the subsequent bankruptcy respectively of the trustee or the settlor] and to how and to which purposes are trusts used specifically in the corporate distress framework. The first chapter analyzes and criticizes a line of Italian cases dealing with the use of the trust as a form of private regulation of the corporate crisis. The second chapter further explores the functions played by trusts in the corporate bankruptcy – and their limits – in North-American and English law. The third chapter draws the consequences for Italian regulation on corporate restructuring, developing a new model on the use of trusts within said scope.

Full textTopic of this study is the analysis of the conversion of corporations (i.e. change of the legal form, under which the business is run) during an economic crisis, which can lead them to bankruptcy procedures or to the dissolution of the legal entity. The choice to analyze conversion during a crisis of any kind is due to the will to solve relevant problems, which have arisen in practice, and also to look into the legal nature of conversion by means of the identification of its boundaries due to the need to safeguard third parties’ interests. The main theme of this work can be found in the analysis of the relationship between the company’s interest, which can be satisfied through a conversion, and third parties’ interests, which are involved in the company’s crisis, and of the related problem whether conversion can be defined or not as a merely continuative and neutral operation, a mere change of legal vest. This scope of the research is pursued through the identification of the interests involved in the phenomenon of a company’s crisis and the analysis of the possibility to satisfy or harm them through a conversion. The work examines all hypothesis of “homogeneous” conversion (i.e. from and into a stock or limited liability company or a different kind of company and from and into a partnership or a different kind of partnership), highlighting, each time, which problem has already occurred and which one could arise in the future, with regard to each case of conversion. First of all, attention is given to the potential target of a conversion of companies going through a crisis, to clarify the economic reasons of the choice to perform such an organizational operation and to understand in which cases a conversion could favour all or only some of the interests involved in the crisis of a business. The study continues with the identification of the boundaries of the conversion, when the crisis has not yet led to the opening of a bankruptcy procedure or to the dissolution of the legal entity. For this purpose, the analysis is based on asset-related issues of conversion, both in case of conversion into a more complex entity and in case of a conversion and into a simpler one. Furthermore, this work examines the issues arising from the opening of a bankruptcy procedure after the conversion and the particular effects that descend from these circumstances. The final part of the study considers the conversion of a company which is already subject to a bankruptcy procedure and the related issues: from the dissolution of the company caused by the bankruptcy procedure to the conversion of a dissolved company; from the issues risen by the evaluation of compatibility with the bankruptcy procedure to the problems coming from the withdrawal of participants and from the claim for damages in case of invalid conversion.

There were indeed a number of reasons which in my view justified taking this step»: these words of the EU Commissioner for Taxation and Customs Union Algirdas Šemeta inspired this research that aims to examine, first, the reasons that led to the creation of a common multi-phase tax on consumption, and secondly, why today we need to rethink this issue. Pressures to modernize come even by European organizations, who are engaged for years in discussions to reach the definition of a legislation that is able to draw an efficient tax system. The first important step in this direction was made by the European Commission itself in 2010 with the drafting of the Green Paper on the future of VAT, which highlights the critical profiles of the system and possible reform proposals. The objective is to adopt an EU VAT SYSTEM able to make taxation more simple, effective, neutral and anti-fraud. In this research the aim is to highlight the main critical aspects of the Community VAT rules, highlighting also changes that could improve them in order to create a legislation capable of being a model for changing the existing system of indirect taxation in the Republic of San Marino that today is faced with a single-phase tax on imports that is, like VAT, now in crisis.

Full textThe text aims to present the meaning that the concept of "hipster" has in a contemporary historical and social context. Referring to (sub) cultural formations and alternative lifestyles that settled in specific urban environments (hipster neighborhoods), but at the same time looking at widespread aesthetics, contemporary hipsterism is studied here for the first time with an empirical approach, which aims to go beyond the common negative meaning of the term. For this reason, there are interviews with actual hipsters. The research investigates on the one hand the relationship between young hipsters and the label that often describes them (or discredits them), using the case of hipsterism to reflect on the more general topic of refusing labels in contemporary identification and recognition processes, in a cultural atmosphere where the promotion of the subject is often at the risk of individualistic drifts. On the other hand, it explores material culture, social practices, and the lifestyles of young hipsters. In particular, I related this socio-cultural phenomenon to the theme of the crisis of the contemporary West: a crisis that was economic but also cultural. I underlined the responses that enhance, not without contradictions, attitudes oriented to sobriety within the hipster neighborhoods, through “expressive quotationism”, practices of reuse and sensitivity to the theme of sustainability.

Full textThe research arises from the issue of the relationship between history and narrative in the literature of the last fifteen years in three national contexts: Italy, Spain and Portugal. In order to investigate such a wide-spreading field, three intertwined main guidelines have been identified, coinciding with three "crisis". Through reflections on postmodernism (Lyotard, Jameson Hutcheon) and the analysis of Bourdieu, the relationship between market and literary author has been explored, with particular reference to the literary trail of Rafael Chirbes, Mia Couto and Wu Ming. The theme of the literary form was instead investigated by referring to the analyses of Hutcheon and taking into account the texts by Helder Macedo (Pedro e Paula), Isaac Rosa (¡Otra maldita novela sobre la guerra civil!) and Tommaso De Lorenzis-Guido Favale (L’aspra stagione). The crisis of the concept of truth is evaluated with regard to the debate on historiography. In particular, the tension between Hayden White and Charles Ginzuburg has been highlighted. As to provide a deeper understanding of how power relations influence the narrative of the story, the analyses performed by Michel Foucault, Michel de Certeau, Stephen Greenbaltt and Gayatri Spivak are taken into account. Javier Cercas’ Anatomía de un instante, Giancarlo de Cataldo’s Romanzo criminale and João Tordo’s As três vidas are therefore examinated. Lastly, the crisis of the nation-state is taken into consideration by identifying a tension between the analysis of György Lukács and the ones of Franco Moretti, and widening the reflection to the sociological analysis of Immanuel Wallerstein and Saskia Sassen. In addition, through the texts of Benedict Anderson and Homi Bhabha B., the reflection on the national political imaginary takes shape. The texts analyzed are Victus, by Albert Sánchez Piñol, Pro Patria, by Ascanio Celestini e A voz da terra by Miguel Real.

In particular the thesis deals with the market for corporate control in the insolvency arena in both countries. In the States bankruptcy claims are traded on a regular basis whereas Italy still hasn't fully experienced transfers of control within the frame of a corporate reorganization. The first chapter focuses on all issues connected to US M&A in bankruptcy: acquisition of claims in the different classes, control rights in covenants, debtor-in-possession financing, pay for performance in bankruptcy, credit default swaps and empty voting. The second chapter focuses on the interpretation of articles 124 and 127 of the new Italian bankruptcy law which may lead to the creation of a market for corporate control within the frame of a composition with a third party buyer and discusses the potential applicability of mandatory bids pursuant to art. 106 TUF to such deals.

Full textThe first chapter of the thesis begins with a brief introduction on what are the principles that regulate the economy and how they affect it. A market without rules or in serious shortage of them is the incubator of problems destined to affect the economies of all Countries. This situation came out with the phenomenon of deregulation, born on the belief that markets are capable of self-regulation, and the lack of rules capable of setting effective limits that led to an exponential increase in risky financial transactions. As we all know, the creation of the subprime housing bubble in the United States is the most striking example of how the lack of rules could lead to the construction of "financial monsters" that caused the collapse of major banking giants, as well as serious repercussions on the whole economic stability. Full textThis thesis examines the making of new commons under conditions of crisis, using as a case study alternative grassroots ventures that have emerged in urban Greece in contexts of crisis and have "commoning" at their heart: occupied squares, solidarity clinics and pharmacies, cooperatives, workers’ collectives, solidarity food structures and self-organized refugee camps. The dissertation addresses issues of organization, expansion, closure, openness, subjectivity, trust and motivation in commoning endeavors, relates these processes with the conditions of crisis and emergency and explores the transformations in the creation and sustenance of new commons in such contexts. The focus is on the transformative potential of these experiences for individuals, groups, local societies and even large-scale formations such as countries. To approach those issues, the thesis develops a theoretical framework called “the liminal commons". It draws a parallel between the rituals of passage observed by anthropologists in archaic societies, in which participants went through a phase of liminality, and the transitional dynamics of new commons. The thesis argues that there are commons that act as modern rituals, whereby people and collectives who on account of the crisis have lost their core identity search for and form a new identity. The liminal commons are transitional forms of commoning that do not aspire to endure for long but to facilitate transitions. In this respect, they differ from the more stable forms of commoning usually examined by commons theories. This thesis explores these divergences and differentiations and tries to explain how these temporal commons can give rise to more stable structures. It also suggests that, due to their distinct nature, the “success” of liminal commons cannot be assessed against the criteria established by existing theories. Each empirical chapter develops a core theoretical topic. Throughout the text, the reader is walked through different theories on the commons, crisis and liminality, as well as through diverse case studies from Greece. The thesis aims to create a theoretical “threshold” in which different theories cross-fertilize to make sense of an undertheorized social phenomenon. The final argument of this thesis is that the liminal commons have a great transformative potential at different levels and scales, from the molecular level of the individual to the macro level of society.
