Abstract:
The article examines and develops the methodological and methodological basis of corporate finance management in the context of their strategic development, when investment and financing decisions are particularly relevant from the point of view of determining acceptable risks and the financial well-being of the corporation. The conceptual and methodological foundations of analytical support for corporate finance management are developed, based on the definition of investment policy, its implementation through investment business planning and identification and assessment of financial risks in the framework of achieving strategic goals related to the modernization of Russian corporations. The ways of improving the quality of the corporate finance management strategy based on the introduction of budgeting technology and the use of controlling the implementation of the corporation's financial strategy are proposed. It is intended for postgraduates, undergraduates, university teachers, researchers and practitioners, full-time and part-time students studying in the areas of "Economics", "Management", "Finance and Credit" (master's level), as well as anyone interested in the problems of strategic management of corporate finance.

Abstract:
A bilateral investment treaty (BIT) is relevant for a particular arbitration case only when the case falls within its scope of application. Normally the scope of application of a treaty includes four aspects: subject matter (ratione materiae), covered persons and entities (ratione personae), territorial application, and temporal application. The Chinese BITs are not an exception to this but they do, however, raise some special, perhaps unique, questions. This chapter deals with the four aspects on the scope of application, with special attention to those issues with “Chinese characteristics”. It also deals briefly with the issue of investment admission, which has been left, by and large, within the discretion of the host state.

Chapter 6 explores the central concept of ‘investment’. It first considers the core question of the definition of ‘investment’ under the ICSID Convention and under investment treaties. It then takes up four important issues: (1) the time when an investment is made in relation to the temporal scope of the treaty protections; (2) the extent to which pre-contract investment may obtain treaty protection; (3) the place of an investment; and (4) the role of host State law in defining ‘investment’. It then analyses a set of problems that arise out of indirect investments: the relation between the losses suffered by a subsidiary in the host State and the investor’s investment; the rights of minority shareholders; claims brought by holding companies; corporate restructuring as a means to gain the advantage of investment treaties; the position of ultimate beneficiaries; and the position of portfolio investments.

One of the main elements setting the scope of application ratione persona of international investment agreements is the definition of the investor. An investment agreement applies only to investors who qualify for coverage under its relevant provisions; only they can submit a claim against the host State. The definition identifies the group of investors whose foreign investment the home country is seeking to protect through the agreement as its ‘nationals’, as well as the ‘clients’ and the investments the host country wishes to attract. This chapter deals with the nationality of the investor, whether a natural or legal person; the criteria used by investment agreements to attribute this nationality, and the arbitral awards that support this qualification. For natural persons, the issues are usually not problematic, although some may arise in particular with regard to dual nationality. For legal persons, the debate remains far more complex.

Abstract:
This chapter discusses the status of financial products as qualifying investments under bilateral and multilateral treaties that contain protections for foreign investment, including the signatory States' consent to submit investor-State disputes to international arbitration. It first describes how an investor and a State consent to proceed to arbitration under such a treaty. Second, it discusses how a qualifying investment is generally defined for purposes of investor-State treaty arbitration. Third, it addresses significant treaty and case law developments relating specifically to financial products — such as loan agreements, sovereign bonds, and derivatives — as qualifying investments. These developments shed light on the key questions of whether an investment exists; whether the investment was made in the territory of the host State; and whether the investment was made by the claimant investor. The chapter concludes with comments on the trend favouring inclusion of financial instruments within the definition of investment.
