Full textProfessional, or the increasing use of adhesion contracts (“take it or leave it agreements”), all are factors that can lead to the contractor’s vulnerability. The risk is, for the so-called “strong” party, to abuse its position in order to force the other party into a strongly unbalanced agreement, mainly in its own benefit. Since such a reprehensible behavior occurs during the contract formation, the weakened party should be able to find protection through the use of the defects of consent theory. However, this theory has proven inadequate to effectively protect abused contractors today. A major explanation is due to the fact that this theory remains unchanged since 1804. Based on an individualistic conception of the contract, conditions of admission of each defects of consent, such as error, abuse and fraud, are too restrictive. However, the more contractual inequalities exist, the more they will turn into abuse. Therefore, this is why such a theory should be restored in order to protect contractors. It is through the notion of “dol” (willful misrepresentation or fraudulent concealment) that we propose to do so. This choice is not a coincidence. It is justified by the fact that “dol” is a tort, even before being a defect of consent. Specifically, it is the manifestation of pre-contractual disloyalty. Its recognition as a fact altering willpower will generate two negative effects. The first is linked to the fact that “dol” appears to be a complex notion and a source of contradiction in substantive law. The second is not permitting to properly penalize the dishonesty perpetrated during the contract formation due to a too narrow scope of the “dol”, the latter being understood as an induced error. Giving it back its real nature of a civil tort defecting the contract and undermining the pre-contractual good faith, our work aims at finding a remedy to these two shortcomings

Full textThe issue of sanctions is critical when is opened the debate on the effectiveness of employee representation rules in the company. Aiming at protecting the core values of society, criminal law should be reserved for infringements of the prerogatives of employee representation bodies which are fundamental. For the rest, there are sanctions , administrative or civil, more effective. Still, the only restriction of the criminal field is not sufficient to guarantee the effectiveness of employee representation rules. Some substantial and “organizational” answers relating in particular to the definition of a major criminal policy, the revision of the division of responsibilities in the company and the search for renewed criminal sanctions seem necessary. Beyond the repressive way, others deserve to be explored. The application of employee representation rules must be guaranteed by tools rather preventive than repressive and without any involvement of any judicial authority. The extra-criminal policy leaves a large place to the preventive function of labor inspection which should help companies by using new methods of support and assessment. The definition of a corporate social policy, through the conclusion of a single agreement on staff representation, is legally adequate to ensure the effectiveness of the rule by taking into account the specificities of each company

Full textThe subject of shareholder damages has seldom been studied in France. Nonetheless, it is a topic of much discussion and debate in legal circles. Unlike under some foreign laws, French law rarely permits the direct compensation of shareholder damages because of the summa divisio between the personal damage (recoverable) and the damage of the company (not recoverable). However, this distinction is not relevant both in terms of theory and practice. More doubt is cast on this distinction where the potential damage arises from an infringement of the penal law, such as the use of false or misleading information to induce shareholder reliance or action. Furthermore, the internationalisation of capital introduces conflicts of law and jurisdictional questions, asking the courts to first determine whether they are the proper authority to hear a shareholder’s case, and which nation’s laws to apply.This study presents a critical analysis of the positive law and proposes avenues of reforming French laws concerning shareholder damages. Should the existing remedies be changed ? Which remedies should be adopted to reverse the strict trends in French law against adequately compensating shareholders’ losses ?

Of varying intensity, stasis can takes a legal form of conflict between two political groups, from the moment that she’s not obstruct the functioning of the institutions and that she does not divide the community in two irreductible camps. It’s only in extreme cases, when no compromise is possible, that she takes the form of sedition. It’s at this key moment, when the conflict comes to a head, when everything stops, and when violence cause bloodshed, we dedicate this study. Our investigation covers a rich period on political earthquakes, from the reign of Philip II to the wars of Mithridates. Full textThe victim of the offense has some influence on the formation and qualification of it. Beyond their differences, the rules of criminal law and special evoking the victim have certain common characteristics , which leads to the conclusion that the influence of victim in criminal law is generally consistent , if not homogeneous . First, the criminal law generally allows to take into account that only factors relating to the personality or behavior of the victim which are knowned by the offender. The influence of the victim is a subjective . Only a few characteristics of the victim whose knowledge the agent would be too difficult to prove can be considered objectively . Second, the offense is a special event , distinct from other types of damage which the civil or administrative laws try to repair . Criminal victim is thus distinguished civil or administrative victims. This is why its influence obeys specific criminal criteria. There may be specific criteria criminal law . There are also existing criteria in other areas of law, but put together by the criminal law in a category of its own . However , criminal law is constructed by reference to the offender , the reference to the victim is a secondary variable. Criteria influence the victim sometimes deserve to be harmonized , especially as they vary in time and space . Every social organization promotes its own conception of criminal victim
