Abstract:
Resumo Fusões e Aquisições (F&A) é um assunto extensamente estudado na literatura internacional de finanças. Uma questão em aberto é o papel e impacto da participação de um advisor para auxiliar no processo de negociação. A literatura concentra-se no estudo do mercado americano com características diferentes de um mercado emergente com firmas de propriedade concentrada. Utilizando dados de 7.302 operações brasileiras, este artigo investiga o papel da presença de advisors no tempo de negociação e a taxa de sucesso, bem como identifica características das transações que sejam determinantes para sua participação. Por meio de regressão linear e logística, constatou-se que as transações que contam com a participação de advisors têm (a) um maior tempo de transação, tradicionalmente associado a eles terem um papel ativo, (b) uma maior taxa de sucesso. Adicionalmente, constatou-se que a probabilidade de participação de um advisor aumenta com a complexidade e porte do negócio, com a experiência anterior com F&A da adquirente e quando o pagamento é totalmente em ações.

Abstract Background Boosted protease inhibitor regimens (bPIs) are effective and often used in HIV-infected individuals with difficulties with adherence, but they can have drug–drug interactions and GI adverse effects. Bictegravir (B), a novel, potent integrase strand transfer inhibitor with a high barrier to resistance and low potential for drug–drug interactions, was coformulated with the recommended nucleoside reverse transcriptase inhibitor backbone emtricitabine (FTC)/tenofovir alafenamide (F/TAF) and demonstrated high efficacy and tolerability in randomized studies in treatment-naïve adults. This randomized Phase 3 study assesses efficacy and safety of switching to B/F/TAF from a multi-tablet regimen containing a bPI. Methods HIV-infected adults suppressed on regimens of boosted atazanavir (ATV) or darunavir (DRV) + abacavir/lamivudine (ABC/3TC) or FTC/tenofovir disoproxil fumarate (TDF) were randomized 1:1 to continue their current bPI regimen or switch to open-label coformulated B/F/TAF (50/200/25 mg) once daily. Primary endpoint was proportion with HIV-1 RNA ≥50 copies/mL (c/mL) at W48 (FDA snapshot). Noninferiority was assessed through 95.002% confidence intervals (CI) using a margin of 4%. Secondary endpoints included proportion with HIV-1 RNA <50 c/mL and safety measures at W48. Results A total of 577 participants were randomized and treated with B/F/TAF (n = 290) or current bPI regimens (n = 287): 17% women, 26% Black, median age 48 years. Most were receiving a bPI with FTC/TDF (85%) at screening. At W48, switching to B/F/TAF was noninferior to continuing bPI with 1.7% in each group having HIV-1 RNA ≥50 c/mL (difference −0.0%; 95.002% CI −2.5% to 2.5%, P = 1.00); the proportion with HIV-1 RNA <50 c/mL was 92.1% in B/F/TAF vs. 88.9% in bPI. No participant on B/F/TAF developed resistance to study drugs. One participant on DRV/ritonavir + ABC/3TC developed a treatment-emergent L74V mutation. Incidence of grade 3 or 4 AEs was similar (B/F/TAF 4%, bPI regimens 6%). No renal discontinuations or tubulopathy cases occurred with B/F/TAF. Conclusion Adults switching to B/F/TAF from a boosted PI maintained high rates of virologic suppression without resistance. B/F/TAF was safe and well tolerated. Disclosures E. Recommender systems (RS) are being used by an increasing number of e-commerce sites to help consumers find the personally best products. We define here the criteria that a RS should satisfy, drawing on concepts from behavioral science, computational intelligence, and data mining. We present our conclusions from building the WiseUncle RS and give its general description. Rather than being an advisor for a particular application, WiseUncle is a generic RS, a platform for generating application-specific advisors.

Advisors can use E-mail to not only select the information that is most relevant to students, but also to provide that information immediately, conveniently, and efficiently. The author, a departmental advisor at a large midwestern university, created a listserv exclusively for her advisees. A recent survey indicated that the students are accessing their E-mail regularly, finding the information posted to the listserv useful to them, and often relying on the listserv as a primary information source.

The field of academic advising lags behind other similar fields in the use of technologically mediated communication modalities shown to improve academic outcomes. We investigated student satisfaction with undergraduate advising by examining the ways communication methods, such as social media, between student and advisor relate to student satisfaction. Results showed that although advisors rarely communicated with students via social media, text messaging, or instant messaging, the number of face-to-face advising meetings was positively predicted by advisor use of instant messaging and text messaging and negatively predicted by their use of Facebook. Furthermore, e-mail communication positively predicted a student's positive view of the advising experience, but communicating through Twitter predicted negative views of advising.

Many colleges and universities in the U. S. are electronically linked to the internet, the worldwide web of computer networks. Advisors can begin to use internet resources by subscribing to the user-friendly academic advising forum called ACADV. Through ACADV, advisors participate in a daily discussion group that connects them with colleagues around the world. After an advisor who is a new internet user becomes comfortable with ACADV, many other network resources can be explored. Abstruse computer terms and abbreviations such as e-mail, Usenet, Telnet, and FTP will become familiar and meaningful after only a short time. Advisors who learn the terms and concepts enabling them to communicate via computer effectively will discover much of value in the world of computer-mediated communications.

Tiriama, kaip, duomenų bazės struktūra transformuojama į veiklos taisyklių kūrimo aplinką, neprarandant duomenų struktūros elementų, ir užtikrinant pilną sąveika su duomenų baze.Išanalizuota veiklos taisyklės sąvoka ir jos pritaikymo galimybės veiklos procesų architektūroje. Apžvelgtos šiuolaikinės veiklos taisyklių manipuliavimo mechanizmų architektūros. Plačiau išnagrinėtos Blaze Advisor sistemos galimybės, kaip veiklos taisyklių valdymo sistema. Išnagrinėta 18 literatūros šaltinių. Sudaryta projektavimo metodika. Kurioje atsispindi pagrindiniai principai kaip transformuojama duomenų bazės struktūrą į veiklos taisyklių valdymo sistemos duomenų struktūrą. Laikantis metodikos atliktas eksperimentas tarp Blaze Advisor sistemos ir duomenų bazės. Sudarytos konceptualios schemos vaizduojančios duomenų srautus vykdymo metu informacinėje sistemoje: nuo duomenų bazės iki sprendimo. Suformuota metodika yra skirta praktiniam panaudojimui; ją taikant užtikrinamas sklandus veiklos taisyklių susiejimas su duomenų bazėje saugomais duomenimis sistemos projektavimo ir realizavimo etapuose.<br>Nowadays, nearly all of the commercial and government organizations are highly dependent on software system. Due to the inherent dynamic nature of their business environment, software evolution is inevitable. The growing of needs in management of global organizations similarly is growing the expert systems designing companies, which offer their own organizations management systems. This paper substance is how to transform the data structures to the business rules management systems, without losing the database structure elements, and ensuring fully interaction with the database. Representing the concept of business rules, analyzing architecture of business rules manipulation mechanisms. Exploring the Blaze Advisor as tool of business rule management system, which is implement of components such as: rule sets, decision trees, decision tables, and etc. These components are developing the processes of organization, which helps to efficient maintain and control the operations of internal logic. A study carried out between the Blaze Advisor tool and database, and established how to filtering the data from database, and then a data are transformed into information, and under information using the components to get the solution. To give spirit of this work was formulated a method of transforming data structures into development environment of business rules.

O presente estudo teve como objetivo analisar o processo de avaliação da educação superior da Enfermagem brasileira na perspectiva da Comissão Assessora de Avaliação para a Enfermagem - INEP. A partir da análise realizada com base nas entrevistas com os membros da referida comissão para a área de Enfermagem foi possível discutir questões referentes às políticas de avaliação da educação superior, levando-se em consideração a expansão e a diversificação desse nível de ensino, a instituição de procedimentos de avaliação estruturados em princípios de flexibilidade e de competitividade, bem como as políticas de saúde, definidas a partir das diretrizes do Sistema Único de Saúde (SUS) com ênfase na saúde pública. Evidencia-se que o Sistema Nacional de Avaliação da Educação Superior (SINAES), além de apresentar componentes de regulação, possibilita realizar uma avaliação qualitativa, de forma a superar o modelo anterior, determinado pelo Exame Nacional de Cursos (ENC), caracterizado pela tendência a estabelecer ranking para o setor. A utilização de instrumento único para a avaliação de cursos, embora evidencie a falta de especificidade para a formação de Enfermagem, assegura a avaliação qualitativa. O avaliador é destacado como elemento central do processo de avaliação de cursos, pela possibilidade de diálogo com as instituições, traduzida em uma modalidade de avaliação formativa. Embora a comissão não estabeleça relação entre avaliação e emprego, a oferta e a ampliação de cursos e vagas determina a necessidade de novos postos de trabalho. A expansão da educação superior apresenta maior crescimento no setor privado, ficando a oferta de vagas no setor público praticamente estagnada, caracterizando a transferência da responsabilidade social do Estado para a livre iniciativa. Apontam-se as Diretrizes Curriculares e as diretrizes do SUS como eixos norteadores para a avaliação da educação superior em Enfermagem, definidoras de um novo paradigma de formação em saúde. Ainda que a intenção da avaliação não seja a de focalizar as especificidades da saúde pública, isso torna-se inevitável, pois o SUS constitui-se neste bojo. Deve-se considerar, também, que o sistema possui componentes de caráter regulatório, que são utilizados para conter a abertura mercantilista de cursos e para zelar pela qualidade da formação. Quanto ao caráter formativo da avaliação, o desafio está em que ela exerça real contribuição na elaboração e desenvolvimento de projetos político-pedagógicos para formar o futuro trabalhador do SUS.<br>This essay has the objective of analyze the process of evaluation of the higher education on the Brazilian nursing studies under the perspective of the Adviser Committee of Evaluation for Nursing Studies - INEP. From the analysis fulfilled based on the interviews with the members of the so called committee for the nursing field it was possible to open debates on issues concerning to the policies of the higher education evaluation, taking into consideration the expansion and the diversification at this level of education, the settlement of the procedures for evaluation, established on principles of flexibility and competitiveness, as the health policies, determined from the conductresses of the Sistema Único de Saúde (SUS) with emphasis on the public health. It becomes clear that the Sistema Nacional de Avaliação da Educação Superior (SINAES), besides presenting elements of regulation, makes possible accomplish a qualitative evaluation, in order to overcome the former model, determined by Exame Nacional de Cursos (ENC), characterized by the trend of setting a ranking for the sector. The use of a single instrument for evaluation of the courses, although makes clear the lack of speciousness for the nursing graduation, assures the qualitative evaluation. The rater is highlighted as a central element of the evaluation process of courses, due to the possibility of dialog within the institutions, translated into a modality of formative evaluation. Moreover the committee does not establish relationship between the evaluation and employment, the offer and enlargement of courses and openings; it determines the need of new working positions. The expansion of bachelors degrees show a greater growth in the private sector, being the offer of openings in the public sector fairly stagnated, characterizing the transfer of the social responsibility from the government to the private enterprise. It is brought forward the Curriculum conductresses and the - SUS - conductresses as the guiding axles for the evaluation of the higher education on nursing studies, definer of a new paradigm of graduation in health. Even that the primary intention of the evaluation is not to focalize the specificities of the public health, this becomes undeniable, due - SUS - is based on this values. It is also proper to consider, that the system has elements of regulation character, which are not used to detain the creation of mercantilist courses and care for the graduation quality. Due to the formative character of the evaluation, the challenge is settled in the fact that it leads to real contributions on the elaboration and development of politic-pedagogical projects to form the - SUS - workers-to-be.

Distance Education (DE) is a teaching modality capable of providing professional formation for people with limited access to university education. For this end, a set of computational tools is required in assisting the teaching and learning process (PEREIRA et al., 2006a). Moreover, some common obstacles for DE are the issues of identifying possible advisors for those students in the process of writing monographs and work overload. This has become an important issue for researches, placing their emphasis on the idea of working the interests of students, teachers and education managers. For such, this work used a quali-quantitative approach, in a way that data were collected in a Distance Learning Environment (DLE) and also by the application of a structured questionnaire to potential advisors. As such, this work has the objective of proposing a Computational Model of Social Combination that helps the DE Manager in the process of advisors planning for monograph works. This paper presents three computational tools developed by using genetic algorithms. These tools were applied according to the context of the DE undergraduate course of Information Systems offered by the Federal University of Alagoas and the Open University of Brazil. The results show that the proposed computational model can be used to help DE Managers to reduce the cases of students’ and advisors’ profiles incompatibility, as well as to reduce docent work overload.<br>Coordenação de Aperfeiçoamento de Pessoal de Nível Superior<br>A Educação a Distância (EAD) é uma modalidade de ensino capaz de viabilizar a formação de profissionais com dificuldades de acesso à formação universitária. Para tanto, esta modalidade necessita dispor de um conjunto de ferramentas computacionais que viabilizem o processo de ensino aprendizagem (PEREIRA et al., 2006a). A identificação de possíveis orientadores e a sobrecarga de trabalho são algumas das dificuldades existentes neste processo. Pesquisas nesta área investem na idéia de trabalhar os interesses de alunos, professores e gestores da educação. Para tanto, esta pesquisa utilizou uma abordagem quali-quantitativa, de maneira que os dados foram coletados em um Ambiente Virtual de Aprendizagem (AVA), bem como através da aplicação de um questionário estruturado aos orientadores em potencial. Desta forma, este trabalho tem o objetivo de propor um Modelo Computacional de Combinação Social que auxilia o Gestor de EAD no processo de planejamento de orientadores de trabalhos monográficos. São apresentadas três ferramentas computacionais, desenvolvidas por meio de algoritmos genéticos, que foram aplicadas no âmbito do Curso de Bacharelado em Sistemas de Informação a Distância, ofertado pela Universidade Federal de Alagoas e Universidade Aberta do Brasil. Os resultados obtidos apontam que o modelo computacional proposto pode ser utilizado para auxiliar os gestores de EAD na redução dos casos de incompatibilidades de perfis de alunos e orientadores, bem como na redução da sobrecarga de trabalho dos docentes.

Šiame darbe nagrinėjama veiklos taisyklių sąvoka, jų klasifikacijos būdai bei panaudojimo galimybės skirtingiems poreikiams realizuoti. Kaip veiklos taisyklės yra specifikuojamos ir kokiais būdais galima jomis manipuliuoti. Pagrindinis šio darbo tikslas ištirti taisyklių valdymo įrankį (Blaze Advisor), išnagrinėti veiklos taisyklių specifikavimo principus, naudojant objektiškai orientuotą SRL kalbą bei jų panaudojimo galimybes remiantis vidiniais įrankio komponentais, skirtais veiklos taisyklių realizacijai. Atlikus išsamią analizę pastebėta, jog esti trūkumų, kurie neleidžia efektyviai modeliuoti veiklos taisykles bei apriboja įmonių atstovų priėjimą prie jų. Siekiant pašalinti trūkumus siūloma metodika, kuri suteiktų lankstesnį būdą veiklos taisyklėms kurti bei valdyti. Kuri užtikrintų galimybę veiklos atstovams patiems dalyvauti realizavimo ir kūrimo etape be IT specialisto betarpiškos pagalbos. Realizuojant sistemą siūlomu metodu, suteikiama galimybė veiklos atstovams valdyti veiklos procesus, keičiant veiklos taisyklių leistinas dalis, taip pakeičiant visą programos ir jos vykdymo logiką bei priimamus sprendimus. Galima lengvai veiklos procesus pritaikyti prie besikeičiančių sąlygų, kurios vienaip ar kitaip įtakoja įmonės veiklą, sumažinant įmonės kaštus.<br>In this work there is analyzed business rules` conception, ways of their classification and possibilities to use them in order to realize different needs, how business rules are specified and how you can manipulate them. The main aim of this work is to explore rules Blaze Advisor, to analyze business rules specification principles, by using objectively oriented SRL language and opportunities to use them on the ground of inner advisor components designed for business rules realization. After the detailed analysis it was noticed that there are defects, which don`t let effectively model business rules and narrow the access enterprises representatives to them, trying to eliminate the defects by suggested methods, which would present a more flexible way to create business rules and guide, which would ensure the possibility for business representatives themselves to participate in the realization and creation stage without IT specialists immediate help. Realizing the system by the suggested method, there is a possibility for business representatives to guide business processes, by changing business rules` permissible parts, in this way all the program`s and its realization logic and acceptable decisions. It`s easy to conform business processes to the changeable conditions, which in one or another way make influence to the enterprise`s activity by reducing the enterprise`s costs.

Skirtingose šalyse naudojami saviti vadybinio kompetentingumo modeliai. Pavyzdžiui, modelis vadovų kompetencijai vertinti (Jucevičienė, 2001), modelis vadovų rezultatyvumui matuoti (MCI modelis), vadybinės kompetencijos modeliai smulkių ir vidutinių organizacijų vadovams (Boyatzis, 1982), pedagogų vadybinio kompetentingumo modelis (Rodzevičiūtė, 2006). Tačiau profesijos patarėjo vadybinis kompetentingumas apima specifinius profesijos ypatumus, atspindinčius profesinio informavimo veiklos sudėtingumą. Todėl svarbu sukurti naują profesijos patarėjo vadybinio kompetentingumo modelį, kuris atskleistų specifinius šios veiklos aspektus bei būtų pagrįstas pačių profesijos patarėjų požiūriu. Seeking to acquire neccessary qualities in the sphere of advisability specific skills are especially needful. The Standard of Giving Professional Information (2006) does not underline the aspect of wanted abilities in the management of professional advisability. Furthermore, the question of management competence of the advisor in choosing a profession was not analysed in scientific resourses available in Lithuania. Summarising common atittudes about competent management, theoretically it is proved that the conseption of an advisor in choosing profession is obviously tied to the ability to use all competences to reach effectivness and quality in giving information. To solve the problem of today it is urgent to answer the main question: What kind of structure and content as a competent manager has to be acquired by a professional advisor to help to prepare programmes for his/her improvement ? Focuses attention on the exercise of journalistic communication advising of the largest institutions of higher education in Maranhão: Universidade Federal do Maranhão (UFMA), Instituto Federal de Educação, Ciência e Tecnologia do Maranhão (IFMA) e Universidade Estadual do Maranhão (UEMA). The objective is to investigate whether science journalism produced in public institutions achieves consistent educational purposes, to meet the training needs of scientific culture. Is taken as support for Social Theory of Discourse, Norman Fairclough (2001), who sees the speech as three dimensional: text, discursive practice and social practice. In an interview with heads of communications consultancies such institutions rose up the policies to make possible the formulation of discourse dissemination of science, technology and innovation. The analysis showed the coexistence of discourse science, discourse science journalism and discourse institutional promotion. From interdiscursive and intertextual relations, these fields alternate or overlap to fulfill hegemonic maintenance purposes, without significant attention to the educational dimension of science journalism.<br>Discussão do papel educativo desempenhado pelo jornalismo científico. Centra suas atenções sobre o exercício jornalístico das assessorias de comunicação das maiores instituições de ensino superior do Maranhão: Universidade Federal do Maranhão (UFMA), Instituto Federal de Educação, Ciência e Tecnologia do Maranhão (IFMA) e Universidade Estadual do Maranhão (UEMA). O objetivo é investigar se o jornalismo científico produzido nessas três instituições atinge propósitos educativos consistentes, de modo a atender necessidades de formação de cultura científica. Toma-se como suporte a Teoria Social do Discurso, de Norman Fairclough (2001), que percebe o discurso como tridimensional: texto, prática discursiva e prática social. Em entrevista com chefes das assessorias de comunicação dessas instituições, levantou-se condições de produção do discurso da divulgação de ciência, tecnologia e inovação (CT&I). A análise apontou a coexistência entre discurso da ciência, discurso do jornalismo científico e discurso de promoção institucional. A partir de relações intertextuais e interdiscursivas, esses campos se alternam ou se justapõem para cumprir propósitos de manutenção hegemônica, sem atenção significativa à dimensão educativa do jornalismo científico.

In the domain of travel and tourism, recommender systems have proven to be valuable tools for supporting potential customers during the decision making process. In contrast to other domains, however, travel recommendation systems must not only include extensive knowledge about catalogued items but also require interactive elicitation of customer requirements. As a consequence, such systems often become highly-interactive and personalized Web applications, whose development can be costly and time-consuming. The authors see these factors as major obstacles to the widespread adoption of this type of recommender system in particular with respect to small and medium-sized companies and e-tourism platforms. The “Vibe virtual spa advisor” presented in this chapter is an example of a recommender system offering such high level interaction. It has been built with the help of AdVisor suite, an off-the-shelf knowledge-based and domain-independent framework for the rapid development of advisory applications. The chapter discusses how development costs can be reduced by using a framework that supports graphical domain modeling, domain-independent recommendation algorithms and semi-automated generation of production quality web applications. The authors also report on practical experiences and give an outlook on future work and opportunities in the domain of travel recommendation.

Web-based courses are being introduced by higher education institutions at an increasing rate, such that a systematic shift from face-to-face teaching to web-based teaching has become evident. This enthusiasm in web-based education is primarily driven by cost savings and bottom line net profits to institutions. However, research work in the field still has a long way to demonstrate the effectiveness and benefits of web-based learning in general and more specifically, which student can benefit most. Regardless of all the benefits reported, difficulties are still encountered by students, professors, and institutions alike. In fact, many studies show that the web environment for learning is not appropriate for everyone. Therefore, the primary question should be “who is appropriate to take web-based courses?” This of course is in the context of success as it relates to enhanced learning experience and improved performance. Considering the reported benefits and difficulties, this paper identifies seven factors characterizing student success in a web-based learning environment. In addition, we use those factors within a decision support advisory system to help screen students for their appropriateness to take a web-based course. The system was used with few students and this paper reports on one case. The advisory system identifies unfavorable conditions for success to the student and suggests remedial activities to enhance the student’s success.
