Chapter 10 examines the validity and enforceability of forum selection (jurisdiction) and choice of law (applicable law) clauses in consumer contracts in the US and in the EU, comparing two differing approaches to finding a balance between business’ interests, transactional efficiency, and consumer protection in e-commerce. The chapter explains the US jurisprudence, which has established a presumption in favour of the validity of jurisdiction and choice of law clauses in the absence of fraud, undue influence, or overweening bargaining power (US Supreme Court in Bremen and Carnival Cruise Lines v Shute). It contrasts the contractual analysis in the US, which may hold certain forms of clauses in adhesion contracts unenforceable, depending on the applicable state law with the stricter public policy approach in the EU, which implements consumer protection law through its private international law rules in the Brussels I Regulation and the Rome I Regulation. It examines the EU rules with respect to the types of consumers and consumer contracts to which the protective jurisdictional rules apply. The chapter critically analyses the jurisprudence on jurisdiction in internet and e-commerce cases and incisively conceptualizes the legal approaches and latest developments on both sides of the Atlantic. This includes the directing/targeting line of cases after Pammer/Alpenhof in the EU.

When a dispute arises from e-commerce involving parties located in different nations, the parties immediately face conflict-of-laws issues such as judicial jurisdiction, applicable law, and extra-territorial effects of judgments. Taking into consideration that there is no unified conflicts law rules in the global level and, if any, the conflicts rules are usually based on the traditional international transactions, this chapter tries to discuss the dispute resolution systems suitable for e-commerce, especially for computer information transactions. As the result of the discussion, it becomes clear that further enhancement of a worldwide dispute resolution system suitable for e-commerce is desirable. In establishing a new system, the 1999 Guidelines for Consumer Protection in the context of electronic commerce, approved by the OECD, gives much inspiration. The New York Convention on foreign arbitration, by Article V (1) (e) lays down a procedural norm that an arbitral award, duly rendered, attains finality if, and only if, a domestic court endorses it. This procedural norm was endorsed by the Supreme Court of India in two leading cases. The ratio that the Supreme Court employed in the above-mentioned cases is in accordance with Section 17 of the Indian Arbitration Act, 1940. Such an endorsement by a local court of the forum that was required under Article V (1) (e) of the New York Convention was done away with by the Arbitration and Conciliation Act, 1996 under Section 35. The forum for the conduct of arbitration in the country of the applicable law also is not indispensable; and it is for the court exercising jurisdiction to determine, on the basis of balance of convenience, the place for the conduct of arbitration, taking into consideration the local status of the parties, such as that one of the parties cannot afford to go to the country of the applicable law, coupled with the availability of evidence, oral and documentary, at the place where the court is exercising jurisdiction.

The jurisprudential distinction between substance and procedure is that substance relates to rights and obligations of the parties to a dispute, and the procedure is the means employed to determine such rights and obligations. To elucidate the above distinction between substance and procedure, we may cite Article V (1) (e) of the New York Convention as example, which lays down the rule that a foreign arbitral award duly rendered becomes final and binding if, and only if, a domestic court endorses it. This procedural requirement finds its reflection in Section 17 of the Indian Arbitration Act, 1940. The said procedural requirement was done away with by the Arbitration and Conciliation Act, 1996 (See Section 35). Also, the procedural requirement for the conduct of arbitration in the country of the applicable law is not indispensable; and it is for the local court exercising jurisdiction to determine, based upon the interests of the parties before it, its jurisdictional competence. Municipal courts apply their local law of limitation as part of their procedural law in conflicts resolution.

E-commerce is the retail phenomenon of the twenty first century and also – although it attracts less publicity - constitutes the medium within which many commercial transactions take place. This chapter will examine legislative initiatives in the United Kingdom and European Union that are designed to address some of the legal issues and problems that arise from on-line transactions. The main goal is to promote e-commerce both by means of conferring rights on consumers – as epitomised in the Distance Selling Directive that gives rights to inspect and return goods ordered on line- and give some businesses engaged in the sector a degree of immunity from some forms of legal liability. Key here is the notion of an “information society service” and provider as specified in the E-Commerce Directive. A further issue that arises in many e-commerce transactions is that consumers are able to contract with a supplier located in a different jurisdiction. Booking hotel accommodation is a frequently used example. Questions need to be resolved in this case which legal system and which courts will govern the transaction.

Consumer protection by European private international law rules have acquired a new dimension that has led to a new paradigm. This change arises from amendments to legislation and new ECJ case law in the field of e-commerce. Firstly, the BIR recast establishes universal rules of jurisdiction in consumer contracts. The reform has eliminated the existence of two different jurisdictional regimes in matters relating to consumer contracts in order to create a unified European system, eliminating the possibility for the national courts to apply the so-called residual jurisdiction rules. Secondly, European Court of Justice case-law concerning e-commerce transactions has shifted its focus to the conduct of suppliers instead of the traditional distinction between active and passive consumers. This new focus covers a wider range of cases in which the consumer is protected. Both changes have greatly increased the protection of the consumer when entering into an international contract. From a European perspective, this should be seen as a step further in the evolution of European consumer policy and its goals. However, more difficulties arise when explaining such an extension from an international perspective.

It analyses jurisdictional due process and minimum contacts jurisprudence in general, the distinction between general and specific personal jurisdiction and the application of the jurisdictional principles to internet cases. It then continues by looking at specific doctrines and how they have evolved in respect of internet disputes, such as the effects doctrine, stream of commerce cases, and e-commerce contracts. The chapter analyses the doctrines tempering the assumption of jurisdiction and governing the interface with foreign law and, specifically forum non conveniens, comity, and reasonableness. Finally, it examines procedural jurisdiction in the context of adjudications and conflicts of law with regard to (civil litigation) evidence and draws conclusions from the subject matters examined.

The development of the Internet raises challenges in the application of defamation, given that the click of a mouse can communicate a defamatory statement instantly to thousands of people throughout the world. This can pose a serious threat to the reputation of an individual or company. This chapter considers: (1) the laws of defamation applicable to the Internet, including analysis of the Defamation Acts 1952 and 1996 and the E-Commerce Directive; (2) the way UK law is currently being applied in practice, including discussion of the key UK cases in this area; (3) the Internet defence in the Defamation Act 1996, which can protect innocent disseminators of defamatory material over the Internet; and (4) future reform of defamation law in the UK.
