Financial capital regulation drives almost every aspect of the financial markets, from the structures of financial groups and the way they raise capital to the development of investment structures and financial engineering such as derivatives, securitisations, structured finance, credit derivatives, repos, and stock lending. This third edition of the leading guide on the structure of bank financial regulation is invaluable for lawyers and other non-statisticians interested in the regulatory drivers which shape modern financial transactions and techniques. The legal and regulatory principles which underlie the regulations are articulated here in a structured and accessible format. Since the publication of the second edition, the final form of the Basel 3 international regulatory framework for banks has been agreed, and the new edition covers both Basel 3 and references the first tranche of rulebooks and secondary legislation to ensue as a result. The new edition also covers the new formal bank resolution and recovery regime which came into force in November 2016 requiring UK banks, building societies, and the large investment firms to demonstrate minimum requirements for eligible liabilities and own funds. Another key focus of this edition is bank structural reform. Whilst the implementation of the EU initiative stalled and was ultimately withdrawn, the UK has already implemented its own version which has had, and will continue to have, a significant impact on banking regulation.

This book argues that external actions of the European Union result in an acceleration of national politics being locked into a tightening net of EU law. It brings to light the -hidden effects of EU external actions on, for example, the interpretation of organizational principles, pre-emption, and international obligations of the Member States. It then connects these effects to the broader debate on the democratic crisis, by engaging with the basic structures of the EU legal order and the Union’s relations with its citizens. The focus of this book is on the ‘outside-in’ effects of EU external relations. More specifically, the book sheds light on how the Union’s external actions affect the power division between the EU and its Member States, the structures that shape the relationship between the Union and its citizens, as well as the autonomy, effectiveness, and legitimacy of EU law. It examines, for example, the interpretation and potential of organizational principles, such as loyalty, subsidiarity, primacy, and coherence, in the context of external relations. It analyses how the choice of an external legal basis affects Member States’ powers. It traces how the European Parliament represents EU citizens in external relations. The book then analyses these legal findings through the lens of ‘structure of bonding’, that is, basic structures that have the potential to frame and affect the Union’s relations with its citizens. It shows how bonding structures could be used to justify that the Union takes external actions, including where they constrain Member States.

The European Union (EU) is a regional cooperation regime with a specific and still fluid governance structure. It constitutes the world’s largest and institutionally most deeply integrated system of international relations with supranational features. As a consequence, the literature on the EU often emphasizes informality, multilevel aspects, and its “network governance” character. Network analysis is therefore a promising perspective for the systematic investigation of complex networks of formalized actor relations as well as of informal and implicit political structures and processes in the EU. Applied network analysis is meanwhile used for the investigation of multi-level policy preparation, of collective decision-making in the political system in the EU, and of the implementation process of EU policies in the Member States.

Faire le lien entre savoirs et précarité, a des conséquences multiples, notamment sur les sociabilités du savoir. Celles-ci se structurent à partir d’écarts qu’il est impossible de «régler» théoriquement : d’une part les écarts entre les conditions dramatiquement différentes dans lesquelles les un.e.s et les autres enquêtent, écrivent, étudient ; d’autre part, les écarts entre des rapports aux savoirs, très différents selon les expériences et les engagements auxquelles ils se rattachent et selon les instances qui en orientent ou en entravent la production et l’expression. Notre proposition collective, à la fois théorique et politique, consiste justement à ne surtout pas prétendre nier ou régler ces écarts mais à chercher comment se réapproprier d’autres manières d’exercer nos responsabilités dans un monde que nous voulons plus habitable, moins violent pour tant d’entre nous, plus égalitaire, plus juste, plus ouvert. Depuis nos premières réunions en 2017, des enquêtes ont été menées, des élaborations théoriques développées, des textes poétiques et scientifiques produits, pour donner lieu à ce premier ouvrage collectif.

This chapter discusses governance dilemmas that are often overlooked in studies that do not encompass the ecology of organization in public governance. The chapter discusses how coordination structures may counteract each other in multilevel systems of government. The ambition of the chapter is twofold: Firstly, a coordination dilemma is theoretically and empirically illustrated by the seeming incompatibility between a more direct (interconnected) and sectorally specialized implementation structure in the multilevel EU administrative system and trends towards strengthening coordination and control within nation states. Secondly, the chapter discusses organizational arrangements that may enable governance systems to live with the coordination dilemma in practice. This coordination dilemma seems to have been largely ignored in the literature on EU network governance and national ‘joined-up government’ respectively.

This chapter explores the systemic problems that plague provision-dependent investment protection reforms in CETA, TTIP, and other recent EU FTAs. The authors suggest that the current international investment system’s asymmetrical structure precludes effective reforms because reforms that ‘level the playing field’ between state and investor run counter to the logic of a system designed with the purpose of protecting investors and investments, not states. The authors suggest that a new symmetrical international investment dispute settlement structure may provide a more convincing answer to calls for reform. After beginning with a background on the necessity of and problems with ‘vagueness’ in law (both generally and in the international investment system), the chapter analyses the most prominent reforms and reform proposals in the current international investment landscape. The chapter elucidates several of the structural problems that plague these current reform proposals and demonstrates that a symmetrical approach could alleviate these problems.

Ce deuxième tome de l’impensé numérique, qui vient compléter le premier tome paru en 2016, participe au développement d’une pensée critique du numérique que le directeur de cet ouvrage collectif a engagée voilà 25 ans maintenant. Il marque en quelque sorte un anniversaire, celui d’une réflexion au long cours sur l‘informatisation de la société. Ce temps long de la recherche se révèle, notamment, dans la première partie qui vise à élaborer, reprendre et affiner le cadre conceptuel de ce travail. On y revient, à nouveaux frais, sur les notions d’impensé informatique et numérique, on y présente les notions de « glissement de la prérogative politique » (GPP), qui souligne la prise en main par des acteurs privés de prérogatives jusque là dévolues au politique et de « gestionnarisation », qui désigne le processus qui met en avant la technique (gestion et numérique) et ses catégories au détriment des activités qui doivent s’y adapter. Ce travail de construction théorique, qui mobilise aussi les notions de confiance, d’usage, d’imaginaire et de reconnaissance, s’est déployé sur une bonne quinzaine d’année. Nous n’avons pas voulu supprimer cette épaisseur temporelle, qui fait pleinement partie du travail de recherche lui-même. Les deuxième et troisième parties font le point sur ce que l’on peut appeler une pragmatique de l’impensé : à savoir, comment il s’installe très concrètement aussi bien dans le mode de fonctionnement et d’architecturation d’internet, que dans nos plateformes et dans la manière dont elles transforment le jeu médiatique, à travers, également, l’instauration d’une nouvelle monnaie (le Bitcoin) et de son support technique (la blockchain) ou, enfin, par le biais du big data. L’impensé, en ce sens, n’est pas seulement un effet de discours, il est aussi un effet, pratique, de structuration du réel qui a pour conséquence de fermer des espaces de discutabilité. Ce qui est vrai à l’échelle stratégique de la deuxième partie l’est tout autant à l’échelle tactique, plus locale, qu’adopte la troisième partie : car l’impensé est tout autant au travail dans les discours performatifs de l’éducation, dans celui de la vulgarisation technique de l‘informatique que dans ceux qui structurent les espaces numériques de la culture. Un dernier texte ouvre sur une proposition technique qui s’appuie sur une réflexion critique, afin de montrer que celle-ci n’est pas seulement négative ou supposément technophobe, mais qu’elle peut également nourrir un dispositif technique innovant. La conclusion s’interroge sur la persistance des conditions de possibilité du développement d’une véritable posture critique face à ceux que l’on peut appeler les impenseurs. Elle offre également un petit kit pédagogique de présentation de l‘impensé, du GPP et de la gestionnarisation pour que la critique argumentée puisse, peut être, être mieux entendue.
