Abstract:
During the 1950s, companies aiming for international markets demanded new theories and methods of communication. Ideas regarding cybernetics, systems analysis, new accounting practices, and budgetary principles as well as theories of information, communication, marketing, public relations, and organization were discussed at conferences, seminars, and courses, and in articles and books. At the same time, new technologies changed corporate communication, from a loose-leaf accounting system to mechanical and electronic business machines, from written texts and oral presentations to slide shows, audio tapes, films, television, and flannelgraphs. By looking at a vast array of objects and relations related to uses of media technologies in Swedish industry from the end of World War II to the breakthrough of television, this book shows what happened in the glitches between mass communication and interaction, and how Swedish postwar industry worked to disrupt established understandings of communication.

Abstract:
Which roles and practices do you adopt to effectively guide businesses towards a sustainable future? And what skills and competencies do you need to establish sustainable transformation? In 7 Roles to Create Sustainable Success, Carola Wijdoogen shares the insights of 25 professionals around the world and her own experiences as Chief Sustainability Officer of Dutch Railways (NS), which she helped transform into a climate-neutral, circular and inclusive railway company. For example, the Netherlands was the first country in the world with trains running on 100% wind power. The innovative science-based 7 Roles approach is explained using an excellent collection of practices and anecdotes from (among others) Kate Raworth (Doughnut Economy) and CSOs of companies like Ingka Group, Levi Strauss & Co., Starbucks Coffee Company, Unilever Benelux, Microsoft, Kellogg Company, Interface Europe, KPN, Philips International B.V, DSM, AkzoNobel, Google, Tommy Hilfiger Global/PVH Europe, etc.

Timothy, Spangler. 7 Governance Issues in Offshore Companies Used as Private Investment Funds. Oxford University Press, 2018. http://dx.doi.org/10.1093/law/9780198807247.003.0007.

Full text
Abstract:
This chapter examines issues of governance arising from the use of offshore companies as private investment funds. Funds established in offshore jurisdictions are often structured as limited companies that issue shares to investors. Governance issues can arise in offshore companies when voting rights are separated from economic participation. The chapter first considers the role of the board of directors in private investment funds before discussing taxation issues affecting offshore companies used as private investment funds in the UK and in the United States. It then explains the duties of directors under Cayman Islands law, including fiduciary duty, duty of care, diligence, and skill, and duty of confidentiality. It also describes the composition of the board of directors, its meetings, relationship with the fund manager, and responsibility for approval of fund documentation.

Full text
Abstract:
This chapter looks at financial products and their regulation in relation to listings of securities on The Stock Exchange of Hong Kong (SEHK). Hong Kong’s system for listing and public offerings of securities is largely based on the pre-FSMA 2000 system of the United Kingdom. As such, it is based on a statutory framework established by the Companies (Winding Up and Miscellaneous Provisions) Ordinance (CWUMPO) and the Securities and Futures Ordinance (SFO). The chapter explains how non-statutory controls on offers of securities fall into two broad classes: securities to be admitted to listing and those which are not to be listed. The legal and regulatory framework of Hong Kong addressing public offerings and listings of company securities covers: private and public companies; public offerings and prospectus requirements; the means by which a company’s securities can become listed; preparation of prospectuses and listing documents; and continuing obligations of being listed.

Full text
Abstract:
This chapter describes the Minneapolis-St. Paul metropolitan area, and its economic and social vitality. It presents data on the significant concentration of many types of business headquarters in the region and describes the evolution of headquarters over time. Based on these data, the chapter describes why well-established explanations for the geographic concentration of business and headquarters activity fail to explain the Minneapolis-St. Paul experience (e.g., industry clusters or business incentives). The chapter describes the empirical regularities that a novel explanation for this headquarters economy has to explain. It highlights that a valid explanation will have to be one about creating and growing new businesses into large companies, and sustaining or reinventing large, established companies.

Full text
Abstract:
This chapter examines the institution of chamber music publishing by looking closely at three internationally significant publishers. In all three cases, publishers sought to balance their production of “monumental” and “ephemeral” products to establish and maintain a reliable source of income and new musical material for themselves and, by extension, the musicians who relied upon them. Individually, the three firms represent different models with diverse priorities and business strategies: a small business established by a chamber music lover and copyright activist (Hofmeister); a larger firm that grew with the musical marketplace, changing hands at several points and evolving to address the needs of a growing public (Peters); and a midsize firm that specialized in practical music for private and public use (Schlesinger, later Lienau-Schlesinger). Together, these three companies provides a picture of the music business as it developed throughout the Romantic era.

Full text
Abstract:
This chapter considers the remedies available when maladministration occurs, with emphasis on the existence of the company as a separate person. It examines circumstances where a wrong has been done to the company or to individual members, focusing on the proper claimant principle established in Foss v Harbottle (1843) 2 Hare 461, and the possible action that can be taken against company officers who have committed a wrong. It also explains the causes for which a member can file derivative claims; the right of a member to petition the court for relief under the Companies Act 2006 (CA 2006), part 30 (ss 994 to 999); the concept of winding up; the irregularity principle; and when the Secretary of State can intervene in maladministration cases. The chapter cites relevant legislation (Companies Act 1985, Insolvency Act 1986 and CA 2006) and a number of particularly significant court cases.

Abstract:
This chapter turns to the Nanjing Massacre on China’s web and discusses how digital resources allow national communities to collectively ‘remember’ their past. The analysis of these processes starts with the online encyclopaedias that China’s major search companies maintain online. How do these information repositories present knowledge on the Nanjing Massacre? Next, the chapter discusses the discourses that websites on this issue construct and the digital features that such websites deploy. As this chapter shows, the Nanjing Massacre discourse draws mostly from authoritative, vetted sources in a static way that offers very little space for discussion and that treats this episode of modern history as a shrine rather than a forum. This outcome offers an intriguing glimpse into how China’s web works on established, political issues, and how it is today essentially an info-web: a traditional mass-communication space in which established stake-holders shape nationalist discourse for their own purposes.

Abstract:
Measuring the development of organizations is of paramount importance to evaluate the development of the said organizations, even better if the measures are validated and become metrics of a subsector willing to guide in a trustworthy manner the decisions to be made in it's functions. The general objective in this thesis consists in proposing a methodology that allows the establishing metrics for service providers. One of the specific objectives is to make the analyse of the applicability of the methodology proposed in a set of pre-established companies of a service subsector; in this case, highway concessionaires of the state of Sao Paulo. A methodology is proposed that choses companies, in which to participate in a data collection process up until the obtention of metrics which are the indicators of valid developments. The TL 9000 is the sector of telecommunications that sustain a lot the methods of colectingthe proposed data. The work shows various indicators of development based on seven criterea of development proposed by Sink and Tuttle (1993) and evaluated by the competitive aspects by Slack (2002), besides other autors that consubstantiate the proposed methodology. From these indicators there were obtained some metrics, in which allows to conclude about the development of the highway concessionaires. It stands out that the proposed metrics are of quantitave stamp, measured the performance of the service companies analysed.

Vermeulen, Erik PM. Capital Markets Union. Oxford University Press, 2018. http://dx.doi.org/10.1093/oso/9780198813392.003.0009.

Full text
Abstract:
The Capital Markets Union (CMU) aims to strengthen capital markets and investments in the EU. The rationale behind such a union is that it is necessary to provide businesses, particularly start-up companies, with a greater choice of funding at lower cost. More generally, it is assumed that, in the long-term, greater choice increases access to finance and fosters economic growth. This chapter argues that although the CMU may be a necessary step, it has to be situated in a much broader discussion about how to create successful innovation ecosystems. Such an approach highlights the sector-specific needs of start-ups (and scale-ups) and the importance of mobilizing other players, particularly established corporations.

Abstract:
This chapter discusses the world of professional skating. The Ice Follies, Hollywood Ice Review, and Ice Capades were founded between 1936 and 1941, years immediately preceding U.S. entry into World War II. Holiday on Ice was founded during the war years. All survived the War and became increasingly spectacular as competition among them led to large casts, elaborate sets, and lavish costumes. These permanently established touring companies that operated with large budgets, professional production staffs, and many of the world's most decorated skaters challenged the role of the amateur club carnival, a tradition dating from the nineteenth century. Carnivals, which had reached their peak in the 1930s, continued well into the postwar era, but their ability to compete with professional shows gradually declined.

This chapter begins with an overview of Oregon and then focuses upon eastern Oregon, where the Chinese played a major role in mining until the turn of the twentieth century. From the outset the Chinese encountered difficulties in living and working in Oregon. As they tried to mine in Oregon the Chinese miners had to cope with EuroAmerican racism and Native American attacks. Yet the Chinese eventually established communities in the rugged terrain of eastern Oregon where some of their leaders interacted with the local population who were also struggling to survive. Some of the miners and merchants were successful while others struggled. Moreover, Chinese merchants became involved in the formation of Chinese mining companies, and it appears that many were successful.

Abstract:
This chapter focuses on the downturn in the urban theater business from the late 1920s. It begins by considering the lull in theater activities during the sixteen-month-long boycott-strike in Hong Kong and the revival immediately thereafter. The two seasons from 1926 to 1928 were marked by strong competition and sustained profitability among the city companies. The ensuing downturn was stunning, to say the least; one disappointing season after another, long-established xiban gongsi closed down, opera troupes went bankrupt, and actors struggled with unemployment. Drawing on news reports and contemporary accounts provided in various entertainment publications, the chapter attempts to identify the sources of the problems confronting the Cantonese opera community in the late 1920s and the early 1930s and then examines its survival strategies.

Abstract:
Without a strong native tradition of drama, theatre in the Irish language, initially associated with the Gaelic League, has been slow to develop and has suffered from many frustrations and setbacks. One of the landmark early productions wasCasadh an tSúgáinby the League’s founder Douglas Hyde (1901). The Abbey did not do much initially to foster Irish-language theatre, which has functioned intermittently in Dublin, with An Comhar Drámaíochta in the 1920s and An Damer, which produced Máiréad Ní Ghráda’sAn Triail(1964). More central to the tradition has been An Taibhdhearc, established in Galway in 1928, which continues to be Ireland only dedicated Irish-language theatre. While there have been outstanding plays in Irish produced in the Abbey, the future of the tradition seems to depend more on small adventurous companies such as Fíbín, Setanta, and the Belfast-based Aisling Ghéar.

Abstract:
Unlike many European nations, Croatia has historically used folk dance as a form of representation, according to dance historian and ethnographer Stjepan Sremac. Following World War II, the Yugoslav State established several professional ensembles, among which was Lado, the Ensemble of Folk Dances and Songs of Croatia, under the direction of Zvonko Ljevakovic. Unlike Igor Moiseyev, and in direct opposition to the Moiseyev aesthetic, Ljevakovic employed many authentic details of dance movements, costume, and vocal and instrumental music in his theatricalized folk dance choreographies. Many of the people in Eastern Europe, in which nearly every nation had a professional folk dance ensemble, have turned away from the state-sponsored companies in favor of newer forms of cultural expression, however Lado’s popularity, due to performance strategies created by the new artistic director, Ivan Ivancan, Jr, has greatly increased.
