AbstractFrom late 2005 through to late 2010, Fokker Services BV (FSBV) failed to comply with the economic sanctions the United States (US) Government had established against Iran and Sudan. By scanning the case, violations by FSBV came to light in a structured way, laying bare how FSBV operated to evade export control, breaching sanctions regimes and export control laws. Next, analysis stipulated that the cause and conditions of the violation of the export control regulations were mainly rooted in the tone at the top, the role of (intermediary) management and the absence of a Compliance Program. Subsequently, a short-term and a long-term response were formulated addressing the tone at the top, the development of an Internal Compliance Program, and the application of soft controls to promote an ethical culture.

Abstract Several companies whose businesses are not centered on technology might fail to innovate and get advantages over their competitors. For them, meaningful innovations are not necessarily related to the usage of new technologies but the optimization of some business process. In the literature, experimentation is described as an essential aspect of the innovation process. Although software engineering studies have explored experimentation, none has focused on software-intensive innovative projects in non-software-intensive companies, which consists of a contrast between the fast-changing environment in software-intensive to rigid structures in consolidated businesses. This paper proposes an experiment-oriented process to identify and implement innovation in this kind of company, including the roles involved in such processes. It has steps to identify business bottlenecks, search for solution alternatives, implement a fast and functional software proof of concept, create a plan for evolution, and migrate to a regular project to continue that idea. Abstract Following the highly pervasive and effective use of agile methods for software development, attention has now turned to the much more difficult challenge of applying these methods in large scale, organization-wide development. However, identifying to what extent certain factors influence success and failure of sustaining large-scale agile transformations remains unclear and there is a lack of theoretical frameworks to guide such investigations. By adopting Normalization Process Theory and specifically ‘coherence’, we compare two large-scale agile transformation case studies and the different perspectives individuals and teams had when faced with the problem of operationalizing the agile method as part of their large-scale agile transformation. The key contributions of this work are: (i) this is a first attempt to present the results of a comparison between a successful and failed large-scale agile transformations; and (ii) we describe the challenges in understanding the rationale, differences, value, and roles associated with the methods to support the large-scale agile transformation. We also present future research for practitioners and academics on large-scale agile transformation.

AbstractInfluential publications have long occupied central positions in histories of literature, philosophy, and science. The history of encyclopedias is no exception. With the ongoing digitization and increasing accessibility of historically important reference works, this trend is in fact still being reinforced. In this chapter, however, Linn Holmberg argues that by shifting our attention from successful publications to projects that somehow “failed,” we can deepen our understanding of modern encyclopedic practice—its development, challenges, motivations, and geographical expansion. Here, the concepts ofstrandedandstrandednesscan function as simple yet powerful analytical tools to compare cases where intellectual ambitions and practical outcomes have parted ways, and to explore the complex relationships between the finished and the unfinished, the printed and the non-printed, the complete and the uncomplete, the updated and the outdated, as well as the successfully and unsuccessfully disseminated. After all, all human undertakings run the risk of being stranded—of not reaching a desired destination, or of not being fulfilled as planned. Studying stranded encyclopedias means taking seriously the many obstacles facing those who pursue complete knowledge, and uncovering what it takes for large-scale enterprises to be realized and made public in various historical contexts.

This chapter focuses on strategies that, in a broad sense, set the principle of limited liability aside in order to reach (the assets of) the natural or legal persons that benefit from corporate activity. These concepts are complementary to the ex ante strategies discussed in previous chapters. They are ex post in the sense that they will be triggered only if and when the former have failed for some reason. Their aim is to internalize as far as possible the social cost of corporate activity in order to set appropriate incentives for corporate decision-making. The legal concepts under consideration are largely standard based with open textured norms whose application heavily depends on the factual settings in every individual case. Consequently, the challenge is to provide workable criteria and coherent guidance for courts in order to ensure predictability for entrepreneurs and their legal advisers.

This chapter deals with the legal personality of a company which is separate from its members, capable of owning property, entering into contracts and being a party to legal proceedings. It considers the case Salomon v A Salomon and Co Ltd [1897] AC 22, in which the House of Lords affirmed separate corporate personality by rejecting attempts, on behalf of creditors, to impose liability for a failed company’s debts on its controlling shareholder. The consequences of separate corporate personality are also discussed, particularly with respect to a company’s human rights (or personal rights). In addition, the chapter examines the process known as ‘piercing the corporate veil’ in relation to the evasion principle; how an artificial entity can have legal personality; and a number of particularly significant court cases. Finally, it looks at corporate law theory and considers whether companies are grammatically singular or plural.
