Full textThe dissertation deals with the specific role played by third sector organizations in multilevel associative networks in terms of capacity to generate and foster relationships with other members and with the outer context. Multilevel associative networks are defined as those entities that gather local agencies, second level and higher coordination level entities with the aim of providing support for the affiliated groups and/or coordinating material and immaterial resources for the benefit of the community. The research field included networks comprising third sector organizations only so-called third sector multilevel organizations as well as plural partnership networks with other public agencies. The social productivity dimension was studied through the lenses of the social capital concept, defined as that specific set of resources possessed by those networks endowed with relationships of trust, reciprocity and collaboration. The results of the three research projects presented, carried out with quantitative and qualitative techniques, show that: a) there is a specific social capital produced by third sector multilevel organizations which connects actors both within the network (bonding function) and with the outer world (bridging function); b) the third sector's social capital presents some distinctive characteristics compared with the relational properties of public service networks; c) third sector organizations are able, under certain circumstances, to develop social capital networks also with public agencies, setting new dynamics and peculiar social outcomes.

Full textIn the last 20 years, the concepts of governance and social capital assumed a pivotal role within social science. Even if previous scholars tended to deal with them separately, it is straightforward to notice that the two phenomena are actually highly connected. The aim of this work is to explore the existing relation between social capital and quality of institutions in several European Union's regions. Albeit the majority of the scholars are focused on the national level, this thesis considers the regional dimension, deemed to be the most suitable territorial unit to look at the two phenomena jointly. The first section is devoted to the analysis of the social capital, with the purposes of providing a theoretical definition and illustrating its empirical implications. Social capital is a multidimensional phenomenon, and to deal with just one of these two aspects would have led to a shallow and partial analysis. Moreover, within this section, we are going to individuate five dimensions, used to create a new index of regional social capital. The second part of this contribution is aimed at scrutinizing institutions and their quality. Soon after a preliminary definition, this section is going to provide a review concerning the most common indexes measuring the quality of institutions. Taking into consideration the definition of governance as well as the selected unit of analysis, the European Quality of Government Index, is deemed to be the most suitable for our analysis. Lastly, a final section is going to deal with the body of literature conceiving the two phenomena as highly connected. Employing the new regional social capital index, this conclusive section is going to propose a preliminary answer to the question that, in the last 20 years, has stimulated this interesting debate: what is the type of relation existing between governance and social capital?

Full textThe thesis focuses on a specific issue related to the cross-border conversion of companies from EU and non-EU countries into companies subject to the Italian law. The transfer of the seat of a foreign company in Italy with a cross border conversion changes the lex societatis of that company which is, after the conversion, subjected to the Italian legal system. The most important issue related to is the compliance with the conditions required for the legal form adopted, in particular compliance with the principles of effectiveness and integrity of the share capital. For this reason the rules written by the artt. 2343 and 2465 of the Civil Code require a specific documentation in order to safeguard and certify the formation of the share capital. Likewise, this happens in the case of conversion in a limited liability company pursuant to art. 2500-ter c.c. The question is therefore that relating to whether and in which cases the compliance with these rules is required in the context of cross-border conversion between limited liability companies and if this measure is compatible with the principles set out in the jurisprudence of the Court of Justice.

Full textThis work aims to analyze the management's power to issue shares in closed and public company.Infact we aim to distinguish the interpretation of article 2443 c.c. in the case in which the mandate is given to the management in public or closed corporation. More specifically it's justified to give more contractual freedom to the public company than the close corporation because only in these second type of company shareholder's can protect their administrative position by sell or buy shares in to the market. The thesis wants to prove that pre emptive rights can be escluded by statutes and the compatibility of this provision with the second european union directive. This can be justified by market discipline and the possibility for the shareholder's to pretect theirselves buying shares in to the market. The information imposed by the legislation at the moment of management's deliberation and the shareholder's power to appel the same deliberation could be a sufficent remedy against the abuse of the managements.
