Full textThe focal interest of this doctoral thesis is French Socially Responsible Investment (SRI) funds. According to Modern Portfolio Theory (MPT) their performance should be inferior to “traditional” fund performance. The results from previous research however have been contradicting; we have thus chosen to make use of the Resource Based View (RBV) in order to interpret this incoherency between theory and practice and shed some light into the complex interactions that govern their behavior.We approach the field using an exploratory qualitative methodology, combining interviews with lexical analysis. We validate part of our qualitative results quantitatively through a multiple linear regression of SRI funds’ performance relative to their benchmark. Based on our framework, we believe we have identified two strategic resources available to SRI funds, leveraged into competitive advantage by two drivers. The two resources are the fund manager’s competency and the indirect subsidizing of the fund’s fees by its Asset Management (AM) company. The two drivers are the tendency of AM companies to diversify their services and organizational learning inside AM companies.Our research should appeal to three types of readers: researchers, since RBV offers a more compelling (as per Occam’s Razor) interpretation of SRI funds’ erratic performance than MPT; managers, since it enables us to formulate proposals for SRI funds’ organization; and laymen, since it breaks down SRI funds to their components, offering a rarely seen view of their inner workings and ulterior motivations

Full textQuality incentives for Mutual funds promoters: Are there incentives for mutual funds promoters to improve the quality of their funds given that it can be costly to do so with uncertain results and that their target is to maximise their sales? This thesis consists of three sections that propose to answer this question. 1) The first part explains how the justification for the study of incentives in portfolio management has been brought about by academic literature and recapitulates the principal results found. 2) Then, by proposing a definition of what constitutes quality in relation to a fund, the second part outlines the conditions required to establish quality incentives for mutual fund promoters within vertically differentiated duopolies. 3) The system of fees and incentives present in the United States are then examined in order to ascertain whether a conflict of interests could exist between investor and financial advisor. Finally, this paper raises issues about alternative strategies other than performance based ones for promoters to increase their sales

Full textThe rapid growth of sovereign wealth funds in recent years is one of the prominent subjects of the financial markets evolution. Yet, there has been very little academic research in this domain, taking in account the very low level of information on these funds. The purpose of our study is to understand the investment strategies, the determinants that explain the investment decisions and the evolution of the SWFs performance. On the other hand, we try to shed some light at the impact of SWFs on the performance of companies in which they invested, and on the financial markets. Our results indicate that the SWFs' returns are generally satisfactory. However, the financial crisis and the difficulties of the economies have greatly influenced their performance. The performance of SWFs is also influenced by the investment strategies. We find that the determinants of investment allocation of SWFs change over the time and in accordance to SWFs. The results of our study show that the impact of SWF investments on the performance of the companies is positive. They also indicate that the level of transparency of SWFs influence the positive reaction of stock prices to the announcements of investments by these funds. The greater the level of transparency of SWFs, the positive reaction is stronger. Our study provides a better understanding of strategies and investment behaviors of SWFs. By evaluating the impact of SWFs on the financial markets and on the performance of firms in which they invest, it contributes to enhance current understanding on the performance of SWFs and of the companies that attract SWF investments

Full textIslamic and conventional investment funds have the same purpose. However, unlike conventional funds, Islamic funds offer different investment contracts and have to invest in accordance with a set of selection rules. This dissertation focuses on developing theoretical and empirical analysis framework to explain the fixed and performance fees, the performance and the risk of investment funds. Thus, we begin by developing a theoretical analysis about profit and loss-Sharing contracts (venture capital) that face agency problems. Based on this theoretical framework, a theoretical model, in the presence of adverse selection problem between the fund manager and the investor, shows that the risk aversions of the fund manager and the investor have respectively an impact on the periodic performance fees (carried interest) during the bargaining stage. The conclusions of this model lead us to empirically explain the terms of compensation and profit-Sharing, the performance and the risk of funds. To achieve our objective, we create a unique database that has an international sample of Islamic and conventional funds grouped by management company. By distinguishing between Islamic and conventional funds, the legal, political and economic conditions explain their fees, performance and risk

Full textSince the mid-Nineties, Islamic mutual funds and indices have received a significant level of academic scrutiny. However, the debate over their under-Performance or over-Performance is not over yet. The prime objective of our study is to explore the stakes, the performance and the persistence in performance of this category of indices and funds. As for indices, the study used a sample of 57 Islamic indices and their conventional benchmarks. It is carried out through a) studying the similarities and differences between Islamic and conventional indices; b) surveying the current literature by performing both narrative and meta-Analytical review of the literature, c) studying the efficiency and their potential for diversification; d) comparing the return, the risk and the performance of Islamic indices with their conventional counterparts, e) ranking Islamic indices using various performance measures; and f) studying the persistence using the four-Factor pricing model. Despite their lack of diversification, the study finds that Islamic indices have, in average, the same level of inefficiency and performance as their conventional counterparts. As for funds, the study used a sample of 111 Islamic equity funds over the period April 2005 to March 2011 and carried out through applying different performance measures and non-Parametric tests of performance persistence over three equal sub-Periods. The study finds much heterogeneity in Islamic funds‘ performance and a little evidence that supports non-Persistence in performance of Islamic mutual funds during and after the last financial crisis

Full textOur research is motivated by an observation. Employee Ownership is a form of savings that is becoming more and more sought after these days. The concentration of the employee savings into employee ownership is becoming stronger. These evolutions translate into a fact: employees facing a savings menu tend to choose Employee Ownership. The high exposure to risk of the employee-shareholders might have some consequence for their assets and their job. For companies, the cost of this exposure to risk can also be high. These observations have led us to wonder about the causes of employees’ investments in their company stock. Thus, this research tries to answer the question: Which are determinants of employees’ investments in their employer’s stock? We will specifically focus on the case of Employee Ownership in the French company savings plan (PEE). We can find several results through the empirical study. The exploratory phase shows the influence of the French legal system on the investment choice of employees. It makes it possible to identify four groups of determinants of employees’ investment in their company stock: the employee stock purchase plans, the context of employee savings, the company’s and the employees’ characteristics. Concerning the results of the quantitative analysis, they deal with the effect of several dependent variables on three dimensions of the employee investment decision of a company that is quoted on the stock exchange. We first of all analyze the decision of participating in the employee stock purchase plan. For those employees who have subscribed to the employee stock purchase plan, we will then study the determinants of the amount invested. The dependent variable is the total amount of the subscription to the company’s stocks. Finally, we analyse the relationship between the dependent variables and the exposure to employee ownership. The dependent variable is thus the percentage of the total employee savings invested in employer’s stocks after the employee stock purchase plan. Most of the obtained results are significant and similar for the three decisions that have been considered (the participation, the intensity of the participation and the concentration of savings into employee ownership). However, some results diverge indicating the different nature of three decisions that have been analyzed

Full textWe examine the French market of structured funds under various aspects. In a first part, we study the structured funds’ management fees level. We show that the management fees level varies with management objective: the OBPI funds have higher fees level than the CPPI funds, the fund size and the management company size are negatively related to management fees level, the funds eligible to PEA have higher fees than funds non eligible to PEA and the bank-managed structured funds have lower management fees level than independent management company-managed funds. In a second part, we study the structured funds’ offer. Our results show that the interest rate rise supports the structured funds emission. As for the guarantee type proposed, we show that the increase in CAC 40 volatility and interest rates support more the capital guaranteed funds emission than the unguaranteed capital funds emission. However, the mediatization of poor performances of Benefic funds causes a fall in the unguaranteed capital funds. Then, in a third part, we measure the structured funds’ performance by comparing it to the performances of a CAC 40 investment and a bond investment. Our results show that the structured funds have the weakest performances. In the fourth part, we analyze the investment behavior in structured funds and show that investors are subject to biases like conjunction error, framing effect, representativeness, availability and anchoring

Full textIn the aftermath of the bursting of the Internet bubble, investors faced once again the limits of traditional diversification. They thus turned to alternative diversification. But, given their lack of experience of the alternative arena, they often integrate hedge fund strategies into their global asset allocation in a sub optimal way. Our objective is to familiarize investors with hedge fund strategies and provide them with tools allowing for an optimal integration of these alternative strategies in their global asset allocation. We analyze the return generating processes of the most popular strategies and highlight their genuine risk profile. We then design hedge fund indices that are both representative of their investment universe and investable. We finally introduce a new technology named Switching Kalman Smoother and use it analyse the performance of funds of hedge funds and their added-value at: i/ strategic allocation, ii/ tactical allocation, iii/ fund picking levels

Full textIn light of this, Essays 1 and 3, co-authored with Vijay Yadav, study the sensitivity of investment flows to past performance, also known as flow-performance sensitivity (FPS). The main aim of Essay 1 is to contribute towards the ongoing debate regarding the shape of the flow-performance relationship in the equity mutual fund industry. Essentially, the question is whether the relationship is linear or non-linear. Whereas Essay 1 addresses the shape of the flow-performance relationship, Essay 3 studies the determinants of its strength. Past performance is a signal that is used by investors when making investment allocation decisions. The main finding of Essay 3 is that the composition of the fund portfolio has an impact on the FPS of the fund. More specifically, a mutual fund manager can decrease flow-performance sensitivity by increasing the total equity portfolio weights of defensive stocks and sensitive stocks, where the former is more effective. Full textAt the world level, the French sector of mutual funds is the second for the number of fundsand the amount of net assets managed. Curiously enough regarding its size, the French bond fundshave been « forgotten » by the researchers and the present thesis seems to be the first one on thissubject. It studies their performances over a 20-year period (from January 1988 to December 2007)with the help of four chapters. The first one is a survey of that sector development and measures thereturn/risk ratio for the different kinds of bond funds. Chapter two presents the 81-funds samplegraciously given by Morningstar France. The analysis of the returns distributions shows that thedifferent funds with and without income distribution with the same maturity have the same statisticaldistribution; it enables to group the funds according to their maturity, namely Long Term, Middle Termand Short Term. Chapter three analyses the non-normality of distributions with the Jarque-Bera testand tries to find the origin of this phenomenon. There is no January effect but returns are nonstationaryand auto-correlated. The two correcting methods for that auto-correlation lead to anincrease of the measured risk without changing the average return and the funds rankings are notmodified. The last chapter deals with the performance measurement of these bond funds. The twelvemeasures most used by professionals give almost the same funds rankings. One can wonder if theSharpe ratio is not the unique relevant measure to use. A technique borrowed from the marketingscience called «cluster analysis» enables to reduce the twelve measures to only four without losinginformation on the funds rankings. This chapter also shows that the performance is persistent, resultalso found by some American researches on this question

Full textBy financing people excluded from traditional finance (banking, financial markets), microfinance has been assigned a mission to fight against poverty by enabling individuals to finance their own activities generating economic wealth. But financialization of these populations involves some effects yet to unanticipated consequences on the behavior of beneficiaries: to be able to serve them, microfinance institutions have transferred credit risk and the cost of selection. Through the theory of the entrepreneur, this thesis will analyze the consequences of such a transfer on the individual's entrepreneurial skills. According to our analysis, beyond a certain amount of risk, it is pointless to consider an individual endorse more economic risks by engaging in innovative activity. In a particularly risky environment in which beneficiaries of microfinance services live, it is necessary to consider solutions that reduce the risk borne by the contractor and not solutions which result in increased levels risk supported by the individual. Full textAny attempt to introduce lslamic finance in civil law requires an analytical approach comparing Islamic law and civil law. Islamic management services rely on types of contracts, which do not exist in civil law: namely the mudâraba and the wakâla. These agency agreements differ from the general scheme of mutual funds as the exhibit a marked difference with the civil Iaw mandate contract. In order to allow these contracts, the current regime of mutual fonds must be amended by creating a representation committee of subscribers. Classification of the mutual funds by the Lebanese and French legislators as joint ownership sound well to Islamic doctrine. Even a detailed analysis of the ownership and joint ownership regimes proves there is no fundamental difference between civil Jaw and Islamic law in this matter. However, the fund’s ownership regime is close to what is called "special-purpose assets" in the civil law doctrine. This classification is unacceptable in Islamic law, which has a persona! theory of patrimony. Our conceptualization of the regime of a legal concept of Islamic law called Jiha make it possible to acknowledge the notions of special purpose assets and legal personality in Islamic law. Islamic management services put strong requirements on the governance of the funds and additional duties for the agent. Islamic management services require the presence of specialized entities monitoring compliance of management to Islamic law: such specific entity does not exist in practice. Full textEver since the investment community first recognized mutual funds as a means for diversification, asset preservation, and asset accumulation, academics and practitioners have conducted many studies designed to ascertain their appeal. The mutual funds are gaining importance worldwide and it has registered a spectacular growth in the entire world. Despite the importance of the mutual fund industry, it has received little academic attention outside the USA. Therefore, our study intends to contribute in filling this gap. Using a new database of Eurofidai, we analyze mutual funds' various aspects in European context with a case of French equity mutual funds. This study has introduced the problem investors have in selecting mutual funds, where the sheer amount of information on mutual funds results in investor confusion. To dispel this confusion and to bring a deeper understanding in mutual funds, we have examined certain factors and characteristics that affect the mutual funds performance and ultimately investors' decisions. This study followed suit by compiling monthly data from 1990 to 2009 for equity mutual funds domestically invested in France. We have three basic research objectives; performance evaluation of equity mutual funds; designating funds' characteristics effecting performance and potential determinants for structuring fund's fees being charged to investors. Our results reveal that French funds prefer smaller stocks and lower book to market ratio. We provide evidence of positive impact of funds' size and age on fund performance. We also found economies of scale in fund families. Funds having small cap holdings favor investors by charging low management fees. This research provides academics, analysts and investors some insight in mutual funds to refine their preferences and some key features to be considered while deciding their investments

Full textIn the space of 30 years, Islamic finance has become a full segment of international finance and has proved its value in the contemporary economy. The 2008 crisis and its dramatic consequences on the economic and business fabric raised attractiveness of Islamic finance transactions, in particular venture capital. The latter was created in the early 2000’s and consists in taking equity participations in unlisted companies that are considered compliant with Islamic ethics to finance their creation and startup. Thus, religious ethics and investment are indisputably linked. If the Islamic law requires ensuring a balance between financial partners, the investor is nevertheless subject to certain constraints. Indeed, the legal structuring of Islamic financial transactions obliges compliance with certain religious principles such as prohibition of speculation, hazard and any form of remuneration by interest. This raises the question of the acculturation of this model within the French finance. To this end, the main hypothesis of this research aims to analyze the adaptability of Islamic venture capital in view of its implementation in the French legal framework. Through in-depth analysis of the requirements of Islamic law and the framework of collective management in France, this study puts into perspective the legal structures that could provide the flexibility required to implement an Islamic venture capital transaction into French law. In addition to the economic benefits attached to the receipt of an activity with high added value, modeling a "French Islamic venture capital" could increase the attractiveness of the financial place of Paris by allowing the inclusion of a class of entrepreneurs and investors looking for ethical and cooperative alternatives for corporate finance

Full textMicrofinance is a way for helping poor people and it is used to give financial services to a part of the population excluded from formal bank system, short of guarantee that may lead to risk of default. To this end, to continue their activities in a sustainable way the MFI must ensure economic or financial performance while respecting their social objectives to grant loans to the greatest number of poor. In this way, the questions about economical, financial and social performance of microcredit organization are essential. The economic performance is the profitability of economic asset (equity and financial debt); the financial performance focuses on the return on equity, while social performance is understood in terms of supply credit. The research has concerned WAEMU and BRICS (with exception of Russia) during a period of 16 years. The data is processed by the Stata11 software using panel data econometrics. Following the different regressions we get a correlation between social performance and debt variable (positive), equity (positive), portfolio quality (negative) and economic performance (negative).The financial performance is positively correlated with active customers, the saving volume and subsidies and is negatively correlated with portfolio at risk. The economic performance is correlated with the active customers (positively), the volume of subsidies (positively) and the portfolio at risk (negatively). Following these results, suggestions were done to permit MFI to achieve the set objectives

The legal regime for foreign investment in Algeria has continued to be the focus of debate. Mainly economic, this is why the Algerian legislator has legislated on the subject, especially from the 1990s, on the occasion of the adoption of Law No. 90-10 of 14 April 1990 on currency and credit. The latter was indeed the beginning of a long process of transition and economic orientation towards the adoption of the market economy. Currently the legal regime of foreign investment in Algeria is governed mainly by the law 16-09 on the promotion of investment, accompanied by a set of implementing decrees. Full textThis thesis explored the macroeconomic effects of financial development on the most vulnerable workers in developing and emerging countries. Chapter one focuses on child labor. Our results suggest that child labor is positively associated to financial development and inequality particularly in countries with high level of income inequalities and low level of income. In fact, with access to credit, households tend to invest in productive activities which increase the opportunity cost of education and the returns from child labor. Hence, we demonstrate that a better control of corruption makes financial development as well as education spending more effective in reducing child labor by improving education quality. In the second chapter, we show that more bank branches and limiting barriers to use financial services reduce the proportion of working poor. This result is more relevant in countries hit by macroeconomic shocks and a better access to financial services also benefits to the excluded non-poor who can in turn invest and reduce poverty. In the third chapter, we find that both financial development and remittances tend to reduce the spread of the shadow economy by channelling funds to the more productive activities. Moreover, they tend to be substitutes, indicating that households rely on remittances in countries with low level of financial development. Finally, chapter four reviews innovative flexible financial products which can be used to help the more vulnerable to manage shocks. Our results suggest that, first barriers to open saving and checking accounts (like opening fees) need to be suppressed in order to increase the use of these services, generating more information on potential borrowers on the basis of the history and frequency of payments. Then, accumulated savings can be used as collateral for loan supplemented by insurance services. Full textThis dissertation responds to a lack within the literature about the impact of private global information on mutual funds portfolio holdings and performance. We conduct three essays that aim to explain different controversial topics about the global funds’ performance and investments choices.In the first paper we examine how the private information on global factors is affecting US global funds’ trading profits. After controlling for different performance benchmark models and for several managerial fund characteristics, we find a positive and significant impact of the private global information on mutual funds’ performance. The fund’s informational advantage on global factors is industry-specific rather than country-specific, consistent with the results of Albuquerque et al. (2009) and Hiraki et al. (2015). We also argue that the use of the degree of sector concentration (DSC) as a proxy for the manager’s informational advantage (as employed in some recent papers) is noisy. The performance of funds is mainly driven by the proxy of private information on industrial factors and not by its degree of sector concentration. DSC affects positively the trading profits of funds in periods of good financial stability. However, this positive impact is only significant for funds with a high informational advantage on global factors.In the second paper, we investigate whether this is the private global information or the familiarity with foreign markets which has driven the performance of global funds during the recent subprime crisis. In fact, it has been shown within the literature that fund managers tend to hold familiar stocks during periods of heightened markets. We find that the private information on global factors of risk is the main driver of funds’ performance for the 2005-2016 period including the subprime crisis period. This result holds when considering different familiarity, market transparency and investor’s protection proxies and when employing different performance benchmark models. On the opposite, the familiarity proxies reverse their effect during the financial crisis period. We show that the “flight to familiarity” within this period is detrimental for funds’ performance and rather can be assessed as a bias. Managers that seek familiarity during periods of financial crisis to be “on the safe side” do not create value for their investors. Our results also suggest that during periods of heightened market uncertainties, fund managers can benefit from processing information on industrial factors, consistent with the findings of Albuquerque et al. (2009) and Hiraki et al. (2015).In our third and last paper, we investigate the determinants of fund’s portfolio rebalancing decisions of foreign holdings that belong to different industries and their relative implication on US global funds’ performance. We find that mutual funds that engage in industrial sector rotation strategies enhance their performance. This result is consistent with the literature view that actively managed funds perform better. Moreover, we find that the fund’s industrial rebalancing activity is positively and significantly affected by its informational advantage on global factors. This study is in line with several papers that highlighted the increasing importance of global industry factors for asset allocation (Hiraki et al., 2015; Schumacher, 2017) and consistent with different arguments stating that industry sector rotation can be optimal for future global investing especially with the increasing integration of capital markets (Weiss, 1998; Cavaglia et al., 2004)

Full textThis five-chapter thesis provides new perspectives on diversification theory and the home-bias puzzle, which exists as an investment approach notably for European, American and Japanese investors. Indeed, information and communications technology (ICT) development has led to the emergence of new type of financial market product. Exchange-traded funds (ETF) allow investors to reach indirect exposure in their own currency (e.g. euro, U.S. dollars (USD) and yen) and invest in any sectors or asset classes. The ICT revolution has led to the emergence of new forms of algorithmic rules-based frameworks as investment approaches. One notable approach is called ‘smart beta’. In light of these, my thesis offers new insight about the home-bias puzzle and raises new questions about international investment approaches and global-asset allocations. Chapter I provides an overview of my thesis. My second chapter shows that a European investor who would like to attain ‘worldwide alternative investment exposure’ using a long-only optimised composition of euro liquid products can do it. Four out of the five most well-known worldwide alternative investment strategies are achievable through an optimised composition of ETFs denominated by euro. My third chapter shows that an American investor who would like to reach intermediate-term momentum exposure denominated by the South Korea won, Philippine peso, Indonesian rupiah, India rupiah, Australian dollars or New Zealand dollars can achieve the exact same risk/return characteristics using an optimised composition of USD ETFs. This implies that it is possible to reach an Asia–Pacific momentum factor without any exchange risk for an American investor. Finally, my fourth chapter analyses the possibility for a Japanese investor to reach ‘international commodities investment exposure’ with the same risk/return characteristics as a liquid yen product. From a scientific perspective, I first extend previous work about ETF indirect exposure and show the usefulness of ETFs in the global-asset allocation context. Second, I show that U.S., European and Japanese investors who invest only in domestically traded products do not have to lose the benefits of international diversification. Third, my thesis opens the door to third-generation smart-beta literature, explaining how to avoid exchange-rate risks and overcome the home-bias puzzle. This new ‘access factor’ approach allows investors to reach exposure in some international active investment strategies using their own currencies, allowing them to overcome the main cognitive and behavioural drivers of home-bias investing. The fifth chapter offers a final global discussion and a conclusion. Each chapter contributes to the scientific support of several specific topics. From a methodological perspective, different investment-strategy models (i.e. data-driven, optimisation and heuristic) are combined to reach the desired smart-beta exposure. Finally, my thesis asks new questions, such as ‘does ICT development and the new products coming with it on the financial markets (e.g. ETF, smart beta) tend to decrease the value added from classical diversification, and does it tend to increase financial integration?’ and ‘Do these new products create new investment approaches using an easy method to access complex investment strategies?’ ‘Do these new products overcome some of the behavioural finance paradigms?’

Full textSince ten years, an increasing proportion of pension funds faces to severe financial difficulties, addressing some questions about the management of these institutions and the effectiveness of the regulatory framework. This thesis aims to analyze the investment decisions and financial risk management made by the pension fund defined benefit and assimilated institutions, in order to address some advances for the regulation purpose. First, we address the question of the pension funds management by analyzing the implications of the managerial control problem. Our analysis suggests that the efficient management may require an optimal splitting of control rights between plan participants and the sponsoring company. We then show how this splitting of right controls can affects investment decisions in pension funds. Second, we analyze the implications of financial cycles for pension fund management. Our results suggest that the regulatory framework produces large pro-cyclical, including regime-dependent capital requirement and regime-dependent investment decisions. Finally, we analyze how the structural change in mortality affect the risk and the risk management of pension funds

Full textThe French market, characterized especially by a strong segmentation, low sophistication of investors and a domination of banks, would not be competitive. On the theoretical side, we try to illustrate, using two simple models, the effects of a lack of competition. The first one highlights the role of competition in the creation of implicit incentives. The second one shows that the lack of competition leads to weak funds’ performance. Empirically, we verify firstly the existence of this lack of competition in the French market. Secondly, we show the existence of a conflict of interest between investors and funds. The lack of competition reflects by the fact that investors do not react strongly to funds’ performance and individual investors are not sensitive to fund fees. We also observe a price discrimination between institutional and individual investors. The latter pays more for lower return. However, the market begins to show some signs of competition. In fact, individual investors start to pay attention to the “price-quality” rapport. In addition, a greater degree of sophistication of institutional investors may explain the fact that we do not obtain any relation between fees and return in this segment. Indeed, these investors may be more sophisticated and could estimate the quality of a fund by more complex measures of performance. Full textAnglo-American express private trusts, Latin-American fideicomiso and French fiducia”. Common Law trusts (English, American and Cook Islands) co-exist with civil law domestic trusts (Argentinean, Bolivian and Panamanian fideicomiso and French fiducia). They belong to the Common Law and continental law families respectively and have different structures. Anglo-American express trusts are settled by a settlor (declaration, gift) or by a will that creates an equitable relationship between the trustee and the cestui, whereby both share legal and equitable interests on the trust property. Civil law trusts are settled by a contract between the settlor and the trustee and by a will. Thus, a civil law trust beneficiary has only personal remedies against a trustee in respect of breach of trust. Despite the structural differences, both types of trusts operate in similar ways, due to the transfer of property to the trustee and the separation of the trust property. Testamentary trusts also work in a similar way; forced heirship is an external element of both. Trust managing and investment techniques and practices are also similar: condition precedent and condition subsequent clauses and discretionary trusts and powers are common to both trust models. Separation of the trust property allows for the settlement of protective trusts, trusts for project financing, defeasance and securitization. French Mutual Funds are comparable to Unit Trusts. Both should give legal title to the trustee (custodian). External elements of French law, which do not exist in Anglo or Latin American trusts, restrain the normal operation and use of French fiducia. Full textAsia is one of the main destinations in terms of global investment volume. But the existence of legal and fiscal certainties is an important factor for investors’ choices. Several recent cases in the region, including “Lone Star Fund” in South Korea and “Vodafone” in India, seem to question the existence of such certainties. Many foreign enterprises focus on the shares’ purchase and re-sale, which could be linked to speculation. China, South Korea and India, as source states, having identified speculative business which is making huge profits, decided to tax them, with adopting General Anti-Avoidance Rules (GAAR) or a broad interpretation of a tax law principle and also the rule amendment on income deemed to accrue. In so doing, they ignored the presence of conduit companies and did not justify this taxation which would seem to be a breach of their tax treaties.Firstly, this study examines domestic law and judicial practice of these states. In the second phase, it evaluates the extent to which this taxation relates to their tax treaties. Finally, it seeks to understand why they opt for such a tax policy and proposes some solutions to raise the level of predictability of their legal system

Full textThe hedge fund industry manages several trillion dollars in assets. Though they are key players of the financial system, hedge funds remain mysterious creatures. Available only to professional or qualified investors, they managed, for a long time, to take advantage of exemptions and to avoid a heavy regulatory burden. The 2008 financial crisis profoundly changed perspectives and led the European Union and the United States to introduce new regulations targeting hedge funds, through their managers and advisers. This study is a comparative analysis of such regulations, brought about by the AIFM Directive and the Dodd Frank Act. After a brief overview of the industry, both texts are examined and compared so as to identify their respective strengths and weaknesses. Two imperatives emerged out of the crisis: increasing investor protection and preventing systemic risk. In light of these two objectives, part II discusses the validity of the reforms, their scope and their limits. This extensive analysis of hedge fund regulation also leads to broader remarks on financial regulation, its aims, contours and challenges. Finally, a roadmap for a revised version of the AIFM Directive is proposed and concrete measures are suggested, such as the total prohibition of marketing to retail investors and the creation of a global database of systemic risk
