Full textCHINT Group Corporation es un holding de origen chino que participa en las industrias de productos de bajo voltaje, y de transmisión y distribución de energía eléctrica. Está ubicada en la posición 15 entre las 100 mejores empresas privadas de China, con un volumen de ventas de aproximadamente 1.800 millones de dólares en 2008 y presente en más de setenta países. Chint Electric Co. Ltd, la división de equipos para transmisión y distribución de energía eléctrica representa el 25% del holding y se encuentra en etapa de internacionalización. El objetivo de la presente tesis es desarrollar un plan de globalización para Chint Electric Co. Ltd, que considere la selección de una estrategia de entrada a América Latina y el plan de negocios que permita su implementación. De acuerdo a ello esta tesis presenta dos secciones. En la primera se evalúan las condiciones de Chint Electric Co. Ltd, para internacionalizarse y se selecciona el país plataforma teniendo en consideración el tamaño del mercado, índices macroeconómicos y del sector eléctrico, resultando Chile el país de entrada recomendado. Para este mercado específico se estudian tanto sus características como potencial de crecimiento. En la siguiente parte se definen las estrategias de entrada más alineadas con los intereses estratégicos de la empresa, evaluando exportación directa, licenciamiento, adquisición, alianza estratégica y greenfield, resultando tener estas dos últimas mayor coincidencia con lo requerido por Chint Electric Co. Ltd. De estos dos modos, el presente estudio desarrolla greenfield considerando aspectos estratégicos así como el plan de negocios asociado a la implementación, con énfasis en el plan de marketing. Se seleccionaron como segmentos objetivos la industria de generación eléctrica y la de la gran minería que representan en conjunto el 42% del mercado chileno de transformadores. Se considera la implementación de dos oficinas, una en Santiago enfocada al mercado de generación y otra en Antofagasta dedicada a la gran minería. Las líneas de productos a comercializar definidas fueron transformadores de poder medianos, switchgear, servicio de montaje de dichos equipos y servicio técnico de postventa. Se realizó el análisis financiero mediante el cálculo del valor presente de los flujos de caja descontados del plan de negocios, a una tasa de descuento de aproximadamente 15% obtenida mediante WACC a un horizonte de 10 años, estimando las ventas con tasas crecientes de penetración acorde a la mejora en el posicionamiento de marca y el desarrollo de nuevos proyectos, arrojando un VAN negativo de aproximadamente USD$ 1.400.000 y una TIR de 6% lo que hace a esta alternativa inviable desde el punto de vista financiero. Es factible viabilizar la alternativa Greenfield considerando nuevas líneas de productos en el análisis o aumentando el horizonte de evaluación, lo que permitiría a Chint Electric co. Ltd reforzar el nivel de control tanto en la gestión como en la cartera de clientes y posicionar la marca en América Latina como un competidor de nivel global.

Full textEn las últimas décadas, las empresas chinas han tenido un desarrollo vertiginoso. Adquirieron tecnología y know-how a partir de joint ventures realizados con empresas globales, y en la actualidad están buscando oportunidades en nuevos mercados. Una de estas empresas es CHINT Group Corporation, líder en China en las industrias de productos de bajo voltaje y de transmisión y distribución de energía eléctrica, con una facturación anual de US$ 1.800 millones en 2008. El objetivo del presente estudio es elaborar un plan de globalización de entrada a América Latina para CHINT T&D, la unidad de negocios de CHINT Group Corporation encargada de proveer equipos para transmisión y distribución de energía eléctrica y servicios relacionados, y que representa el 25% de las ventas totales del holding. Dicho plan de globalización incluye la selección de un país para ingresar al continente y la selección y desarrollo de una estrategia de entrada al mismo. A partir de la consideración de parámetros específicos del sector eléctrico, factores macroeconómicos y tamaño de mercado, Chile resultó ser el mercado de entrada recomendado, y para éste se presentan sus características y potencial de crecimiento. Respecto al modo de ingreso al país, se evaluaron las opciones exportación directa, licenciamiento, adquisición, greenfield y alianza estratégica; siendo estas dos últimas las que auguraban mejores resultados potenciales y mostraban una mayor adhesión con la estrategia de internacionalización de la compañía. El presente estudio profundiza en la alternativa de alianza estratégica incluyendo las condiciones de ésta, selección del socio estratégico para CHINT T&D, y un plan de negocios para su implementación. Tomando en consideración los factores críticos de éxito del mercado chileno y la condición actual de CHINT T&D para satisfacerlos, se propone como socio estratégico a Enerplan Ltda, empresa de origen chileno que provee servicios de mantenimiento de equipos de alta tensión y con una facturación de US$ 100 mil en 2009. Las principales condiciones propuestas para la alianza establecen un aporte de capital del 50% compartiendo riesgo en igual proporción, operación del negocio a cargo de CHINT T&D y contratación de ejecutivos locales para la dirección. Tanto desde el punto de vista estratégico como financiero, el presente estudio mostró como resultado que es viable el ingreso a América Latina a través de Chile bajo la modalidad propuesta. La evaluación económica mediante el método de flujos descontados a valor presente, en un horizonte de 10 años y utilizando una tasa de descuento de 15,2% obtenida mediante método WACC, arrojó un VAN positivo de 740 mil dólares. La TIR obtenida para el proyecto es de 21,8%.

In order to maximize profits of the premise, enterprise gradually process outsourcing non-core values and focus on their core business development, including information technology services outsourcing projects, when companies need to face the rapid changes in the market. Mainly in response to rapid changes in the environment, corporate demand for IT services is relatively improved.IT departments are still required to maintain a certain quality of service required, even though in the circumstances of tightening budget and difficulty of gaining talent, so enterprises have to begin assessment of IT outsourcing. In today's IT outsourcing market, most of companies decided to outsource partial of IT task, significantly less overall IT outsourcing. In order to further investigate the effectiveness of enterprise-wide IT outsourcing, we will try to understand the overall IT outsourcing advantages and disadvantages compared and selected a large enterprise, TECO Electric & Machinery Co.,Ltd., overall IT outsourcing in this study. Through a case study approach, and collect relevant literature as a reference to explore its actual practice. In this case study, we will explore how the case company implemented the outsourcing of non-core business for its own competitiveness, which includes decision-making process, IT services provider choosing, the scope of IT outsourcing, IT manpower planning, developing service standards, and costs-benefit analysis based on the regular satisfaction surveys. Finally all gathered through primary data and secondary data after collect, analyze and summarize, the conclusions drawn in this study are as follows: Under the demand of business process reengineering, TECO was required to increases the degree of information technology rapidly. In order to focus on core business development and various factors, the IT department is decided to separate. After 10 years of time to prove, the company gains benefits not only in the cost factor but also talent management and the future IT planning. Information Technology Total Service (ITTS), spin-off from TECO IT department, is strongly in IT business development. ITTS was not only saving the parent company IT costs but also created other services revenue and operating profit. In the income side, it is a positive development of the Group. Finally, the study recommends: For the future, provide overall IT outsourcing plan and relevant recommendations of the evaluation and reference to enterprises. Follow-up also on the market for outsourcing of several scenarios simultaneously comparison and analysis to better understand the overall IT outsourcing market arising efficiency and effective management mechanisms.

Abstract For raising the competitiveness, business enterprises make efforts to devote the quality to progress. From planning merchandises to the survey of customer satisfaction, the most important is to know by what kinds of the viewpoints that the customers measure the products and service quality. Then the quality of the merchandises can be developed or improved based on the survey result. The propose of the thesis is to understand the importance and satisfaction for quality attribute of the products and service, investigating which item is considered important by customers, and which one needs to be improved. Therefore, the business enterprises can get the direction of the design and enhancement. Using the questionnaire and analysis tool, two-dimension quality model, this study investigates the quality attributes of four products and service quality to find out the customer’s want. At the same time, it helps to know the quality concise difference among employees, dealer and customers that offers Business enterprises the way to Enhance quality of the products & service and increase the competition of the enterprises and products.

This study is based on the wholesalers of general merchandise commodity wholesale industry to retailers transaction cost theory analysis, this study is the use of case study approach to research, and is located in Taichung Wuri District love house family daily necessities Department Store Co. Shares company case study case. This study is the daily trading range for wholesale merchandise industry wholesalers of issues of cooperation and trade relations between the behavior of retailers in the domestic commodity wholesale market on the buyers and sellers as well as the impact of the level and in the face of fierce competition under the path for businesses positioning itself on the path of daily necessities wholesale and department store buyers and sellers and process transactions in transaction cost theory of the present study was to investigate the purpose. Stores in Taiwan today's commodity wholesale market in the disk access provider business strategy often because of limited rational individual decisions, opportunism, uncertainty and complexity, asymmetric information, a few transactions, the transaction context atmosphere affected. Therefore, this study was the following three findings and conclusions; 1.Commodity Wholesale Department Store in the outer disk providers need to assume transaction costs should also strengthen coordination between the three treatment and attention to transaction costs for goods wholesalers in the final consumers. 2.Commodity Wholesale Stores Chamber of Commerce in the disk due to the amount of the company's size and commodity items in the transaction cost theory inputs vary and produce different benefits. 3.Commodity Wholesale Stores wholesalers need positive reinforcement in their professional capacity and logistics logistics capabilities, and customer-service oriented to face the customer, to create a service brand as the main channel model, has been replaced by spending on audit costs. Orrelation of the above this study and discussion in Taiwan commodity wholesale market for merchandise trading patterns of behavior done by wholesalers and retailers, and to provide research recommendations in commodity wholesale merchandise wholesalers in adjustment of product sales strategy and product mix in such passages its retailer differentiation. In logistics, staff education and training, to establish its own brand, sell branded goods, etc., and to provide more convenient service for the pipeline to the final consumer of the commodity department highlights the wholesale suppliers in the real value of the disc on the path.

Due to fast-paced technology development, shortened product life cycle, accelerated and intensified industry competition, and the trend of globalization, for the purpose of maintaining sustainable growth and profit, companied has aimed to become a leading company in the industry to avoid being eliminated by the market. No matter it is for the intent of expand operations, diversification, or customer base acquisition, in order to pursue the growth of an organization, aside from organic growth and strategic alliance, M&As are nowadays frequently used as one of growing strategies for companies. According to Accenture and Economist Intelligence Unit’s survey on U.S. senior managers in 2016, the results shows only 45% of the samples believe the effects of M&As reached the anticipated synergies. Rodrik(2009)’s research paper on Europe and U.S. M&A cases also points out for those cases in U.S., approximately 30% to 50% are in vain, as for Europe ones, the hit rate is less than 50%. Founded in 1983, YFC-BonEagle Electric is a Taiwanese listed company at overthe-counter market. YFC, a traditional manufacturing industry company, started from manufacturing power cords, and then gradually turn the business products into the field of LAN cables. YFC set up virtual online platform BestLink in U.S. in 2003, starting extending its business model from OEM to distributor. In 2006, YFC acquired another US branded channel distributor PRIME. At the end of 2016, YFC extended its business scale from physical distributor to E-commerce by acquiring Monoprice. Considering Monoprice is a branded E-commerce company in U.S. and the financial figures are considered acceptably stable, YFC decided to participate at the bid. Last, this deal was closed at the bid price of USD 40 million in November. Although YFC has past M&A experience in the US and the result shows a success. However, M&A cases’ success rate is independent of each other. YFC has experienced ending up the China retail channel business operation Big MAC which invested in 2010 and recognized considerable amount of TWD 150 million asset loss in 2015. Since YFC immediately executed another M&A deal soon after recognizing asset loss, this case is worthy following and having further discussion to focus on the key successful M&A factors and to see if the synergies show. This study is conducted in the Harvard case study. This study is to figure out the drivers of YFC M&A through the aspects of synergies on operational, market and financial dimension, to analyze the key successful M&A factors between two counterparties, and to plan a transformation and development strategy for the coming future. Furthermore, this study provides suggestion for the integration after M&A and considered financing structure for the potential M&A deals afterwards.

As far as production value is concerned, machinery industry plays an important role in Taiwan’s manufacturing industry. Electric discharging machinery (EDM) industry, especially, has shown outstanding performance in recent years. In addition to the improvement in R&D and technology, human resources management is also closely related to the competitiveness of an enterprise. Under increasing competition, it is crucial for the leader of an EDM manufacturer to lead employees to work together for the organization’s mission, to recognize the importance of their jobs, to let them work happily and to arouse their organizational commitment. This study was to explore how leadership style influenced employee job satisfaction and organizational commitment by surveying the employees of Ching Hung Machinery & Electric Industrial Co., Ltd., one of the leading EDM manufacturers in Taiwan. This research adopted questionnaire survey method. In total, 300 questionnaires were issued and 165 effectives ones were retrieved. The retrieved data were analyzed with SPSS statistics software. The results showed: 1. There was significant positive relation between leadership style and job satisfaction. 2. There was significant positive relation between leadership style and organizational commitment: (1) When the leader showed a stronger tendency toward transformational leadership, the employees had higher degree of organizational commitment. (2) When the leader showed a stronger tendency toward transactional leadership, the employees worked harder and had higher degree of organizational commitment. 3. There was significant positive relation between job satisfaction and organizational commitment. 4. For employees’ personal feeling for job satisfaction, except education, significant difference existed in marital status, job contents, service length etc. For retention commitment, sexuality, marital status, position, job contents, age and service length all showed significant difference. 5. Proper leadership style could increase the employees’ job satisfaction and further influence their organizational commitment. Based on the above findings, this study suggested the leader reinforce his transformational leadership style to increase his leading charisma and effectiveness, improve the employees’ job satisfaction and further increase their organizational commitment.

The methodology of case study on strategic management is adopted and the researched case is YiFeng Electric Industrial Co., Ltd. Through the case study analysis, this study finds: The managers use the strategic planning process then take suitable effective strategies, can reach high corporate performance and own competitive advantage. The results of this study may provide some strategic management suggestions for the companies to reach excellent performance and enhance competitive advantage.
