Abstract:
Synopsis Groupon, an online coupon company, was one of many companies that considered an initial public offering (IPO) during what might be a second technology/internet/social media IPO boom in 2011. Some companies chose to postpone their IPOs, while others took advantage of the media attention focussed on technology companies, and in particular, social media firms. Should investors hop on the tech IPO bandwagon, or hold off to better evaluate the long-term prospects of tech companies, and in particular social media companies? Would the valuation of Groupon justify an investment in IPO shares? Research methodology The case was researched from secondary sources, using Groupon's IPO filing information, news articles about the IPO and industry research sources, such as IBIS World. Relevant courses and levels This case is appropriate for an advanced undergraduate or MBA corporate finance or investment elective. Most introductory finance classes do not have the time to cover later chapters in a finance textbook, where information about IPOs is generally found. It could also be used at the end of a core finance course, where the instructor wanted to introduce this topic through a case study of a hard-to-value internet-based company to illustrate the difficulties in setting IPO prices. The case could also be used in an equity analysis class, an entrepreneurial finance class or an investment class, to spur discussion about valuing an internet company and choosing appropriate investments for pension fund investing. This case could also be used in a strategy class, focussing on the five forces question, and eliminating the valuation question. Theoretical basis There is a great deal of literature about IPOs and their long-term performance. An excellent source is Jay R. Ritter's research, http://bear.warrington.ufl.edu/ritter, which has a longer time period and more data than could be contained in this case. IPO puzzles include persistent undervaluing of IPOs; in other words, the offer price is lower than, and sometimes substantially lower than, the first day close price. A second issue is the generally poorer long-run performance of companies after their IPO when compared to similar firms that did not do an IPO.

Purpose: The study aims to identify the main directions of intragroup cooperation, along with crucial areas of cooperation in business groups, and develops theoretical models of cooperation in a business group. Methodology: The qualitative approach is applied in the study that is based on the cross-case analysis of four business groups operating in Poland. Findings: Results indicate that business groups cooperate mainly vertically (cooperation between the core company and affiliates) in operations. Horizontal (among affiliates) and vertical cooperation in other areas – marketing, R&D, finance, and human resources – are not so intense. The study enables us to propose a theoretical framework of cooperation models in business groups based on two dimensions – the direction of cooperation and the number of cooperation areas. It leads to the identification of four models: two-sided loose cooperation, two-sided tight cooperation, multi-sided loose cooperation, and multi-sided tight cooperation. Implications: Identification of main directions of cooperation in business groups, along with areas of cooperation have implications for both researchers and managers. Findings of the study and the theoretical framework of cooperation models in business groups can be used as a basis for the further theoretical exploration of the organization and functioning of business groups in the economy and a strategic decision guideline for managers. Originality: The literature focuses mainly on the interorganizational cooperation between dispersedly owned standalone entities. Studies on intraorganizational cooperation in business groups are limited. The study aims to provide a better understanding of cooperation between entities in business groups.

Credit institutions often refuse to lend money to small firms. Usually, this happens because small firms are not able to provide collateral to lenders. Moreover, given the small amount of required loans, the relative cost of full monitoring is too high for lenders. Group lending contracts have been viewed as an effective solution to credit rationing of small firms in both developing and industrialized countries. The aim of this paper is to highlight the potential of group lending contracts in terms of credit risk management. In particular, this paper provides a theoretical explanation of the potential of group lending programs in screening good borrowers from bad ones to reduce the incidence of non-performing-loans (NPL). This paper shows that the success of firms involved in selected group lending programs is due to the fact that co-signature is an effective screening device: more precisely, if lenders make a proper use of co-signature to screen good firms from bad ones, then only firms that are good ex-ante enter group lending contracts. So, the main argument of this paper is that well designed group lending programs induce good firms to become jointly liable, at least partially, with other good firms and discourage other – bad-firms to do the same. Specifically, co-signature is proven to be a screening device only in the case of a perfectly competitive bank sector.

Abstract When do rebel leaders “sell out” their constituents in the terms of peace by signing agreements that benefit group elites over the rebel constituency, and when do they instead “stand firm,” pushing for settlement terms that benefit the public they claim to represent? This article examines variation in the design of civil war settlement agreements. It argues that constituents, fighters, and rebel elites have different preferences over the terms of peace, and that rebel leaders will push for settlements that reflect the preferences of whichever audience they are most reliant on and accountable to. In particular, leaders of groups that are more civilian-reliant for their military and political power are more likely to sign agreements that favor broad benefits for civilian constituents, while leaders who do not depend on civilian support for their political and military power will sign agreements with fewer public benefits. We test this argument using original data on the design of all final peace agreements reached between 1989 and 2009, and several proxies for the group's level of reliance on civilian supporters. Using a variety of statistical tests and accounting for nonrandom selection into peace agreements, we find strong support for our hypothesis.

The Science Museum Group's archive for the Electricity Council, held at the Science and Industry Museum in Manchester, includes films sponsored by the British Electrical Development Association (EDA). The three earliest films in the archive date from 1934 and share a director in Alexander Esway. During content development research for the collaborative exhibition Electricity: The Spark of Life and research into Esway's films for a paper given at the Material Cultures of Energy BFI film workshop Picturing Energy: Approaches to Energy Films, questions arose about the lack of attention shown to commercial and industrial films included in Rachael Low's definition of ‘quota’ films and also about Esway's significance as a film-maker and his place in the history of British industrial films. This article provides information about the three films, the man who directed them and the context of what was happening in both the electricity industry and the film-making world at the time, including why the EDA decided to use film in its publicity campaigns. It attempts to discover whether Esway has been unjustifiably neglected by film historians, with his career a footnote to those of his more famous peers, and questions whether his work for the EDA forms part of a body of commercial and industrial films that need to be re-evaluated.

AimsThis study was carried out as part of the Pathology Benchmarking Review and it audits the implementation of the guidelines for the reporting of blood films published by the International Consensus Group for Haematology Review.MethodsEach laboratory completed a questionnaire about the number of blood counts and blood films performed. Information was collected on the criteria that were used for preparing a blood film and whether they had followed the guidelines of the International Consensus Group.Results74 National Health Service organisations (151 laboratory sites) participated in the study. 24 laboratories had implemented the guideline, 21 with local modification, and 3 without modification. The reasons that prevented the full implementation of the guideline included the inability of laboratory information systems to be modified to include the guideline rules, the laboratory not agreeing with the guideline criteria, and the staff time required to implement the guide to justify the perceived local benefits of implementation.ConclusionThis is the first study that has assessed the implementation of the International Consensus Guidelines at a national level. Many laboratories had experienced difficulty in implementing the consensus guideline partly due to the complexity of the guideline. As a result 21 of the 24 laboratories that had attempted to implement the guideline had made local modification to the guideline. Since it was not possible to estimate the impact that local modification of the guideline would have on the percentage of blood films it was not possible to establish a benchmark of practice following implementation of the guideline.

Abstract:
This thesis aimed to examine methods used to evaluate multinational and diversified firms and then use these methods to study the Philips Group and its decision to spin-off of the Philips Lighting sector. Although numerous methods and parameters used to analyze firms already exist, they remain very limited for multinational and diversified firms such as Philips Group or General Electric. In this thesis, hypotheses were based on the theory of the firm and tested using analysis of leverage, profitability and efficiency ratios. This study shows the difficulty of analysing multinational diversified firms caused by a very limited availability of data set. Thus, despite of a great number of ratios described in the literature, only a small portion can be in fact computed using publicly available data. Hypotheses were based on the the paper developed by Chen and Guo (2005). First hypothesis, based on the analysis of capital constraint was attempted, secondly the pace and directions of individual sectors were analysed using profitability and efficiency ratios and thirdly the stock performance was observed. All of this in order to examine whether the motive of the split was to increase the stock prices. It was found that Philips Group nor its Lighting sector did not experience capital constraints, nevertheless an important degree of underperformance amidst analysed figures was found, which suggested that Philips Lighting division was not as good in creating value for shareholders as the HealthTech division was. Moreover, the decision of Philips Group to concentrate on its HealthTech business was positively accepted on stock markets confirming the third hypothesis.

Firm closeness or comparability is an important concept to investors. Knowing that two firms have been historically close and observing an information announcement by one of the firms gives the investor cues as to the future performance of the other firm. Furthermore, from a methodological point of view, researchers commonly control for firm--group closeness by using industrial classification schemes such as the SIC. To the extent that these schemes group dissimilar firms, the advantage of using these schemes is undermined. This paper more formally examines the comparability concept and develops two new measures of firm--group accounting closeness. Both measures are based on the co--movement of accounting fundamentals. I provide insight regarding the extent to which the SIC and GIC schemes group similar firms. Furthermore, a trading strategy utilizing information in the measures is developed and tested. Results indicate that, when industry closeness is high enough, abnormal returns in the range of 1-3% over a 1-3 day window can be earned around leader information announcement dates. Finally, I contribute to the contagion/information transfer literature, most notably Gleason et al. (2008), by showing that the contagion effects of accounting information announcements are increasing in the closeness of the industry.

Administrative registers maintained by statistical offices on vastly heterogeneous firms have much untapped potential to reveal details on sources of productivity of firms and economies alike. It has been proposed that firm-level shocks can go a long way in explaining aggregate fluctuations. Based on novel monthly frequency data, idiosyncratic shocks are able to explain a sizable share of the Finnish economic fluctuations, providing support to the granular hypothesis. The global financial crisis of 2007-2008 has challenged the field of economic forecasting, and nowcasting has become an active field. This thesis shows that the information content of firm-level sales and truck traffic can be used for nowcasting GDP figures, by using a specific mixture of machine learning algorithms. The agency problem lies at the heart of much of economic theory. Based on a unique dataset linking owners, CEOs and firms, and exploiting plausibly exogenous variations in the separation of ownership and control, agency costs seem to be an important determinant of firm productivity. Furthermore, the effect appear strongest in medium-sized firms. Enterprise group structures might have important implications on the voluminous literature on firm size, as large share of SME employment can be attributed to affiliates of large business groups. Within firm variation suggests that enterprise group affiliation has heterogeneous impacts depending on size, having strong positive impact on productivity of small firms, and negative impact on their growth. In terms of aggregate job creation, it is found that the independent small firms have contributed the most. The results in this thesis underline the benefits of paying attention to samples encompassing the total population of firms. Researchers should continue to explore the potential of rich administrative data sources at statistical offices and strive to strengthen the ties with data producers

Many scholars have addressed the important role that guanxi plays in the Chinese social-economic system. Guanxi is widely accepted in academia as an indigenous construct from China-deeply rooted in Chinese culture and reflected in the behaviour of Chinese people in both the social and institutional environment. During the growing globalisation of Chinese multinational companies, Chinese expatriates have increasingly taken up international assignments and inevitably carried Chinese guanxi to the host country. Research on guanxi in China has been intense. However, how the employees of Chinese multinational companies employ guanxi in the West, how Chinese expatriates develop and use guanxi in the host country, and how these behaviours affect their adjustment remain unclear. My dissertation contributes to this line of study in three ways. I first examined guanxi capitalism theoretically to highlight the features of China's economic system embedded deeply in its cultural-social-political environment and to explore how guanxi emerged, evolved, and subsequently dominated the economic system in China. Based on this analysis, I developed a conceptual framework of the "Guanxi capitalism structure" to illustrate the fundamental role of guanxi as the "invisible hand" in China. Next, I examined empirically how guanxi practice affects intra-firm multicultural group dynamics involving Chinese expatriates, host-country nationals, and host-country Chinese in Chinese multinationals. My study shows how expatriates actively practice guanxi with their homeland counterparts, but they do not do so with host-country nationals and host-country Chinese, and it explores the implications of these dynamics. Finally, I examined the impact of guanxi building on Chinese expatriate adjustment. Based on my analysis, I developed a process model that illuminates that guanxi development alters expatriates' adjustment curve significantly. My findings contribute more generally to shed light on cross-cultural management in terms of Chinese guanxi practice and the process of initiating, building, and utilizing guanxi in the Western context.

Le travail nécessite davantage de coopération flexible dans les différentes fonctions, divisions et niveaux des entreprises. Cet environnement exige de nouvelles formes d’organisations, plus horizontales et plus coopératives. L’équipe virtuelle présente un mécanisme efficace pour optimiser l’expertise dispersée géographiquement. La communauté collaborative est considérée comme un nouveau modèle organisationnel qui permet à l’entreprise de faire face à des nouveaux défis. L’objectif principal de la thèse est d’étudier le rôle du concept de communauté collaborative dans la performance d’équipes virtuelles au sein d’entreprises de services professionnels; et de comprendre comment une telle communauté collaborative pourrait être construite au sein d’une entreprise. En associant la littérature sur la performance des équipes virtuelles et sur la collaboration, la thèse vérifie empiriquement les relations entre ces deux concepts. Les tests sur lesquels nous avons appuyé notre analyse ont été effectués sur deux types de population au sein d’une entreprise de services professionnels. L’étude de cas qualitative a permis une meilleure compréhension et interprétation des résultats quantitatifs. Cette approche complémentaire fournit également des idées pertinentes pour le développement d’une communauté collaborative au sein d’une entreprise. La thèse apporte une contribution à la recherche sur les dynamiques des équipes virtuelles et valorise le rôle de communauté collaborative dans leurs performances
Today society becomes increasingly open, dynamic, and globalized. Strong orientation on knowledge-based and solution-orientated production creates new challenges for companies. Increasingly, the work requires flexible cooperation across functions, divisions, and levels within organizations. The environment requires new, flatter, more collaborative forms of organization. Virtual team is an effective mechanism to optimize the use of company internal expertise dispersed geographically. Collaborative community is seen as a new organizational model enabling organization to face new challenges. The key objectives of this study are to investigate the role of collaborative community concept for virtual team performance in the context of professional service firm and get better insight on how such collaborative community could be built within one company. Combining the literature on virtual team performance and collaboration, the study empirically tests the relations between these two concepts. In particular the testing was performed on two types of population within the same company PSF. The qualitative case study was conducted to ensure better understanding / interpretation of the quantitative results. This complementary approach also provided useful insights on the strategy of building collaborative community within a PSF. The study contributes to the literature on the dynamics of virtual team by improving the understanding of the role of collaborative community for its performance

D’abord cantonnés au secteur industriel, les groupes de sociétés se sont progressivement développés dans l’ensemble des secteurs d’activités et sont devenus en quelques années des acteurs incontournables de la vie économique et sociale. Le regroupement d’entreprises sous la domination d’une société-mère s’est accompagné d’une recherche d’unité dans les modes de gestion et les statuts sociaux déployés dans chaque entreprise les composant. C’est dans ce contexte que s’est développée la négociation d’accords de groupe. De simple expérimentation issue de la pratique, la négociation collective de groupe est devenue un véritable niveau de négociation collective reconnue par le législateur. L’accord de groupe est désormais consacré comme une norme créatrice de droits et d’obligations entre employeurs et salariés du groupe, mais sa place dans la hiérarchie des normes n’a pas été précisée. Cette situation génère de nombreuses interrogations quant à sa portée et à ses limites : chaque apport du législateur à la construction du régime juridique des accords de groupe soulève de nouvelles difficultés avec lesquelles les partenaires sociaux doivent composer. La présente étude tentera de mettre en évidence les solutions proposées par les partenaires sociaux pour affiner et sécuriser le régime juridique applicable aux accords de groupe
Originally confined to the industrial sector, corporate groups have gradually developed in all sectors and have become in just a few years key players in economic and social life. The business combination under supervision of parent company was accompanied by a search for unity in management methods and employees’ status. The negotiation of group agreements has developed in this context. Simple hands-on experience at the beginning, group collective bargaining has become a real level of collective bargaining recognized by the legislator. The group agreement is now set out as a standard which establishing rights and obligations between employers and employees of the group, but its place in the hierarchy of norms has not been specified. This situation generates many questions about its scope and its limits: each legislator’s contribution to the group agreements’ legal regime raises new difficulties that the social partners have to deal with. This study will attempt to identify the solutions proposed by the social partners in order to refine and secure the group agreements’ legal regime

AbstractThis chapter introduces the notion of RM maturity. The first section clarifies the role of the maturity concepts in management science and presents the design of a systemic theoretical inquiry into RM maturity. In total, 13 RM-related themes were qualified to become the content of the RM maturity concept. The second section discusses the themes grouped in the strategic dimension of RM, including Service-Dominant Logic (SDL) as the most distinctive and consistent theme in this group. A brief theory-integrative discourse is given about the interplay between RM and SDL as permeable paradigms embedded in the RBV and dynamic capabilities theories. The third section discusses the roles of interdepartmental and departmental processes and ICT in defining RM maturity. The chapter concludes with the preliminary proposal of the RM maturity model fitted into the broad definitional basis of RM.

Abstract Thermally-activated pressure relief devices (TPRD) with glass bulbs or fusible alloy are applied to high-pressure hydrogen storage cylinders (HHSC), in order to release hydrogen gas from the cylinder in fire accidents. In this paper, cylinders with different TPRDs were tested in two groups using different bonfire test methods. In group A, the fire was set exactly under the TPRD. While in group B, the fire was set 80 mm beside the TPRD. The result shows that TPRDs with glass bulb and fusible alloy acted in a similar way when the fire was under the cylinder and the TPRD. However, they acted in a quite different way when the fire was only under the cylinder and beside the TPRD. In group A, hydrogen was released continuously from TPRD both for glass bulb and fusible alloy. In group B, hydrogen was released continuously from the TPRD using glass bulb which was similar to the group A. However, for TPRDs using a fusible alloy, hydrogen was released in several stages taking much more time. The results are instructive for the design and selection of TPRDs on HHSC.

A series of bottom reflood tests were carried out to investigate thermal-hydraulic characteristics during the reflood phase. This paper includes descriptions of three related groups of reflood tests categorized by the geometry of a flow channel and an electric power shape of heater rods. A centrally-heated annular geometry with an outer-visualizing tube was adopted for the first two groups of tests (group-A and -B), and a 6×6 rod bundle geometry for the other group of tests (group-C). The ranges of experimental parameters are 2∼8 cm/s of flooding velocity, 20∼80 °C of inlet subcooling temperature, and 500∼700 °C of initial wall temperature. In the single rod annular flow channel reflood test, quench front behavior can be easily observed through the visualizing window and a dominant flow regime near downstream of quench front is inverted annular film boiling regardless of the flooding velocity. For the case of the 6×6 rod bundle experiments, on the other hand, the dominant flow regime is dispersed flow film boiling (DFFB), and therefore the thermal hydraulic behavior becomes more complicated and chaotic due to the interaction between liquid phase such as droplet and liquid film and vapor phase generated from liquid-wall heat transfer.

This study focuses on the analysis of conductivity of resulting carbon nanotube film and UV-vis spectra of carbon nanotube solution to investigate the dispersion and stability of carbon nanotube solution as well as the factors affecting it. The dispersion stability of hydrophilic functional group (-COOH) and surfactant (SDBS) were tested, and was found to behave differently. Hydrophilic functional group tends to increase dispersion stability with increasing concentration, however surfactants shows some optimum points at 0.5wt%. The combination of both stabilization groups has shown a significant improvement in carbon nanotube dispersion quality as well as its stability that is reflected through the observed improvement in the deposited thin film conductivity. Possible mechanism could be explained by ionic repulsive force of functional group ions (-COO−) and surfactants ions (SO4−).

This paper describes the effect of end-group functionality and molecular weight of ultra-thin liquid lubricant films on contact slider dynamics in hard disk drives. In the experiments, the contact slider dynamics as well as ultra-thin liquid lubricants behavior are investigated using three kinds of lubricants which have different end-groups and molecular weight as a function of lubricant film thickness. The dynamics of a contact slider is mainly monitored using Acoustic Emission (AE). The disks are also examined with a scanning micro-ellipsometer before and after contact slider experiments. It is found that the lubricant film thickness instability due to de-wetting occurs as a result of slider-disk contacts, when the lubricant film thickness is thicker than one monolayer. Their unstable lubricant behavior depends on the chemical structure of functional end-groups and molecular weight. In addition, it is also found that the AE RMS values, which indicate the contact slider dynamics, are almost equivalent, independent of the end-groups and molecular weight for the lubricants, when the lubricant film thickness is around one monolayer. The molecular weight, however, affects the contact slider dynamics, when the lubricant film thickness is less than one monolayer. In other words, the AE RMS values increase remarkably as the molecular weight for the lubricant increases. When the lubricant film thickness is more than one monolayer, the AE RMS values decrease because of the effect of mobile lubricant layer, while the lubricant de-wetting instability affects the contact slider dynamics. Therefore, it would be concluded that the lubricant film thickness should be designed to be around one monolayer thickness region in order to achieve contact recording for future head-disk interface.

Abstract:
This paper studies the effect of capital controls on misallocation and welfare in an economy with financial constraints. We build a general equilibrium model with heterogeneous firms, financial constraints and international trade and calibrate it to the Chilean economy. Since high-productivity and exporting firms need to borrow more to reach their optimal scale, capital controls that tax international borrowing hit them harder. As a result, misallocation increases relatively more for this group of firms, and for young firms that are still trying to reach their optimal scale. In terms of welfare, the model predicts a sizable aggregate loss of 2.39 percent when capital controls are introduced, with welfare decreasing twice as much for high-productivity firms. We empirically corroborate the main insights in terms of misallocation obtained from the model using Chilean manufacturing firm data from 1990 to 2007.
