Abstract:
This chapter discusses payment, liquidated damages, minimum payment, and accelerated payment clauses. It first gives a brief introduction to payment clauses and their construction, before turning to liquidated damages clauses. For the latter, the chapter introduces the clause with a set of propositions delivered during the Dunlop Pneumatic Tyre Co Ltd v New Garage and Motor Co Ltd case. Next, the chapter turns to minimum payment clauses. These clauses are a feature of many hire-purchase arrangements and are subject to the new legitimate interest test. Acceleration clauses, meanwhile, are particularly common in asset finance arrangements and commercial lending. Such clauses often work in tandem with express termination clauses, and appear to have become more common in the wake of the restrictive common law approach to damages resulting from the exercise of an express termination provision.

Abstract:
This chapter discusses the legal structure of property interests in commercial transactions, first by explaining the relevant legal concepts such as the distinction between property rights and personal rights. It proceeds by considering contractual rights and how property as assets differ from property as interests in assets. It then examines the key forms and purposes of key proprietary interests, noting that parties that enter into commercial transactions create proprietary interests and personal obligations, namely: contracts of sale with retention-of-title clause, title-based interests (hire-purchase agreements and leases) and security interests (pledges, charges and mortgages). The chapter also analyses the nature of parties' legal relationship inherent when proprietary interests are created, focusing on the relevance of the agreement and whether the legal relationship between the parties to the transactions may be fiduciary. Finally, it describes the power to act and the authority to act with respect to such relationships.

Abstract:
A pressing problem often facing commercial practitioners is how to determine the principle which would dictate when a proprietary claim is available and when it is not. This book explains the nature and structure of key interests in property in commercial transactions and analyses the incidence of proprietary claims available to holders of different interests in assets. It starts by identifying the structure of those interests which the author terms ‘lesser proprietary interests’, comprising security interests and interests based on retention of title in contracts of sale of goods, hire-purchase agreements, and leases, thereby contributing to the understanding of concepts which are traditionally used to explain this area of law such as bailment and fiduciary relationship. The book examines the circumstances in which the interests are lost and the extent to which proprietary claims can be asserted in assets that derive from the original subject matter, that is proceeds, products and income, as well as in accretions. It examines these claims at three levels: as a matter of default rules in the absence of misappropriation of the original subject matter; as a matter of contract; and in circumstances in which the original subject matter has been misappropriated. The book approaches the topic of tracing and derived assets in commercial transactions on a principled basis.

Would stimulus without debt be inflationary? This question should be divided into two parts. First, will stimulus without debt generate inflation before the economy fully recovers from the recession? This chapter answers no. Unemployed workers would be glad to work without any increase in wages, so the increase in demand would cause employers to hire unemployed workers, thereby increasing output with no increase in wages, costs, or prices. Second, can stimulus without debt be phased out by the time the economy reaches full employment so that it doesn’t generate inflation? This chapter answers yes. Although stimulus without debt temporarily raises money in the economy above its normal growth path, the Fed can return money to its normal growth path before the economy reaches full employment by reducing its purchases of bonds, thereby reducing its injection of money into the economy.

In 1927 with Nancy Cook at the helm, the three friends (plus Caroline O'Day as a partner) opened a small furniture factory on site, and hired several skilled wood workmen (NYC immigrants) to produce fine American reproduction furniture. Eleanor Roosevelt bought many pieces, encouraged purchases by her friends, and Val-Kill had sales exhibits in NYC. Although they never were able to employ a large number of local workers, as Nancy and Eleanor and FDR had hoped would be a precursor of later New Deal employment projects, for about a decade they kept the business going during the most difficult years of the Depression. They demonstrated the business interests of the New Woman. Val-Kill furniture today is prized by collectors.
