The creation of concurrent interests in land generally now occurs by way of a trust of land, governed by the Trusts of Land and Appointment of Trustees Act 1996 (TLATA) and replacing their forerunner, trusts for sale. Trusts of land may be expressly or impliedly created and, where implied, may be resulting or constructive trusts. Key provisions of TLATA 1996 include: ss 6–8 governing the extent of trustees’ powers over the trust property; s 11 governing the circumstances in which trustees have a duty to consult beneficiaries when exercising their powers; ss 12–13 governing the rights of beneficiaries to occupy the trust property; and ss 14–15 governing the right of an interested party to make an application to the court for an order to resolve a dispute over trust land.

Secret trusts allow property to be left to someone in a will without explicitly naming that person. This is achieved by a bequest to a person who has previously promised to hold that property as trustee for the intended recipient. The anonymity provided by a secret trust is important, as all wills are public documents and therefore open to scrutiny. Secret trusts can be either fully secret or half secret. To establish a valid secret trust there must be: an intention to create a trust; communication of that intention; and acceptance of the trust obligation.

The main formalities considered are set out in s 53 of the Law of Property Act 1925. Three types of trusts of property are relevant to the chapter: trusts of property other than land, including trusts of personal property; trusts of land or an interest in land; and dispositions of an equitable interest.

This chapter considers whether and to what extent internal trust arbitration falls under the auspices the Federal Arbitration Act (FAA). It begins by comparing the evolution of contractual arbitration under the FAA to trust arbitration under state law. It then explains why these parallel developments are on a collision course. Specifically, it argues that some arbitration provisions in trusts trigger section 2 of the FAA because they arise from contract-like instruments that affect commerce and because the parties’ conduct gives rise to an implicit agreement to arbitrate. Finally, the chapter addresses two thorny problems that are likely to emerge in trust arbitration under the FAA: how to handle the in rem nature of some trust matters and the role of delegation clauses in trusts.

Trustees must know what their obligations are under the trust, and satisfying these certainties ensures that, if necessary, the court itself will be able to administer the trust. Certainty of intention is a question of fact and the courts will consider the whole context of the case. Certainty of subject matter requires certainty as to what property is held on trust and the beneficial interests involved. Certainty of objects relates to who are the beneficiaries of a trust. Every trust—with the exception of charitable trusts—must satisfy the certainty of objects requirement.

There are exceptions to these strict rules, such as proprietary estoppel and certain gifts made upon death, for example secret trusts and donatio mortis causa. The office of trustee is considered, including the methods of appointment; their powers of maintenance, advancement, variation, and investment; and the fiduciary nature of their office. Equitable remedies, such as injunctions, specific performance, and tracing are included. The use of constructive trusts in cohabitation disputes is analysed.

This chapter describes how equitable interests in land are acquired by the creation of a trust. It addresses the acquisition of resulting and constructive trusts of land. The resulting trust arises either through a reluctance to assume that A intended a gift, or to prevent B's unjust enrichment at A's expense. Constructive trusts arise in a number of circumstances in which it is considered unconscionable for the legal owner to assert his or her own beneficial ownership, and to deny the beneficial interest of another. They arise under the doctrine Rochefoucauld v Boustead, and the Pallant v Morgan equity. The doctrine in Rochefoucauld v Boustead imposes a constructive trust to prevent a transferee of land from fraudulently relying on the absence of compliance with formalities to deny a trust pursuant to which the land was transferred. The Pallant v Morgan constructive trust arises where one party acquires land pursuant to an informal commercial joint venture and reneges on an agreement that another party will have an interest in the land. The trust has been categorized as a form of ‘common intention constructive trust’ but this categorization is contentious.

This chapter explores the acquisition question in relation to the family home through an analysis of the doctrines of resulting and constructive trusts. The chapter explains the different initial presumptions drawn in cases of joint and sole legal ownership and the particular approach that has been adopted in the case of a home purchased ‘in joint names for joint occupation by a married or unmarried couple, where both are responsible for any mortgage’. The chapter considers how the ‘common intention’ of parties in relation to the common intention constructive trust is determined differently in relation to the primary acquisition question (in cases of sole legal ownership) and the secondary question of the quantification of beneficial shares (applicable in cases of joint and sole beneficial ownership). The chapter addresses the contentious issue of the extent to which the courts’ broader approach to common intention in relation to quantification may be carried over to the primary acquisition question. is joint and equal beneficial ownership. The public benefit requirement raises different issues under each head of charity. Legislation related to charities and their regulation has recently been consolidated by the Charities Act 2011.
