Abstract:
In a globalized society, the economic integration of states and the expansion of foreign trade relations have led to increased attention and control over agreements in this area. Inappropriate drawing up of contracts will lead to long and costly cases between the parties in any dispute over the provisions. For this reason, in drafting these agreements, States must use standards that do not constitute a heavy responsibility for these parties and that the parties mutually agree on the risk of liability and loss by referring to what they want from these standard rules. These standards are known as incoterms. Also called International Commercial Terms. This study will provide an in-depth look at the differences between previous versions 2000 and 2010 of INCOTERMS 2020 and discuss the general meaning of these terms (International Commers Terms) used to refer to trade agreements with commercial entities. As trade markets continue to expand due to developments in transportation and logistics technologies, distribution networks extend well beyond national frontiers. With obstacles such as distance, language, and business customs, allocation of legal responsibility between a buyer and a seller of goods becomes even more crucial in international commerce. This document is presented in three general sections. Reviewing the basics, including definition, origin, use and classifications of INCOTERMS constitutes the first section. The second section describes and analyzes the differences between each of the 13 INCOTERMS 2000. Lastly, the changes introduced by the 2000 revision are studied in more detail in section three and implications are proffered.

Abstract:
Introduction. The globalization of the world space is an irreversible process and it requires clear generalizations and systematization. In the trade sphere, these are the rules of Incoterms. The study of these rules is quite an actual problem today, considering that nine interpretations have been formed, the last of which took place this year. The purpose of the paper is to analyze the editions of Incoterms, which are published by the International Chamber of Commerce in order to unify the rules of international trade. Results. As of January 1, 2020, nine editions of the rules of international and domestic trade were formed – Incoterms: 1936, 1953, 1967, 1974, 1980, 1990, 2000, 2010 and 2020. The first systematization of the rules of international trade had six conditions (FAS, FOB, CNF, CIF, EXS, EXQ), which directly related to sea or river transport. The next edition took place only 17 years later. This edition adds three terms of delivery, that did not apply to water transport (FOT, FOR and DCP). The third edition was made in 1967, as a result DAF and DDP terms were added. The fourth edition was published in 1974. This led to the inclusion of a new term FOB Airport – «Free on Board Airport». In 1980, the term FRC (Free Carrier… Named at Point) was introduced. All versions of the rules before 1990 were based on the introduction of additional terms that would be convenient to use in international trade. And in 1990, the International Chamber of Commerce updated the list of Incoterms by eliminating inapplicable and introducing new terms. A new version of the rules was published in 2000, however, neither the quantity nor the names of the terms of delivery have changed. The interpretation of certain terms has changed. The eighth edition was made in 2010, but came into force on January 1, 2011. This interpretation presents eleven conditions of Incoterms. The eighth edition introduced significant changes into the group “D”. The ninth version of the terms of international deliveries came into force on January 1, 2020, indicating the main changes related to product insurance, replacement of delivery from the group “D”, changes in the order of items within the definition of obligations of buyer and seller, etc. Conclusions. The Incoterms rules do not replace the contract between the buyer and the seller, they only define the main obligations, risks and costs, unless otherwise agreed by the parties of the contract. Incoterms are extremely important in the unification of international trade and they will change in the process of international trade in case of occurrence of such a need.

U radu se s teorijskog i praktičnog stajališta prikazuju i analiziraju novi termini Incotermsa iz 2010. godine. Iznose se osnovna opća obilježja nove revizije i posebna obilježja pojedinih termina, te se ukazuje na razlike u odnosu na termine Incotermsa iz 2000. godine. Posebno se ukazuje i teoretski obrazlažu odredbe o dužnostima stranaka u odnosu na sklapanje ugovora o osiguranju i ugovora o prijevozu robe. Iznose se i obrazlažu kriteriji za ocjenu koja od stranaka iz kupoprodajnog odnosa u primjeni pojedinih ugovornih termina ima interes za osiguranje robe u prijevozu. Kod obrade pojedinih termina daje se ocjena o njihovoj pogodnosti za uporabu kod prijevoza pojedinim vrstama prometa. Na kraju se ocjenjuje da pravila Incotermsa iz 2010. godine više odgovaraju potrebama suvremene poslovne prakse nego pravila prethodne revizije, te se njihova uporaba preporučuje našim gospodarstvenicima.

Abstract:
In 2020, the new version of Incoterms trade terms came into force. The author raises the issue of the connection between these trade terms and cargo insurance. Th rough the concept of the sale of goods contract, in which some of the aforementioned trade terms are incorporated, the author provides an answer to the question who has a duty to conclude cargo insurance contract and in what way or who has an interest to do so. The provided analysis suggests that the Incoterms rules do not contain special rules regarding cargo insurance, but only guidelines for the seller what kind of insurance contract must be concluded according to CIF and CIP clauses, while other clauses contain a provision "without obligation". The most significant novelty is increasing the necessary insurance cover imposed by CIP clause. However, this does not make Incoterms 2020 a revolutionary version, but rather a development of earlier editions.

Abstract:

Our purpose with this report is to create a structural basis over how to improve handling with international freight at ITAB Shop Concept (further mentioned as ITAB). We have through interviews with employees at ITAB and observations identified problems that have caused difficulties at handling with international freight, from the time when an order is placed to when it’s delivered to the customer. We have also interviewed shipping companies.

We have in the theory chapter written about shipping conditions for international freight and a main part of our theory is about NSAB 2000, which describes the obligations and rights shippers and consignee has.

In order to improve the efficiency ITAB has to be aware of the problems in the company and try to solve them.

The problems we have identified are described in the result chapter. One of the problems is that employees at the warehouse don’t know when gods is supposed to be shipped. This may result into gods being left over in the warehouse. We have in the analyze chapter listed our solutions to solve this problem and it has first priority in our classification table which are discussed further below. The classification table consist of problems that we have identified and each problem has a priority. The priority is based from two criteria’s, how difficult it’s to solve and how important it’s to solve the problem. We have thereafter multiplied these two criteria’s to get a priority list. The problems with the lowest points are the ones we suggest ITAB should solve first.

Abstract:
ICC – International Chamber of commerce in 1936 first time introduced Incoterms clause. The Incoterms in the most simply way that may be defined as delivery terms. It represents seller’s and buyer’s (manufacturer and customer) relationship in the sales of good contract regarding the goods delivery clause. There were more than one revision of Incoterms until the latest 2010 versions has been released. Incoterms 2010 separated delivery terms into two different transportation ways – sea and inland waterway (4 rules) and any mode of transport (7 rules). These rules mostly are combined with the contract of sales of goods and define the way how the goods will be delivered for the buyer. The most important thing that Incoterms represent is the liability separation between the seller and the buyer. It became clear what obligations and duties the contracting parties has. These rules led to have easier communication between the seller and the buyer when the delivery clause was negotiated. Today the Incoterrms 2010 suggest 11 delivery terms, where the parties may choose the most suitable term for them. All terms are divided into 4 groups and each of them has its own features. In this paper are discussed 2 of it: F group and D group. F and D groups consist from 3 terms each. In the work is analyzed FOB and DDP terms. 1936 m. ICC – Tarptautiniai komercijos rūmai (angl. International Chamber of Commerce) pirmą kartą pristatė Incoterms sąlygas. Incoterms sąlygas galima apibūdinti kaip prekių pristatymo sąlygas. Incoterms apibūdina pardavėjo ir pirkėjo (gamintojo ir kliento) pareigas pristatant prekes kai yra pasirašyta pirkimo – pardavimo sutartis. Incoterms buvo ne kartą tobulintos iki buvo išleista paskutinė – 2010 m. versija. Incoterms 2010 išskiria du prekių pristatymo būdus: vienas jų, kai prekės gabenamos jūromis ar vidaus vandens keliais (4 taisyklės), antras – terminai tinkamai bet kuriai transport rūšiai (7 taisyklės). Šios taisyklės yar naudojamos kartu su pirkimo – pardavimo sutartimis, kur nusako, kaip prekės bus pristatytos pirkėjui. Labai svarbu paminėti tai, kad Incoterms taisyklės leidžia atskirti pardavėjo ir pirkėjo atsakomybę gabenant krovinius. Taisyklės apibūdina, už ką yra atsakinga kiekviena šalis. Šios taisyklės leido supaprastinti tarptautinę prekybą ir santykius tarp pardavėjo ir pirkėjo. Šiandien Incoterms pateikia 11 prekių pristatymo taisyklių, kurias šalys gali laisvai rinktis pagal savo poreikius ir galimybes. Visos taisyklės, pagal jų bruožus yra suskirstytos į 4 grupes. Šiame darbe yra aptariamos F ir D grupės, kurias sudaro po 3 terminus. Darbo metu yra analizuojamos FOB ir DDP taisyklės. Abstract:
I detta arbete undersöks Incoterms® 2010 maritima villkor, FAS. Framförallt hur det kommer sig att den inte används lika ofta som de övriga samt vad som är avgörande vid valet av villkor. Undersökningen genomfördes med en kvalitativ ansats och data samlades in genom litteraturstudie samt två kvalitativa intervjuer: en företagsrepresentant och en sakkunnig inom logistikrätt. En teorigenomgång av både allmän karaktär av Incoterms® samt tidigare forskning kring dess användning blev grunden till det teoretiska ramverket. Resultatet visar flera olika faktorer till att FAS inte används lika ofta som de övriga villkoren. De mest framträdande faktorerna är riskövergången, brytpunkter, betalning samt okunskap.
This work presents a study of the Incoterms® 2010 seaterm, FAS. The main questions are; why is it not used as often as the other terms for sea transportation, and, what are the main decisions when choosing Incoterms®. The study was carried out with a qualitative approach and data were collected through a literature study and two qualitative interviews; one with a company representative, and one who is an expert in logistics law. A theoretical review of Incoterms® and previous research, constructs the theoretical framework used. The result show several aspects for FAS not being used as often as the other terms. Most common aspects are; passing of risk, break point, payment and lack of knowledge.

La doctrina ha dicho que los Incoterms son el “conjunto de reglas internacionales, regidos por la Cámara de Comercio Internacional, que determinan el alcance de las cláusulas comerciales incluidas en el contrato de compraventa internacional” relativas a las condiciones de entrega de la mercancía1. Para que estas reglas produzcan efecto, es necesario que se modifiquen y adapten a los cambios que presente la actividad comercial y las prácticas mercantiles. Es así como la Cámara de Comercio Internacional ha ido modificado estas reglas en diversas oportunidades desde su creación en 1936 creándose nuevas modalidades de contratación, modificando las ya existentes o incluso eliminando reglas que han caído en desuso. Bajo este contexto, los Incoterms versión 2010 llegan a modificar la versión anterior del año 2000, proponiendo adaptaciones de las reglas al uso comercial. Para entender el porqué de cada una de las versiones de los Incoterms se hace necesario un análisis de ellos abarcando en primera instancia el contexto histórico en el que nacen, para luego analizar los motivos que dan origen a dichas adaptaciones posteriores que derivan en la modificación, eliminación o creación de nuevos términos Incoterm.

Abstract:
Purpose - The purpose of this study is to explore how risks and costs can be reduced when working with incoterms in purchasing within the Asia-Pacific region. To fulfil this purpose, the following two research questions have been developed: 1. How does the case company currently work with incoterms when purchasing within the Asia-Pacific region? 2. How can risks and costs be reduced when working with incoterms when purchasing within the Asia-Pacific region? Method - Theories relevant for the study's purpose were collected through a literature study. To apply the theoretical framework to empirical data, a case study was conducted at a company. The empirical data was gathered through interviews and document studies. Findings - Use of the standard Incoterms 2010 is considered to be a good tool for reducing risks and costs when purchasing within the Asia-Pacific region, where risk management is a necessary complement. It is required that all employees working with incoterms have the right knowledge about the incoterms in order to use them correctly. The knowledge can be disseminated through the organisation by using knowledge management. It is also considered important to understand the differences between countries, in order to reduce the risk of misunderstanding. Contributions - The result of the study facilitates for companies who do not know how to work correctly with incoterms. The study contributes to decreasing the gap in theory regarding working with incoterms in the APAC region. It also facilitates for companies who do not know how to disseminate knowledge internally. Limitations - The case study was conducted at a company based in Thailand, which limited the ability to communicate, due to linguistic differences. Future research - It would be of interest to conduct an empirical study at other case companies of different sizes within the APAC region and in other trade regions. In addition, it would be interesting to study how internal courses about working with incoterms can be implemented in different types of organisations. This diploma thesis is focused on the issue of chain transactions. The main aim of the thesis is to suggest the companies participating in the model chain transactions in the case study the appropriate measures leading to the optimization of tax obligations related to VAT. The measures are divided according to three criteria: tax period harmonization, tax savings in cash flow and elimination of administrative burden. The key provisions in the recast of the Sixth Directive, the VAT Act and the case law of the Court of Justice of the European Union are analyzed. Based on the comparison of various solutions, the most optimal procedures are assessed and the appropriate measures are recommended.

The main exploration of this paper is whether a breach of contract as a ground for jurisdiction is sufficient for a court in England or South Africa to exercise jurisdiction. This question seems straightforward in England, but not so much in South Africa. England enacted their Civil Procedure Rules to make provision for a court to exercise jurisdiction when a plaintiff who is in England wants to sue a foreign defendant in England.1 The breach of contract must occur in the jurisdiction before an English court will permit service out of the jurisdiction. South Africa’s laws on jurisdiction are derived from Roman law.2 A foreign peregrinus may sue in South Africa either where the incola is domiciled or resident or where the cause of action arises. Breach of contract is allowed in this circumstance. It is necessary for an incola plaintiff to attach property of a foreign peregrinus defendant when he wants to sue the foreign peregrinus in a South African court. This may be done where the attachment founds jurisdiction of the court, ie where the incola sues in the area where he is domiciled or resides, or where the attachment confirms the jurisdiction of the court, ie where the cause of action arises. The cause of action in relation to contracts includes the conclusion of the contract or the performance of the contract in the jurisdiction if the plaintiff sues where the cause of action arises and not where the plaintiff is domiciled or resident. The matter of whether a breach of contract can be regarded as a ratio jurisdictionis is seldom approached by South African courts. Abstract:
This chapter examines the rules of English law governing international sales as they affect buyer and seller. There is more than one way in which a sale of goods contract may have an international element. For example, the seller and buyer may be in different jurisdictions, or the contract of sale may contemplate that the goods are to be carried from one country to another. A surprisingly large proportion of international trade is carried on under contracts governed by English law by choice of the parties. This chapter begins with a discussion of typical export transactions under INCOTERMS 2010, a set of international rules for the interpretation of trade terms promulgated by the International Chamber of Commerce. It then considers sales via sea carriage, along with other contracts involving international sales. It also analyses payment in international sales transactions and concludes with an overview of future prospects for international sales.
