Abstract:
Purpose This paper aims to discuss the King Reports and Codes and the development of South Africa’s common law. The role of developing the common law is explicitly recognised in the Constitution, as is the obligation to give effect to the spirit, purport and objects of the Bill of Rights. With decisions of the Supreme Court of Appeal being based on the King Code, the King Code is now an integral part of South Africa’s common law. Design/methodology/approach When the task team drafting King IV commenced their work, one of the important issues raised with Mervyn King, as Chairman, was the challenge to ensure that King IV was aligned to the now firmly entrenched common law principles taken from King I, King II and King III. It is believed that this has been achieved and it is hoped that King IV (and the subsequent King Reports that will inevitably follow because the corporate milieu keeps changing) continues to enrich South Africa’s common law. Findings The King Reports and Codes have been made part of South Africa’s common law. Originality/value This paper fulfils an identified need to study the King Report and Code, as it relates to South Africa’s common law.

Abstract:
Legal culture in the Czech lands was based on customary law. The nobility did not trust codification efforts of the Bohemian kings Přemysl Ottokar II and Wenceslaus II. Wenceslaus' codification efforts were finally executed only in the sphere of special laws. Charles IV, King of Bohemia and Roman Emperor, tried to publish the Maiestas Carolina code in 1355. The last law code was written under King Vladislav II Jagiellon in 1500 (“Vladislavské zřízení zemské” / “The Code of Vladislav”). The essay follows the article “Czech Codifications in the High Middle Ages” published in 2014 and closely introduces the Vladislav Code.

Abstract:
The objective of this research was to perform an exploratory study on the knowledge and understanding of the King III code among Human Resources (HR) managers in South African companies. The King III code is a comprehensive international corporate governance regime which addresses the financial, social, ethical and environmental practices of organisations. HR management plays a role in managing corporate governance by using the King III code as a guideline. The main research questions were: Does HR management know, understand, apply, and have the ability to use the King III code in terms of ethical decision-making? What role does HR management play in corporate governance? A random sample of available HR managers, senior HR consultants and HR directors was taken and semi-structured interviews were conducted. The results indicated that the respondents had no in-depth knowledge of the King III code. They did not fully understand the King III code and its implications nor did they use it to ensure ethical management. The themes most emphasised by the participants were: culture, reward and remuneration, policies and procedures and performance management. The participants emphasised the importance of these items and HR’s role in managing them.

Abstract:
The main purpose of this paper is to explore the influence of national corporate governance codes on IT governance transparency and was carried out by comparing the IT governance disclosure requirements across two jurisdictions Belgium and South Africa using the study by Huygh et al. (2017). The latter focused on these two countries since the South African corporate governance code King III (2009) contains detailed IT governance disclosures, while the Belgian corporate governance code Lippens (2009) does not. Huygh et al. (2017) found that listed South African financial services organizations were more concerned with disclosing their IT governance practices than their listed Belgian counterparts and that this observation held across the board for all four disclosure categories within the IT governance transparency framework. Further analysis at an individual item-level also found that many of the items for which the South African respondents reported frequently could be directly traced to the IT governance principles and recommended practices contained in the King III (2009) corporate governance code. Huygh et al. (2017) attributed the higher IT governance transparency of the South African respondents to the specific reporting requirements of their national corporate governance code King III (2009). Hence the recommendation that IT governance disclosures be proactively encouraged via national corporate governance codes to further enhance transparency.

Based on the kind of invalidity juridical acts and contracts in Albanian Law are generally classified in absolute and relative invalid acts. The difference between them and the consequences are defined in Albanian Civil Code. Invalidity of juridical as a very important aspect of rights was first mentioned in traditional albanian system of rules and then defined in Civil Code of 1929 of King Zogu “About juridical acts and obligations”,Civil Code of National Albanian Republic of 1981 and actual Civil Code of 1994. This work aims to analyze classification of invalid juridical acts and the elements that cause this invalidity. For this purpose are taken into consideration actual juridical literature, laws and their changes, Unified sentences of Supreme Tribunal Court and collected database from different courts. While analyzing this database the question that arises is: whether classification of invalid juridical acts is important in adjusting consequences derived from these acts.

Abstract:
Purpose The purpose of this paper is to provide a perspective on the distinctive stance of the King Report on Corporate Governance in South Africa, 2016 (King IV) in relation to a number of other codes of corporate governance issued globally. Design/methodology/approach The paper presents a comparative analysis between King IV and the codes of governance that apply in a select number of the jurisdictions, namely, Australia, Brazil, Malaysia, Nigeria and the UK. The selection of jurisdictions was done with the view of having a sample that is representative of the major global regions. Preference was given to codes that were issued or revised recently. Mention is also made of the G20/OECD Principles of Corporate Governance where appropriate. Findings The conclusion reached in this paper is that King IV is distinctive from the codes compared to it in this paper in six respects. These include that King IV defines corporate governance as accountable leadership instead of it being a system only and is drafted for positive outcomes instead of compliance; proposes an application regime that is qualitative instead of quantitative; integrates sustainable development into its model for corporate governance instead of treating sustainability as an ad hoc-matter; has applicability across the ecosystem of all organisations instead of limited application to listed or larger companies; and has a has built in a social value system to harness broad public support instead of reliance on bottom-down enforcement. Originality/value The implications of the distinct approach to corporate governance in King IV are explained in the paper and should serve as a premise to reconsider whether the more traditional approaches to corporate governance code development are still appropriate in light of the learning as evidenced in King IV.

Abstract:
This paper investigates the extent of compliance by 16 state owned enterprises (SOE)/parastatal corporations in Botswana with international best practice corporate governance principles. In particular the study examines the extent of compliance by SOEs with best practice corporate governance principles as recommended under the King Code of South Africa. The King Code (2002) of Corporate Governance is generally considered as a benchmark for best practice corporate governance not only in the Southern African region but also across the African continent.Using a compliance checklist of 53 provisions from the Code, the study finds that 68.7% of Botswana SOEs have a compliance score of 51% and above while the remaining 31.3% applied less than 50% of the provisions in the King Code checklist. The study also finds that compliance with the Code increased from an average of 57% in 2009 to 60% in 2012. Further the study finds that SOEs tended to comply more with provisions on risk management and less on provisions on integrated sustainability reporting.The results of this study have implications on governance practices of SOEs in Botswana in general. For instance, the results may possibly indicate that, even though governance structures of SOEs in Botswana are crafted through Acts of parliament, on the whole they adhere to international best practice corporate governance principles. The results could also be a signal to local and international investors that Botswana SOEs are not lagging behind in terms of compliance with good governance practices.

This document is a professional project and academic companion piece completed to partially fulfill requirements for the attainment of a Masters in City and Regional Planning at California Polytechnic State University, San Luis Obispo. The project is the City of King West Broadway Master Plan (Plan). The Plan was completed over the course of a year for a real-world client (The City of King) and provides new form-based code recommendations in the Plan Area. The Plan is included as Appendix A. The companion piece is intended to provide additional background research that was conducted during the planning process, but omitted from the final project. In the companion piece, I first explain why I selected the WBMP for my professional project. Next, I elaborate on the sources and inspiration for the goals of the project that are listed in the plan including grant requirements, input from the public, and current planning practices. Finally, I provide background research and justifications for two parts of the plan that have little reasoning in the text: mobilehome relocation law and the suggested development standards.

François-Denis Tronchet, jurisconsulte, participa, aux premières places, à l'application du droit, mais aussi à son écriture, à un moment de l'histoire de France où les juristes refusèrent d'être les interprètes du passé pour devenir les agents du devenir historique. Il prit part à tous les grands événements de la Révolution : les Etats généraux, le Serment du Jeu de Paume, la nuit du 4-août, l'élaboration de la Constitution de 1791, la fuite du roi arrêtée à Varennes, le procès du roi ; il siégea, sous le Directoire, au Conseil des Anciens ; enfin, il fut le premier président du Tribunal de cassation sous le Consulat, avant de présider la commission chargée de l'élaboration du Code civil. La pensée de cet avocat au Parlement de Paris fut décisive dans le passage de l'ancien droit au nouveau. Elle s'y exprime dans ses consultations, qui constituent la principale source de cette étude. Conservées aujourd'hui à la bibliothèque de la Cour de cassation, elles constituent une source exceptionnelle, rarement exploitée. Pourtant, des documents furent une source d'inspiration méconnue du Code civil. Il s'agit donc d'une configuration tout-à-fait remarquable, où l'historien dispose tout à la fois d'un travail juridique, les consultations, et du résultat qu'elles ont contribué à inspirer, le Code civil, qui régit toujours notre présent. En outre, on trouve, entre la source (les consultations) et sa résultante (le Code), des témoignages précis de l'action politique de Tronchet, notamment dans les archives parlementaires. Comment un juriste aussi érudit, aussi imprégné de tradition que François-Denis Tronchet a-t-il pu participer de façon aussi décisive à la Révolution, devenant, au moment de la rédaction du Code civil, l'artisan d'un droit absolument nouveau ? L'art de la consultation, par la liberté que donne l'interprétation, lui avait donné la capacité d'envelopper son avis personnel, parfois très créatif, des formes apparemment objectives de l'autorité de l'avocat consultant. Il s'était ainsi préparé à la grande réorganisation des normes de 1789. En outre, la participation à des réseaux d'opposition proches du jansénisme ; l'influence, dans les milieux parlementaires, du culte de la république romaine et d'une philosophie stoïcienne, transmise par l'intermédiaire de Cicéron, qui soulignait la centralité politique de la justice et de la loi naturelle ; tous ces facteurs expliquent ses prises de position favorables à la Révolution, mais aussi le rôle qu'il joua dans la défense du roi. Pour conclure, il voyait la Révolution comme une régénération, une transformation du présent par un retour authentique aux principes passés. François-Denis Tronchet, a Jurisconsult, played a crucial role in the interpretation of Law, but also in its writing, during the French Revolution. During this period of French history, some jurists refused to be only interpreters of the Past, and began to be true actors of History. François-Denis Tronchet took part in nearly all important events of the French Revolution : the Estates-General, the Tennis Court Oath, the Fourth of August and the abolition of feudal privileges, the writing of the Constitution of 1791, the flight of Louis XVI stopped at Varennes, the King's trial. He was a Member of Parliament (of the Conseil des Anciens) during the Directoire ; lastly, he was the president of the Tribunal de cassation during the Consulate and he presided the commission in charge of the redaction of the civil code. His thought was decisive in the transformation of French Law during the French Revolution. It is conveyed in its consultations, which are the main historical source of this dissertation. Today stored at the library of the Cour de cassation, they constitute an extraordinarysource, rarely used. However, these documents inspired the French civil code. Here, historians have a hand, at the same time, a lawyer's work, the consultations, and the result they partly inspired, the civil Code, that still inspires our present. Besides, between the source (the consultations) and its result (the Code) we have some documents about the political life of Tronchet (mainly parliamentary records). How is it so, that such a learned jurist, so influenced by ancient juridical traditions, played such a crucial role in the French revolution, becoming, during the redaction process of the Civil code, the architect of an absolutely new Law ? During the Ancien regime, the art of consultation gave him, by way of the intellectual freedom of interpretation, the ability of giving his own opinion, sometimes very creative, under the guise of apparently objective, and authoritative, form of the consultation. Therefore, he was intellectually prepared to the reorganization of Law brought about by the French Revolution. Besides, other factors explain his participation in the French Revolution. His belonging to opposition networks, close to Jansenism, during the Ancien Regime accounts for his itinerary. The influence, in parliamentary circles, of the celebration of the Roman Republic as well as the influence of stoic philosophy, conveyed through Cicero's writingd, which underlined the major importance of justice and natural Law, also partly account for his adhesion to the Revolution. These intellectual influences also explain his defence of Louis XVI during his trial. To conclude, he viewed the Revolution as a process of regeneration, a transformation of time present by a resurrection of the true principles of ancient Law

Abstract:
In the scientific study of the emotions the goal is to find natural kinds. That is, to find categories about which interesting scientific generalizations and predictions can be formed. Core affect is dimensional approach to the emotions which claims that emotions emerge from the more basic psychological processes of valence (pleasant/unpleasant) and arousal (activation/deactivation). Lisa Feldman Barrett (2006b) has recently argued that the discrete emotion approach has failed to find natural kinds and thus should be dismissed as a failed paradigm. She offers core affect as an alternative theory that will better capture natural kinds in emotionally salient phenomena. In this thesis I evaluate Barrett’s claim on the basis of a philosophically robust understanding of natural kinds and a careful assessment of the empirical evidence. I argue that while core affect is not a natural kind, subsets of core affect space may be natural kinds.

Abstract:
This chapter examines how the entire text of the Babylonian law code was reworked under each king who commissioned them. The overall character of the law codes and the manner of formulation remained the same, but the authors felt free to change the order and selection of paragraphs. At the core of all the codes is a list. What we call paragraphs are statements phrased in a limited number of formats and strung together just like the entries of the lexical and omen lists. The chapter offers a structural analysis of the codes that looks at each entry as a syntagm and at the sequence of entries as a paradigm. It shows that the royal proclamations of laws guaranteed that there was a coherent system of justice in place, and even more, that it was grounded in wisdom.

Abstract:
Experimental and theoretical investigations were conducted for examining the effects of high free-stream turbulence at a high adverse pressure gradient and of periodically unsteady perturbations on the turbulent boundary layer development along the suction side of a turbine blade. As part of the experimental test rig the blade suction side is represented by a flat plate of 550 mm length. A pressure distribution typical for a turbine blade channel is generated by a curved wall opposite to this plate. The separated region towards the trailing end of the plate is 25 % of its total length. For simulating the unsteady effect of wakes being shed from the previous blade row, a wake generator is installed in the inlet cross section of the test rig. The turbulence level is raised by a turbulence grid just ahead of the wake generator. An LDV with high spatial resolution is used for measuring averaged and fluctuating components of the velocity and turbulence related quantities in the boundary layer. New correlations for the measured velocity profiles and other flow quantities especially for the separated near wall region are presented. Two separated turbulent boundary layers in a steady stream i.e. the forementioned and that measured by Simpson as well as an unseparated unsteady turbulent boundary layer have been theoretically examined. The solutions were obtained with a finite-difference boundary layer computer code and as well as with a fully elliptic finite-volume calculation procedure. The Cebeci-Smith algebraic, the Johnson-King nonequilibrium algebraic and two variants of the k-ε turbulence models were used in these calculations. The results of the various turbulence models for these flows are compared with the experimental data.

Abstract:
Forced by the 1997 Southeast Asian crisis to recognize the external vulnerabilities that openness to volatile capital flows result in and upset over the post-crisis policy responses imposed by the IMF, countries in the sub-region saw the need for a regional financial safety net that can pre-empt or mitigate future crises. At the outset, the aim of the initiative, then led by Japan, was to create a facility or design a mechanism that was independent of the United States and the IMF, since the former was less concerned with vulnerabilities in Asia than it was in Latin America and that the latter’s recommendations proved damaging for countries in the region. But US opposition and inherited geopolitical tensions in the region blocked Japan’s initial proposal to establish an Asian Monetary Fund, a kind of regional IMF. As an alternative, the ASEAN+3 grouping (ASEAN members plus China, Japan and South Korea) opted for more flexible arrangements, at the core of which was a network of multilateral and bilateral central bank swap agreements. While central bank swap agreements have played a role in crisis management, the effort to make them the central instruments of a cooperatively established regional safety net, the Chiang Mai Initiative, failed. During the crises of 2008 and 2020 countries covered by the Initiative chose not to rely on the facility, preferring to turn to multilateral institutions such as the ADB, World Bank and IMF or enter into bilateral agreements within and outside the region for assistance. The fundamental problem was that because of an effort to appease the US and the IMF and the use of the IMF as a foil against the dominance of a regional power like Japan, the regional arrangement was not a real alternative to traditional sources of balance of payments support. In particular, access to significant financial assistance under the arrangement required a country to be supported first by an IMF program and be subject to the IMF’s conditions and surveillance. The failure of the multilateral effort meant that a specifically Asian safety net independent of the US and the IMF had to be one constructed by a regional power involving support for a network of bilateral agreements. Japan was the first regional power to seek to build such a network through it post-1997 Miyazawa Initiative. But its own complex relationship with the US meant that its intervention could not be sustained, more so because of the crisis that engulfed Japan in 1990. But the prospect of regional independence in crisis resolution has revived with the rise of China as a regional and global power. This time both economics and China’s independence from the US seem to improve prospects of successful regional cooperation to address financial vulnerability. A history of tensions between China and its neighbours and the fear of Chinese dominance may yet lead to one more failure. But, as of now, the Belt and Road Initiative, China’s support for a large number of bilateral swap arrangements and its participation in the Regional Comprehensive Economic Partnership seem to suggest that Asian countries may finally come into their own.
