Abstract:
Conventional financial theory has played an important – and yet largely unexamined – role in shaping how we regulate modern financial markets. This thesis explores the influence of conventional financial theory on the regulation of over-the-counter (OTC) derivatives markets in the U.S. and U.K. prior to the global financial crisis. More specifically, it explores how conventional financial theory failed to adequately account for both the complexity of OTC derivatives markets and the nature and pace of financial innovation and, ultimately, how these blind spots became reflected in a ‘non-interventionist’ approach toward their regulation now widely viewed as suboptimal. This thesis yields three important contributions to the scholarly and public policy debates surrounding the regulation of modern financial markets. First, it articulates a more robust theoretical framework for understanding complexity, financial innovation, and the relationship between these powerful market dynamics. This, in turn, facilitates an examination of the implications of complexity and financial innovation in terms of the ongoing debates respecting the optimal source, form and scope of financial regulation. It also facilitates an examination of both the shortcomings of the pre-crisis regulatory regimes governing OTC derivatives markets and, looking forward, the prospective strengths and weaknesses of embryonic post-crisis reforms. Finally, and more broadly, this thesis enhances our understanding of the relationship between the important insights of financial theory and how we conceptualize and pursue the objectives of financial regulation.

Abstract:
Since the 1980s, regulators in the U.S. and the U.K. have protected the collateral taker's right to re-use securities collateral in securities financing and OTC derivatives markets on the understanding that it would promote liquidity and credit growth, and reduce systemic risk. However, this rationale was incomplete: it failed to acknowledge the full implications of collateral re-use for systemic risk. In this dissertation, I aim to complete that understanding by illustrating how the re-use of securities collateral in those markets can aggravate systemic risk. In particular, I describe two effects. First, re-using securities collateral multiplies the number of market participants that will be exposed to changes in the price of the collateral asset and can thus amplify the role of asset prices as channels of contagion. Second, by conferring a right to re-use, the collateral provider will effectively waive its proprietary interests in the collateral assets and retain a mere contractual claim against the collateral taker for the return of equivalent securities. This transformation will accentuate the incentive of the collateral provider to run from an over-collateralised collateral taker if the latter were to experience financial difficulty. Information asymmetries and a lack of coordination among collateral providers could push the collateral taker over the brink of insolvency. These risks pose an obvious question for regulators: what should we do about collateral re-use? At a time when international bodies are drawing their attention to this widespread market practice, the question is an invitation to a very timely reflection. The final chapter of the dissertation offers an answer to this question and assesses the potential efficacy of the most recent regulatory initiatives in relation to collateral re-use.

Les écrits de Monsieur Haroun BOUCHETA, rassemblés en vue de l’obtention du titre de Docteur en droit, portent sur le droit financier. Depuis 2005, en prenant appui sur ses expériences professionnelles, l’auteur publie régulièrement des articles à destination tant des praticiens que des universitaires. Les écrits rassemblés sont de deux ordres. Premièrement, l’auteur s’intéresse à l’encadrement juridique de certains acteurs des marchés financiers ainsi qu’à celui d’instruments financiers et techniques financières.Parmi les acteurs étudiés, les contreparties centrales tiennent une place importante. Les études de l’auteur portant sur ce thème permettent d’appréhender l’environnement juridique et réglementaire spécifique et de comprendre ses récentes évolutions aux niveaux européen et français. Quant aux instruments financiers et techniques financières ayant fait l’objet de publications, l’auteur s’est essentiellement concentré sur les dérivés et les matières premières. Deuxièmement, d’autres écrits sont plus transversaux, voire prospectifs, puisqu’ils ont trait à des réformes européennes incontournables en matière de réglementation financière. A côté du règlement EMIR, l’auteur a consacré plusieurs études approfondies sur la réforme de la directive concernant les marchés d’instruments financiers (MIF). Ces écrits de droit financier sont accompagnés d’une introduction générale. The writings of Mr. Haroun BOUCHETA, gathered for the title of Doctor of Laws, deal with financial law. Since 2005, drawing on his professional experience, the author regularly publishes articles for both practitioners and academics. The collected writings are of two kinds.First, the author is interested in the legal framework of certain players in the financial markets as well as those of financial instruments and financial techniques.Among the actors studied, central counterparties play an important role. The author's studies on this subject make it possible to understand the specific legal and regulatory environment and to understand its recent developments at European and French levels.As for financial instruments and financial techniques that have been the subject of publications, the author concentrated mainly on derivatives and commodities.Secondly, other writings are more cross-cutting and even forward-looking, as they relate to unavoidable European reforms in financial regulation. In addition to the EMIR regulation, the author devoted several in-depth studies on the reform of the Markets in Financial Instruments Directive (MiFID).These writings of financial law are accompanied by a general introduction. The first part is based on fifteen published articles from the author and is intended to highlight some of the shortcomings of post-crisis financial regulation. In the second part, the author examines the current physiognomy of the sources of financial law and the process of drafting the texts

A priori sans limites aujourd’hui, cette liberté auraitmême des conséquences indéniables sur la sécurité du système financier en facilitant le phénomène des« bulles ». Le contrat, situé au coeur de l’activité bancaire et financière, serait ainsi la cause de cette réalité. Leschocs récents, telles les crises financières, imposent l´examen détaillé des opérations bancaires nationales maisaussi internationales, notamment celles les plus dangereuses. Encore méconnue, la mesure de la libertécontractuelle du banquier s’avère nécessaire pour en proposer une relecture. The contractual freedom of the banker is a freedom among the others. However, it is the most sensitive in so faras it can affect on his activity. Apparently unlimited today, this freedom would have even undeniableconsequences on the safety of the financial system by facilitating the phenomenon of “speculative bubbles”. Thecontract, situated in the heart of the banking and financial activity, would be thus the cause of this reality. Therecent shocks, such as financial crises, require the detailed examination of the national but also internationalbank transactions, especially the most dangerous. Still ignored, the measurement of the contractual freedom ofthe banker proves to be necessary to propose a review. The aim is not thus to rule any banker’s freedom out butto define the degree of contractual freedom to grant to him for each transaction. The idea being to grant him asatisfactory level of freedom while ensuring the safety of financial system. The stake rests finally on theconciliation of the contractual requirement, resulting from the contractual freedom of the banker, with the safetyrequirement of the financial system, necessary for the sustainability of banks and worldwide economy

This diploma thesis deals with the legal regulation of derivatives contracts with respect to their economic nature. It provides a detailed view on the legislation regulating derivatives contracts in the legal order of the Czech Republic. Considering the interconnection of local derivatives markets, this diploma thesis pays attention to the legal regulation and standardization of derivatives contracts in foreign countries and at the international level. The first part of this thesis describes basic features of derivatives and proposes their typology. The aim of the following part is to evaluate the contemporary legal regulation of derivatives contracts in the Czech Republic. The rest of this thesis elaborates on foreign and international legal regulation of derivatives contracts. The main goal of this diploma thesis is to evaluate present the state of the regulation of derivatives contracts in the Czech Republic, asses to what degree it reflects their economic nature, and eventually, propose legal changes.

In the first essay, we investigate which provisions, among a set of twenty-four governance provisions followed by the Investor Responsibility Research Center (IRRC), are correlated with firm value and stockholder returns. Based on this analysis, we put forward an entrenchment index based on six provisions - four "constitutional" provisions that prevent a majority of shareholders from having their way and two "takeover readiness" provisions that boards put in place to be ready for a hostile takeover. We find that increases in the level of this index are monotonically associated with economically significant reductions in firm valuation, as measured by Tobin's Q. We present suggestive evidence that the entrenching provisions cause lower firm valuation. We also find that firms with higher level of the entrenchment index were associated with large negative abnormal returns during the 1990-2003 period. Furthermore, we find that the provisions in our entrenchment index fully drive the correlation, identified by prior work, that the IRRC provisions in the aggregate have with reduced firm value and lower stock returns during the 1990s. We find no evidence that the other eighteen IRRC provisions are negatively correlated with either firm value or stock returns during the 1990-2003 period. The second essay investigates the effect the imposition of mandatory disclosure in 1964 on over-the-counter firms had on stock volatility, stock returns and stock synchronicity. This study finds that mandatory disclosure is associated with both a dramatic reduction in the volatility of OTC stock returns and with OTC stocks enjoying positive abnormal returns.
(cont.) The third essay investigates whether the empirical evidence favors state competition for corporate incorporations. The essay concludes that the existing empirical evidence does not favor state competition. Moreover, data on incorporation choices made by firms supports this conclusion. States with wealth-reducing state antitakeover statutes are not penalized in the market for incorporations. The fourth essay addresses whether dispersion of ownership in the United States can be explained by the U.S. having a strong corporate and securities legal regime. The essay concludes that dispersion of ownership cannot be so explained.

Chapter I - Derivative Market Competition: OTC Markets Versus Organized Derivative Exchanges  Recent regulatory initiatives in the United States have again raised the issue of a ''level regulatory and supervisory playing field'' and the degree of competition globally between over-the-counter (OTC) derivatives and organized derivative exchange (ODE) markets. This chapter models some important aspects of how an ODE market interrelates with the OTC markets. It analyzes various ways in which an ODE market can respond to competition from the OTC markets and considers whether ODE markets would actually benefit from a more level playing field. Among other factors, such as different transaction costs, different abilities to mitigate credit risk play a significant role in determining the degree of competition between the two types of markets. This implies that a potentially important service ODE markets can provide OTC market participants is to extend clearing services to them. Such services would allow the OTC markets to focus more on providing less competitive contracts/innovations and instead customize their contracts to specific investors’ risk preferences and needs.  Chapter II – Crisis Resolution and Private Sector Adaptation Efforts at crisis resolution that succeed in reducing potential inefficiencies and instability in the international financial system are in the interest of both the private and the public sector. Unlike in the domestic context, in the international context, in the absence of clearly established rules of the game, the approaches adopted toward crisis resolution, and the extent to which they are interpreted by market participants as setting a precedent, can have profound implications for the nature and structure of international capital flows. The key conclusion of this chapter is that recent experiences with payment suspensions and bond restructurings are limited as guides to determining the future success or failures of these initiatives, as the private sector most likely has adapted in order to minimize any unwanted public sector involvement. Chapter III - European Equity Market Integration: Cyclical or Structural? Reviewing the empirical evidence of equity market integration in the European Union, the chapter finds a significant increase in the importance of global sector factors for a number of industries. Unlike most past studies, which only covered developments during the bull market of the late nineties, the results presented in this chapter suggest that the degree of Euroland equity market integration has declined gradually following the bursting of the TMT bubble. This seems to suggest that the findings of previous studies that Euroland equity markets were nearly fully financially integrated is worth revisiting. There are, however, several good reasons to believe that the structural factors driving European equity market integration have yet to play themselves out fully. Institutional investors both outside the Euroland area and within have substantial untapped capacity to take on Euroland exposures and invest additionally in Euroland equities.

Abstract:
This is a normative research on how best to structure financial regulatory agencies and principles consistently with the core objectives of financial regulation in such a manner that can yield an effective regulatory framework for Nigeria. It moves forward the debate on what an effective financial regulatory ought to be relative to a country's national context, its developmental stage and how international financial regulatory best practice principles can be 'woven' into the design of an enduring regulatory architecture in a developing economy such as Nigeria. The thesis contributes to three areas namely: the literature on comparative financial regulation, financial legal transplantation, and financial regulatory reform. On comparative financial regulation, it contributes a developing world perspective on the legal and institutional challenges of financial regulation and how to deal with these challenges. On financial regulatory transplantation, it contributes to the debate on how best to conceptualise a financial regulatory architecture that mirror contemporary international best practices and that fits into the Nigerian context. In relation to financial regulatory reform, the thesis makes two major sub-contributions. First, it links financial regulation in Nigeria with robust and multi-layered regulatory accountability mechanisms including judicial and democratic accountability. Second, it generates principles that can be transformed into laws and policies to achieve the following: (a) the imposition of mandatory inter-agency co-ordination among financial regulators; (b) imposition of a statutory duty on financial regulators to prevent regulatory failure; (c) the imposition of liability for a supervisory failure induced collapse of a financial institution and (or) a financial crisis; (d) the use of irreversible convertible debentures as a corporate governance disciplinary mechanism to deter imprudent business model and to serve as a forward looking strategy to address the 'historical inevitability of financial crises' in the unlikely event that the financial regulatory system fails.

The 2007-09 Global Financial Crisis has been described as the greatest crisis in the history of financial capitalism. The failure of the global financial system was triggered by the ‘Great American Real Estate Bubble,’ however it quickly developed into a global liquidity squeeze that left financial markets at the brink of collapse. The thesis argues that the general culture of banking prevalent at the time both caused and exacerbated the crisis. The Business Strategies were excessively risky, focusing on short-term gains, at the expense of financial security. It is therefore purported that to mitigate the risks of any future global financial crisis a fundamental change in the culture of banking is needed. Behavioural expectations and norms must be redefined and more prudent strategies inculcated. The thesis will show that the only way to hope to achieve such a cultural shift is to employ a holistic approach, encompassing supervision, regulation and crucially corporate governance mechanisms. Previous debates within the UK have tended to focus on macro and micro regulatory reform. However, it is purported that it was in many cases, risk monitoring and management practices within financial institutions that dramatically failed. Whilst prudential regulation is important, the thesis will show that it alone is insufficient to change the culture within the financial system; a multi-faceted approach is needed. The central argument to the thesis will show that corporate governance mechanisms must play a central part in the legal and regulatory response to the Global Financial Crisis, as part of a cohesive package of measures necessary to effect cultural change; it will do this by conducting a case study into the collapse and subsequent nationalisation of Northern Rock Plc.

Au lendemain de la pire crise financière mondiale depuis les années 1930, plusieurs gouvernements réunis sous la coupe du G20 se sont accordés sur la réforme du système financier international. La régulation des marchés financiers fut étendue à de nouveaux territoires. Toutefois, si la crise est une condition du changement, elle ne montre ni l’étendue ni la séquence d’événements qui expliquent ce revirement de politique publique. Dès lors, une question se pose: quels sont les éléments qui peuvent expliquer cette évolution de la réglementation financière internationale ? Cette dissertation démontre que la politique domestique des États-Unis et des pays majeurs de l’Union Européenne ont directement influencé ce changement de politique publique. En se focalisant sur les marchés de dérivés de gré à gré, cette recherche démontrera que l’extension de la régulation financière à de nouveaux marchés est le produit de l’augmentation de l’attention du public ou « salliance politique » dans des pays influents sur la scène internationale. Toutefois, les trajectoires historiques uniques qui caractérisent ces États nous informent sur les contours uniques de ces nouvelles réglementations qui ne sont pas écrites sur une page blanche. Cette recherche examine en particulier l’évolution de la régulation financière sur les marchés de dérivés de crédit ou « credit-default swaps » aux États-Unis avec l’adoption de la loi Dodd-Frank et, en Europe, avec l’adoption de la régulation European Market Infrastructure Regulation (EMIR). In the aftermath of the global financial crisis of 2007-2010, international policymakers agreed to reform international financial regulation. New areas of financial markets were placed for the first time under the direct oversight of public regulators. However, the financial crisis explains neither the scope nor the sequence of the regulation that followed in its wake. Thus, the question remains: what explains these international financial regulation outcomes after the crisis? This dissertation argues that domestic politics within the United States and the major European Union member states explain the shift and form of that financial regulation. It focuses on over-the-counter credit derivative markets to show that previously unregulated markets were brought under greater supervision when public salience increases in influential states. However, a nation’s unique historical circumstances determine the concrete regulation policy that develops. This research examines the evolution of credit-default swaps regulation in the US under the Dodd–Frank Wall Street Reform and Consumer Protection Act and in the EU, with special attention to the European Market Infrastructure Regulation (EMIR). With its argument and case study, this dissertation contributes to the study of state preference formation over-time with regard to international financial regulation

Abstract:
This thesis is a study of banking regulation in Nigeria. It has three main objectives: to explain the evolution and impact of banking regulation after independence to discuss the reasons for the persistent failure of financial regulation; and to highlight the role of external agencies in Nigeria's financial system. The thesis offers a historical perspective on the developments in Nigerian banking regulation, but focuses mainly on the period after independence. It examines the economic and political theories that have influenced financial regulatory trends in Nigeria. It considers these theories in their political and legal context. The thesis does not embrace any theory in particular. Instead, its approach is pragmatic and comparative focusing on the interaction between legal, political and institutional factors that have influenced financial regulation in Nigeria. The study shows that the pre-liberalisation regulatory norms were repressive and inefficient. It argues that banking deregulation was introduced as an economic revolution devoid of necessary corresponding political and legal changes. The core destabilising factors are identified as inadequate regulatory powers, political corruption, political instability, legal instability, policy distortions, and incongruous laws. The complicity of the IMF and World Bank in this process is also discussed. Financial deregulation was prompted by predatory politics characteristic of the Nigerian state; yet, deregulation has aggravated the country's political instability and exacerbated prebendalism. The thesis discusses policy options to break this vicious circle.

La dernière décennie a été marquée par plusieurs nouvelles réglementations en réponse à la crise financière de 2007-2008. Afin de contribuer au débat, cette thèse se compose de trois chapitres qui abordent différents aspects de la réglementation des marchés boursiers et dérivés. Le premier chapitre fournit une évaluation claire de l'impact de la hausse du multiplicateur des options du KOSPI 200 sur la participation des investisseurs et l'efficacité du marché pour la période 2011-2013. Nous utilisons deux mesures de l'efficacité du marché : la part de participation des noise traders et la volatilité asymétrique. Dans la même perspective, le chapitre 2 examine l'impact de la taxe sur les gains en capital (CGT) sur la qualité et l'efficience du marché des options du KOSPI 200 . Nous utilisons diverses mesures de la liquidité du marché : le volume des transactions, la valeur des transactions, et l'écart de prix entre les cours acheteur et vendeur sur la période d'août 2015 à décembre 2016. Le troisième chapitre évalue l'impact de la taxe sur les transactions financières (STT) française sur la liquidité et la volatilité du marché. Contrairement aux études précédentes, le format de la STT Française nous permet de tester son effet sur une plus longue période 2012-2019
The last decade has been marked by several new regulations in response to the 2007-2008 financial crisis. In order to contribute to the debate, this thesis consists of three chapters that address different aspects of the regulation of stock and derivatives markets. The first chapter provides an assessment of the impact of the increase of the option multiplier of the KOSPI 200 on investor participation and market efficiency for the period 2011-2013. We use two measures of market efficiency: the participation share of noise traders and asymmetric volatility. In the second chapter we examine the impact of the Capital Gains Tax (CGT) on the quality and efficiency of the KOSPI 200 options market. We use various measures of market liquidity: trading volume, trading value, and the bid-ask spread over the period August 2015 to December 2016. The third chapter assesses the impact of the French Security Transaction Tax (STT) on market liquidity and volatility. Contrary to previous studies, the format of the French STT allows us to test its effect over a longer period 2012-2019

Sustainability has started to play a greater role on the financial market and a larger number of investors are searching for financial products that contribute to the environment and the sustainable development. However, the numerous definitions of sustainable investments and green funds make the investment decision-making process difficult for investors and allow companies to “greenwash” their products. In order to facilitate the investment process for investors and at the same time contribute to sustainable development, the EU adopted the Sustainable Finance Disclosure Regulation (SFDR) on 10 March 2021 as part of the Union’s sustainable finance strategy. The SFDR introduces a set of harmonized rules for financial market participants regarding their integration of sustainability-related aspects in their investment process, including different product classification levels, such as “light green” and “dark green”. Apart from the fact that the regulation means enhanced transparency, it is possible that the new product classifications will have an impact on the definition of sustainable funds and the environmental, social, governmental (ESG) investment strategies currently used by financial market participants. Additionally, the appropriateness of the new product classes in view of the aims of the SFDR could be discussed. The purpose of this thesis has been to examine the product specific disclosures of the SFDR and their implications on funds integrating sustainability, by using the legal dogmatic methodology and the EU teleological methodology. In order to be classified as an art. 8, or light green, it seems as if it is not enough for a fund to simply integrate ESG aspects into the investment process, rather the fund has to apply several investment strategies that consider ESG. For funds wishing to be considered as an art. 9, or dark green, it appears as if impact investing or sustainability themed investing could be two applicable approaches. Moreover, the sustainable investment-definition provided by the regulation contains explicit criteria, thus making it easier for investors to understand sustainable investments. Furthermore, the increased regulation and reporting requirements might contribute to less greenwashing, which in turn will benefit the UN’s Sustainable Development Goals and the Paris Agreement. However, while the product specific disclosures appear to be aligned with the objectives of the SFDR, there are several uncertainties related to the definitions and classifications that prevent the regulation from fully achieving its goals.
Hållbarhet har kommit att spela en allt större roll på finansmarknaden och allt fler investerare efterfrågar nu finansiella produkter som bidrar till miljön och den hållbara utvecklingen. Men de många definitioner som finns gällande hållbara investeringar och gröna fonder försvårar beslutsprocessen för investerare samt gör det möjligt för företag att använda sig utav ”greenwashing”. För att underlätta investeringsprocessen för investerare och även bidra till den hållbara utvecklingen antog EU den s.k. Förordning om hållbarhetsrelaterade upplysningar som ska lämnas inom den finansiella tjänstesektorn (SFDR) den 10:e mars 2021, vilken utgör en del av Unionens strategi för en hållbarare finansmarknad. SFDR innehåller harmoniserade regler för finansmarknadsaktörer gällande integreringen av hållbarhetsaspekter i investeringsprocessen, inklusive olika produktklassificeringar, såsom ”ljusgröna” och ”mörkgröna” produkter. Förutom att den nya regleringen innebär ökad transparens är det möjligt att de nya produktklassificeringarna kommer att ha en inverkan på definitionen av hållbara fonder samt de investeringsstrategier finansmarknadsaktörer i dagsläget använder sig av för att integrera hållbarhet. Utöver detta kan även produktklassificeringarnas lämplighet diskuteras mot bakgrund av förordningens ändamål. Syftet med detta arbete har varit att undersöka de produktspecifika upplysningskraven i förordningen och dessas inverkan på fonder som beaktar hållbarhetsaspekter, med hjälp av den rättsdogmatiska metoden samt den EU-rättsliga teleologiska metoden. För att klassas som en art. 8, eller ljusgrön fond, förefaller det som att det inte är tillräckligt för en fond att enbart integrera hållbarhet i investeringsprocessen utan snarare måste fonden använda sig utav flera olika hållbarhetsstrategier. För fonder som önskar att bli klassificerade som en art. 9, eller mörkgröna, verkar det istället som att s.k. ”impact” fonder eller tematiska fonder med hållbarhetsfokus är typiska exempel. Utöver detta innehåller förordningen en definition med uttryckliga kriterier gällande vad som är en hållbar investering, vilket underlättar investerares förståelse för hållbara investeringar. Dessutom kan den ökade regleringen och rapporteringskraven bidra till mindre ”greenwashing”, vilket i sin tur gynnar FN:s globala hållbarhetsmål och Parisavtalet. Men samtidigt som produktklassificeringarna tycks vara i linje med SFDR:s mål innehåller både definitionerna och klassificeringarna ett flertal oklarheter som hindrar förordningen från att helt uppnå sina mål.

Abstract:
What explains the form and substance of international financial standards? Form refers to the legal or non-legal bindingness of an international standard. Substance refers to how significantly the standard changes the international status quo. The form and substance of international standards on bank capital adequacy, hedge funds, “bail-in” resolution, and insurance capital adequacy challenge the predictions of major rationalist, realist, and two-level perspectives. I propose a novel theory and present original evidence to test two central claims. First, the structure of domestic institutions and strategic interaction within a state incentivizes an actor from that state to prefer and pursue a certain form of international standard: legally or non-legally binding. The state actor, as a first mover, aims to propose a standard at an appropriate international institution which produces standards of its preferred form. Second, the state actor must bargain with representatives of other states according to certain decision-making rules at the international standard-setting institution. The type of decision-making rule used in bargaining—not the market power or other characteristics of key players—explains the substance of the final standard. More restrictive decision-making rules, which use majority or supermajority voting, lead to greater change than open rules, which are based on consensus or unanimity voting. My empirical findings remove the veneer of technocratic legitimacy associated with international standard-setting to reveal intense distributional battles. In pursuing the Basel capital standards, the US Federal Reserve has been motivated more by turf wars with other US bank regulators than by its publicly stated desire to create a “level playing field” for internationally active banks. Supported by domestic collaboration between regulators and industry, French officials set a legally binding and deep de facto international standard for hedge fund managers over the vigorous objections of the City of London. By pursuing a soft standard on bail-in, the Bank of England has sought not only to protect taxpayers from costly bailouts, but also to keep Her Majesty’s Treasury at arm’s length. The lack of international insurance regulation is due not to the lack of effort by the UK Financial Services Authority and its European partners, but to open decision-making rules that allow US state regulators, albeit fragmented and under-resourced, to protect the international status quo. In each of these cases, I specify how domestic and international institutional settings provide enduring opportunities and constraints for key players in global finance.

Short selling came onto the centre stage during the recent financial crisis when the collapse in price of financial listed securities after the demise of Lehman Brothers led to the introduction of a number of temporary short selling bans. In Europe however it was the commencement of the recent European sovereign debt crisis that was the true stimulus for proposing new short selling rules, the culmination of which was the introduction of the European Short Selling Regulation (the 'Regulation'). The thesis asks whether the Regulation is a justifiable response to the concerns posed by short selling. Such issues are measured against the relevant economic literature that almost overwhelmingly demonstrates that short selling contributes to market efficiency, that restrictions generally make markets less efficient and that constraints do not achieve the desired objective of stabilising prices. The thesis then analyses the political economy and backdrop to the Regulation’s introduction that largely dictated the shape of the final rules. The precise legislative choices made by Europe, including with respect to sovereign credit default swaps, are analysed, and (where relevant) there is a comparative element with a consideration of the US short sale regulations. These rules are used as a contrast and as a means of commenting more effectively on the European provisions. The doctorate concludes that the Regulation is not a justifiable response to policymakers' concerns and that the rules have suffered from the politicisation of the legislative process. The thesis suggests that short-term political point scoring has triumphed over the long-term benefits of market efficiency and that short sellers are now the subjects of highly technical rules that will negatively impair on market efficiency. Although, with time, parties may learn to use the new rules to their advantage, this does not justify the introduction of unreasonable rules in the first place.

This thesis consists of three essays on recent post-crisis structural banking reforms. The first essay examines regulatory decision-making in the national context, namely regarding the French structural banking reform. Drawing on the theories of institutional logics and orders of worth, this case study shows how decoupling institutional logics is justified in a situation of public controversy. Adopting event study methodology, the second essay analyses stock price reactions to the US Volcker Rule, the UK Vickers Reform as well as the German and French structural banking reforms. Relying on the theories of institutional maintenance work and endogenization of law, the third and final essay of this dissertation investigates the rule-making process of the EU structural banking reform which did not lead to any final regulation

The explosion of the global financial crisis in 2007-08 reignited the urgency to reflect on the origins and causes of financial collapses. As the above events kick-started an economic meltdown that is still ongoing, comparisons with the Great Crash of 1929 started to abound. In particular, the externalities that a broad spectrum of societal groups had to bear as a consequence of various banking failures highlighted the necessity of a more inclusive and balanced regulation of firms whose activities impact on a wide range of stakeholders.The thesis is centred on the proposal of a paradigm, the “enlightened sovereign control”, that provides a theoretical, institutional and substantive framework as a response to the legal issues analysed in the thesis. These stem primarily from the analysis of two sequences of events (the 2001-03 wave of “accounting frauds” and the 2007-08 global crisis) which represent the background upon which modern financial scandals are explained. This is done by highlighting a number of common denominators emerging from the case studies (Enron and Parmalat, Northern Rock and Lehman Brothers) which caused financial instability and scandals. The research is grounded on the initial recognition of theoretical themes in the field of corporate and financial law, which eventually link with the more practical events examined. This parallel enquiry leads to the investigation of two heavily interrelated spheres of law and finally highlights more practical legal issues that emerge from the analysis.Through this multifaceted approach, the thesis contends that the occurrence of financial crises during the last decade is essentially rooted in two main problems: a corporate governance one, represented by the lack of effective control systems within large public firms; and a corporate finance one identified with the excesses of financial innovation and related abuses of capital market finance. Research conducted in this thesis ultimately seeks to contribute to current debates in the areas of corporate and financial law, through the proposals of the “enlightened sovereign control” paradigm.

En quoi l'absence d'intérêts économiques communs entre les pays membres de l'OCDE affaiblit-elle les nouvelles législations internationales basées sur le Soft Law en vue de lutter contre l'opacité financière et fiscale des centres financiers offshore ? L'optimisation fiscale consiste à utiliser les règles de droit pour réduire en toute légalité sa charge fiscale. Mais la frontière entre l'optimisation fiscale et l'évasion fiscale est ténue pour ne pas dire perméable. De plus en plus, les notions d'optimisation fiscale et de fraude fiscale ne font plus qu'une, tant les règles de droit sont facilement contournables et ses limites aisément franchissables. Ce phénomène est tout particulièrement avéré sur le plan de la fiscalité internationale. La problématique de cette thèse met en lumière les difficultés du Soft Law à réguler les centres financiers offshore, tant l'absence d'intérêts (économiques) communs semble flagrante entre les pays anglo-saxons et l'Europe continentale sur la question. How does the lack of shared economic interests among OECD member countries weaken new international laws-which are based on soft law-that aim to contribute to the fight against the financial and fiscal opacity of offshore financial centers? Tax optimization involves using the rules of law to legally reduce a tax burden. But the line that separates tax optimization and tax evasion is tenuous and one could even say porous al best. Increasingly, it indeed appears that the issues of tax optimization and tax-fraud are becoming one, as the rules of law can be easily circumvented and the limits easily crossed. This phenomenon is particularly evident in the field of international taxation. This thesis deals precisely with the issue of difficulties of Soft Law in regulating offshore financial centers. Indeed, the absence of common economic interests is blatant between the Anglo-Saxon countries and continental Europe on this issue, thus finding a common interest (that could be economic, cultural, environmental or security-related) appears to be key to the success of legislation based on Soft Law internationally. The common interest seems unattainable when it comes to combating tax optimization, since the main aim is to protect the social model of the welfare state in continental European countries. Financial speculation has increased dramatically over the last 30 years. This means that a practice that used to be viewed as immoral gambling has become legitimate financial trade. This book explores the genealogy of the coexisting insider trading laws. The insider regulation prohibits trade based on privileged information in order to create equal trading conditions, and in this way uphold confidence in the financial markets among the general public. However, this study shows that the existing view of the insider regulation is misleading and that the regulation is best understood as a game rule aiming to stimulate financial speculation. The protection interest is therefore not primarily the general public, but the financial system as such: the professional market actors sustaining the speculative activities and a growing financial sector.

The consequence of stimulating financial speculation is that today’s authorities are attempting to make the financial markets into a lotto-like game, rather than a market for long-term investment. To make the financial markets into liquid and volatile public “games” means that the risks involved in the financial speculation are created by the human hand and the economic system itself rather than being naturally given. This places desire rather than rational needs as the fundamental ground of the economy. The concluding question is; why are we making our economy into a game?

ENGLISH ABSTRACT: Standard financial literature contains various explanations for the unique role of deposit-taking intermediaries in an economy. None of these reasons adequately explains the extensive degree of banking regulation evident in practice. The nature of a deposit, which guarantees capital repayment independent of bank performance, uniquely incentivises banks to be exposed to financial risks. In the absence of appropriate regulation, banks may be tempted to assume an unacceptably high level of risk that could ultimately result in bank failure. Thus, the regulation of banking risks is justified in terms of the public interest theory whereby banking regulation seeks to avoid the market imperfections arising from informational asymmetries and "domino" externalities associated with bank failure. Accordingly, the rationale of banking regulation lies in the protection of consumers and in preserving the stability of the financial system. Direct monetary controls, on the other hand, impact adversely on the risk-management activities of banks. The framework utilised to analyse and compare banking regulation consists of three broad categories namely: preventative regulation, protective regulation and monetary requirements. Preventative or prudential regulation is aimed at managing the levels of risks assumed by banks. This form of regulation relates to entry requirements; limitations on certain business activities; the disclosure of risk-related information; the adequacy of capital resources; portfolio restrictions on risk assets; and the sufficiency of liquidity. Protective regulation is concerned with the immediate protection of depositors and maintenance of overall financial stability once a bank has failed. lt consists of crisis management measures and deposit insurance schemes. Direct, and hence inappropriate, monetary requirements are variations in reserve asset requirements, as well as interest rate and credit controls. The banking systems of South Africa, the United Kingdom and Germany were chosen to perform a comparative analysis of financial regulation. The London financial markets are mature and a large variety of banks are regulated in a flexible manner by the Bank of England. By contrast, the strictly regulated German banks dominate their domestic financial system. South Africa is a hybrid of the former systems with a modern banking industry operating in well developed financial markets and supervised according to advanced risk-management considerations. The analysis of preventative and protective regulation in all three financial systems indicates that banking regulation is indeed concerned with the regulation of banking risks. The efforts of the Bank for International Settlements to harmonise regulation across domestic financial systems has contributed significantly to improved regulatory techniques for the management of these risks. None of the three systems make use of direct monetary requirements which suggest awareness of the costs associated with such regulation. A number of recommendations are made to improve financial regulation in South Africa: extension of regulatory coverage to include other types of financial intermediaries who also engage in risky activities; further relaxation of exchange control regulations which restrict the foreign exchange risk management; the adoption of a formal deposit protection scheme; increased consolidated supervision by a single regulatory authority with executive powers; further deregulatory measures in instances where regulations are not appropriate from a risk-management perspective; and re-regulation to the extent that the risk-management activities can be regulated more efficiently.

Die pogings van die Bank van lnternasiona~e Vereffeninge om die regulasies in finansiele stelsels internasionaal met mekaar in orreenstemming te bring het wesenlik hiertoe bygedra. Die vermyding van direkte monetere vereistes dui verder daarop dat toesighoudende owerhede bewus is van die nadele van sodanige regulering. The purpose of this thesis is to study the role and effectiveness of law and regulation in relation to the problem of financial exclusion. The research was conducted through a comparative study of the United Kingdom (hereinafter ‘UK’) and China, and focuses on whether law and regulation could fulfil a role in facilitating vulnerable consumer’s access to basic banking services. The thesis begins with an overview of the theory of financial exclusion and provides definitions of consumer vulnerability. It reviews the exclusion conditions in both countries in respect of basic payment services and consumer credit, and analyses the reasons for, and negative consequences of, being excluded from such services. The thesis then demonstrates the theory of equal opportunity, and the role of law and regulation in the context of facilitating financial inclusion, followed by an overview of credit regulation from a historical perspective. The main content of this thesis is divided into three major parts. The experiences of the UK, China and the European Union (hereinafter ‘EU’) are analysed, and it is found that the process of financial inclusion could be facilitated by way of regulation. First, commercial banks are at the centre of the mainstream market. However, their role in financial inclusion largely focuses on payment services. Whether vulnerable customers’ access to payment services could be facilitated by regulations is the main content of chapter two. This thesis suggests that without enough incentive, banks can be less motivated in this progress. To accelerate financial inclusion in respect of consumer credit, alternative credit facilities on the consumer market should be supported by law and regulation, available funding should be made available and regulatory barriers be removed. After a comprehensive review of their legal and regulatory environment, the present research suggests that the UK has generally made good progress in this regard, while China is still in the nascent stage of development. The weakness in a ‘one-size-fits-all’ model is clarified through the analysis. Subprime lenders are also essential in the market because they fill a gap. Standards that regulate subprime lenders should be equal for all lenders in the market, but also give consumers in the high-risk subprime lending sector. In the case of detriment, the regulatory regime would be able to provide recovery or simple and easy dispute resolution. This thesis argues for both ex ante and ex post consumer protection.

The field of financial derivatives is rather complicated and usually not familiar to general public. Financial derivatives are used for three different reasons: arbitrage, speculation and hedging. This paper focuses mainly on the last one - hedging. The goal of the thesis is to clarify the heart of the matter, to explain the reasons why derivatives exist and to systemize their individual types and classification. It compares basic types of derivatives and summarizes their advantages and disadvantages and possible practical usage of them. Apart from companies as final users, the paper remembers also external subjects, such as clearing. It explains the terms of risk and uncertainty and goes into their identification, the risk management and its hedging. It also analyzes the current situation on OTC (over the counter) market and brings output from interviews with experts and consultants about their experience from working with their clients dealing with derivatives. The thesis also covers information about recently passed law called European Market Infrastructure Regulation, which is closely connected with working with financial derivatives. Furthermore, it includes a case study of L'Oréal Company, describing procedures and principles, based on which the Company deals with derivatives, and analyzing problems which L'Oréal has to face.

The main focus of this PhD project is the development and validation of a psychometric instrument for the measurement of individual dispositions towards rules and principles. Literature review and focus groups were used to generate insights into the reasons why individuals prefer rules and principles. On the basis of that review, an initial item pool was created covering the conceptual space of dispositions towards rules and principles. The final instrument consists of 10 items, 5 items each for the rules and principles subscales. The psychometric analysis suggested that it is valid and reliable. The instrument has sound predictive power and was able to significantly predict individuals’ behavioral intentions in relation to rules and principles across contexts. I found there were gender and ethnic differences in the relationship between dispositions towards rules and principles scores and behavioural intentions. This PhD is relevant to an emerging literature in behavioural accounting research that examines how practitioners’ personal characteristics and styles affect financial reporting practice.

Co-operative financial institutions (CFIs) as a concept has been in existence in South Africa for a number of years either as credit unions, “stokvels”, savings and credit co-operatives and/or FSC‟s. As a result, regulators have long realized the need and potential of the CFI concept, with an exemption notice promulgated in 1994 and the Co-operative Bank specific legislation in 2007, allowing institutions modeled around a common bond to take deposits within certain conditions, to ensure the safety and soundness of such institutions and to facilitate financial inclusion. The study provides an overview of the regulatory and supervisory frameworks for CFIs in South Africa, noting the roles of various regulatory stakeholders as well as the perceptions of the regulated institutions. The study finds that despite the small size relative to the overall economy, and the low penetration rates, the CFI sector in South Africa is providing financial services to marginalized communities. However, capacity is a major constraint in the development and growth of the sector. As a result, any supervisory interventions will be pointless in the absence of appropriate capacity interventions. Despite the existence of various regulators, regulatory and supervisory oversight is considered weak. There is lack of clarity on the various roles of the different regulators within the sector, raising scope for regulatory arbitrage. In addition, the role of the representative body has been called into question, with some CFIs querying its relevance. Regulations have been put in place to address some of these anomalies, and these were evaluated in the context of recommending appropriate supervisory frameworks to enhance the safety and soundness of the sector and minimize regulatory arbitrage. The recommendations are also aligned to the nature and size of such institutions within the broader national strategy of promoting access to financial services in a safe and sound manner.

ENGLISH ABSTRACT: The banking industry is one of the most regulated industries in the world. The majority of these regulations are drafted to provide protection to consumers and investors and to ensure the systemic stability of the economy. South African banks, like many of their international counterparts, face a plethora of financial regulation aimed at ensuring stability and protection. In addition to these regulations, South Africa's prior exclusionary policies have resulted in the post-democratic government prescribing additional regulation, in part to address the economic duality that exists within the South African economy and in part to offer adequate protection to the most vulnerable in the society. The National Credit Act (NCA) is one such piece of legislation that has introduced a new era of consumer credit regulation and practice, bringing about wholesale changes to the consumer credit industry. The NCA and more than 260 other financial regulations in South Africa have a significant impact on banks, with each piece of legislation resulting in banks having to adapt to the changing environment (Nyamakanga, 2007). Using the four big banks' implementation of the NCA as a case study, the present study aims to establish if an integrative change management strategy could assist banks in effectively implementing financial regulation. The following aspects of the banks' implementation of the NCA were researched: • Effectiveness of financial regulation. • Current barriers and challenges to the implementation process. • Effect of these challenges on banks. • Impact on staff and customers. • Methods used to overcome the challenges. • Future challenges of the NCA. • Support structures used during implementation. • Use of change management principles. • Recommended strategies for future regulatory changes. • Recommended changes to the NCA. Detailed interviews were conducted with the overall NCA project leaders of each of the four big banks, namely, Absa, FNB, Nedbank and Standard Bank. The method of content analyses was used to analyse the qualitative data collected through in-depth interviews and the outcomes thereof formed the basis of the conclusions drawn. The study found that there were numerous challenges that the banks faced during the implementation of the NCA, the most common and significant as recognised by the population include, the magnitude of the Act, difficulty in interpreting the Act, the process of debt counselling and the associated costs of implementation. The study further found that using the principles of change management enhanced the banks' ability to implement the NCA. Conclusions drawn on the present study are confined to desktop research and semi-structured interviews conducted with the participating banks. It might be useful for future studies on the subject to include a broader population base which focuses on additional pieces of financial legislation in order to further enhance the findings of the present study.
AFRIKAANSE OPSOMMING: Bankwese is tans een van die mees gereguleerde industriee ter wereld. Die meerderheid van hierdie regulasies is ontwerp vir die beskerming van verbruikers en beleggers asook om die sistemiese stabiliteit van die ekonomie te handhaaf. Suid-Afrikaanse banke, soos talle van hul oorsese teenstukke, verduur talle finansiele wetgewing gemik op beskerming en stabiliteit. Die gewese uitsluitende Suid-Afrikaanse wette het veroorsaak dat die huidige demokratiese regering addisionele wetgewing voorskryf, gedeeltelik om die tweesydige Suid-Afrikaanse ekonomie aan te spreek en gedeeltelik om genoegsame beskerming aan die kwesbaarste van die gemeenskap te bied. Die Nasionale Krediet Wet (NKW) bied 'n nuwe era van verbruikerswetgewing en -praktyk aan wat terselfdertyd grootskaalse veranderinge op die verbruikers krediet bedryf teweegbring. Die NKW tesame met meer as 260 ander Suid-Afrikaanse finansiele wetgewing het 'n groot uitwerking op banke, met elke wet wat veroorsaak dat banke moet aanpas by die veranderlike omgewing (Nyamakanga, 2007). Deur om die vier groot banke se uitvoer van die NKW as 'n gevallestudie te gebruik, is die doel van hierdie studie om vas te stel of 'n geintegreerde veranderingsbestuurstrategie banke kan help met die doeltreffende uitvoering van finansiele wetgewing. 'n Volledige onderhoud is gevoer met die projekleiers van elk van die vier groot banke, naamlik, Absa, FNB, Nedbank en Standard Bank. Inhoudsanalise was gebruik om die kwalitatiewe data te analiseer en die uitkoms daarvan vorm die basis van die gevolgtrekkings. Die studie dui aan dat banke baie uitdagings getrotseer het gedurende die uitvoer van NKW, die gewigtigste en algemeenste SODS herken deur die bevolking sluit in, die grootte van die Wet, moeilikheid in vertolking van die Wet, die skuldberadingsproses en die begeleidende koste van wetstoepassing. Die studie dui verder dat die beginsels van veranderingsbestuur banke se vermoe om die NKW uit te voer verbeter. Gevolgtrekkings aangaande die huidige studie is beperk tot "desktop" navorsing en half-gestruktureerde onderhoude met die deelnemende banke. Dit mag van waarde wees vir toekomstige studies om 'n bree bevolkingsbasis in te sluit met addisionele finansiele wetgewing wat die bevindings van die huidige studie kan bevorder.

Despite its benefits, online peer-to-peer lending bears the risks associated with traditional forms of institutionalised lending. However, because individuals have taken over the role of the institutional lender, and the institutional participant in this form of lending takes a step back by acting only as an intermediary between the borrowers and lenders, ordinary individuals are left to bear the type of risks that institutions have traditionally borne, but without the same means of doing so. There has been little academic analysis of the role and form that regulation should take in the regulation of peer-to-peer lending and most discussions centre on the American regulatory experience. This thesis sets out to examine the theoretical classification of online peer-to-peer lending and the theoretical and practical justifications for regulating it. The aim is to ascertain the most appropriate way to regulate peer-to-peer lending, taking into account the underlying conceptual model which underpins it. The study adopts a theoretical analysis of P2PL participants and regulation based on the concepts of consumer protection and paternalism. It includes a doctrinal analysis of the UK peer-to-peer lending legislation and regulation to identify, describe and explain the rules pertaining to the industry. It also uses a comparative approach to compare P2PL with existing forms of financial lending and similar (dis)intermediated forms of transacting between individuals to show that online peer-to-peer lending is a unique form of intermediated transaction. The thesis argues that it is important that regulation displays an understanding of the underlying conceptual framework of the business model it aims to regulate. In doing so, it also argues that the peer-to-peer lending users are more than just ‘consumers’. They demonstrate a shift in the conception of individuals from consumers to prosumers because they participate in the production side of the services they receive. It goes further than existing discussions of prosumption by positing the concept of the ‘lendsumer’ to give a more accurate account of the role and experiences of peer-to-peer lenders and the effect this has on their transactional relationships and the risks they face because of this role. Based on this analysis, the thesis shows that the UK regulatory regime has limited suitability because it lacks awareness of the underlying prosumption model of peer-to-peer lending, focusing only on the business-to-consumer aspects. Consequently, it does not resolve all the issues resulting from the tripartite, participatory nature of the peer-to-peer lending transaction. In light of these findings, the thesis proposes the regulatory use of two main concepts and highlights their implications for peer-to-peer lending regulation. The first is the ‘lendsumer’ as a new paradigm of the consumer which has implications for the regulatory protections afforded to the P2P lenders. The second is the use of gatekeeper liability, adapted to online peer-to-peer lending, as a way to affect these protections in light of the particular vulnerabilities and risks experienced by the peer-to-peer lender.

This work examines the prospective viability of derivatives and financial contracts more generally under a strict application of Shariah law. The author adopts a cross-disciplinary approach in order to convey the idea that some of the most popular contracts and arrangements in Islamic finance law are deficient from a structural and Shariah-compliance perspective. The thesis argues that the investor protection issues arising from this conclusion are sufficiently serious to undermine the viability of these instruments not only in a radical but also in a more conservative environment. This conclusion is arrived at after an in-depth analysis of the fundamental Shariah principles, relevant to finance, placing them in a historical, jurisprudential and political context. The work endeavours to guide the reader through the many turns of Islamic law, breaking down established concepts and questioning their application in modern Islamic law. For example, the author unpacks the notion of wa‘d (promise), arguing that its extensive use in Islamic contracts renders much of the resulting complex transactions deficient from a structural perspective. Furthermore, this work highlights technical and Shariah-related weaknesses in essential contract forms, with a particular focus on murabaha. Importantly, the author approaches the research question from the viewpoint of contracts – comparing constructs of Islamic Contract Law to those of its Common Law counterpart, without ignoring relevant influences and inspirations coming from the civil law tradition. The purpose of this comparison is to establish that some of the most popular financial arrangements, such as sukuk, are deficient in their investor protection provisions. What is more, the author underlines that due to the hybrid characteristics of the sukuk instrument and the lack of tailor-made regulation, investors are inadequately provisioned for the event of issuer‘s default. Starting with the idea that the sukuk instrument is structured on the basis of and resembles a number of conventional instruments, the thesis examines the possibility for a sukuk investor to obtain redress under US and UK law, as well as the comparable provisions in Malaysia and France. Alongside this, the author delves into the beginnings, inspirations, main strands and important political leaders of Islamic Revivalism. The aim of this inquiry is to arrive to a convincing explanation about the political and economic developments in established and aspired to Islamic States. To this end, this work offers a case study of Iran and ISIS, including an analysis of the Iranian Islamic finance system and a hypothesis about the possible approach of a jihadi-salafist government to the financial framework of their aspired to State. As a last point, the work considers how FinTech fits within the objectives of Shariah law and more specifically, its risk-management and social justice strategies. The thesis offers conclusions which draw on the extensive research and map out a possible view of the future of financial instruments in a radical Islamic environment.
Aquest treball examina la viabilitat potencial de derivats i contractes financers més generalment sota una estricta aplicació de la llei de Sharia. L‘autor adopta un enfocament interdisciplinari per tal de transmetre la idea que alguns dels contractes i arranjaments més populars en la legislació financera islàmica són deficients des d‘una perspectiva estructural i de compliment de la xaria. La tesi argumenta que els problemes de protecció dels inversors derivats d‘aquesta conclusió són prou greus per minar la viabilitat d‘aquests instruments no només en un entorn radical, sinó també en un entorn més conservador. Aquesta conclusió s‘arriba després d‘una anàlisi en profunditat dels principis fonamentals de la Sharia, rellevants per al finançament, situant-los en un context històric, jurisprudencial i polític. L‘obra s‘esforça a guiar el lector per les múltiples voltes del dret islàmic, desglossant conceptes establerts i posant en dubte la seva aplicació en el dret islàmic modern. Per exemple, l‘autor desaconsella la noció de wa‘d (promesa), argumentant que el seu ús extensiu en contractes islàmics fa que gran part de les transaccions complexes resultants siguin deficients des d‘una perspectiva estructural. A més, aquest treball posa de manifest les debilitats tècniques i relacionades amb la Sharia en les formes de contracte essencials, amb una particular atenció a la murabaha. És important destacar que l‘autor aborda la qüestió de la investigació des del punt de vista dels contractes: comparant construccions de la llei de contractes islàmica amb les de la seva contrapartida de dret comú, sense obviar les influències i inspiracions rellevants que provenen de la tradició del dret civil. L‘objectiu d‘aquesta comparació és establir que algunes de les disposicions financeres més populars, com sukuk, són deficitàries en les seves disposicions de protecció dels inversors. A més, l‘autor subratlla que, a causa de les característiques híbrides de l‘instrument sukuk i la manca de regulació a mida, els inversors no es disposen de manera adequada en cas d‘impagament de l‘emissor. A partir de la idea que l'instrument sukuk està estructurat a partir i s'assembla a diversos instruments convencionals, la tesi examina la possibilitat que un inversor sukuk obtingui redreçament segons la legislació nord-americana i del Regne Unit, així com les disposicions comparables a Malàisia i França. . Paral·lelament, l‘autor aprofundeix en els inicis, les inspiracions, les principals línies i importants líders polítics del revivalisme islàmic. L‘objectiu d‘aquesta investigació és arribar a una explicació convincent sobre els desenvolupaments polítics i econòmics dels Estats islàmics establerts i aspirants. Este trabajo examina la viabilidad prospectiva de derivados y contratos financieros de manera más general bajo una estricta aplicación de la ley Shariah. El autor adopta un enfoque interdisciplinario para transmitir la idea de que algunos de los contratos y arreglos más populares en la ley de finanzas islámica son deficientes desde una perspectiva estructural y de cumplimiento de la Shariah. La tesis argumenta que los problemas de protección de los inversores derivados de esta conclusión son lo suficientemente graves como para socavar la viabilidad de estos instrumentos no solo en un entorno radical sino también en un entorno más conservador. Se llega a esta conclusión después de un análisis en profundidad de los principios fundamentales de la Shariah, relevantes para las finanzas, colocándolos en un contexto histórico, jurisprudencial y político. El trabajo intenta guiar al lector a través de los muchos giros de la ley islámica, desglosando los conceptos establecidos y cuestionando su aplicación en la ley islámica moderna. Por ejemplo, el autor desempaqueta la noción de wa‘d (promesa), argumentando que su uso extensivo en los contratos islámicos hace que muchas de las transacciones complejas resultantes sean deficientes desde una perspectiva estructural. Además, este trabajo resalta las debilidades técnicas y relacionadas con la Shariah en las formas de contrato esenciales, con un enfoque particular en murabaha. Es importante destacar que el autor aborda la cuestión de la investigación desde el punto de vista de los contratos, comparando las construcciones del derecho contractual islámico con las de su contraparte del derecho consuetudinario, sin ignorar las influencias e inspiraciones relevantes que provienen de la tradición del derecho civil. El propósito de esta comparación es establecer que algunos de los arreglos financieros más populares, como el sukuk, son deficientes en sus disposiciones de protección al inversionista. Además, el autor subraya que debido a las características híbridas del instrumento sukuk y la falta de una regulación a medida, los inversores no cuentan con una provisión adecuada para el caso de incumplimiento del emisor. Comenzando con la idea de que el instrumento sukuk está estructurado en base a una serie de instrumentos convencionales y se asemeja a él, la tesis examina la posibilidad de que un inversor sukuk obtenga una reparación bajo las leyes de EE. UU. Y el Reino Unido, así como las disposiciones comparables en Malasia y Francia . Junto a esto, el autor profundiza en los comienzos, inspiraciones, líneas principales e importantes líderes políticos del revivalismo islámico. El objetivo de esta investigación es llegar a una explicación convincente sobre los desarrollos políticos y económicos en los Estados islámicos establecidos y aspirantes. Con este fin, este trabajo ofrece un estudio de caso de Irán e ISIS, que incluye un análisis del sistema financiero islámico iraní y una hipótesis sobre el posible enfoque de un gobierno yihadista- salafista al marco financiero de sus aspirantes al Estado. Como último punto, el trabajo considera cómo FinTech se ajusta a los objetivos de la ley islámica y, más específicamente, a sus estrategias de gestión de riesgos y justicia social. La tesis ofrece conclusiones que se basan en la extensa investigación y trazan una posible visión del futuro de los instrumentos financieros en un entorno islámico radical.

Les dernières décennies ont été témoin d’un accroissement considérable du poids et de l’influence de la finance au sein des sociétés contemporaines, un phénomène que les sciences sociales ont commencé à cerner grâce à la notion de financiarisation. La financiarisation demeure un phénomène peu étudié en droit. Notre thèse contribue à son étude en adoptant une approche socio-juridique : elle part de l’hypothèse qu’une telle transformation des rapports sociaux et économiques a été l’occasion de controverses sur la scène juridique, à partir desquelles on peut mieux comprendre ce que représente la financiarisation en droit. Nous avons choisi d’aborder ces controverses à partir d’une question spécifique, celle de l’innovation financière, en prenant comme cas d’étude un type particulier d’instruments financiers ayant bouleversé le paysage de la finance depuis leur apparition dans les années 1980 : les swaps, ou les instruments dérivés de gré à gré. À partir d’une analyse des documents contractuels produits par l’industrie, de la littérature professionnelle de droit financier et du contentieux relatif aux swaps, notre étude retrace l’histoire juridique de ces instruments financiers. Il ressort de notre étude qu’en se livrant à un travail de mise en forme juridique de l’innovation financière, les juristes ont non seulement favorisé le succès des nouveaux marchés d’instruments financiers, mais qu’ils ont en outre amorcé une profonde transformation de la culture juridique du monde des affaires. La financiarisation coïncide ainsi, en droit, avec un renouvellement des concepts, des valeurs, des pratiques, des instruments et des modes d’argumentation que déploient les juristes des milieux financiers. Nous soutenons que, sous l’influence de ces derniers, c’est en fin de compte le droit lui-même qui s’est financiarisé, d’une façon qui a sensiblement accru l’autonomie juridique de l’industrie financière
The last few decades have witnessed a considerable increase in the weight and influence of finance in contemporary societies, a phenomenon that social scientists have begun to study with the concept of financialization. Financialization remains rarely studied in law. This dissertation contributes to its study by adopting a socio-legal approach: it assumes that such a transformation of social and economic relations must have given rise to controversies in the legal arena, from which one could better understand what financialization means in law. I have chosen to approach these controversies through a specific question, that of financial innovation. I took as a case study a particular type of financial instruments, which have transformed the financial landscape since their invention in the 1980s: swaps, or over-the-counter (OTC) derivatives. Based on the analysis of contractual documents crafted by the industry, of the professional literature in financial law, and of the case law arising from swap disputes, this study recounts the legal history of these financial instruments. It shows that legal practitioners, through the legal shaping of financial innovation, have not only fostered the success of the new markets for financial instruments, but have also initiated a profound transformation of business’s legal culture. Financialization thus coincides, in law, with a renewal of concepts, values, practices, instruments and modes of argument deployed by financial lawyers. I argue that, under the influence of the latter, it is ultimately the law itself that was financialized, in a way that significantly increased the legal autonomy of the financial industry

O controle dos preços de transferência está amparado no princípio da plena concorrência, que representa espécie de dogma no direito tributário internacional. Para a sua concretização, há duas espécies de metodologias distintas: os métodos tradicionais, apoiados na comparação dos preços ou margens brutas de lucro das transações, e os métodos baseados na comparação de lucros operacionais entre as transações cotejadas. Não obstante a existência desta gama de métodos, há exemplos nos quais o princípio da plena concorrência não propicia mecanismos suficientes para o adequado controle dos preços de transferência, porquanto inexistem dados para a comparação dos preços, margens brutas ou lucros operacionais. As negociações globais de instrumentos financeiros intra-grupo, praticadas de forma integrada entre instituições de um mesmo conglomerado bancário, estão entre as situações que mais apresentam desafios ao aludido princípio. Como alternativa, parte da doutrina internacional tem defendido a adoção do método da partilha de lucros segundo fórmulas predeterminadas ou formulary apportionment. Os principais argumentos destes teóricos são a constatação de que o princípio da plena concorrência, ao se amparar no critério da entidade segregada, ignora os ganhos de eficiência e escala gerados no âmbito dos grupos econômicos; ademais, a aplicação deste princípio mostra-se complexa, dada a sua abertura e amplitude. No direito brasileiro, as regras para o controle dos preços de transferência, a despeito de inspiradas nos métodos tradicionais disponíveis para a aplicação do princípio da plena concorrência, são simplificadas a tal ponto que os métodos envolvendo margens brutas tornaram-se semelhantes aos métodos envolvendo fórmulas predeterminadas. Esta simplificação é desejável, em especial com vistas ao atendimento da praticabilidade, legalidade, eficiência administrativa etc.. Idealmente, a melhor estratégia de política tributária a ser adotada seria aquela baseada na edição de normas que, de um lado, (i.) prevejam margens predeterminadas de lucros por setor de atividade e região, ou definam outros critérios objetivos, razoáveis sob a perspectiva econômica, para o cálculo dos preços parâmetro, mas, de outro, (ii.) admitam que estas simplificações representam safe harbours, sendo garantido ao contribuinte o direito de apresentar quaisquer argumentos ou provas admitidos em direito para comprovar sua situação peculiar. O exame das discussões envolvendo a negociação global de instrumentos financeiros auxilia na conclusão de que, para serem justas, as normas para o controle dos preços de transferência precisam ser abrangentes, possibilitando-se a adequação dos métodos às especificidades de cada caso concreto; para o adequado funcionamento do sistema tributário, contudo, é imprescindível a instituição de diversas espécies de safe harbours, aptos a abranger a maioria das situações, reservando-se às transações realmente peculiares o exame detalhado dos preços.
Transfer pricing control rests on the arms length principle, one of the international consensus of international tax law. Control takes place under either of two methodologies: one comprising the Traditional Transaction Methods based on the comparison of prices and/or gross margins, and the other comprising Transactional Profits Methods based on the comparison of operating incomes from the relevant transactions. Notwithstanding the several methods in existence, the arms length principle may sometimes fail as a mechanism for adequate control of transfer pricing, insofar as data for the comparison of prices, gross margins or operational income are not available. The integrated global trading of financial instruments between units of a same banking group is an example of challenging situation for the effective application the arms length principle in transfer pricing control. Seeking an alternative approach, recent studies make the case for apportioning profits in accordance with preset formulas the so-called formulary apportionment. The main arguments behind this proposal revolve around the arms length principle ignoring economies of scale and other efficiency gains that normally breed within an economic group, as well as it being overly complex and open-ended. Although inspired by the Traditional Transactional Methods, Brazilian transfer price rules are simplified to such extent, that the gross margin comparison methods have become similar to a preset formula. Simplification is desirable from the standpoint of practicability, legal strictness, administrative efficiency, and so on. The ideal tax legislation policy would include rules that (i.) either pre-set gross margin parameters by industry and geographic location, or set forth objective, economically reasonable criteria for determination of parameter prices; but also (ii.) acknowledge such simplifications as no more than safe harbours and offer the taxpayer an opportunity to demonstrate deviation from the norm in a given peculiar situation. An analysis of the discussions on global trading of financial instruments fosters the conclusion that in order to be fair, transfer pricing rules must be all-encompassing; efficiency of the tax system, however, cannot forego the use of safe harbours that cover the majority of cases, thus restricting detail analysis to transactions that are actually peculiar.

Abstract:
This thesis examines responses to the problem of stock market short-termism ('SMST'). SMST is defined as investors preferring short-term financial returns over potentially more profitable longer-term investment opportunities. Such short-termism may result in serious real-world consequences. Company executives appear to respond to short-term pressures in ways that jeopardize the long-term sustainability of listed companies negatively impacting investors and other stakeholders including employees, customers and the community at large. This thesis provides an original contribution to the academic literature via an in-depth examination of all significant regulatory and financial industry efforts meant to reform SMST in major capital markets after the global financial crisis of 2007-2009. I hypothesize that the extensive discussion of the SMST issue has generated substantial reforms. Based on an analysis of the implemented reforms, I reveal that the anticipated surge of SMST reform has not occurred. I then explore why the widespread SMST discussion has not resulted in greater reform efforts. This examination reveals the complex nature of the SMST problem and the evidentiary issues inherent in viably identifying and measuring the harms of SMST. However, I determine that there is probable cause for concern justifying SMST reform measures. Further, I conclude that SMST issues arise because investors are biased towards short-term returns when calculating risk. This bias is evident in share pricing, meaning that share prices are not a reliable indicator of fundamental corporate value. Based on this conclusion, an original dual pathway for SMST reform is proposed. This dual pathway indicates that SMST reform measures must either: (1) reduce the actual or perceived excessive discounting of future returns by investors (i.e. make share prices better reflective of long-term value); or (2) cut-off the transmission mechanisms of SMST into the listed company (i.e. sever the link between share prices and corporate decision-making). Assessing the reforms against this dual pathway reveals that few of the reforms are conceptually effective. Of the few reforms that are conceptually effective, most are relatively 'light' touch. A 'light' touch approach may not be problematic, however, as such measures are easier to implement than 'hard' law. In the case of regulatory reforms, a 'light' touch approach provides scope for flexibility to minimize the many potential harms associated with 'hard' law measures. Consequently, this thesis concludes that SMST reform is more likely to occur if reformers pursue a 'lighter' touch approach meant to reduce excessive discounting of future returns and 'nudge' capital markets away from their harmful short-termism focus.

Regulation Crowdfunding, enacted in May 2016, is intended to facilitate capital formation in startups and small businesses funded primarily by small investors (Securities and Exchange Commission (SEC), 2016b). This dissertation investigates (1) the risk of fraud in equity crowdfunding offerings and (2) whether investors respond to fraud signals by selecting (rejecting) offers with low (high) fraud risk. Because equity crowdfunding is quite new, no frauds have yet been identified. Therefore, I employ a predictive analytics tool, Benford’s Law, to assess the fraud risk of the offering. I select observable indicators to represent the Fraud Triangle dimensions—incentives, opportunities and rationalization—and test if they predict fraud risk. I also compare offer funding outcomes to my fraud risk assessments to identify if investors’ selections consider fraud risk appropriately. The relaxed auditor assurance and disclosure requirements attracts both honest and dishonest founders, but I find that the risk of fraud is higher in equity crowdfunding offers than in public offerings as reported by other studies. I find that there are several individual fraud indicators and models that explain fraud risk, but these do not predict whether the offer is funded or not (funding outcomes) or the amount that is raised if funded. This dissertation is the first to apply Benford’s Law to equity crowdfunding offers and map fraud attributes to fraud risk and funding outcomes. My dissertation can inform investors, issuers, regulators, intermediaries and practitioners of the high risk of fraud in equity crowdfunding offerings and of several noteworthy fraud indicators.

O presente trabalho aborda a cooperação regulatória internacional na área financeira a partir de uma perspectiva de direito internacional público. Destacando a crescente interdependência entre os sistemas financeiros nacionais e a consequente insuficiência de respostas regulatórias isoladas, circunscritas às fronteiras políticas dos países, examina os esforços conjuntos de governos e autoridades de regulação para a contenção do risco sistêmico internacional e a prevenção de crises financeiras. Para tanto, descreve inicialmente o processo histórico de internacionalização da atividade financeira e a formação de um consenso – especialmente após a recente crise financeira mundial – sobre a necessidade de fortalecimento da cooperação regulatória na área. Investiga, a seguir, as principais características das redes regulatórias transgovernamentais que, nas últimas décadas, têm ocupado o centro dos esforços de cooperação internacional no campo da regulação financeira, em especial o caráter subestatal dos seus principais atores, a informalidade que tem marcado as suas ações e uma crescente preocupação com a legitimidade procedimental. Na última parte, o trabalho centra a sua análise nos instrumentos e alcance da cooperação regulatória, abordando o uso de soft law na formulação de recomendações e padrões (standards) internacionais, sua absorção regulatória no ordenamento jurídico brasileiro e a reforma que vem sendo realizada na arquitetura financeira mundial como reação à crise financeira global, com suas implicações para o futuro da cooperação internacional.
This study addresses international financial regulatory cooperation in a public international law perspective. It explores the combined efforts of national governments and domestic regulatory authorities to contain international systemic risk and prevent financial crises, as national financial systems became more interdependent and internal regulatory responses – conducted within and limited to national borders – have proved to be insufficient or ineffective. Describing the historical process that culminated with the internationalization of financial activity, this study points out the international consensus that was built, after the global financial crisis, on the need of strengthening regulatory cooperation. It assesses the main characteristics of transgovernmental regulatory networks that have been in the center of international financial regulation in the past three decades, analyzing its distinctive feature of being comprised of substate actors, the consequences of networks informality to international law and its growing concern with legitimacy. Attention is also drawn to the soft law regime and international standard setting process that marks regulatory cooperation in financial matters, in special to the regulatory influence exerted by international financial standards on the Brazilian legal system, the current reform of the international financial architecture after the global crisis and its implications to the future of international regulatory cooperation.

L’ objectif principal de cette thèse est de développer une analyse critique de ce qu’on apelle internationalisation regulatoire du système financier brésilien. Celui-ci constitue um phénomène relativement noveau que n’a pas reçu suffisament d’attention. Deux evenements peuvent être considerés comme étant directement responsables pour cette internationalisation: d’une part, la création au niveau mondial d’un accord international de réglementation financière et, d’autre, la substitution (dans les systèmes juridiques européens et brésilien) du modèle de l’Etat Positif par celui de l’Etat Régulateur. L’adoption, par les autorités brésiliennes (Conselho Monetário Nacional et Banco Central) d’un nombre considerable des règles infra-legales fut etayée sur les Recommendations et Standards des organisations internationales. Les decisions de ces organisations ont influencée également le discourse et la philosofie régulatoire des institutions brésiliennes, modifiant les procedures et les pratiques adminitratives internes. Les autorités brésiliennes participent de plus em plus des activités de coopération régulatoire avec des entités étrangères dans le but d’obtenir une homogeneité régulatoire des systèmes finacières. Cette thèse soutient l’hypothèse qu'il existe une singularité distinctive dans la façon dont la régulation financière au Brésil s'est internationalisée, dérivée de l'existence d'une relation fondamentale d'interaction et de complémentarité entre les idées d'internationalisation et de régulation dans le secteur financier brésilien.
O objetivo central desta tese é descrever e analisar criticamente o que chamo de internacionalização regulatória no Sistema Financeiro Nacional, um fenômeno relativamente recente e, em certa medida, ainda subteorizado na academia brasileira. Sustento no presente trabalho que sua manifestação, iniciada no Brasil em meados da década de 1990, está associada a dois acontecimentos que somente ganharam força no último quarto do século passado: a afirmação, em nível global, de um arranjo internacional de regulação financeira e a transição, nos sistemas jurídicos da Europa Ocidental e do Brasil, para o modelo de Estado Regulador. Como consequência direta desses dois acontecimentos, um significativo e crescente conjunto de normas infralegais editadas pelas principais autoridades administrativas financeiras nacionais, o Conselho Monetário Nacional e o Banco Central do Brasil, passou a fundamentar-se em recomendações e padrões regulatórios elaborados por organismos internacionais Da mesma forma, a atuação de organismos internacionais passou a moldar tanto o discurso quanto a filosofia regulatória dos órgãos reguladores brasileiros, transformando procedimentos e práticas administrativas internas. Por fim, as autoridades brasileiras de regulação financeira passaram a se engajar crescentemente em atividades de cooperação regulatória com seus congêneres estrangeiros, em um esforço internacional cujo resultado vem sendo a obtenção de uma maior homogeneização regulatória nos sistemas financeiros nacionais em todo o mundo. Ao descrever e abordar criticamente esse fenômeno, proponho nesta tese a hipótese de que há uma singularidade marcante no modo como a regulação do sistema financeiro no Brasil se internacionalizou, singularidade esta que decorre de uma fundamental relação de interação e complementariedade no modo como as ideias de internacionalização e regulação se afirmaram no universo financeiro brasileiro.
The central goal of this dissertation is to describe and critically analyse how regulatory internationalization took place in the Brazilian Financial System, a relatively recent phenomenon that still didn’t receive proper academical consideration. This dissertation argues that its occurrence, which started during the 1990s, is related to two events that only came into place in the last quarter of the 20th century: the consolidation, on a global level, of an architecture of international financial regulation, and the transition, in Western Europe and Brazil, to the Regulatory State. As a consequence of that, a rising body of infralegal regulations enacted by the Central Bank of Brazil and the National Monetary Council, the two main brazilian financial authorities, began to adopt as its theoretical foundation standards and recommendations made by international bodies. Moreover, the activity of these international bodies became an important influence on brazilian domestic financial regulatory policies, shaping administrative practices and procedures. Lastly, brazilian financial authorities increasingly engaged in international regulatory cooperation with its foreign peers, as part of an effort that resulted in regulatory harmonization in national financial systems throughout the world. This dissertation argues that there is a distinctive singularity in the way financial regulation in Brazil became internationalized, derived from the existence of a foundational relationship of interaction and complementarity between the ideas of internationalization and regulation in the brazilian financial sector.

The prevailing instability in the financial markets legitimizes a clear improvement in the methods of the current regulators. Indeed, the new dynamic proposed in the thesis is to consider markets as a place of wealth creation and not insecurity. How to achieve this goal? By the conjunction of two approaches: the first approach is the one that advocates the adaptation of classic instruments of recovery (Part I), namely the standards from one side (Title 1) and the institution from the other (Title 2). Nevertheless, being outpaced by the technological evolutions in the markets, this adaptation is only the substrate which should allow a second step to emerge, a step of prospective security (Part II) by both technology (Title 2) and against technological threats (Title 1). Thus, the adaptation of classic security combined with the introduction of a prospective security are the two pillars suggested for securing the financial markets

Institutions from the G-SIBs category have been under greater scrutiny not just by regulatory authorities since the beginning of the financial crisis in 2008. Insufficient regulation in OTC derivatives combined with moral hazard expressed in the highly speculative behaviour by G-SIBs were major factors contributing to the development of the financial crisis. The regulatory bodies in the USA responded to the situation by adopting the Dodd-Frank ACT with the aim to introduce additional rules for the market with OTC derivatives and regulate the activities of G-SIBs significantly. The paper analyses selected indicators related to the OTC derivative exposure and the overall financial condition of the selected G-SIBs. The thesis analyses the development of the monitored indicators following the implementation of the DFA to confirm that the risk arising from speculative derivative deals by G-SIBs was reduced, the financial condition of the selected institutions was strengthened, and the systemic risk was thus suppressed during the period 2010-2015.

Abstract:
Les systèmes juridiques d’aujourd’hui diffèrent passablement de ceux en vigueur il y a quarante ans. L’affirmation est applicable notamment aux domaines économiques qui se trouvent sous l’empire de ce qu’on connaît comme régulation. En effet, un simple regard sur le droit contemporain montre, d’une partie, un éclatement d’entités nouvelles qui ont pour mission la création, la surveillance, voire l’application du droit, et, d’une autre partie l’existence des aménagements dans la conception et l’application des normes qui régissent une certaine activité ; le développement de la soft law, de l’autorégulation, des normes internationales, parmi d’autres exemples, font partie desdits aménagements. Ce phénomène, nommé nouvelles formes de régulation, fortement plébiscité par une partie de la doctrine juridique il y a quelques années, est désormais remis en cause. Même si la régulation constitue un phénomène à vocation universelle, nous avons décidé de mettre les marchés financiers au centre de notre analyse. Cela parce que les secteurs régulés présentent une diversité de situations, de modalités d’action et de fondements qui empêchent une analyse d’ensemble. On a dit dans ce sens, que la légitimité de la régulation et des règles qu’elle pose ne peut pas être envisagée de manière abstraite ; elle doit être appréciée dans les rapports entre ses normes et l’objet régulé. Les marchés financiers sont, dans ce contexte, un laboratoire privilégié concernant l’expérimentation des nouvelles formes de régulation, ils se trouvent aux origines de leur usage et c’est précisément dans ces marchés que la remise en cause des nouvelles formes de régulation s’est posée. Notre étude concerne l’usage des nouvelles formes de régulation dans l’encadrement des marchés financiers dans six pays : la France, l’Angleterre, les États-Unis et trois pays latino-américains : le Mexique, la Colombie et le Chili. Les raisons de ce choix sont les suivantes. D’abord, il nous semble légitime d’aborder les législations qui se trouvent à l’origine des phénomènes ici analysés. Le modèle américain s’impose, mais aussi le modèle anglais, car il a été, pendant un moment, l’exemple le plus poussé du libéralisme économique, donc, des origines des nouvelles formes de régulation. La France était aussi une référence indispensable. En effet, comme nous voulons le montrer, la France est l’exemple le plus parfait de la quête d’un aboutissement de la logique de la régulation et de la systématisation, même si inachevée, du droit régulateur. Nous avons choisi le Mexique à cause de la taille de son marché financier, la Colombie, parce qu’elle a entrepris des réformes juridiques remarquables, et le Chili, car il est le pays le plus stable politiquement et économiquement dans le sud de l’Amérique latine
The legal systems of today are different than those that came into force 40 years ago. The assertion is applicable particularly to the economic areas under that a kind of law, known as regulatory systems. Indeed, a simple look at the contemporary law shows first; a rise in new entities which have the power of creation, the monitoring and the application of law and second; the existence of adjustments in the design and implementation of the standards that govern an activity, the development of soft law, self-regulation and standards, among other examples. This phenomenon, named new forms of regulation, which a few years ago was strongly praised by a part of legal doctrine, is now being questioned. Even if the regulation constitutes a universal phenomenon, we decided to focus in the financial markets. This is because the economic sectors under the regulatory systems have a diverse situations in terms of action and their fundamentals that hinders a comprehensive analysis. In this sense, it has been said that the regulatory systems rules legitimacy cannot be considered abstractly. This must be assessed by the relations between its standards and regulated objects. Financial markets are, in this context, a privileged test case concerning the experimentation of new forms of regulation. In these markets we found the origins of the use of soft law, self-regulation and other new forms of regulation, and it is precisely in the financial markets where that the disputes about the efficacy and the legitimacy arise about new forms of regulation. Our study concerns the use of new forms of regulation within the framework of the financial markets in six countries: France, England, the United States and three Latin American countries: Mexico, Colombia and Chile. The reasons for this choice are as follows. Firstly, it seems valid to look at the legislation where the new forms of regulation came from. The American model is needed, but also the English model, because it was, for a while, the more thorough example of economic liberalism, therefore a source of new forms of regulation. France is also an indispensable reference. Indeed, as we want to show it, France is the most perfect example of the quest for a culmination of logical regulation and systematization of regulatory law. We have chosen Mexico because of the size of its financial market; Colombia because it has undertaken remarkable legal reforms linked with the new forms of regulation and Chile, because it is the most stable country both politically and economically in the South of Latin America

Abstract:
The Non-Financial Reporting Directive (“NFRD”),[1]is an important contributor to the European Union’s (EU) goal of creating a more sustainable future for all. By requiring large public-interest entities to report non-financial information relating to sustainability matters, the NFRD increases business transparency and gives stakeholders the opportunity to make more informed investment decisions, monitor corporate activities and initiate discussions based on current practices. The purpose of this thesis is to analyze the NFRD as it stands today and to analyze in what way the NFRD has the potential to improve by chiefly using the legal dogmatic method. The thesis reached its completion with an appropriate timing (January 2021) as the EU has announced its ambition to revise the NFRD by the first quarter of 2021. The conclusion drawn is that the NFRD should be revised on a series of points. Most importantly, reliability of the provided information should be secured through a stronger verification mechanism. Other areas for improvement concern the enlargement of the scope of the NFRD and the implementation of further measures securing comparable data.  [1]Directive 2014/95/EU.
