The 2017 COSO framework highlights the increasing need to incorporate environmental, social, and governance (ESG) considerations into firms’ internal control and risk management practices. Top managers play a crucial role in risk management and control. However, it remains unclear whether managerial ability affects ESG risk management. This study investigates the relationship between firms’ ESG risk exposure and managerial ability, and examines whether the quality of internal control (ICQ) influences this relationship. Based on panel data from Chinese listed firms between 2008 and 2022, we fou

Abstract:
Literature and practical evidence on the glass ceiling have showed that women's presence in ownership does not ensure that they can significantly influence firm decisional processes. Similarly women's presence in governance roles does not entail glass ceiling removal, even in family firms, which are expected to be a more favorable context. Moreover, literature on women's role in family firms has focused mostly on women's expectations, values, and objectives, on the decision-making processes led by women, on their leadership styles and so on. ABSTRACTThis study investigates how CEO behavior and incentives change during the CEO's final years in office, known as the horizon problem. We examine how the horizon problem alters managerial slack, a measure of operational inefficiency and managerial value diversion. Using data on Chinese publicly traded firms between 2003 and 2011, we find that managerial slack increases in the last two years of CEO tenure compared to earlier years. We also show that the increase in managerial slack in CEO final years in office is smaller in privately controlled firms than in state-owned enterprises, small

This paper investigates how managerial ability affects managerial choices regarding idiosyncratic risk taking. We apply multivariate analyses on China's listed firms incorporated from 2009 to 2018. We find a significantly positive association between managerial ability and risk after controlling for standard firm-level factors as well as firm-year fixed effects. Moreover, we seek to understand the economic mechanisms through which managerial ability can affect risk. We find that the positive relation between managers and risk is more pronounced in the presence of greater earnings pressure and

We examine the relationship between CEO, board and Chairman turnovers and future performance in banks with fully outside boards. Using a rich dataset on executive turnovers from Costa Rica, we find that ownership moderates the effect that control mechanisms have on performance. Our results indicate that executive turnovers followed by the appointment of outside executives (CEO and Chairman) have a positive impact on performance. On the contrary, large board replacements create organisational costs and these negatively affect performance. These results mainly hold for shareholder-oriented banks
