Abstract:
Criticism of conventional shareholder supremacy triggered urges for incorporating the stakeholder perspective and the Environmental(E), Social(S) and Governance(G) issues in managerial decisions. However, the corporations in Korea still lack proper corporate governance to protect shareholder benefits from managerial agency problems. In that case, adopting vague, not readily assessable objectives may lead to a lack of managerial accountability and exacerbate the agency problem. We find that Tobin’s Q of firms without good governance declined when their environmental and social ratings improved,

Managers, as holders of the management function, make decisions by which they manage a joint stock company, which should achieve results and goals that are in the interest of its owners or shareholders in the first place. During the work of the company, managers often make decisions that are primarily in line with their personal interests, while the interests of shareholders are put in the background. In order to solve or mitigate this problem, it is necessary to identify applicable and effective models. The paper especially emphasizes the importance of managerial compensations, based on the c

In this paper the relation between managerial ownership and conservatism is examined. Managerial ownership decreases agency problems caused by the separation of ownership and control. Managerial ownership increases the time horizon of managers and decreases expropriating behaviour. Conservatism is hypothesized to have the same effect on managers due to the asymmetric timeliness of earnings. This suggest that in firms with lower managerial ownership a demand for conservatism arises to substitute for the alignment function of managerial ownership. This paper test this with two approaches.
