The new Hungarian Civil Code regulates the memorandums of association of companies in its Third Book, while the Sixth Book contains the provisions of (other?) contracts. The memorandum of association is quite different from typical civil law contracts. Its most characteristic feature is that it establishes a legal entity. In most cases, the regulation of the memorandum of association is different from the provisions on contracts set out in the Civil Code, and there is no provision in the law according to which the latter should also be applied to the memorandum of association. But should they?

ZusammenfassungÜber Register können Fragestellungen zur Gesundheitsversorgung im Alltag untersucht werden. Sie sind daher eine wesentliche Methode der Versorgungsforschung. Das Deutsche Netzwerk Versorgungsforschung (DNVF) fördert die Qualität von Registern durch einen wissenschaftlichen Austausch, durch Fortbildungsangebote sowie durch Empfehlungen in Form eines Memorandums „Register für die Versorgungsforschung“. Die vorliegenden Empfehlungen stellen ein Update zur ersten Fassung des Memorandums von 2010 dar. Das Update beschreibt die Einsatzmöglichkeiten und Zielsetzungen von Registern in der Versorgungsforschung und stellt den aktuellen Stand zu allen Aspekten eines guten Designs und eines sachgerechten Betriebs von Registern dar. Das Memorandum kann Verantwortlichen für die Entwicklung eines Registers als Leitfaden zur Erreichung einer hohen Qualität dienen; potentiellen Nutzern von Daten und Ergebnissen aus Registern ermöglicht es, die Qualität eines Registers zu bewerten. Projektförderer und Gesundheitspolitik können sich bei der Rahmensetzung für Finanzierung und gesetzliche Anforderungen an den Qualitätskriterien orientieren. Neben einer Definition werden im Memorandum verschiedene für die Konzeption eines Registers relevante Bereiche vorgestellt. Dies umfasst die Phasen der Entwicklung eines Registers von der Planung über den Entwurf bis zur Umsetzung, die technische Organisation und den Betrieb eines Registers, die Auswertung von Registerdaten, die Berichterstattung über die Ergebnisse sowie den Datenschutz. Aus diesen Bereichen abgeleitete Kriterien zur Beurteilung der Qualität eines Registers werden beschrieben. Hierfür wird abschließend eine Checkliste präsentiert.

Abstract:
To carry out Chinese investments in third countries under the Belt and Road Initiative, the China is currently concluding numerous cooperation agreements called Memorandums of Understanding with its objective States, including European Union Member States. These Memorandums of Understanding are international agreements, but not international treaties as such, which implies that these documents may not lead to rights and obligations under International Law. However, every Memorandum of Understanding signed between China and a European Member States should be interpreted in accordance with European Law. The problem is that Member States are presumably violating different instruments of this legal framework as well as the European Union Common Commercial Policy, which is an exclusive competence of this international organization, if we interpret that these cooperation agreements are masking free trade agreements. This paper aims to analyse this possible interpretation and its consequences for the European Union, as these agreements entail a weakening of the European trade and investment power and put the European Common Commercial Policy at crossroads.

Abstract Besides the economical criteria of convergence, which have been precisely laid down in the EC-treaties, especially in the treaties of Maastricht, the integration of labour markets is an explicit aim of the European Union. Considering that approx. 19 million employees within the EC are not gainfully employed, a common and well-aimed labour market policy seems to be one of the major responsibilities of European economical and social policy. The instruments of job creation and preservation in Germany are being compared with the aims of the EC-comission, also experiences of other countries are being involved. The Christian Churches in Europe are committed to get involved in tackling unemployment and its human-destructing effects. The Social Chamber of the EKD has made continuous proposals. At present, it is working on continuing its previous memorandums on unemployment. With this, also the memorandum ))Responsibility for a Social Europe« (1992) is being continued and put into concrete terms.

Bakgrund: I Sverige finns 45 förlossningskliniker. Varje klinik har egna PM/riktlinjer för olika tillstånd och omhändertagande. De är framtagna för att underlätta arbetet och främja jämlik vård. Det finns både risker med att ge oxytocin och att avstå från det. Därför är det viktigt att åtgärden används på ett sätt som minimerar riskerna för mor och barn samt ökar sannolikheten för ett positivt förlossningsutfall.  Syfte:  Att kartlägga svenska förlossningsklinikers riktlinjer för värkstimulering med oxytocin under aktiv förlossning utifrån frågeställningarna: Är förlossningsklinikernas riktlinjer utformade enligt Nationella Mediciniska Indikationer och uppvisar riktlinjerna en god kvalitét enligt bedömningsinstrumentet Apprasial of Guidelines Research and Evaluation II (AGREE II). Metod: En kvantitativ studie med beskrivande och jämförande design. Resultat:  Resultatet grundar sig på samtliga förlossningskliniker riktlinjer för värkstimulering med oxytocin under aktiv förlossning. Jämförelsen mot Nationella Medicinska Indikationer visar på stora skillnader vad gäller innehållet i riktlinjerna. I 25 PM (69 %) saknas en eller flera delar av innehållet. Resultatet utifrån AGREE II visade att endast 20 PM (56%) kunde rekommenderas för användning.  Slutsats: Kvalitén på riktlinjerna varierar och de förlossningskliniker som följt Nationella Mediciniska Indikationer är också de som uppvisar bäst resultat enligt AGREE II.<br>Background: In Sweden there are 45 delivery wards. Every ward has their own guidelines for different conditions and their management. They are composed to relieve the work and promote equal care. There are risks of both administering oxytocin and to refrain from it. It is therefore important that the course of action taken is used in a way that minimizes the risk for both the mother and the child at the same time increasing the probability for a positive delivery outcome. Purpose: To map the Swedish delivery wards local guidelines in inducing delivery with oxytocin during active delivery in regards to the following issues: are the delivery wards guidelines formed according to National Medical Indication and do they uphold the high quality standard according to the assessment tool Appraisal of Guidelines Research and Evaluation II (AGREE II). Method: A quantitative study with descriptive and comparable design. Results: The result is based on all delivery wards local guidelines for inducing delivery with oxytocin during active delivery. In comparison to NMI there are large differences in the content of the guidelines. In 25 guidelines (69%) there were one or several parts of content missing. The result according to AGREE II showed that only 20 local guidelines (56%) could be recommended for clinical use. Conclusion: The quality of the local guidelines vary and the delivery wards that have followed National Medical Indication recommendations are also the ones that present the best results according to AGREE II.

Abstract:
The negotiations for the Mid-Term Review of the Fourth Lome Convention marked the introduction of multiple conditionality - economic adjustment and good governance - into the Lome relationship. It placed additional demands on the two parties, giving rise to the essential concern of this thesis: do the two sides possess the requisite institutional capacity to meet those demands. The introduction was not a sudden development. The origins of multiple conditionality lay in the Pisani Memorandum and its proposal of policy dialogue. The path from the proposal to multiple conditionality was assisted by developments within the Lome relationship, including the unintended effects of ACP initiatives. This thesis is thus, in one sense, the history of the Memorandum's legacy of inverted conditionality through policy dialogue. It is also an analysis of the capacities generated by the Convention and their applicability to multiple conditionality. My analysis of bargaining, operational and instrumental capacities demonstrates a weak ACP capacity and an asymmetrically greater EU capacity. My initial conclusion is that the EU is much more capable of meeting the demands of multiple conditionality. However, it too faces limits on its capacity, especially in dealing with the sociopolitical aspects of governance. This recognition highlights an ignored factor: there is a second legacy of the Pisani Memorandum. In addition to the instrument of policy dialogue, the Memorandum identified institutional capacity as the means to help overcome the problems of development. The new tale of two legacies illustrates an EU emphasis on policy control at the expense of capacity building. It has failed to perceive the importance of the link, in the Pisani Memorandum, between the instrument and the means. It forces me to amend my initial conclusion: neither side is adequately prepared for the demands of multiple conditionality.

O presente trabalho tem como objeto a análise dos documentos preliminares, usualmente chamados de carta de intenções e memorando de entendimentos, firmados na fase das tratativas durante o período pré-contratual. Em um primeiro momento, busca-se entender a natureza desses documentos, mediante o exame dos atos das partes na fase das tratativas, em especial as negociações e as declarações de vontade, e a comparação com figuras afins, como a proposta, o contrato, o contrato preliminar, a carta-conforto e a minuta. A partir dessa compreensão, aliada à demonstração de sua tipicidade social, chega-se a uma definição de documentos preliminares, baseada no acordo de vontades capaz de produzir efeitos obrigacionais de intensidade variada. Em um segundo momento, expõe-se a principal forma de tratamento dispensada a esses documentos na common law, dividindo-os entre aqueles que têm eficácia jurídica contratual (binding) e aqueles que não têm eficácia jurídica (nonbinding). Posteriormente, são trazidos casos da jurisprudência brasileira, seguindo-se o mesmo método, culminando com o papel da figura do abuso de direito nos casos de rompimento das negociações, identificada como a principal situação que desencadeia a discussão dos efeitos desses documentos nos tribunais. Adiante, as obrigações autônomas, como a de confidencialidade, exclusividade e divisão de custo, muitas vezes verificadas nesses documentos, são objeto de estudo, finalizando-se com a análise de determinadas cláusulas, perquirindo-se sua validade e efeitos. O resultado deste estudo revela que os efeitos que serão produzidos por um documento preliminar dependem não apenas do seu conteúdo, mas também do comportamento das partes condizente com ele. A partir desses dois fatores será possível determinar se o documento produzirá algum efeito, incluindo efeitos de vinculação aos deveres de proteção ou de vinculação contratual.<br>The subject of this work is the analysis of the preliminary documents, usually known as letter of intent or memorandum of understanding, executed in the negotiation phase during the precontractual period. Firstly, it seeks to understand the nature of these documents, through the examination of the parties’ acts during the negotiation phase, especially their dialogues and declarations, and the comparison with the proposal, the contract, the preliminary contract, the comfort letter and the minute. Given this comprehension, added to its social typicality, it reaches a definition of the preliminary document, based on the agreement capable of producing obligational effects of varied intensity. Secondly, it introduces the main approach given to these documents by the common law system, dividing them between those that have contractual legal effects (binding) and those that don’t have any legal effects (non-binding). Subsequently, cases from the Brazilian Case Law are brought, following the same method, ending with the role of the abuse of the law in the cases in which the parties break the negotiations, which are identified as the main situation that triggers the courts debate about the effects of such documents. Furtherly, the independent obligations, such as confidentiality, exclusivity and sharing of expenses, commonly identified in these documents, are studied, finalizing with the analysis of certain clauses investigating its validity and effects. The result of this work reveals that the effects that will be produced by a preliminary document depend not only of its content, but also of a parties’ behavior suitable with it. From these two factors it will be possible to determine whether or not the document will produce any effect, including binding effects in relation to protection duties or binding contractual effect.

Le Mémorandum d’entente d’Abuja pour le contrôle des navires par l’Etat du port dans la région de l’Afrique de l’Ouest et du Centre » a été signé le 22 octobre 1999 à la 3ème réunion sur la coopération en matière de contrôle des navires par l’Etat du port. Sur 19 Administrations maritimes ayant participé aux deux réunions préparatoires, 16 représentants des Administrations maritimes ont signé ce qu’il convient d’appeler désormais l’acte de naissance de la grande concertation de la sous-région en matière de contrôle des navires par l’Etat du port. La naissance du MOU d’Abuja consacre en Afrique les compétences de l’Etat du port en matière de contrôle des navires étrangers. C’est le développement du droit international qui a favorisé cette évolution qui tempère le principe séculaire de la loi du pavillon auquel le navire obéissait depuis lors et qui n’a pas toujours bien fonctionné. Le MOU d’Abuja institue donc clairement le « port state control » qui consiste à en une visite à bord du navire en vue de vérifier la validité des certificats et autres documents appropriés aux fins du Mémorandum, ainsi que l’état du navire, de son équipement et son équipage et les conditions de vie et de travail de l’équipage. Il vise également la protection de l’environnement par le respect des Conventions internationales. Ayant encore la nature juridique de « soft law », le MOU d’Abuja rencontre de nombreux obstacles pour sa mise en œuvre afin de réduire et d’éliminer les navires sous normes qui fréquentent les ports africains. Même s’il est un accord pertinent par sa référence aux Conventions internationales en matière de sécurité et aussi un instrument de communautarisation du droit de la sécurité maritime en Afrique, il reste néanmoins faiblement appliqué. Ne gagnerait-il pas à être communautarisé comme l’a été celui de Paris dans une politique commune africaine de la sécurité des transports maritimes pour son efficacité ?<br>The Memorandum of understanding on Port State control for the West and Central African region has been signed on October, 22nd 1999 during the 3rd meeting on the co-operation as regards control of the ships by the Port state. On 19 maritime Administrations having taken part in the two preparatory meetings, 16 representatives of the maritime Administrations signed what it is advisable to call from now on the birth certificate of the great dialogue of the under-area as regards control of the ships by the Port state. The birth of the Memorandum of Understanding of Abuja devotes in Africa competences of the Port state as regards control of the foreign ships. It is the development of the international law which supported this evolution which moderates the secular principle of the law of the house which the ship since then obeyed and which did not function always well. The MOU of Abuja thus institutes clearly the “port state control” which consists with of a visit on board a ship in order to check the validity of the certificates and other documents relevant to the purpose of the Memorandum, as well as the condition of the ship, its equipment and crew, as well as the living and working conditions of the crew. It also aims environmental protection by the respect of International conventions. Having still the legal nature of “soft law”, the MOU of Abuja meets many obstacles for its implementation in order to reduce and to eliminate the ships under standards which attend the African ports. Even if it is a relevant agreement by its reference to International conventions as regards safety and also an instrument of communautarization of the right of the maritime safety in Africa, there slightly remains nevertheless applied. Wouldn't it gain with being communautarized like was to it that of Paris in a African common policy of the safety of the maritime transport for its effectiveness?

Abstract Program Managers need to look beyond the veil of potential benefits to assess the risks of contractor proposed concurrent engineering efforts. The mere mention of concurrent engineering or its synonym, integrated product team, does not in itself reduce program schedule and cost. Evaluations should center upon the offeror’s past success with these initiatives and the fundamental steps leading to their implementation. In a recent study of several programs involving the manufacture of Aircraft Launch and Recovery Equipment (ALRE) and support equipment, the effects of integrated product teams were assessed. Several of the programs studied had been competitively awarded to contractors that subsequently defaulted on their contract. The equipment programs were then successfully manufactured by the Prototyping and Manufacturing department at Naval Air Warfare Center, Lakehurst, NJ. Data from the study indicated the success of the manufacture was directly attributable to the use of integrated product teams. Extensive communication between engineering, manufacturing, and testing teams led to the resolution of problems quickly. Face to face meetings were frequent and issues were resolved in minutes without resorting to technical memorandums or other protracted written documents. Collocation of the team members was considered the most critical factor to gaining any benefits from concurrent engineering. Further evidence indicated the more complex a system, the more collocation was critical to its successful completion. Complexity, when measured by the number of parts, critical interfaces, and final testing requirements, was assessed for each program. The more complex programs had employed more frequent and local communication.

One of the ways in which interested parties can conclude a contract through the Internet involves the technique of exchanging e-mails. Depending on whether a written form is required for the conclusion of a contract or not, a distinction can be made between "ordinary" email contracts and "qualified" email contracts. The conclusion of the contract by exchanging e-mails may also include the use of electronic memorandum. Such a contract-concluding technique is particularly accompanied by the risk of unauthorised conclusion of the contract. Therefore, it is important provide enhanced protection to the other (conscientious) party. The rule is that the empty space on the (electronic) memorandum will be filled by the person/entity whose data are contained in the remaining part of the memorandum. However, the question is what will happen if a contract is concluded by a person who is not authorized to do so? Therefore, the central issue that this paper deals with is reflected in the examination of the risk of misuse of electronic memorandum and the validity of such concluded contracts. An additional reason why the author opted for this question is the fact that there are no special legal rules in Serbian positive legal system that regulate the issue of validity of contracts concluded by misuse of an electronic memorandum and the issue of eventuall liability for damage suffered by the another contractor in such a situation.

CDBM is a project key document consisting of the design basis of material selection, corrosion control, testing and monitoring which is currently developed and approved manually. This digitalization initiative will take CDBM to a next level in designing corrosion features for upstream facilities in line with COMPANY aspiration of going digital. Methods, Procedures, Process Web-based Online CDBM consists of four modules which are Corrosion Engineering Assessment, Material Option Database, Corrosion Control, Testing and Monitoring Database and Lesson Learn and Cost Database. Prior to the development of Online CDBM website, the first step is developing technical requirements and business logic spreadsheets. Eighteen internal and external degradation mechanism with regards to upstream facilities has been considered and the option for materials and corrosion control, testing and monitoring tools were populated in the spreadsheet. Element of lesson learn, and cost estimation feature also included in the spreadsheet and developed in collaboration with Operation and Cost Engineering Team. Once the business logic spreadsheet is completed, Online CDBM will be converted to a web-based solution by using the agile method where the system will be developed module by module. Four Minimum Viable Product (MVP) will be released. Online CDBM will be connected to email for notification and the programming will enable online reports, comments, review, and approval. All the information will be stored in one place with a cloud system for easy access and retrieval. Online CDBM will enable data collection and future machine learning adaption where trending and data comparison can easily be conducted. Results, Observations, Conclusions Online CDBM will have the following features: (i)Stringent Quality Control, Standardize Format and Fast Report Generation, (ii) Consistent Technical Approach and Recommendation, (iii) Fit for Purpose Material Selection, Corrosion Control, Testing and Monitoring, (iv) Effective Tracking and Approval for Data Changes &amp; Deviation and (v) Easy Accessibility and Secure Online Database with Cloud System. From this Online CDBM initiative, work process simplification to develop CDBM will be achieved and resulting in 30% potential cost and manhour saving. In addition, a consistent technical approach and recommendation through Online CDBM will potentially incur cost avoidance by having fit-for-purpose materials, corrosion control, testing and monitoring tools as well as Price of Non Conformance (PONC) avoidance for unplanned facilities modification/replacement. In summary, Online CDBM is an opportunity for COMPANY to develop inhouse capability and indirectly will raise oil and gas technology profile. Novel/Additive Information This paper can be used as a reference for digitalization efforts in managing Upstream Facilities.
