Tématem této diplomové práce je přesun sídla právnických osob v rámci Společenství. Cílem bylo zmapovat současnou komunitární úpravu společností a zjistit do jaké míry je v současné době možné, aby společnosti mohly přemístit své zapsané sídlo z jednoho členského státu do jiného bez nutnosti svého předchozího zrušení a likvidace. Stejně tak se věnuje dosavadní judikatuře ESD ohledně svobody usazování, která právní úpravu společností významným způsobem dotváří.

This final thesis deals with the issue of transfer of registered office within the EU law. The thesis follows three lines of legal regulations: harmonization of company law, rule-making in the field of European companies and case-law dealing with primary freedom of establishment. The goal of the thesis is to sum up possibilities of the transfer of registered office assured by current legal situation to both companies established according to intrastate legislation and European forms of companies. The thesis also deals with prospects of possible future development.

V práci dále zkoumám možnosti přesunutí registrovaného a skutečného sídla obchodních společností uvnitř jednotného trhu. Práce analyzuje proces přesunutí sídla jak u nadnárodních forem společností, tak nepřímé přesunutí sídla u národních forem společností.

The diploma thesis deals with a population aging and the issue of employment of older people in the Czech Republic. Most developed countries, including the Czech Republic face to the aging of the population. This unfavourable demographic progress leads to social and economic problems. Employment of older people is more and more important. The aim of this work is to assess the employment of older workers in the Czech Republic, to outline its expected development with using forecasts of the Czech Statistical Office and propose possible measures that would contribute to its increase. The results of the analysis show that the population in the Czech Republic is rapidly aging and according to the forecasts it will further continue in future. The possible solution could be to apply principles of the age management. These measures should help to increase the employment rate of older people. There are measures relating to the education, working conditions, flexible employment as well as safety and health care at work. According to the measurement results LEA, interest in the problems of elderly people and their position in the labor market has recently increased and the concept of the age management has became familiar in companies, but still it is not sufficient part of the HR strategies within an organization.

In today's world, where globalisation and internationalization becomes part of our daily life, international entrepreneurship turns into a more actual and important issue. The role of law in this system is to set borders and give directions, which reflect the current state of global society. The aim of the diploma thesis Personal status of legal entities in private international law is both to clarify the actual legal situation of determining the personal status of legal entities and to find out the current grade of global legal integration in these aspects, that either encourages or prevents legal entities from international activities. In order to achieve that, firstly, a theoretical definition of the historically evolved theories for determination of personal status of legal entities is given. Subsequently, their main be- nefits and drawbacks are analysed. The first part is concluded with a definition of the scope of the conflict between the two main theories - incorporation theory and real seat theory. Additionally possible ways, how to solve this conflict together with their potential impact, are sought. Further parts of the thesis deal with such terms as recognition of foreign legal entities and cross-border transfer of seat. Charles University Faculty of Pharmacy in Hradec Králové Department of Biological and Medical Sciences Student: Sabina Voplakalová Supervisor of master thesis: PharmDr. Miroslav Kovařík, Ph.D. Title of master thesis: Evaluation of muscle strength among groups with varying degrees of physical activity The aim of this thesis was to elaborate the existing knowledge about the composition of the human body, muscle strength depending on the different levels of physical activity and methods that can be used for evaluation. The next goal was to collect custom data on a selected group of people using available devices and finding statistically significant associations between individual parameters. A total of 24 healthy individuals with variable physical activity, aged 21-27 years (10 males, 14 females), were divided into two groups, according to the average energy expenditure. Data collection included basic anthropometric measurements, determination of body composition by means of bioimpedance spectroscopy, spirometric parameters and muscle force by means of digital pinchgrip/myometer. Significant statistical differences between the measured groups were found in body mass, body mass index and peak expiratory flow. When evaluating maximum strength, the groups were different in flexion of ankle and elbow....

Companies in private international law The topic of this diploma thesis includes questions related to companies in private international law. The thesis deals especially with changes of the Czech law evoked by the recent recodification of the private law in the Czech Republic. The purpose of the thesis is, first of all, to introduce the current form of this part of the law, to sum up and analyse ideas published in expert sources, and also to add own views concerning the topic. Following methods were primarily used: analysis, synthesis, description and comparison. The thesis, besides general Introduction and Conclusion, includes seven individual chapters which create coherent total. Chapter One explains basic terms used in the thesis. The following chapter defines the term personal statute of legal person and introduces two basic principles of its determination - the incorporation principle and the seat principle. The third chapter continues with detailed description of the position of the incorporation principle in the Czech law, including the questions related. Chapter Four defines foreign legal persons and gives the reasons why the registered seat of the legal person is relevant for determination of such a person. The objective of this thesis is to analyze legal framework of companies in private international law with focus on cross-border mobility of companies in the EU. The work consists of an introduction, five chapters and a conclusion. In the first chapter, the basic terminology used in the work and terms of private international law, collision standards, legal entities (persons) and companies are presented and defined. The second chapter is devoted to the personal statute of company and analyzes main theories of determining a personal statute - the incorporation theory and the real seat theory, their advantages and disadvantages are discussed and their comparison is mentioned at the end of the chapter. Incorporation theory enables cross-border transfer of company seats and defines law applicable to company forever, real seat theory has a protective function. Whereas incorporation theory uses the foundation of a company to determine applicable law, real seat theory uses the real seat of a company, the actual place where the company centers its activity. The third chapter discusses the subject from the point of view of the EU law. Qualitative research based on a half standardized interview with seniors is aimed at identifying the seniors´ perception of the dignity concerning dignity of merit, moral strength and personal identity, and the related values of every human being, also known as Menschenwürde {--} human dignity. The results show the risk of loss or reduction of dignity in old age. The reasons are external and internal. External reasons include the approach of society and individuals to the elderly, (un) availability of social services for seniors and their families and also the social system. Internal reasons involve the change of the inner self, reduction of self-sufficiency, financial provision, degree of independence, evaluation of the past life, the age and gender. In the highest risk of loss of dignity are the very old, individuals dependent on the care of others and women. The research makes us think about creating decent living conditions for the elderly. The issues of supportive background creation and available home care services for the elderly and possibilities of a better support for families caring for dependent and dying elderly persons are also addressed. On an individual level it is necessary to instruct people, who come into contact with the elderly, with risk factors that may decrease dignity of the elderly and to gain skills for assistance to enhance seniors´ dignity by an appropriate and sensible approach. Perception of dignity changes with a social system. Dignity is an important component of the quality of life perception. Attention must be paid to this issue also in the future. With prolonged longevity of an individual and an active participation in community life up to the old age it should be reconsidered since what age an individual is regarded as old. For example, according to the WHO the early old age starts at 60 years of age. This is what young seniors perceive negatively. They do not consider themselves old even when they are 65 years old.

The investigation of political delinquency of Czechoslovakian military personnel in the years 1948 - 1989 Abstract The primary objective of this dissertation is to reconstruct the investigation of political delinquency in the environment of military forces. The text is focused on the persecution of military personnel in the years 1948 - 1989. The key issue is described in the broader context of the socialistic legal system and contemporary structure of power and political development of the Czechoslovakian state. The author used methods of legal history, the roots of which are interdisciplinary and lie on the boundary of legal and historical science. The text is integrating the recent material and procedural criminal law, which is considered to be a part of public law. Moreover, this theses draws out of archival sources and files created by military investigating organs and organs of military prosecution. The author also used rare historical sources, which are typical for contemporary history. We are talking about film documents and memories of participant. Basic stated algorithm is bet in the context of Czechoslovakian political progress after events in February 1948. Master's thesis called Spiritual needs in people with cerebral palsy and their saturation in social care focuses on expressing spirituality in people with cerebral palsy (CP) and studies what the spiritual needs may be and if personal care assistants (PCAs) can help to fulfil clients' spiritual needs. The theoretical part shows the issues of CP and the view to people with this disability, with the emphasis to the options of their participation for life in society. It deals with the topic of spirituality and spiritual dimension as one of many dimensions of human personality. After presenting several important theories of needs it continuous with the role of PCAs and their role in fulfilling the clients' spiritual needs. The practical part proceeds from the combination of quantitative and qualitative research; from a questionnaire inquiring the expressiveness of the spirituality and its sharing with PCAs, and interviews seven people with CP inquiring their spiritual needs and possibilities of their fulfilling by PCAs. The results show concrete and stronger spirituality expressing in people with CP than in major population and that the spiritual needs come out from their live situation. This thesis discusses the limits of statute of contractual obligations solely from the perspective of conflict of law rules. It is based primarily on the analysis of national conflict of law rules contained in Act No. 91/2012 Coll., On Private International Law. There are also analyzed relevant standards of the European Parliament and Council Regulation (EC) No. 593/2008 on the law applicable to contractual obligations (Rome I) and conflict of law rules in the German Initial Act to the Civil Code, as well as in the Swiss Act on Private International Law. The primary hypothesis of this work is the concept of a single contractual statute, which governes contractual relationship since the early beginning to the end. The secondary hypothesis follows the departure of German international private law from the principle of seat for the principle of incorporation.
