Abstract:
ABSTRACT Prior literature suggests that investors react less strongly to information in less readable disclosures. We extend this literature by considering how disclosure readability affects the sensitivity of investors' valuation judgments to the information contained in outside (i.e., non-firm) sources of information. Using an experiment, we present investors with a disclosure containing mixed news about the valence of firm performance, and this disclosure varies in readability. We find that investors who initially view a less readable firm disclosure provide valuation judgments that incorporate the outside information to a greater extent, such that their valuation judgments are more sensitive to whether outside information is relatively more or less supportive of management's positive forward-looking statements. We find evidence that this occurs primarily because investors who view a less readable initial disclosure feel less comfortable evaluating the firm and, in turn, rely more on the outside information. We also find that viewing a less readable firm disclosure indirectly increases the extent to which participants search outside information. Combined, our results suggest that investors' valuation judgments may be more influenced by outside sources of information when managers provide less readable firm disclosures, potentially limiting the extent to which managers can benefit from strategically issuing less readable disclosures to obfuscate poor performance. These findings also imply that investors might over-rely on more readable disclosures while discounting outside sources of information about the firm. Data Availability: Contact the authors.

Corporate disclosure has been subjected to calls for corporate transparency by corporate governance movement as a matter of good corporate governance. Managers face substantial pressure to make more transparent disclosure of their activities to promote efficient governance of their companies or risk losing legitimacy from the perspectives of the investors and other stakeholders. Using the annual reports of 155 Malaysian listed companies, this study investigates the competing effects of board structure and institutional pressures on the extent and credibility of corporate voluntary disclosure during the period when public listed companies in Malaysia faced new corporate governance regulation. This study provides evidence that under the influence of dominant owners on board, management voluntary disclosure decisions are driven by mimetic pressures when their company is structured to meet expectations of good corporate governance. Managers’ voluntary disclosure strategy to gain legitimacy seems to override their incentives to disclose credible information to outside investors. This inference is consistent with the evidence that management voluntary disclosures are not viewed as credible by outside investors. These findings contribute to a better understanding of the relationships between various board structures and institutional pressures on management disclosure decisions in particular agency settings.

Abstract:
Purpose The purpose of this paper is to present an exploratory essay evaluating whether involuntary intellectual capital disclosure (ICD) is value relevant to stakeholders. The authors define involuntary disclosure as “what external stakeholders and stakeseekers disclose about a company”. This essay is timely because it lays the foundations for future ICD research that departs from traditional analyses of corporate reports, especially annual reports. Design/methodology/approach The paper provides a critical reflection on current and future developments in ICD research. The normative arguments rely on the experience and expertise along with examples from the ICD literature and contemporary business media to critique existing ICD research and practice and to offer new ways forward for future research. Findings In highlighting the limitations of the traditional ICD literature, the authors provide a foundation from which researchers should contemplate a powerful new force in ICD brought about by the rapid transformation in technologies and forces of mass communication. The authors introduce the concept of “involuntary disclosure”, and highlight several key issues that intellectual capital (IC) researchers should consider if they want their academic endeavours to contribute not only to practice, but to a wider environmental and social good. Practical implications Involuntary disclosures produced by stakeholders and stakeseekers introduce opportunities and threats to organisations, bringing new risks that impact share value and reputations. How well organisation manage these risks, and the impact inside and outside organisational boundaries, to provide economic, environmental and social value, should provide ample fuel for future transformational IC research. Originality/value The most value relevant disclosures are not what an organisation discloses or reports about itself, but rather what stakeholders and stakeseekers communicate. However, how reliable are involuntary disclosures and how can stakeholders and organisations verify IC disclosures coming from outside the organisation? If involuntary IC disclosures are value relevant, how might organisations seek to influence and manage them to serve their ends?

ABSTRACT We examine factors influencing firms' strategic disclosure of executive pay in Korea. In Korea, executive pay is disclosed through directors' pay disclosure in a firm's annual report. Because the disclosure rules in Korea do not mandate but only recommend that firms distinguish between inside executive directors and outside nonexecutive directors when reporting the average pay of directors, this regulatory policy provides a unique opportunity to examine managers' incentives to opportunistically manage the disclosed levels of average executive pay. We find that strategic disclosure for cloaking executive pay prevails when firms have weak corporate governance and high (low) political costs of disclosing high levels of executive pay (making strategic disclosures), but that such disclosure is not associated with proprietary costs. Furthermore, using the subsample of firms that can choose between different types of strategic disclosures, we examine whether firms base their choice on the political costs of making the strategic disclosures. In our data setting, there are two major ways of strategically managing the disclosed average executive pay downward: (1) deliberate aggregation of inside and outside director pay in the calculation of average director pay, and (2) inclusion of part-time inside directors who receive a minimal or substantially low level of pay (which, of the two schemes, is the less visible). Our results suggest that the higher the political costs of a firm's strategic disclosures are, the less visible the firm's cloaking of executive pay will be. Pregnancy outside of marriage is counsidered to be embarassing socially, culturally and even religiously in Indonesian society. it becomes difficult when a mother, who had non-marital pregnancy, wants to reveal the information about herself to non-marital child. in this case there is a dilemma for self-disclosure. on the one hand it is very important for the mother to disclose herself. however, on other hand, there are several risks that will be faced by the parent when revealing the fact that she was pregnant outside of marriage. the purposes of this study were to find out the aspects influencing the self-disclosure of the mothers ti their non-marital children and the factors influencing the self-disclosure. a qualititative research design using a case stidy approach was employed in this study. the subjects were to the mothers (N and M), who had been pregnant outside of marriage, perfoming self-disclosure to their non-marital children. they were selected using purposive sampling technique. data were collected and extracted using observation and interview methods. the result of the study was the process of self-disclosure viewed from the aspects of accuary, motivation, time, intensity, and depth and breadth. it was aslo viewed from the influencing factors, namely reciprocity, norm, trust, relationhip quality and gender, which showed that both subject, N and M, perfomed self-disclosure in a similar way and their self-disclosure was carried out by including the influencing aspects and factors.

Abstract:
[Purpose] This study investigates factors affecting the voluntary disclosure of environmental expenditures in Korea. For this purpose, we select firms listed on the KOSPI 200 from 2011 to 2021, excluding financial firms.
 [Methodology] We consider whether a firm manages environmental performance, international influences, and internal corporate governance as determinants influencing voluntary environmental expenditure disclosure and conduct logistic regression analyses.
 [Findings] First, firms that set a target level for pollutant emissions and firms that are assigned good ratings regarding environmental performance from KCGS are more likely to disclose environmental expenditures voluntarily. Second, strong international influences, proxied by a high export ratio and foreign ownership, are positively associated with the voluntary disclosure of environmental expenditures. Third, good internal governance, proxied by good governance ratings assigned by KCGS and the ratio of outside directors to total directors, is positively associated with the likelihood of firms’ voluntarily disclosing environmental expenditures. Lastly, we find that voluntary disclosure of environmental expenditures has a positive effect on firm value, while the amount of environmental expenditures itself shows statistically insignificant effects on firm value.
 [Implications] This study contributes to the literature by investigating factors that determine voluntary disclosure of environmental issues in Korea. Moreover, by showing the positive value implications of such disclosures, we encourage managers to disclose environmental issues voluntarily.

<p>This study examines whether directors appointed after a Chief Executive Officer (CEO) assumed office (“co-opted” directors) affect corporate voluntary disclosure. I find evidence that firms issue management earnings forecasts less frequently when directors are co-opted. These results hold even when these directors are considered independent by regulatory definitions. Cross-sectional tests indicate that my results are stronger when firms disclose bad news, provide higher pay to co-opted directors, CEOs have greater ability to withhold disclosure, and co-opt directors early in the CEO’s tenure. I use NASDAQ/NYSE listing requirements as an exogenous shock to board co-option and find that director co-option has a causal link to less voluntary disclosure. I further show that the effect was robust to the effect of CEOs’ disclosure preferences and experience inside the firm. This study suggests that boards that appear independent using the conventional measures may fail to elicit adequate voluntary disclosure to monitor managers. </p>

The purpose of this study is to investigate the impact of the relationship between the degree of interlocking outside directors and the associated firm performance, and to provide meaningful implications to academic research stream and business practitioners. We incorporate the viewpoints of corporate governance into our models, and collect the data from Taiwan Economic Journal (TEJ) to test the proposed hypotheses. The research period is from 2006 to 2014, and the sample is composed of 491 firms, 2673 observations. Using Hausman test, fixed effect are applied to the models in this research. The result shows that: (1) the higher the degree of interlocking outside directors of a firm, the worse performance it has; (2) information transparency and disclosure will mediated the relationship between the degree of interlocking outside directors of a firm and its associated performance.

According to the interpersonal process model, interactions characterized by self-disclosure and empathic responding foster emotional intimacy between the two participating individuals (Reis & Shaver, 1988). This study provided “insider” and “outsider” perspectives of this model, examining the relation between perceived and observed behaviors in couple interactions and their relative contributions to the development of intimate feelings. The sample consisted of 102 community couples who completed measures of intimacy after engaging in videotaped discussions about relationship injuries that occurred both within and outside of the relationship. Both self-report and observational measures were used to assess disclosure and empathic responding during these discussions. There was significant agreement between self- and observer-report of men’s behavior, between self- and observer-report of women’s male partner’s behavior, and between partners’ report of disclosure and empathic responding. There was mixed support for global distress and attachment style as predictors of differences between self- and observer-report. Whereas an earlier study using observational measures found gender differences in the effect of self-disclosure and empathic responding on intimacy (Mitchell et al., 2008), in this study self-report measures from the same sample indicated that perception of both an individual’s own and his or her partner’s disclosure and empathic responding predicted intimacy for both men and women. Observational measures provided incremental validity relative to self-report measures in predicting intimacy. These findings suggest that targeting certain personal and relational characteristics may be helpful in treating intimacy deficits and also indicate that self-report and observational measures provide unique information about the influence of behaviors on the development of intimate feelings in couple relationships.

Hedge funds have grown in size, number, and complexity, but continue to operate largely outside the scope of government regulation and with limited disclosure requirements. This provides them with several advantages over institutional investors such as traditional investment funds. Hedge funds also often reap substantial benefits from special tax provisions that are increasingly criticized and deemed no longer appropriate. This chapter reviews the legal and operational structures typically used by hedge funds and their managers, sponsors, and investors to optimize their tax setup. In particular, it discusses the case of U.S. domestic hedge funds set up as a limited partnership as well as the case of offshore funds based in the Cayman Islands. It also analyzes the specificities of U.S. taxable and U.S. tax-exempt investors as well as foreign investors.

International mining disputes often involve highly sensitive technical and financial information that parties may want to protect from those outside of the dispute process and, indeed, even from the other side in the dispute process itself. While most arbitral rules contain general provisions regarding privacy, they do not provide a clear framework for how sensitive or confidential information is to be protected from disclosure. This is largely because it is for the parties to agree upon how confidential information is to be protected or, if necessary, for an arbitral tribunal to decide based upon an application of a party to protect certain information after both sides have had an opportunity to be heard. This chapter discusses document production in international arbitration; the strategic importance of maintaining confidentiality in international mining disputes; and procedural devices to preserve confidentiality in international mining disputes.

AbstractPerspectives on the protection of the individual are usually based primarily on the question of how a person and their personality rights may be harmed by the retention and disclosure of data concerning this particular individual. Hence the intentions of the European GDPR to allow for “minimisation” and “storage limitation” when it comes to personal data and the correlating “right to be forgotten” (“right to erasure”). Although these intentions apply primarily to data controllers other than archives, most often of private law provenance, they also apply to archives. Along with this trend, however, the opposite perspective proportionally fades, which is the starting point of this chapter: Apart from the risks associated with the preservation and disclosure of personal data, archiving in the public interest is also one of the tools by which the protection of personality rights can be implemented, even enhanced. Permanent preservation of certain categories of personal data is not only necessary for various future research purposes and official interests, but in some cases such preservation becomes the key guarantee of the protection of personality as well as other human and civil rights. The author will demonstrate this thesis on some specific cases including a specific category of records testifying about sexual abuse inside and outside the Church and the protection of victim rights. An analysis of the opposite situation, in which personal data, especially in archival records, have been misused, will be discussed in more detail in the following chapters.

It provides the prototype of communication among creatures, including speech and song, as well as the telos of all authentic communication: eschatological participation in the communion of the Trinity. This chapter considers key moments from a trinitarian history of prayer and worship, highlighting the interaction of Word and Breath both in God’s self-disclosure in creation and redemption (going out), and in the return path of prayer, worship, and thanksgiving (coming in). This chapter offers one possible Roman Catholic approach—drawing on Hildegard of Bingen, Yves Congar, Etienne Vetö, and the Second Vatican Council. The methodological assumptions are largely pre-critical, following practices typical of patristic and medieval writers, enshrined not only in strictly theological works but also in liturgical texts and lectionaries and continued by hymn writers and poets.

AbstractVirtual design production demands that information be increasingly encoded and decoded with image compression technologies. Since the Renaissance, the discourses of language and drawing and their actuation by the classical disciplinary treatise have been fundamental to the production of knowledge within the building arts. These early forms of data compression provoke reflection on theory and technology as critical counterparts to perception and imagination unique to the discipline of architecture. This research examines the illustrated expositions of Sebastiano Serlio through the lens of artificial intelligence (AI). The mimetic powers of technological data storage and retrieval and Serlio’s coded operations of orthographic projection drawing disclose other aesthetic and formal logics for architecture and its image that exist outside human perception. Examination of aesthetic communication theory provides a conceptual dimension of how architecture and artificial intelligent systems integrate both analog and digital modes of information processing. Tools and methods are reconsidered to propose alternative AI workflows that complicate normative and predictable linear design processes. The operative model presented demonstrates how augmenting and interpreting layered generative adversarial networks drive an integrated parametric process of three-dimensionalization. Concluding remarks contemplate the role of human design agency within these emerging modes of creative digital production.

AbstractSex work is one of the most stigmatised professions in many parts of the world. In Kenya, where it is also illegal, sex workers can even face rape and abuse at the hands of law enforcement agents when it becomes known how they earn a living. As a result, sex workers rarely disclose their profession to family members, let alone outsiders. This means that the involvement of Kenyan sex workers in research over the years has been highly risky, as most research efforts collect personal data. This chapter describes a four-stage investigation into how sex workers define vulnerability for themselves. The approach was community-driven, community-led and, in the main, community-analysed. Importantly, no personal data was collected, and all engagement was undertaken by trusted facilitators and a sex worker community researcher. Findings showed that structural vulnerabilities are intersectional and stigma-aggravated. At the root may be poverty, but the stress created by being stigmatised can lead to mental health problems which, in turn, can aggravate poverty and stigma. The Kiswahili term mnyonge may capture the essence of vulnerability, expressing a sense of weakness without the ability to defend oneself.

This chapter addresses the Securities Act registration framework. In its determination to maintain a transaction-based Securities Act registration framework while making necessary adjustments, the SEC has appropriately acted. With the improvements made, the registration framework functions in a relatively efficient manner and generally provides investors with adequate safeguards. Nonetheless, significant deficiencies exist which are addressed in this chapter. Among the improvements that should be implemented are: mandating that all material information (absent a meritorious business justification) be contained in a registration statement; limiting the use of incorporation by reference to those issuers whose securities in fact trade in efficient markets; and requiring that a sufficiently comprehensive summary section be included in the statutory prospectus. The chapter also focuses on due diligence and the integrated disclosure system. In the context of incorporation by reference and shelf registered offerings, the dilemma faced by outside directors and underwriters in performing their due diligence functions can be largely ameliorated by: for outside directors, the presence of a vibrant disclosure committee (comprised solely of outside directors) that is actively engaged in the disclosure process; and, for underwriters, the retention by a subject company’s audit or disclosure committee of a reputable law firm to conduct continuous due diligence on the prospective underwriter’s behalf.

Due to the SARS-CoV-2 pandemic, many changes can be observed in almost all life situations, perhaps most notably, in the educational sector. In this context, concepts of learning counselling must be given more attention. This research contribution examines the question of how collaborative online tools to support the teaching-learning processes in higher education and vocational schools can be utilized. The aim is to improve the existing learning environment. For this purpose, the frequency of the usage of tools such as tests and forums on an open-source online learning platform ILIAS™ was analysed and discussed. In addition, the Adobe Connect™ web meeting software to be used in online teaching scenarios was also included in our investigation to explore the exchange of participants via discussion forums or virtual classrooms. The research team carried out an online sampling survey of ILIAS™ users at one university and five vocational schools in Germany in June 2020. The survey included these measures: Single answers, multiple answers, questions of scale, and free text questions. The response rate at the university was 25.10 % and at the vocational schools 17.2%. The data were evaluated with the help of descriptive statistics to determine frequency distributions and mean value calculations. This contribution will lead to a discussion regarding the continued disclosure of the learning potentials about a useful combination of both tools ILIAS™ and Adobe Connect™. The results shown suggest that the development towards virtual teaching scenarios, which has become a necessity under the forced conditions of the lockdowns, has a tremendous effect on teaching and learning processes in terms of didactics tailored to different target groups and needs in and outside the classroom. The article analyzes the strengths and weaknesses of Soviet university textbooks on the new history of Asian and African countries. The emphasis is on presenting the history of the countries of the African continent in them, which is the scientific novelty of this study. Consideration in the article of three generations of textbooks, prepared mainly by scientists of the Moscow school of orientalists, allows us to conclude that this type of educational literature played an important role in the formation of knowledge of students of the former Soviet Union in African studies, the study of which in universities was subordinated to the general tasks of the development of Soviet oriental studies. It can be considered a merit of Soviet Africanists that for the first time in world science they began to consider African peoples as the subject of a historical process; as part of the world revolutionary movement; in the fact that they put forward new topics for their research work: questions of the disintegration of traditional society, the formation of classes, the forms and methods of colonial expansion and the organization of the struggle for social and national liberation. The material presented in the textbooks on the history of the Black Continent is characterized by the breadth of coverage of events, the depth and originality of the disclosure of the problems of the history of Africa. Textbooks are supplied with illustrations, maps, chronological tables. The shortcomings include the ideological orientation of educational literature for higher education, with an emphasis on the colonial policy of European countries and forms of protest against “colonizers and exploiters”; insufficient attention to the issues of ethnography, demography, spiritual life, culture and art, traditional crafts and way of life of African peoples, which remained outside the field of view of the authors.

The current case study examines the ways in which 31 university students learning English in central Japan use digital language learning strategies to become more autonomous learners outside the classroom. The study also examines how important students believe technology is for their own personal language learning and compares lower-tech language learning strategies to more modern ones, asking students to disclose which types of strategies they prefer to use and why (e.g., pencil and paper vs. apps and websites, etc.). The study looks closely at survey data as well as in-depth interviews that were held with a sample of the participants. The data found that students overwhelmingly use more high-tech strategies for language learning purposes and that they primarily use their smartphones to help them improve their English skills. Moreover, students reported to being conscious of how and when they use technology for language learning purposes.

Resumen La ponencia consiste en compartir y analizar en profundidad el quehacer comunicativo del Museo de Cultura Popular de la Escuela de Historia de la Universidad Nacional de Costa Rica, específicamente a partir de la iniciativa de diálogo virtual denominada “#elmuseodialoga”, la cual ha potencializado la presencia del museo en las redes sociales académicas y ha contribuido a potenciar enlaces dialógicos con académicos, dentro y fuera de la universidad, así como con actores de la sociedad civil en su conjunto. Esta iniciativa surgió ante el desafío presentado por la pandemia COVID 19 con el fin de potencializar acciones de extensión y difusión de carácter virtual por medio del uso de las redes sociales con las que cuenta el museo, por ejemplo, el canal de youtube, Facebook, Instagram, Twitter y linkedin. Para ello, académicos que laboran en el museo y estudiantes de la Escuela de Historia, han aunado esfuerzos en pro de generar una alternativa de comunicación acorde a los nuevos desafíos de la virtualidad. En ese sentido, se ha potenciado a lo largo de poco más de un año, cuarenta ediciones de diálogo virtual, contando con invitados tanto nacionales, como internacionales, esto último dentro de la modalidad #elmuseodialogainternacional. El espacio de diálogo cuenta con tres ejes trasversales que permiten cubrir un amplio espectro de posibilidades temáticas: a) Cultura popular, historia, arte y patrimonio, b) difusión del quehacer académico y c) temas de actualidad nacional e internacional. En el primer eje abordamos todo lo relativo a patrimonio cultural, materia e inmaterial, tradiciones, cultores populares, arte costarricense, entre otros. A partir del segundo eje, trabajamos en difundir el aporte de investigaciones de académicos tanto de la UNA como de otras universidades nacionales e internacional, con el fin de divulgar a públicos más amplios la contribución del conocimiento producido por las universidades a la sociedad en su conjunto. En el caso del tercer eje, reforzamos la relación pasado-presente, generando espacios de lectura de la realidad nacional e internacional, abriendo también horizontes de prospectiva. Resume The presentation consists of sharing and analyzing in depth the communicative work of the Museum of Popular Culture of the School of History of the National University of Costa Rica, specifically from the virtual dialogue initiative called "#elmuseodialoga", which has potentiated the presence of the museum in academic social networks and has contributed to fostering dialogic links with academics, inside and outside the university, as well as with actors from civil society as a whole. This initiative arose in order to enhance virtual extension and dissemination actions through the use of social networks that the museum has, for example, the YouTube channel, Facebook, Instagram, Twitter and LinkedIn. To this end, academics who work at the museum and students from the School of History have joined forces to generate a communication alternative in line with the new challenges of virtuality. In this sense, forty editions of virtual dialogue have been promoted over the course of just over a year, with both national and international guests, the latter within the #elmuseodialogainternacional modality. The dialogue space has three transversal axes that allow covering a wide spectrum of thematic possibilities: a) Popular culture, history, art and heritage, b) dissemination of academic work and c) current national and international issues. In the first axis we address everything related to cultural heritage, material and immaterial, traditions, popular cultists, Costa Rican art, among others. From the second axis, we work on disseminating the contribution of academic research from both the UNA and other national and international universities, in order to disclose to wider audiences, the contribution of the knowledge produced by universities to society as a whole. In the case of the third axis, we reinforce the past-present relationship, generating spaces for reading the national and international reality, also opening prospective horizons.
