Abstract:
One way to mitigate agency conflicts between shareholders and managers in publicly traded companies with dispersed ownership is supplementation of independent outside directors to the board, who can monitor the top executives and prevent them from malfeasances. However, in conflict of interest situations, independent board members are not always enabled to oppose senior managers, particularly CEOs, who put their personal interests above those of shareholders. In such cases, the efforts of independent directors to monitor managers will be unsuccessful, which, in turn, may result in the latter receiving unjustified personal benefits at the expense of shareholders. Active participation of independent directors in resolving situations where interests of these groups do not align ensures the mitigation of tension and the proper functioning of the company. Thus, the establishment of cases where independent outsiders cannot fulfill their basic duties of shielding shareholders appears to be rather a significant issue.

The external directors, who serve by law on the board of directors, are responsible for ensuring that, in addition to protecting the interests of stakeholders, the company will take the public interest into consideration. In this research we critically assess this system of corporate governance, and examine whether the external directors can actually succeed in looking out for the public’s interest. The research is based on in-depth interviews with external directors of leading public companies in Israel, representing different sectors. The issue at stake is both conceptual and practical: Conceptually there is an issue of how the notion of "the public interest" is understood and whether the legal construct of "outside directors" is capable of manifesting the public interest. Practically the issue at stake has to do with organisational sociology and how the relations within the Board are set and who are the outside directors.

Abstract:
Advances in Virtual reality have brought opportunities for cinematic content to the users by allowing them to look around freely in any arbitrary direction and to interact as they please. This, however, imposes difficulties to the content creators as the freedom given to the audience results in less control over the user. The lack of control over what the audience is paying attention to could cause them to miss out on important points of interests and content creators can no longer rely on previous methods to draw and direct their attention. This study aims to find different means in how to direct and draw the attention of participants inside a 3-dimensional virtual environment without disrupting the virtual experience. This is achieved by comparing five different approaches in the virtual environment to navigate the participants. These approaches are Flicker, Dim, Auditory feedback, Haptic feedback and Tilt. A total of 15 participants participated in this study and were, post simulation, given a questionnaire to evaluate which approach was the least obvious, confusing and disturbing. One approach, flicker, had the best outcome in terms of guiding the participants in the virtual environment but was perceived to be the most disturbing one as well.

<p>In this age of ubiquitous advertisement, people are getting more and more burdened withadvertising clutter. Digital Signage (DS) has evolved to be a new medium that can cut throughthis clutter and reach a large number of consumers. Though Digital Signage was introduced asan in-store advertising medium, soon it started to replace traditional static billboards with thebenefit of technological advancement.</p><p>While advertising effectiveness is a much discussed subject, effectiveness of an advertisingmedia is still a less explored area. Our research explored the effectiveness of Digital Signageas an advertising media in terms of its placement inside of a store and outside of a store. Atthe beginning we developed a model to measure the effectiveness of Digital Signage on thebasis of an existing model, termed as Advertising Response Model (ARM). Based onprofound study and analysis of previous literature on advertising and media effectiveness,consumer psychology, outdoor advertising and intermediate measurement variables weconstructed the modified version of ARM that deemed to be the best fit with our purpose. Wefurther developed four hypotheses on the basis of the four major variables of our model.</p><p>The result of our study indicated that placement of Digital Signage inside and outside of thestore environment impacts the variables of Attention, Recall and Media Liking of theaudience differently. However, no significant difference in consumers’ Buying Interest issupported. Placing Digital Signage inside of the store as well outside of the store both hasdifferent degrees of impact on consumers in terms of Attention, Recall and Media Liking. Thecorrelations among the variables were also explored and thus we presented some strategicinsights about the placement of Digital Signage and practical implications for managers in thescope of our study.</p><p>Our research area has received comparatively less academic attention than other advertisingmedia. However, considering the growing importance of Digital Signage as a groundbreakingadvertising medium and scope of future research work, we believe Digital Signage will be asubject of interest for the academics, the advertisers as well as for the companies.</p>

This causes a search problem when the region-of-interests (ROIs) in a video are outside of the current field of view (FOV) on the screen, or users may search for non-exist ROIs. We propose Outside-In, a visualization technique which re-introduces off-screen ROIs into the main screen as spatial picture-in-picture (PIP) previews. The geometry of the preview windows further encodes the ROIs’ relative directions to the main screen view, allowing for effective navigation. To mitigate occlusion caused by multiple PIPs, we further introduce rapid serial visual presentation (RSVP) to ensure that each preview is fully visible within divided time. Our user studies identified effective designs to maintain readability in preview geometry and the RSVP interval. Two applications demonstrate using Outside-In for effective 360 video navigation on touchscreens and in live telepresence.

It is necessary to supplement the current regulations that are considered to hinder industrial transformation. Therefore, on June 4, 2017, the "Fundamental Science and Technology Act" was amended, and on January 5, 2018, the " Government Scientific and Technological Research and Development Results Ownership and Utilization Regulation " was amended, and on March 27, 2018, " Regulations on Researchers’ Concurrent Job and Pricing Technology Contribution "was amended, which push the academic Faculty flow to industries. Although the Faculty of public higher education, are responsible for administrative duties, shall exclude the application of the "Civil Servant Work Act" to stipulate that business may not be operated. However, the tangible assets and intangible assets of public higher education institutions are difficult to get rid of the nature of public finances. The process and results of the use and commercialization of public finances have the disadvantages of conflicts of interest and private use of public utilities, and are subject to public supervision. Under the relaxation of the regulations, the potential risks of "conflict of interest" and "conflict of commitment" are more prominent. Therefore, it is necessary to control the density of these conflicts to maintain the reputation of researchers and public trust. This paper is a study of regulations of public higher education teachers and researchers who engage in part-time jobs or outside professional activities. And introduce the managing mode of United States University of California. We can review and recommend them to revise ours.

Filling an important gap in extraterritoriality studies and in the history of Anglo-Korean relations, this benchmark study examines Britain’s exercise of extraterritorial rights in Korea from 1884 until Korea’s formal annexation by Japan in 1910. It shows how the treaty provisions—which provided for Britain’s ideal extra-territorial regime—were influenced by Britain’s considerably greater experience in Japan beginning in 1859. The caseload proved miniscule in the absence of any large British commercial or maritime presence. Nevertheless, it provides an insight into extra-territoriality’s operation outside major commercial centres and ports. Britain’s protection of Chinese interests in Korea in the aftermath of the Sino-Japanese War, 1894–1895 is also covered.

The monograph is a comprehensive study of the current practice of resolving cases on determining the place of residence of children, the procedure for communicating with them separately living parents and other relatives; restriction and deprivation of parental rights; on the departure of children outside the Russian Federation and return within the framework of the Convention on Civil Aspects of International Child Abduction of 1980, the Convention on Jurisdiction, Applicable Law, Recognition and Enforcement and Cooperation in relation to Parental Responsibility and Measures for the Protection of children of 1996.The relations that develop between the child and parents, the child and the court, parents and the court, as well as parents as parties to the process are analyzed. The central place is occupied by the study of the content of the concept of the best interests of the child as a guarantee of the protection of his rights and the vector of development of the current legislation. The cases of abuse of parental rights and improper performance (or non-performance) of parental duties, illustrated by current judicial practice, are considered. The analysis is presented: measures of family legal responsibility, including restriction and deprivation of parental rights in connection with non-execution of a court decision on the upbringing of a child; features of the application of principle 6 of the Declaration of the Rights of the Child in resolving disputes about the place of residence of children; the possibility of taking interim measures in disputes between parents about upbringing; the ratio of legal and psychological categories in child-parent relations in order to apply special knowledge; the procedure for conducting forensic examinations in these categories of cases. Finally, the possibilities of out-of-court settlement of some family disputes, including through mediation, are investigated.&#x0D; For a wide range of readers interested in the rights of the child. It will be useful for students, postgraduates and teachers of law schools.

This book explores the extent to which contemporary international law expects states to take into account the interests of others, namely third states or their citizens when they form and implement their policies, negotiate agreements, and in general conduct their relations with other states. The contributions to this book also inquire whether international law imposes on states in certain situations not only the duty to consider the interests of people outside their territory or control but also the duty to accommodate them—at least to a certain extent. The book considers various manifestations of what has been described as community interests in most areas regulated by international law. Accordingly, this book takes stock of the state of contemporary international law and observes the extent to which the law has in fact evolved from a legal system based on more or less specific consent and aimed at promoting particular interests of states to one that is more generally oriented toward collectively protecting common interests and values. By systematically covering different areas of law, we are asking in each area whether states are required to take into account the interests and rights of third states (or of the persons under their jurisdiction or control). The book does not provide clear answers in favor of a simple progress narrative, but assesses the degree to which elements of one or the other paradigm coexist and interact in different fields of international law.

AbstractThe many faces of the European Council make it a core component of the institutional machinery maintaining relations between the EU and third countries, including Turkey. This chapter identifies the European Council’s roles as the EU’s ‘master of enlargement’, ‘external voice and crisis manager’, and ‘agenda and direction setter’ as its three primary functions that drive the EU–Turkey relationship. The central focus of the chapter is the evolution of the European Council in framing relations with a candidate country—or what many now call a ‘strategic partner’—and the identification of the critical turning points and shifts in the central functions, internal dynamics, and preferences of this key institution. The findings indicate a growing trend toward a more conflictual, relatively hostile relationship between the European Council and Turkey as a result of diverging geopolitical interests—especially in the Eastern Mediterranean—and normative considerations. Furthermore, the analysis reveals an expanding impact of bilateral issues and member states’ individual preferences on the European Council’s role as a driver of EU–Turkey relations. Still, with their powers, the Heads of State or Government are likely to remain a key driver of the future trajectory of the relationship, demonstrating an increased interest in ‘thinking outside of the accession box’ and in framing a relationship model that would safeguard EU–Turkey relations amidst growing disagreements with Ankara.

Abstract:
Over two billion persons worldwide use biomass as their primary form of energy in household cooking. This creates significant adverse consequences to families in developing nations that use stoves made without technical advancements commonly used in the industrialized world. The often simple, ad-hoc stoves lead to harmful side effects including disease, pollution, injury, and deforestation. Further negative consequences arise in household economics when considering losses in labor, time spent gathering fuel, and high fuel costs relative to income. Because of this much research over the past 10-20 years has been conducted with developing better household cooking methods. Findings from these efforts produced more effective stoves to accommodate the needs of impoverished families. Many of these projects began with philanthropic interests and grants to aid the world's poor. However outside of lump-sum funds for materials and labor there is often be little available to sustain the technical or human resources needed for continued stove utilization. One method to approach sustainability involves a market-based approach to better insure continuation of the benefits of improved cookstoves. This paper provides an assessment of the benefits of advanced cooking devices to both consumers and producers. Cement evaluation tools have been used in the oil industry for decades to examine the integrity of cement bonding to the well casing and openhole. It has been suggested that such tools also can be used to verify the presence of a crept shale formation that has formed a barrier outside the casing. However, the ability of these tools to help determine an acceptable leakage risk level, which results from sufficient hydraulic isolation outside and between casing remain a subject of dispute from experiences in the industry. In this paper we present results from ongoing research that may help contribute to resolving this dispute. The research objective is to design and build a ’shale as barrier’ reference calibration cell. The reference cell is to be designed and made accessible to existing and emerging annulus barrier evaluation methods. The purpose is to help increase the quality of decisions made from such barrier evaluation technologies in an explicit well plug and abandonment context. The technical complexity of dispute coupled to the voice of business and stakeholder interests have been identified as a factor that could make project execution challenging. As result, a method to assist the execution of the project has been developed to systematically assure necessary stakeholder and end-user involvement. In this paper we present the method and demonstrate its application as an useful basis for project decision making and documentation. The method focuses on the capture and treatment of stakeholder preference elicitation, which is framed by traditional stages defined in the reference cell development process by adopting the concept of quality function deployment.

Abstract:
Point of Interests (POI) identification using social media data (e.g. Flickr, Microblog) is one of the most popular research topics in recent years. However, there exist large amounts of noises (POI irrelevant data) in such crowd-contributed collections. Traditional solutions to this problem is to set a global density threshold and remove the data point as noise if its density is lower than the threshold. However, the density values vary significantly among POIs. As the result, some POIs with relatively lower density could not be identified. To solve the problem, we propose a technique based on the local drastic changes of the data density. First we define the local maxima of the density function as the Urban POIs, and the gradient ascent algorithm is exploited to assign data points into different clusters. To remove noises, we incorporate the Laplacian Zero-Crossing points along the gradient ascent process as the boundaries of the POI. Points located outside the POI region are regarded as noises. Then the technique is extended into the geographical and textual joint space so that it can make use of the heterogeneous features of social media. The experimental results show the significance of the proposed approach in removing noises.

With increased interests in oil and gas exploration in cold climate regions, it is not realistic that all construction activities can take place during the short summer and work will continue into the early fall and possibly later. The offshore contractors must, therefore, be ready to participate in construction work in these regions during an extended season, i.e. outside the summer season with milder weather conditions. It is also important that some key work-intensive activities (e.g. pipe laying) can start as early as possible in the season. This paper will discuss the challenges associated with construction work in cold climate regions with emphasis on the physical conditions, in particular with reference to Polar Low Pressures and the potential for icing, as well as the logistics of working long distances from established supply bases. Large uncertainties in weather forecasts call for proper management decisions accounting for the specifics of the area. Long periods of “waiting on weather” might result and management must have the patience to wait until safe operations can commence. Emphasis will be on the Barents Sea where recent hydrocarbon findings have proven very encouraging and where a huge area soon will be opened for exploration, following the agreement on the border between Norway and Russia, potentially calling for joint Norwegian–Russian construction projects (Bulakh et al., 2011).

Abstract Physical laboratory experiments are built to provide students with hands-on opportunities and have long been crucial for engineering training. However, due to the rapid growth in number of enrollments, limited and shared space, undergraduate students have experienced an increasing difficulty gaining valuable hands on experience in the lab. While traditional lab should never be abandoned, adding virtual labs to assist with it could benefit students without the limitation of enrollment capacity or lab availability. In this paper, we discussed a pilot study of developing a virtual fluid mechanics laboratory to supplement existing physical lab exercises. The virtual lab was designed to enrich students’ lab experience, stimulate interests, and bring more individual exercise time. It was developed to contain two components: a virtual lab tour and a virtual reality (VR) simulated pump experiment. The virtual tours served as a pre-lab instruction tool that provided students with an overview of the fluid mechanics lab. The VR pump experiment replicated the physical experience of performing the physical lab. Preliminary feedbacks were positive for both components of the virtual lab. Students considered that the virtual tours were very informative and useful, while that the VR pump lab was intuitive and time-saving. This proved that with realistic lab simulations, the virtual lab had great potential to provide students more flexibility to perform hands-on experiment and to develop technical acumen outside of the physical classroom. Further improvement was discussed to implement in the next stage to create more immersive experience in assistance of the lab instruction.

In emergency situations, the people most affected are often those who are already vulnerable, and this certainly includes children. The “new normal” we are living in to defend ourselves against this tiny yet dangerous enemy has serious repercussions on children’s lives. This becomes even more evident if we think of those children who are doubly vulnerable – they are even more fragile because they live in conditions of particular hardship when they live outside their family, have a disability, or live in poverty. Since the beginning of the Covid-19 pandemic, we have witnessed the proliferation of numerous initiatives by various national and international children’s rights institutions, which have called for urgent measures to protect children’s rights. At this precise moment, the concept of the child’s best interests is also reinterpreted as a result of a reasonable compression of certain children’s rights and the prevalence of others. The present paper will attempt an analytical reconstruction of children’s fundamental rights by analyzing how these rights have changed during the pandemic. In fact, it is necessary to know if and/or how much have the rights of minors changed as a result of the emergency. The second part of the paper is dedicated to the question of which children’s rights will be most compromised or changed in the post-Covid-19 era. In reflecting on the inevitable consequences that the pandemic will leave on the delicate balance of the development of children’s rights, the author will offer some proposals on how to contain the encountered difficulties.

Formal planning instruments and procedures have often been unpopular and ineffective for solving complex spatial issues, such as urban sprawl or transport congestion. As a result, such conflicts turn into complex planning tasks that usually exceed the provisioned time and funding, especially when faced with adversarial interests of actors from different organisations, sectors or social groups. Hence, informal planning, as a non-binding supplement to official planning instruments, is often considered highly effective. In its broadest sense, informal planning includes the principles of collaborative dialogue, diverse networks, trustful relationships and tailor-made processes among interested parties. Consequently, informal planning processes foster sound decision-making delivering a spectrum of problem-oriented solutions and increasing public consensus, while enacting experimentation, learning, change, and the creation of shared meanings among stakeholders. However, informal planning cannot be taken for granted – it is strongly interwoven with the planning culture influenced by the historical and political background, and the current socio-economic conditions. This paper revolves around several pillars. After an introductory section, a brief historical overview firstly identifies the place of informal planning in various planning models that have appeared since the 1960s. More specifically, informal planning is analysed against the theoretical concept of collaborative rationality. Finally, the paper focuses on a specific informal planning procedure called the ‘test planning method’, being analysed against the previously elaborated theoretical background. As this instrument links both formal and informal planning, its comparison and interrelation with the theoretical background of collaborative rationality contributes to elucidating the following attributes of adaptive (collaborative) urban governance: 1) flexible and agile institutional arrangements supportive to various kinds of urban planning mechanisms (not only official tools), 2) proactive and imaginative planners ready to accept solutions created outside the technical domain of instrumental rationality, and 3) inclusion of numerous stakeholders to exchange various information and different types of knowledge, i.e. expert and experiential knowledge. Observed through the example of the test planning method, the article finally highlights the successful aspects of informal planning, however, pointing also to its shortcomings, which could be expected in the societies with a lack of key democratic elements

This brief is based on a background paper prepared for the WHO/UNFPA/Population Council Technical Consultation on Married Adolescents, held in Geneva, Switzerland, December 9–12, 2003. The final paper is entitled “Including married adolescents in adolescent reproductive health and HIV/AIDS policy.” The consultation brought together experts from the United Nations, donors, and nongovernmental agencies to consider the evidence regarding married adolescent girls’ reproductive health, vulnerability to HIV infection, social and economic disadvantage, and rights. The relationships to major policy initiatives—including safe motherhood, HIV, adolescent sexual and reproductive health, and reproductive rights—were explored, and emerging findings from the still relatively rare programs that are directed at this population were discussed. Married adolescent girls are outside the conventionally defined research interests, policy diagnosis, and basic interventions that have underpinned adolescent reproductive health programming and many HIV/AIDS prevention activities. They are an isolated, often numerically large, and extremely vulnerable segment of the population, largely untouched by current intervention strategies. As stated in this brief, promoting later marriage, to at least age 18, and shoring up protection options within marriage may be essential means of stemming the epidemic.

Recent questions surrounding the repatriation, rehabilitation, and reintegration of those who traveled to join the Islamic State in Iraq and Syria (ISIS), the reintegration of violent extremists in conflict zones including Somalia, Nigeria, Libya, and Mali, and the impending release of scores of homegrown violent extremists from prisons in the United States and Europe have heightened policymaker and practitioner interest in violent extremist disengagement and reintegration (VEDR). Although a number of programs to reintegrate violent extremists have emerged both within and outside of conflict zones, significant questions remain regarding their design, implementation, and effectiveness. To advance our understanding of VEDR, this report draws insights from a review of the literature on ex-combatant disarmament, demobilization, and reintegration (DDR). The literature on DDR typically adopts a “whole of society” approach, which helps us to understand how systemic factors may influence VEDR at the individual level and outcomes at the societal level. Despite the important differences that will be reviewed, the international community’s thirty-year experience with DDR—which includes working with violent extremists—offers important insights for our understanding of VEDR.

The article examines the formation of the image of Ukraine by the French media during the Orange Revolution. The main factors influencing the tone of publications and difficulties in creating a positive external image of Ukraine in the French media are identified. The article is aimed at the analysis of scientific research on the influence of the French media on the formation of the image of Ukraine and its role in international socio-political processes. The study analyzes the materials of French journalists in the media, written during the events in 2004. The main factors influencing the formation of positive features of the Ukrainian state are identified. The main changes in perceptions of Ukraine in the French media are systematized. The influence of the media on the formation of the image and security of the state is determined. The main peaks of interest in Ukraine from foreign mass media are analyzed. Stereotypes and myths in the image of Ukraine that should be destroyed have been identified. The article also analyzes the role of the Orange Revolution in forming a positive image of Ukraine for foreign recipients. It is also investigated what factors influence the information space of the state and its role in image formation. Examples of Russian influence on the French media in order to undermine Ukraine’s image at the international level are given. Articles, radio and TV materials are offered as an example of interest and attention to the events of 2004. At the same time, the need to control the information that enters the information space outside Ukraine has been demonstrated. However, the positive effects of the image on the support of Ukraine by foreign partners have been identified.
