Full textThis thesis intends to highlight, thanks to a longitudinal study, a double paradox between union, management and environment. The process that has enabled unions and more precisely confederations to gain legitimacy about environmental issues since the 1970's was reconstructed based on trade-union archives. In reply to the absurdities of society and owing to the responsibility for the employees they defend, confederations set up union environmental policies. These policies, despite being irregular, are a support to activist actions to protect jobs, working conditions (health, safety) and personal life conditions of workers. Their expertise, partly outshined by other powerful actors, allows them to often be proactive with institutional decision-makers especially in order to have a legal framework favourable to a dialogue concerning the environment. That's how they participated in the creation of the first sustainable development report in 2001. Beyond the construction of a union history, this thesis contributes to the definition of the concept of participation in management and environmental management (Richard, 2012)

Full textLabour legislation could help to provide a juridical system suitable to reduce conflicts. A company should organize a peaceful coexistence, in order to avoid being forced, by excessive actions by the staff, to jeopardize its economic requirements. An employer has to adapt to syndicate movements, while knowing that a logic necessity exite between syndicalisme and politics, and that he has to act accordingly. The economic crisis entails the trade-unions'mobilization for the employment problem. An employer ought to adapt to circumstantial behaviour and discussion. If necessary, syndicate representation could be limited by restrictive criteria in determining the eligibility of those who may pass the threshold. Information provided by an employer,as well as the rules of collective discipline, habe to be adapted to the social partners. The checking of absenteeism does not preclude a system of medical counter-inspection. By adhering to the company's scheme, an association of the social partners can be obtained. If obligatory participation is inefficient, well-defined objectives habe shown to be an advantageous method to interest employees. Employee share-holding might be a peaceful solution. Juridical difficulties due to the liberty of the companies and to the competence of their sections can be solved. Employee participation in the business capital has to be planned harmoniously. By elaborating a social evolutive status, a solution can be found to the problems faced by those responsible for the achievement of labour contracts. At the beginning, during or at the end of a collaboration, compromises must be negociated, in order to avoid conflictual procedures. Individual merits can be taken into account by a system of dynamic remuneration. Very often, the social climate deteriorates for lack of will to explore different solutions. Juridical choices are only one aspect of a vast problem which has to be grasped by a pluridisciplinary and complexe approach

Full textTrade union militancy in VSEs: proposal for a typology of trade union participation of employee advisersThe literature has so far focused largely on union activism in large corporations. This study seeks to enrich it by attempting to understand the construction of union militancy of employee advisers in very small companies in France, an analysis that has so far been lacking to our knowledge. It is based on 132 semi-structured interviews with employee advisers, representatives of the five main representative trade union organizations (CGT, CFDT, FO, CFECGC and CFTC), employers' organizations and the State. By mobilizing the literature on union participation and job crafting, the study identifies three profiles of activism in the context of very small businesses: the "good soldier", the "rights defender" and the "societal fighter". The study highlights the mobilization of the job crafting process by employee advisers to build their union activism in very small companies. They manage resources and demands to build new trade union participation and extend their activism into new environments. The study also shows that union activism in very small firms is evolving towards more individualized relations with employees, greater autonomy and increasing professionalization of activities

Full textWhen a business is going through difficulties of the worst kind, is faced with the beginning of bankrupcy proceedings, questions on the outcome of work contracts and workers participation take on particular importance. As a complement to the 1982 auroux laws, the laws of 1st march, 1984 and 25th january, 1985 have been an attempt to find an answer. Although they are closely linked to work law, they ensure, in pratice, only a partial defence of employment. Article l. 122-12, para 2 of the work code is only of relative efficiency in employment protection. Despite the development of information and consultation with workers' representatives as well as a recognition of their involvement in the economic management both at a stage of prevention and treatment of difficulties, these initiatives have proved ill-adapted to any modification of the firm's trajectory. Finally no place has been reserved specifically for trade unions and the workers' representatives find themselves playing no role in the drawing up of an amicable agreement on these difficulties. Though there remains a feeling of incompletion, it must be recognized that the new laws are a social progress in comparaison with the law of 1967

Full textWhile the vote has a growing symbolic weight in the French system of industrial relations, especially since the reform of union representativeness in 2008, political science as well as industrial relations and labour studies have shown only marginal interest for electoral practices in the professional field. At the crossroads of these two disciplines, this thesis aims to render the individual, contextual and environmental logics of electoral mobilization and choice during workplace elections, building on the explanatory models of voting proposed by electoral political sociology.To this end, our thesis, which focuses on private sector employees in France, mobilizes and combines quantitative and, to a lesser extent, qualitative materials, collected at several levels: the MARS electoral database (Audience Measurement for the Calculation of Union Representativeness), the data from the REPONSE surveys (Industrial Relations and Company Negotiations) and from the 2010 SRCV survey (Statistics on Incomes and Living Conditions) as well as a questionnaire survey carried out among Pôle Emploi employees.In light of these materials, it appears that the workers’ electoral behaviour in professional elections, far from being inexplicable, depends on social logics. However, if the models proposed by electoral sociology prove relatively relevant, it appears necessary to adapt them to the specificities of the professional field. Thus, in the same way as Daniel Gaxie observed for the political field, there appears to be a "hidden census" in "industrial democracy". But the highlighted invisible barriers are much more related to the employees’ working conditions and contexts than to their educational capital: those who are both less likely to face workplace polls and, when they can actually vote, significantly more likely to abstain, are the most precarious employees, the least professionally integrated, the youngest as well as those employed in the smallest businesses. Similarly, if the employees’ electoral mobilization and choices depend on the contexts in which their votes are produced, what is decisive are the interactions in the workplace between the employees and their representatives or between the employees themselves.To reveal the reasons for employees' votes in professional polls helps to contribute, not only to the study of industrial relations, but also to the discussion on the explanatory models of voting in electoral sociology, especially since participations at political and workplace elections are closely linked

Full textThe administrative modernisation policy and the increase of collective agreements between the trade-union organisations of civil servants and the government, amongst others, are leading to the introduction of a multitude of contract-like instruments, in a field traditionally characterised by unilateral regulation, centres of responsibility and projects of services, working parties, think tanks, quality circles and selective talks, as well as devised agreements. Having presented the debates and developments, political as well as legal, leading to this established fact, it seems obvious that these contract-like instruments can only be improperly termed contracts. At the most they are declarations of intent without any legal effect and without right of reply. However, the requirements of continuity and stability of the system and the impact of international and European law demand a change in this state of affairs

Full textOver the years, several solutions were put forward in order to slow the decline of the unionization rate and to revitalize trade unions. One of these solutions is the use of information and communication technologies such as the Internet, websites and social media. Trade unions are increasingly adopting social media to communicate and engage with their members and the public, but are they using them adequately and are they fully exploiting their growing popularity? To answer these questions and to gain a comprehensive and nuanced understanding of the phenomenon, we looked at how ten unions in the field of education use social media and we tried to identify its positive impacts on certain aspects of the union life as well as the related constraints and risks. The aspects we chose to focus on are the mobilization and the participation of members and, in a subsidiary way, the recruitment of new members and the acquisition of public support. We therefore conducted semi-directed interviews with people managing social media from ten different Quebec unions. Our exploratory study highlights the significant potential of social media in mobilizing members, but also a great untapped potential regarding the way they are used. -- Keywords: social media, Web 2.0, union renewal, mobilization, participation

Full textIn this research, we raised the question if Quebec unions were able to act on the immediate work environment during the implementation of lean projects. So we tried to find out which factors of organizational work allow union members to make a lean project, an enabling organization? Our research explored three elements: 1) characterize the outcome of lean projects compared with an enabling organization, 2) characterize the organizational context of lean projects and identify the factors that influence the organizational work during the project and finally 3) characterize the organizational work of the trade union actors during the project and to highlight the factors which conduct to an enabling organization during the project. This exploratory research has been based on the method of multiple case studies. Five cases of lean projects have been documented in a single central union (CSN) by fifteen individual interviews and documents collection. For each project, at least two players were interviewed and documents associated with the project were collected, whenever it was possible. We were able to identify several factors that conduct to an enabling organization: (a) at the external of the business organization level: the act of making available a central union actor in the project with lean’s knowledge, and the presence of an external mediator in case of blocking; (b) at the business organization level: the construction of paritarism and actions and decisions of local officials regarding their participation; and (c) at the production and labour organization level: a way to use value stream mapping, actions and decisions to organize the performance indicators, the close supervision rules, the vertical and horizontal cooperation, as well as to organize the consideration of employees knowledge. These factors are all guidelines of action for trade unions and consultants who spread out lean projects.

Full textThis study it aims at to search and to understand the social phenomenon of the Representation of the Workers in the Workstation-RLT in the region of the Great ABC. Initially, through a literature revision, to trace a similar description of the plant commission and organizations for the world, being observed practical its in these countries and approaching participative administration and the European socialism and its self-determination. In a sequence to approach the commission of plant in Brazil, to tell the history of the first commission of official plant installed in the country, in the plant of the Ford in São Bernardo do Campo. It follows study of the tabulation of effected research of field, with emphasis to the following aspects: it of the RLT for the companies is evidenced practical; it consists RLT through employees indicated for the workers, companies or for the labor unions; it is regulated RLT through statute; it is accomplished participation and influence of the union of the workers in the RLT; the which interests take care of the RLT, companies, labor unions or workers. The methodology to be used is qualitative, is followed of research of field carried through in group, with interlacement of these data with the professional experience of the author. The conclusion of the study is that the RLT is not much practised, its members is indicated by the workers and respective Unions, takes advantage the regulated RLT, having participation and influence of the labor Unions. With priority the RLT takes care of the interests of the companies, followed of the interests of the labor Unions and finally, the interests of the workers.(AU)
Este estudo visa pesquisar e compreender o fenômeno social da Representação dos Trabalhadores no Local de Trabalho na região do Grande ABC. Inicialmente, através de uma revisão de literatura, traçar um histórico da comissão de fábrica e organizações semelhantes pelo mundo, observando sua prática nestes países e abordando administração participativa e o socialismo europeu e a sua autodeterminação. Na sequência abordar a comissão de fábrica no Brasil, narrar a história da primeira comissão de fábrica oficial instalada no país, na fábrica da Ford em São Bernardo do Campo. Segue estudo de tabulação de pesquisa de campo efetuada, com ênfase aos seguintes aspectos: constata-se a prática da RLT pelas empresas; constitui-se a RLT através de empregados indicados pelos trabalhadores, empresas ou pelos sindicatos de trabalhadores; regulamenta-se a RLT através de estatuto; efetiva-se a participação e influência do sindicato dos trabalhadores na RLT; a quais interesses atende a RLT, empresas, sindicatos de trabalhadores ou trabalhadores. A metodologia a ser utilizada é qualitativa, seguida de pesquisa de campo realizada em grupo, com entrelaçamento destes dados com a experiência profissional do autor. A conclusão do estudo é que a RLT é pouco praticada, seus membros são indicados pelos trabalhadores e respectivos sindicatos, prevalece a RLT regulamentada, havendo participação e influência dos sindicatos de trabalhadores. A RLT atende prioritariamente aos interesses das empresas, seguido dos interesses dos sindicatos de trabalhadores e por último, os interesses dos trabalhadores.(AU)

Full textTo ensure a balance, between the different parts of the work contract, has always been the aim of the employment law creation. The implementation of the rules of employment law certainly has got a particular purpose. It is constituted by the wish to get the worker emancipated in the business space. It is certainly in the same purpose that, in order to enable individual liberties not to remain in the edge of the enterprise, those collective expressions rights were given to workers: the liberty of trade unions, the right to strike and the principle of participation. We will have to study the fundamental nature of those rights in a way which would be totally free of any national legal system, in regard of the universal character there have. However, we still have to start from two internal orders to reach a non-superficial reflexion. Then, why shall we not focus on the “human right country” and the “Latin district of Africa” to understand in which extent fundamental human rights regarding employment are respected everywhere. Does the “mimicry legal” issue generate difficulties in Africa workers' collective liberties and freedom field and more specifically in Benin? What about fundamental human rights regarding employment in ex Dahomey? That comparative study on worker's collective liberties will make an attempt to answer

Full textThe collective dimension has become a central strategic reality for firms, particularly nowadays ragarding sustainable development and transition. These actions are mainly based on firms’ collective action devices. These organizations, located at the interface between firms and the State, carry out nonmarket strategies, and support the CSR strategies and the corporate political activities of their member firms. Empirically, they can take multiple forms, traditional or more modern, which complicates our understanding of the phenomenon. Theoretical concepts, such as meta-organization, defined as an organization whose members are organizations, make it possible to apprehend these organizational forms of firms’ collective action. Although these concepts can help to understand some properties of the object of study of this thesis, they are nevertheless not sufficient to reflect its great diversity, to explain its dynamics or to grasp its internal functioning. This is the objective of this doctoral research, which deals with firms’ collective action devices, especially trade associations. The cases presented in this thesis relate to two sectors, renewable energy and organic food.Taking place within a comprehensive and interdisciplinary (history, economics, political science, organization studies) approach, these case studies aim to give a synoptic view of the phenomenon, and to elaborate the elements of a theory of firms’ collective action devices. It shows that these devices are based on an original governance, mixing the principles of hierarchy and heterarchy; it analyses their dynamics (emergence, growth, dormancy, splits) from a cost model; it studies their modes of action, articulating knowledge and power and participating in the construction of a sector and its action, in relation to public authorities

Full textStudying the constitutionalization of labor law as a contemporary dynamic implies considering not only the current dynamics of this movement but also its future dynamics. In the first place, labor law is full y part of a general process of constitutionalization of the different branches of the law. Labor law is therefore the subject of a constitutionalization. Labor law is also a source of constitutionalization as it is the source of constitutional recognition for several important civil rights and freedoms. Second, labor law is currently undergoing several evolutions which are likely to entertain close relations with the constitutionalisation process it is going through. Recent reforms tend to redefine labour relations. The relation between law and collective agreements is deeply revisited. These developments, because of the particular nature of the problems they raise, are likely to amplify the constitutionalization of labor Jaw. Several original questions are raised : collective negociations in the process of law-making, relations between supplementary provisions and legislative power, resiliance of the individual employment contract. At last, the orientations of labor law are changing. The constitutionalization of labor Jaw can help to define or redefine these orientations. More specifically, it can act both as an obstacle and a driving force in this definition

Full textThe credit transaction "Schuldscheindarlehen" appeared in the German banking and financial landscape in the middle of the nineteenth century. Its growth during recent decades makes the question of its legal classification under French law more relevant than ever. The transaction operates as a loan of syndicated nature, with relatively simple ways of transferring participations, and is generally perceived by financiers as an effective tool for financing the real economy. It is a competitive option to financing by way of syndicated loan or bond issue. The analysis of legal documents with a priori a central role in the operation (Part I) highlights several specific features of the operation. The possibility given to a wide range of investors such as banks, insurance companies, and investment funds to participate in the loan agreement promotes massive fundraising within a highly standardized and streamlined legal framework. The debt certificates "Schuldschein" issued by the borrower at the time of the formation of the loan agreement, which were expected to be part of the circulation of debts, are not classified as securities under German law. A fortiori, this excludes them from being used in support of any claims. However, this is not the case for assignment agreements. Assignment agreements contribute significantly to the fungibility and transferability of the participations, owing to their standardization and to German civil law rules of assignment of claims, which are less constraining than French law rules. It is argued in the study that the "Schuldscheindarlehen" is a sui generis form of credit that can be described as "quasi-bond" (quasi-negotiable, quasi-fungible). Under French law the strongest resemblance is with the participation loan “prêt à bons de caisse nominatifs”, without being identical. The analysis of services provided by the financial intermediary (Part II), during the formation phase of the operation -as an arranger-underwriter of the participations, and/or during the running phase, as a market maker and/or a paying agent and/or a trustee- points out their respective contributions to a more rational and efficient management. This favours the liquidity of the participations and decreases the costs. Moreover, the use of derivatives and/or structured products has given birth recently to operations for smaller amounts and shorter durations, making this source of funding accessible to SMEs within a legal framework and support structures, developed by many years of practice. Although these mechanisms are widely known in French law and can be applied to syndicated loan or bond issue, the analysis highlights that "Schuldscheindarlehen" can also be used under German law as the legal structure of a debt securitization (CDO), in lieu of a bond issue. In addition, its participations are eligible for refinancing in the European money market, which helps to make the operation more attractive to investors. Other aspects such as collateral, and insolvency are analyzed in the study in order to give as full and updated a picture of the operation as possible

Die Operation stellt sich als Darlehen von syndizierter Natur dar, mit Beteiligungen, die in vereinfachter Weise übertragbar sind, wird in der Regel von Finanziers als ein wirksames Instrument für die Finanzierung der Realwirtschaft und präsentiert eine sinnvolle dritte Weise, die ohne Bedenken mit der Kreditsyndizierung und der Anleihe konkurrieren kann. Die Möglichkeit, die einer Vielzahl unterschiedlichster Investoren (Banken, Versicherungen, Investmentfonds) gegeben ist, sich am Darlehensvertrag zu beteiligen, fördert eine massive Mittelbeschaffung, innerhalb eines rechtlich hoch standardisiert und gestrafften Rahmens. Die Schuldscheine, die durch den Kreditnehmer zum Zeitpunkt der Entstehung des Darlehensvertrags ausgestellt werden, von denen man hätte denken können, dass sie als eine Verbriefungsart der Forderung angesehen werden könnten, werden im deutschen Recht nicht als Wertpapiere eingestuft. A fortiori sind sie als Grund der Beteiligungenverkehrsfähigkeit ausgeschlossen. Dieses ist jedoch nicht der Fall der Abtretungsvereinbarungen, die einen wesentlichen Beitrag zur Fungibilität und Übertragbarkeit der Beteiligungen, aufgrund ihrer Standardisierung und den deutschen zivilrechtlichen Vorschriften der Abtretung von Ansprüchen, die einfacher als mit dem französischen Recht vereinbar sind, leisten. Es wird in der Studie argumentiert, dass das "Schuldscheindarlehen" eine Kreditform sui generis darstellt, die als "Quasi-Anleihe" (quasi-verhandelbar, quasi-fungibel) beschrieben werden kann. Im französischen Recht, scheint es dem Darlehen "prêt à bons de caisse nominatifs" zu ähneln, ohne jedoch vollständig assimilierbar zu sein. Die Analyse von Dienstleistungen durch Finanzvermittler geleistet (Part II), während der Entstehungsphase der Operation, als Arrangeur-Underwriter der Beteiligungen, und/oder während der laufenden Phase, als Market Maker und/oder Zahlstelle und/oder Treuhänder, weist darauf hin, ihre jeweiligen Beiträge zu einer rationelleren und effizienteren Verwaltung des Geschäftes, die der Liquidität der Beteiligungen zugute kommt und die Kosten senkt. Außerdem hat unter anderem der Einsatz von Derivaten und/oder strukturierten Produkten zur Entstehung von Operationen mit kürzeren Laufzeiten und kleineren Beträgen geführt, was diese Finanzierungsquelle zugänglich für KMU gemacht hat, in Bezug mit einem rechtlichen Rahmen und unterstützenden Strukturen, die seit mehreren Jahren Praxiserfahrung bewähren. Wenn diese Mechanismen häufig im französischen Gesetz bekannt sind und bei einer Kreditsyndizierung oder einer Anleihe angewendet werden, zeigt jedoch die Analyse, dass das "Schuldscheindarlehen" nach deutschem Recht auch als rechtliche Struktur einer Verbriefung (CDO) anstelle einer Anleihe verwendet wird. Darüber hinaus sind die Beteiligungen zur Refinanzierung auf dem europäischen Geldmarkt zulässig, was die Operation für Investoren attraktiver macht. Andere Aspekte (z.B. Sicherheiten, Insolvenzen) werden in der Studie analysiert, um ein möglichst vollständiges und aktuelles Bild von der Operation zu geben

Full textFNSEA, the main farmers' union, is a central institution of the government regime of agriculture in postwar France. It represents them vis-à-vis the state, farm commodity markets, and agricultural organizations. In order to the changes in this regime since the 1980s, this study focuses on this union in the Orne departement, in which productions (cereals, milk, meat) are key for the cafe and for FNSEA, and where opposition unions are strong. It is based on the obervation of the activity of the union during several years, an analysis of its working documents, combined with an ethnography of its local roots within two local districts (cantons), and interviews with leaders, members and non-members of the union. We analyze the activities of co-administration, regulation of the farmland market and of the milk market. We show that the union manages to maintain comanagement tools with public institutions, but appears vulnerable to the liberalization of commodity markets in spite of its strong expertise and its large number of members. In order to tackle the decrease in the membership rate, it tries to develop its offer of commercial services, but is limited by strong competition from other agricultural organizations and by its style based on personalized relationships. It produces and trains administrators for the institutions of agriculture, but fails to attract today's elite farmers. These are more interested in systems of production with high added value

The particularity of company’s elections imposes the introduction of appropriate rules. This is what both the legislator and the Court of Cassation are attempting to ensure. But the major specific feature of these elections complicates the construction of a law in a clear and coherent manner. The company’s professional elections have numerous functions ; they allow employees to choose their representatives and since the law of August 20th, 2008 on the renovation of social democracy and the reform of working time, they also enable to measure the representativeness of trade unions, allowing the latter to negotiate collective agreements. Company’s electoral law has to take into account too many elements. It should articulate different functions of professional elections in the company and take into account organizational framework and issues specificities, which makes it an imperfect law

Full textIn order to become more flexible, the public sector has opened the way to new principles inspired by the private sector: the marketisation of services (Fairbrother et Poynter, 2001). Our research aims to better understand the factors which affect the participation of trade unions when marketisation is introduced in the delivery of local government services. To do so, we have decided to compare local government case studies in two different countries, Québec City and Edinburgh in Scotland, to help us better understand the interactions between local and national influences. Our hypothesis is that local trade union power resources and the employer’s strategy will influence trade union participation in the management of local government service delivery, regardless of the national context. The main findings of our research suggest that power resources and employer stategy both directly affect local trade union involvement in the management of local government service delivery. While power resources help to bolster the trade union’s power, the employer strategy can either encourage or impare trade union participation. Our results also raised differences relating to the national contexts of the UK and Québec which affected local trade union participation : « Best Value » legislation in the UK and « Code du Travail » legislation which frame collective agreements and industrial relations in Québec. We consider that future research on the subject is necessary in order to verify the current models on national industrial relations and to develop new comparative theories.

Following the liberalization and internationalization of the global economic and financial environment, corporate investment not only crosses borders but also demands greater amounts of funds. In addition to its own assets and raising funds in the capital market to supply part of its working capital, a corporation’s demand for funds primarily relies on bank loans. However, the credit risk arising from the enormous capital demand can not be undertaken merely by one single bank. Hence, international syndicated loans made by jointly-funding banks from different countries have become the main approach to overseas fund-raising by large corporations world-wide. Due to the excessive competition in the domestic financial market, the banks in Taiwan have encountered difficulties in operation. Therefore, most of them actively participate in offshore business, such as the international syndicated loan market, to decentralize the source of profits. As domestic banks have become more and more well-known in the market of international syndicated loans, globally-noted arrangers have gradually increased their interest in inviting Taiwanese banks to participate in, or jointly lead, the arrangement, and the types of syndicated loans are constantly changing. Nevertheless, on account of different inducements in the international syndicated loan market, domestic participants sometimes have to sign a contract with fronting banks to join syndicated loans in the mode of sub-participation. The loan agreements of sub-participation, unlike normal lending contracts, often raise doubts about rights and obligations in the departments of law or crediting management. Their hesitation eventually results in the loss of advantageous moments and business opportunities. This study will focus on the analysis of sub-participation first, and then explore, as well as clarify, related questions in individual cases according to different inducements of sub-participation of international syndicated loans. The inducements can be classified as follows: 1. Avoid taxes: The competition in the international syndicated loan market has multiplied borrowers’ fund-raising channels. In addition, the interest rates of main international currencies, such as American dollars, have been gradually rising. These factors have discouraged borrowers to bear the taxes resulting from participants’ gains of interest. In order to succeed in organizing syndicated loans, arrangers usually engage in sub-participation to avoid taxes arising from syndicated loans, and to encourage participation as the countries of participants and borrowers do not have any tax conventions. 2. Reinforce credibility: International strategic or planned syndicated loans are often arranged. When international financial organizations serve as arrangers and fronting banks to organize syndicated loans, it can strengthen the trust and concern of participants; furthermore, the low risk weight in the risk measurement represents a positive significance in the whole bank operation. 3. Other factors: a. Arrangers can transfer all or part of their syndicated loans by replacing alienation with sub-participation in order to reacquire borrowers’ credit line to organize new syndicated loans. This will effectively reduce loan amounts without making a negative impression on borrowers. b. In the regulation of loan agreements, participants have to obtain borrowers’ approval. Sub-participation, however, will prevent the situation where borrowers do not agree to the participation. c. Loan agreements state that borrowers only undertake the taxes of the originating banks. Hence, participants in the secondary market can save taxes through sub-participation. d. If borrowers’ countries restrain the qualification of overseas participants, borrowers can avoid the restraint through fronting banks.

Syndicated Loan is one of the major financing solutions for enterprises in the international financial market. This thesis is intended to find the structural position of Syndicated Loan in the international financial environment first via background of the Syndicated Loan. Under such finding premise the structural position of Syndicated Loan in the international financial infrastructure, together with members and combination of a Syndicated Loan, will be substantially discussed. Then as a conclusion advantages and disadvantages between Syndicated Loan and other financing solutions will be compared. In Chapter 3 we will focus on the Syndicated Loan itself to discuss its birth, the role of each bank members in a Syndicated Loan in a chronicle way, process to conclude a Syndicated Loan, timesheet (program) of the financing, major documents of a Syndicated Loan and the revenue calculation for participants of a Syndicated Loan. In Chapter 4 certain contractual documents will be presented and enclosed. According to the contents of a Syndicated Loan certain analysis will be done subject to the substantial requirements of each articles thereof. In Chapter 5 legal risks of a Syndicated Loan will be discussed. 4 Anglo-American real cases regarding Syndicated Loan will be analyzed to clarify legal relationships between the participants, ground of claims and attitude of the Courts toward the Syndicated Loans. However, based on the Courts’ point of view, major opinion is intended to respect market self-discipline as a fundamental principle for these cases.

Full textThe main focus of the research is the analysis of the phenomena and the link between the union-management Cooperation and the work team. We are pursuing by submitting a main hypothesis: the degree of union-management Cooperation has a positive influence on the functioning and collective self-reliance of work teams. Methodology used relies on a point of multiple case study of the independent variable (the intensity of the employer-Union cooperation) in neutralizing the greatest possible number of control variables that can influence the dependent variable (operation and autonomy of the teams work). Semi-structured interviews were conducted with representative’s employer and Union. The results show that two selected plants have confirmed that the union-Cooperation was high in a factory and low in the other. Our dependent variable data analysis is based primarily on the results of a questionnaire and the resulting data indicate that Alma plant respondents have the highest ratings of dimensions related to their degree of autonomy and the functioning of their team work. Our assumption is essentially confirmed and demonstrates a positive relationship between a high degree of union-management Cooperation and assessment by the members of their team’s operations and collective self-reliance of work teams. However, this positive relationship is mixed, because it does not apply for certain dimensions that concerns more trivial aspects of the collective autonomy of work teams.
