Full textThe promise of the “porte-fort” is the agreement by which a person makes a commitment to another one that a third party will accept to realise the promised fact. So, it can be used to two sorts of uses. The first one aims at the ratification of an act concluded by the “porte-fort” for a third party without having received beforehand the power to do it. The second one, without ending act for others, aims at the execution of a specific commitment. In this particular case, it refers to the execution of an obligation about which the third party is already bond. The promise of the “porte-fort” constitutes then a “personal safety” which is neither secondary nor autonomous but “compensatory”, role which the letter of the article 1120 of the french civil code by no means forbids him to play. In Moroccan law, as the promise of the “porte-fort” is not dedicated by the civil code, it remains a question of the contractual freedom of the parties. Whatever is the object of the commitment of the “promising”, the promise of the “porte-fort” has the same effects. If the third party refuses to keep his “engagement”, only the contractual liability of the “porte-fort” is engaged, given that the third party is free to agree or not on the commitment promised by le promettant. On the other hand, since the third party agrees to hold the promised fact, the “porte-fort” is then released from any responsibility

Full textThe adaptation of sea ports to the new rules of international trade can only happen with the involvement of private port managing operators. This involvement requires the entrustment of ports industrial and commercial activities, through efficient legal devices/arrangements/frameworks. Among these, port concessions seem like legal instruments providing a good setting, in terms of performance and profitability for economic activities in sea ports. However, the legal qualification/classification/characterization of these port concessions can be an issue since a legal disorder is observed in administrative law. The thesis is thus aiming at sheding light on this matter. The introduction firstly exposes the notion of port concession and then adresses the objective of this study by outlining its problematic : can port concession contracts be classified into a pre-establisehd legal group and attached to a pre-existing legal category ? To address the question, the first section of this thesis highlights the diversity characterizing port concessions. This identification process outlines the essentiel and non-essential elements, enabling the legal qualification of port concessions. However, this theoretical qualificaiton can only be wise and coherent if it adapts to the constant evolution of the use of concessive framework by the economic agents in sea ports. The second section of the thesis thus tackles the issue, by considering the diversity in use of concessions in sea ports of France and Africa. The concessive devices of French sea ports have been compared to those of other European ports (Antwerp, Rotterdam, Hamburg) and African ports, in particular in Ivory Coast, Senegal, Cameroon, Algeria and Morocco. The comparative analysis illustrated through professional documents, shows that the legal qualification of port concessions, which is the center of this thesis, is a perilous enterprise. It can be done only on a case by cas basis, according to the various countries and taking into account the joint forces of doctrine, jurisdiction, as well as legal and regulatory texts

Full textIn france, in principle, the jurisprudence of the conseil d'etat is at the origin of the rules which make up the common law of systems of administrative responsability, to these systems can be added legislative and jurisprudential derogatory systems under the authority of judicial judges. In korea, the common law of administrative responsability is containes in the law on the state's responsability and in the provision of civil law and special laws apply to certain fields. The law on the state's responsability does not institute responsability without fail, but instead responsability is linked to the agent's error and the error of the public body ; the two corresponding french systems are respectively : responsability linked to the insufficience of services and responsability for damages caused by public works. By studying the systems of these two countries, we will be able to pick out their fundamental differences ; however, basically they are both pursuing the same goal, which is the best possible protection for the victim while avoiding a too widespread distribution of public funds
