The construction market in Taiwan has been competing with the world ever since this country officially became a member of WTO in 2002 and globalization broadens the boundary of construction market hence foreign and indigenous constructors have now come together to explore potential markets. For the purpose of expanding market and exalting competitiveness, it relies on the combination of Joint Venture projects in which indigenous dealers can increase competitiveness, improve construction technologies and reduce risks and capitals. In the same way, foreign constructors can overcome the odds of entering local market so they can expand the market and reduce capitals and risks, etc. Nowadays Joint Venture tends to be the main method for constructors to acquire projects. In order to realize the rationality of united constructors’ distribution of interests, this research executed a questionnaire to obtain actual capital output ratio of JV and AHP (Analytical Hierarchy Process) method to obtain hierarchy weights while bidding for a project, calculated by the importance of participating united constructors to all capitals based on constructional capital structure of construction projects. Then take the hierarchy weights and multiply by the values that denote the comparison of upsides and downsides of management capital between a firm and a JV company, which are equivalent to the hierarchy weights a firm should have for the capital for a JV project while performing a JV project. By adding up these hierarchy weights, you can obtain the capital output ratio in theory, and, by comparing theoretical capital output ratio with actual capital output ratio you can exam the rationality of the comparison. In addition, you can ask constructors for the estimated percentage of all capitals for a project before and after performing a JV project, and choose two companies that undertake the same project, work out the rational interest distribution values with the application of Shapley Value and Kernel Formula, and then analyze the rationalities of these values with the capital output ratio. The targets of the questionnaire were construction companies who had taken part of a JV project at National Expressway Engineering Bureau and other companies from Taipei Rapid Transmit Corporation、Kaohsiung Rapid Transmit Corporation and Taiwan High Speed Rail. There were 30 copies of survey in sum issued to Taiwan’s 10 well-known construction companies, 24 copies had returned in the end which gave a retrieval rate of 80%. In the result of calculation on estimated capitals before and after performing a JV project, we obtain the following figures: 6% of resource management capital、5% of finance management capital、37% of construction management capital、17% of equipment expenditure、23% of personnel expenditure、4% of risk management expenditure and 8% of average profit. These figures could be guidelines when it comes to estimating construction capitals for a project.

In the history of Taiwan's transport industry is an indispensable and extremely important industry, from land to air and sea, forming a very important transport network. Taiwan is also known as the hub of the world's shipping hub, we can see that Taiwan's maritime transport industry is the world's most important screw. But the current shipping industry, including bulk shipping container shipping market competition is becoming increasingly fierce, each shipowner company in order to survive between the cracks, will gradually tend to "strategic alliance" to team competition. As a means to expand the global share, increase flights and stable sailing, hoping to meet the needs of modern people. In recent years, Taiwan government gives great impetus to Engineering Procurement and Construction (EPC) Contract to increase implementing results and lessen interface interference, yet the characteristics of EPC contract and traditional contract are different. The reason is because EPC contract has wide range of work, intricacy of working items and beyond description of all duty obligations and cost consideration into contract; hence the signing method is lump sum turn-key and the client bears higher risk. In addition, local clients have less capability to sign individually with huge amount of EPC contract; especially mechanical with electricity contract is restricted to the base, professional technical ability or financial capability. So cooperation signing to jointly implement the assignment is the way to complete EPC contract, such as trash recycling plant, power plant and metro rapid transportation by cooperation signing to proceed the bid and implement the contract. The motivation of this study is to systematically analyze the different merits and shortcomings in the usual two kinds of cooperation signing in engineering named Joint Venture and Consortium in order to provide the cooperation reference base to engineer companies which furthermore can select suitable cooperation method based on proper conditions to upgrade their business competition, implementing capability in EPC Contract and the growth of contractor. This study is based on transaction cost theory and social exchange theory to explore the different effects produced by the business cooperation behavior in Joint Venture and Consortium, and also to analyze in details of the advantages and disadvantages in nine knowledge fields of project management; furthermore, several sample of cases and open question interviews with professionals are use to verify and make this study can be result-oriented, feasible and referenceable in practical business.

The enterprises often adopt International joint ventures as the way to enhance the competitive advantage. But the cultural differences and inconsistency of the objectives often lead to conflicts between partners, thereby affecting the performance and the life of the international joint ventures. Since conflicts are inevitable, whether there is an effective way of correspondence is the main purpose of this research. The research is based on case study method to discuss and analyze the conflicts and corresponding solution between the two companies of the international joint ventures firm. The result indicates that the negotiation power between the partners differs with the change of the external environment; therefore the style of the conflict management should change as well. Both sides of the Joint venture partners need to understand each other's interests then negotiate based on a win-win way of thinking to communicate effectively. Moreover, we found that the senior managers play an important role in communication of both sides of the joint venture partners due to the language and cultural barriers.

The restraint of trade by government organization violating competition order used to be subject to the regulation of Fair Trade Act in the past, but since the implementation of Government Procurement Law in 1999, by the manner of "administrative consultation", Fair Trade Commission and Public Construction Commission of Executive Yuan decided that all government procurement activities become completely subject to the regulation of Public Construction Commission, the competent authority of Government Procurement Law. According to the provision of Government Procurement Law, joint tendering belongs to legal action, but what is its relation to joint venture, and does it constitute the restraint of trade as stipulated in Fair Trade Act? All such questions deserve our exploration. Therefore, by focusing on the joint venture provided in Government Procurement Law, this study explores the application of laws when government procurement violates competition order: whether or not it is reasonable to just apply Government Procurement Law in accordance with administrative consultation and completely exclude Fair Trade Act? This paper first makes an introduction to Government Procurement Law; then makes an analysis and discussion on Government Procurement Law's application and its relation with Fair Trade Act; then refers to the rules and regulations on joint venture and the application of government procurement law and competition law during legal policymaking in foreign countries, and further explores the difference between the joint venture in Government Procurement Law and the restraint of trade in Fair Trade Act of our country; finally makes an analysis on the practical cases about joint venture and restraint of trade and puts forward conclusion and suggestion of this study.

There are more and more hi-tech factory buildings in Taiwan during these years; however, the required construction technology, capital and management personnel could not undertake by single contractor; therefore, the tendency of joint venture is inevitable, and the notes for cooperation and written agreement between the joint parties become the key for success. This research analyzed the joint venture of construction industry in hi-tech factory building, and addressed relevant key factors for success through questionnaire investigation and expert interview. Furthermore, the research discussed the evaluation operation of the company, and interviewed 400 Class A construction companies through questionnaire investigation to get the importance comparison of evaluation items of construction company, and applied AHP to make conclusion, and got the evaluation item of the companies and weights, and sorted the key successful strategy factor. The result is proposed as the reference for construction industry that already entered or not entered JV market risk management.

Offset is origin of defense procurements, usually when these procurements involve military equipment, aeronautical products, and similarly related large-scale, high priced items, most nation governments often require compensation package, or offset, as part of contract negotiations for these large purchases. These compensative transactions can use in commercial and military both fields. But, whether all the promises will materialize and what the eventual value of the countertrade or offset deals will be hinged critically on the negotiation process. We examine negotiating as a basic social process and it is used to resolve conflict, this process is emerged from many different situations, works, and everyday activities. Negotiation is a highly complex social activity. A “conflict” is a situation in which there is a condition of opposition, and parties with opposing goals affect one another. In fact, conflict is virtually inevitable whenever humans interact, either individually or in groups. Dynamic conflict analysis is derived from static conflict analysis, and viewed a conflict situation as a dynamic process. At a particular point in time during this process have a limited number of states, or called eventual outcomes, and in which participants will decide on their courses of action to gain optimally. By a state transition matrix that performs mathematical calculations will obtain the development of a conflict event and the final equilibrium. Actually, negotiation process involves multi-goals and many decision makers. Not only there are conflicts caused by some benefits between participants, but also there is a good possibility of reaching some concessions and agreements each other. Therefore, negotiation activities belong to a rational and conflicting decision problem. The purpose of this research is trying to introduce dynamic conflict analysis into negotiation process and to provide the best decision aids for the negotiation parties.

Since “Doi Moi” (renovation) begun in 1986, Vietnam has engaged in economic reform on an on-going basis in order to create a fruitful investment environment and attract foreign investors to engage in its market. As the total investment amount is over 19 billion US dollars, the role of Taiwanese investors played is more important than before. Notwithstanding that the investment environment in Vietnam has improved more significantly than ever, the enterprises’ operation still has to bear considerable risk. Due to Vietnam’s special single-party state constitution, for foreign investors, it is expected that the political risk is existed with the high feasibility of government change policies and ignore investors’ benefits. According to this, the purpose of this research is to realize how the host’s political risk influences Taiwanese MNEs’ entry mode choice. As previous studies generally focused on the discussion of the relationship between political risk and entry mode choice, however, the moderating effects of firms’ own resource and advantages are less mentioned. Therefore, this thesis tries to provide a theoretical framework based on resource-based view, eclectic theory and other related theories that includes profitability, financial structure, and R&D capability as the contingency factors to examine how these factors moderate the relationship between political risk and entry mode choice. The findings of this study reveal that when the political risk in Vietnam getting higher, Taiwanese MNEs are more likely to engage in Vietnam through JVs. Besides, the positive moderating effect of profitability is also existed. It shows when a firm with higher profitability, it will more tend to choose JVs as the political risk in Vietnam rising.

With rocketing development of information technology, the WTO’s advancement for liberalization of financial industry, and integration of European currency, global capital market is in the integration climate of forming joint alliances. The climate affected Group Deutsche Boers (DBAG) from Germany in 1993, Paris Bourse SBF SA from France in 1996, NOREX in 1998, NASDAQ-AMEX from the US in 1998, Singapore Exchange Ltd. (SGX) in 1999, Hong Kong Exchange and Clearing (HKEx) from Hong Kong in 2000, and Euronext in 2000.In order to expand market scale and increase global competition capability. New York Stock Exchange, global stock market leader, plans to achieve trading stock through fully electronic system and aims to build Global Equity Market (GEM). In the integration trend of global capital market joint alliance, many strategies are used. Some companies adopt method of strategy alliance to expand international competition capability. Others adopt method of joint venture or mergers & acquisitions to accomplish actual combination of industries in order to reduce costs, increase efficiency, and obtain actual synergy generated for economies scale or scope. Some adopt method of holding company and perform horizontally and vertically bilateral integration for spot market and derivative goods market at the same time. Combining trading procedures from trading, settlement of accounts for cash and securities, and business transactions into one consistent process, and at the same time, developing operational synergy for economies of scale and scope. Due to future trend of international capital market, simple procedure, convenient trading method, and integration of market resources are targets in order to increase global competition capability. The main target of the research is to analyze methods, including strategy alliance, joint venture, mergers & acquisitions, and holding company, used for strong integration tendency of international capital market in recent years and to generate and compare these methods. Exploring feasible possibilities for those integration methods, and presenting two conclusions as follows, 1. Due to increasing competition tendency of capital market globalization, “exchange holding company” is a feasible solution to increasing market competition capability; 2. Establishing transactions, settling accounts for cash and securities, and subsidiary computer companies of information technology as the main strength, followed by establishing departments including market inspection & audition, risk control & management, human resources, financial management, planning & research development beneath exchange holding company, and building newer organization form in order to follow global tendency. Generating five points to support using method of “exchange holding company” to integrate domestic market: 1. Adopting method of “exchange holding company” to integrate domestic market can reduce conflicts, costs, and time and can still receive synergy due to mergers & acquisitions, a means of mergers & acquisitions; 2. Holding company helps organize finance and manage benefit and increase efficiency of inner capital use and financing capability for exchange. Holding company also helps efficiently manage and improve finance and avoid restrictions occurred regarding corporate law and investment. Moreover, holding company helps block investment risk so investors can make their decisions more freely and efficiently; 3. Policy execution and industry performance are separated, therefore overall operating efficiency for exchange is increased. The manager’s responsibility is even clearer and brings fairly high effect, similar to cartel effect, to the whole industry; 4. Making clear distinctions of property rights for joint venture, and assigning fairly operating resources and identification of all subsidiaries. Pursuing most proper scale, and reducing monitoring and management costs; 5. Making organization more flexible, expanding career opportunities for exchange and level of globalization, and increasing international competition capability.

Abstract In hope of raising referential method for the activation of industy and education partnership, this study purpose to explore the internal and external factors of the industy and education partnership , and take into account the opinions of electronic engineering department teachers and business research development personal on this subject. To carry out the study, The methodology researched relating literature as the foundation of the project theory; furthermore, gathered effective information by distributing questionnaire that edited about the relating factors. Research objects included teachers of electronic engineering departments of vocational colleges and relating corporations. Total effective samples sum up to be 343 copies. The collected information was processed by descriptive statistics such as frequency distribution, means and standard deviation, and inferential statistics such as students'''' t-test, one-way analysis of variance, and Scheffe''''s posterior comparisons. With the statistics analysis, follow results with attained: 1. The significant factors that affects industy and education partnership categories: government policies (3 articles), management (12 articles), financial rewards (4 articles), professional knowledge (7 articles), and data obtaining (6articles). 2. Among the samples of the school teachers, the level of significance was scarce when it came to different school types, years of teaching experience, teaching subjects, bureaucratic positions, and educational levels; whereas the difference in the levels were apparent concerning the aspect of experience in cooperative development, and numbers of years in cooperative development experience. 3. Among the samples of the industries, the level of significance was not obvious considering industrial capital sum, educational level, numbers ofyears in cooperative development experience and working positions; however, the significance rises considering owership, industrial structure , owership and experience in cooperative development. 4. Comparing school teachers and business research and development people, there was a significant difference in the aspects of total presentation and government policies, management, financial rewards, professional knowledge and active communication, meanwhile data obtaining demonstrates no apparent difference. 5. Comparing experienced school teachers and business research and development workers, significant differences were apparent in the categories of total presentation, government policies, management, and financial rewards. Meanwhile, professional knowledge and data obtaining and active communication shew no significant difference. This research hopes to provide constructive advice to the government, academic institutions and business corporations concerning the improvement of the cooperation between the academy, business and industry.
