Abstract:
This thesis investigates the laws on shareholders' rights and remedies in Malaysia from a comparative perspective. Law is given a broad meaning which gives this research a multidisciplinary character. British colonial business interests resulted in the transplantation of Malaysia's corporate and other commercial laws; this transplantation process continues in the post-colonial period due to the desire to conform to internationally recognised norms and standards and the lack of local innovation. The interaction of the transplanted laws with institutions and other elements in the local setting c

The thesis examines the efficacy of the provisions of Saudi Company Law 1965 in terms of protecting the rights of minority shareholders in joint stock companies (JSCs). The aim is to assess the effectiveness of the current form of SCL 1965 in this regard and to suggest a reform scheme. This research finds that SCL 1965 does not adequately provide minority shareholders with all the rights that they should enjoy. Accordingly, minority shareholders are often subject to the controlling influence of majority shareholders, who are generally in charge of the company’s management. As a result, minorit

In Saudi Arabia, CG is a newly introduced regime. The appraisal remedy is contained in section 164 of the Act and is an exit mechanism for shareholders who feel that the actions or decisions of the company alter their interests in the company and, because of these fundamental changes, the company no longer meets their investment expectations. Though currently Taiwan has established seperate relevant regulations such as the mandatory bid rules and share exchange rules, yet there is not yet an overall regulation on transfer of control transactions that is sufficient in minority shareholder’s rights protection. The lack of such comprehensive rules caused infringment on minotiry shareholders‘ rights

The shareholders in general meeting and board of directors are the main governing organs of a company. Control of the general meeting theoretically ensures control of the composition of the board of directors who are usually empowered by the articles to manage the day-to-day administration of the company. The company acts by shareholders and directors voting and passing resolutions in general meeting and board meetings respectively. Controlling sufficient votes to pass resolutions in general and board meetings is therefore the essence of corporate control. A shareholder's right to vote

The primary mechanism to achieve this lies in the shareholder’s right to vote at meetings. However, an analysis of the nature of shares, and the history surrounding the introduction and development of uncertificated shares in particular, reveals a structure that often interposes multiple nominees between the issuing company and the underlying investor. Such a structure has the potential to dispossess the underlying investor of his right

Shareholders are important because they provide finance to companies by investing in the share market. Shareholder voting rights are attached to the shares. The rights are defined by a company’s constitution, shareholders agreement, the Corporations Act 2001 (Cth) and ASX Listing Rules. The exercise of the rights is significant for the growth and trustworthiness of capital markets. Previous research has focused on evaluation of the strength of shareholders rights, shareholders activism and shareholders engagement but lacked evaluation of the ways in which shareholders exercised their rights.
