Abstract:
This thesis aims to investigate the effects of the Swedish minimum capital requirement in relation to the Swedish private limited liability companies. The issue of whether there should be a requirement for minimum share capital has been debated in Sweden and the rest of the European Union. Sweden and other continental European countries have a tradition of providing a minimum share capital requirement in order to provide creditor protection. Countries that administer an Anglo-Saxon tradition such as England and the United States do not express the same belief in the minimum share capital’s function as creditor protection and has therefore abolished these requirements. The European Union’s Second Company Law Directive provides a minimum share capital of EUR 25,000 for companies similar to the Swedish public limited liability company. The companies comparable to the Swedish private limited liability companies is thus regulated under the law of the Member States themselves. In Sweden the frequently used arguments for abolishing the minimum share capital requirement are the rule’s dysfunction as creditor protection, the fact that the minimum share capital does not consider the specific capital demand of the company and the potential obstacle effect on entrepreneurship. The author agrees with these arguments but emphasises the minimum share capital’s function as an “entrance fee” to the private limited liability company form as an argument why the requirement should maintain in Swedish company law. The rules in ABL regarding protection of restricted equity could be replaced by a solvency-sufficiency test similar to the provision in § 6.40 MBCA. The minimum share capital’s obstacle effect on entrepreneurship could be reduced by introducing a beneficial loan with low interest rate provided by the state or the municipalities.

Cette étude résulte d'une observation : le droit hongkongais des sociétés, appartenant à l'ordre juridique de la Common Law, semble produire de manière pragmatique des règles qui encouragent et facilitent le commerce. L'image du droit français des sociétés est frappante de rigidité, de lourdeur, de dirigisme et d'interventionnisme étatiques. Par rapport à cette image, celle du droit hongkongais surprend par sa souplesse voire sa simplicité, son intelligibilité, son effectivité et son efficacité. Nous avons identifié des règles et des mécanismes de la société fermée à risque limité hongkongaise, la Company, qui nous semblent constituer des éléments majeurs de son succès. Nous en avons compris les fondements, le fonctionnement et la portée afin de nous permettre de comparer ces règles et mécanismes à ceux de la SARL et de la SAS et d'y insuffler un vent de souplesse, de simplicité et de liberté encadrée. Les thèmes choisis relèvent de la rapidité et de la sécurité de l'immatriculation et de la dissolution, de la liberté statutaire et de son accompagnement par des modèles de statuts-type, de la liberté des associés de construire leur société conformément à leur volonté (qu'il s'agisse de la géographie du capital social et de l'encadrement du fonctionnement de l'organe de gestion) et du support juridique apporté à l'organe de gestion favorisant la bonne gouvernance des SARL et des SAS et le contrôle des associés. Observing Hong Kong private companies with liability limited by shares (hereafter "Company") evolving in the Common Law system was a rewarding experience: efficiency and simplicity and safety are the main features of Companies that come to mind. Looking at French SARL and SAS gives quite a different picture: laws and orders are overabundant, legal and administrative requirements constitute a burden on directors, members and directors cannot really benefit from a flexible environment as State interventionism is deeply rooted in the French legal culture. We identified various mechanisms and regulations belonging to the Company that contributed to its international success. We studied these mechanisms and regulations and understood their founding principles and significance. Then we compared them to those of the SARL and SAS in order to inspire flexibility, simplicity and supervised freedom to these two corporate bodies. The study compared the following features: the rapidity and the safety of incorporation as well as of deregistration; the freedom of the members to use model articles of association as well as adapting the suggested model; the freedom of the members to define their membership using classes of shares as well as the management of the Company's business; company secretary and certified public accountant providing corporate governance support to directors as well as information to members for their controlling role. This comparative study aims at putting forward recommendations to develop French companies as a tool for contemporary economic players and to promote company law's economic efficiency

Abstract:
This diploma thesis poses the question of the legal status of partners in a private limited liability company compared to the legal status of partners (shareholders) in a joint stock company. Although both companies are in a theory of Czech business law classified as capital corporations, which means that they have much in common, the legal enactments which are regulating the area of the partner's legal status in both legal forms contain many significant differences. Some of them may well be considered as slight, unimportant details, whereas the others represent fundamental differences, which, for the partner's legal status, are more than crucial. The partner's participation in the company's activities and in its management could be mentioned as one of the examples. Meanwhile, the partners in a private limited liability company typically participate in the whole life of their corporation, the shareholders in a joint stock company only influence the life of their corporation implicitly, through their influence over the personal structure of the executive body (called board of directors), which is entrusted with the power of the company's management. The members of this executive body are usually represented by people outside of the company; the theory talks about professional, hired management, which is leading to a phenomenon called corporate governance. This diploma thesis not only contains chapters on the legal status of partners in the given types of corporations, it also includes a general interpretation of the terms private limited liability company and joint stock company. Only a correct representation of these terms can lead to an accurate understanding of the partner's legal status. Finally, there are also several comparative thoughts and tables, including some decisions of the business courts added at the end of the paper. Through the means of the above mentioned business court's decisions the author is attempting to demonstrate how the partner's rights and obligations are being performed in practice.

An introduction chapter is being followed by a chapter describing the historical development of the pledge over a share in a private company limited by shares and the securing ownership transfer on the current territory of the Czech Republic. The next chapter deals with the basic preconditions of a valid pledge contract over share. The transferability of a share, different rules for transfer contract and pledge contract and future pledge contract are being stressed. The new case law of the Supreme Court of the Czech Republic dealing with the pledge contract over shares is discussed. Competencies of General Meeting of limited liability company The purpose of my thesis is to analyse competencies of a general meeting of a limited liability company, show different theoretical opinions and present my own ideas. I have chosen this topic because the limited liability company is the most common type of business entity in the Czech Republic and so I find this topic useful. O legislador forneceu aos sócios um amplo espaço para autorregulação no regime das Sociedades por Quotas. A exigência de consentimento da sociedade para a cessão, vista como uma forma de controlo do substrato pessoal da sociedade, tem feito surgir alguns problemas quanto à possibilidade de o sócio cedente exercer o seu direito ao voto na deliberação relativa a esse consentimento. O sócio tem, praticamente, como único meio de saída voluntária da sociedade a cessão de quotas, o que não implica, necessariamente, que ele utilize a cessão para tal. Caso o sócio abandone a sociedade através da cessão, a discussão tem lugar num contexto de compreensão da axiologia do direito de voto e da ratio das restrições à cedibilidade das participações sociais. Caso o sócio permaneça na sociedade apesar da cessão, estamos perante uma questão de conflito de interesses.
The legislator provided the shareholders with ample room for self-regulation in the Private Limited Companies regime. The requirement of consent of the company for the transfer of shares, seen has a way of controlling the human composition of the company, has raised some problems regarding the possibility of the transferor shareholder exercising his right to vote in the deliberation of consent. The shareholder’s only mean of exiting the company is through the transfer of quota, but this doesn’t necessarily imply that he uses the transfer for such. If the shareholder exits the company through the transfer, the discussion takes place in a context of understanding the voting rights’ axiology and the ratio of the restrictions to the shares transferability. If the shareholder remains in the company, the problem is a matter of conflict of interests.

1 Název, abstrakt a klíčová slova v anglickém jazyce Classes of Shares in Limited Liability Companies Abstract The Business Corporations Act has brought a number of innovations to Czech company law and has also opened up questions that almost no-one raised while the previous legal regulation was effective. Although many institutes already existed under the Civil Code of 1964 and the Commercial Code, the practice did not use the possibilities provided by the old regulation. Indeed, even the legal doctrine did not address many issues. One of these institutes is the institute of classes of shares. The dissertation is devoted to the creation of different classes of shares. The main research methods used when drafting this dissertation were selective literature research and analytical method, including comparative analysis. The method of abstraction and synthesis of acquired pieces of knowledge was used for generalizing the conclusions of the research goal. As regards the interpretation methods, a grammatical, logical, systematic, historical, teleological and comparative interpretation was used. Especially German, but also Austrian and Swiss laws were taken into account in the comparison and Anglo-American law in the passage concerning preference shares. Shares with and without par value in the companies limited by shares Dividing share capital into shares with par value is a traditional approach which has been applied in company law in the Anglo-Saxon and the Continental legal systems. This rule is regarded as a part of the capital formation and maintenance rules which gradually developed mainly in the 19th century in connection with the aim to ensure the protection of creditors and shareholders. Par value originally served as an indicator of the amount which a shareholder was liable to contribute to the company as consideration in exchange for its share. At the same time it served as an indicator of the shareholder's liability. At the end of the 19th century in the United States, there was growing criticism against par value ascribed to shares, which eventually led to the establishment of the concept of no-par value. The removal of the traditional approach and the establishment of the concept of no-par value has become a certain trend or phenomenon, spreading into other jurisdictions in the 20th century, e.g. Australia, Singapore, New Zealand, Hong Kong. The concept of variability of shares was introduced by the Business Corporation Act, with a purpose to make limited liability company more attractive. There are many issues concerning this concept, preventing its effective use in practice.
