This issue is increasingly important as the Internet has become a medium of exchange for ideas, views and content, and thus, a potential place of abuse, both from service providers and end users.This article aims to show the legal regulations regarding the scope of liability of entities providing electronic services for digital content provided under Polish legislation, with particular emphasis on the obligations incumbent on service providers and indication of limitations of liability in the case of mere conduit, caching and hosting services, upon fulfilling certain regulatory requirements. AbstractSmall modular reactors (SMRs) could be key to providing developing regions with clean and affordable (and cost-effective) electricity. Deployment of SMRs requires a transparent and balanced legal framework that will define the specifics and boundaries of shared responsibility between the host and supplier country, especially in the case of innovative floating SMR projects. Legal experience in nuclear-powered vessels and nuclear installations can be used in the development of regulatory approaches for floating SMRs. This chapter provides an analysis of the applicability of the existing international conventions, including the 1974 International Convention for the Safety of Life at Sea, the IAEA safeguards agreements, and civil liability instruments, to the floating SMRs. In addition, some considerations for the future development of the legal framework for floating SMRs are proposed.

From the corporation’s point of view, it is possible to adjust the (non-)inheritance of the share according to their needs and wishes, as the statutory regulation is fundamentally default. An exception is a regulation of a joint-stock company and a housing cooperative on the one hand and a social cooperative on the other. Neither a joint-stock company nor a housing cooperative can exclude or restrict inheritance. Inheritance of a share in a social cooperative is prohibited. Unless the articles of association of other business corporations expressly provide the inheritance of shares, shares in a public partnership and a general partner’s share in limited partnership are not subject to inheritance and, conversely, a limited partner’s share in limited partnership, a limited liability company share, and share in a cooperative which is not a housing or social cooperative are subject to inheritance. Except for a joint-stock company, an heir may always consider whether he or she wishes to become a member of a business corporation. If he or she does not want to, he or she can terminate his or her participation or, in the case of a limited liability company, apply to the court to terminate his or her participation unless the articles of association provide for the heir’s right to withdraw from the company. The heir acquires the share upon the death of the testator. Still, he or she becomes a member of the capital business corporation only after he or she proves to the company that he or she has acquired the share, i.e. at the latest, by submitting a court decision on succession. If the share is incorporated in security, it is necessary to submit the security to the company, too.

AbstractThe Basel Convention on the Control of Transboundary Movements of Hazardous Wastes and Their Disposal (hereafter: Basel Convention) was adopted in 1989. It was a reaction to heightened international awareness of the exponential growth of hazardous waste being produced and the risks it presented to human health, property and the environment while being transported around the globe. The Basel Convention primarily aims to minimise the generation and transboundary movements of hazardous wastes and to keep risks at a tolerable level. It was also a response to the practice of exporting increasing amounts of hazardous waste from the Global North to the Global South. Hence, the Convention is supposed to address concerns regarding environmental justice which arise when industrialised countries profit by exploiting the precarious economic positions of nations in the Global South. Economically challenged countries may accordingly be under pressure to prioritise economic development over environmental concerns when they are offered foreign payments in exchange for accepting toxic waste shipments. By dealing with the disproportionately large share of the burden regarding hazardous waste developing nations face, the Basel Convention has been touted as one of the international agreements at the forefront of integrating environmental justice principles into global trade.

The article deals with a necessity of granting the general meeting’s consent with a division of business share in limited liability company in various situations. First, it discusses a need of granting the general meeting’s consent with a division of business share in connection with transfer or passing of business share. Although the Business Corporations Act requires the granting of the general meeting’s consent with a division of business share in connection with transfer or passing of business share, the authors conclude that such a consent is required by law only in cases when the business share is being divided in connection with transfer or passing of business share at the shareholder’s will. Additionally, they are of opinion that Section 43(3) of the Business Corporations Act, which requires granting the general meeting’s consent with a division of business share, is non-mandatory and thus shareholders may in the articles of association conclude that the general meeting’s consent with a division of business share is not necessary or that the consent shall be granted by another corporate body. Furthermore, the article discusses whether the general meeting’s consent is required when a business share is being divided in connection with cancellation of co-ownership or during the inheritance proceeding when the testator did not dispose with a business share mortis causa. In this regard, the authors conclude that the application of Section 43(3) of the Business Corporations Act, which requires granting the general meeting’s consent with a division of business share, is excluded by special regulation of co-ownership’s cancellation or division of the estate in the Civil Code, and thus the general meeting’s consent with a division of business share is not required in these cases.

AbstractThis text is a reflection on today’s organisational management, through an imagined disease, auditism. The empirical material for this reflection is collected mainly in the shipping and aquaculture industries, but other type of data suggest auditism may be prevalent in other industries too. Auditism is diagnosed when and where the idea of audits shapes how work is structured, performed, or talked about in a working environment. Symptoms of auditism are related to organisations’ management of quality and safety—safety clutter, illegitimate core tasks, and an experience of two realities in an organisation (one for ‘real work’ and the other for ‘bullshit’ tasks or administration). Causes are function-based regulations and shallow audit regimes, as well as societal trends of how to prove legitimacy, accountability, liability, and efficiency. A cure could come through improved methods for auditing and documentation, or through trust in professional judgement instead of audits. Still, the prognosis is that many organisations will suffer from auditism before prescribing to reliable remedies.
